      (Infocast News) PCCW (1186) Chairman Richard Li told analysts that PCCW-HKT and Telstra will form a 50:50 Internet backbone network company besides formation of a JV to develop mobile phone business. Both parties will inject their Internet gateway and submarine cable business into that Internet company.

      He continued that the term of issue of convertible notes is 6 years, of which, first 4 years with interest rate of 3% p.a., later 2 years with interest rate of 5% p.a, the conversion price is $23.69.

      Regarding C&W HKT`s (soon-to-be known as PCCW-HKT) present number of mobile phone users is 1 million, therefore each customer is valued to about USD 40 million to USD 50 million. Telstra and PCCW-HKT form joint venture to develop mobile phone business, of which, the former has 40% stakes and the latter has 60% stakes.

      (Adds details after news briefing) By Karen Richardson HONG KONG, April 12 (Reuters) - Hong Kong`s hot Internet firm Pacific Century CyberWorks (PCCW) <1186.HK> and Australian telecom giant Telstra Corp Ltd on Wednesday announced a joint venture including a global Internet infrastructure company and a regional mobile telecommunications company.

      Analysts said the joint venture looked set to get PCCW some cash during its multi-billion U.S. dollar bid for Hong Kong`s biggest telecoms firm, Cable & Wireless HKT <0008.HK>, and to give Telstra a greater regional and global reach. PCCW Chairman Richard Li told analysts Telstra would invest US$3 billion under the plan. Half would be in PCCW subordinated convertible notes and another US$1.5 billion in mobile assets to be injected into the newly created regional mobile company.

      Under a memorandum of understanding (MOU), the conversion price was set at HK$19.742.

      The convertible note has an initial four-year period from date of issue with a possible two-year extension.

      Upon full conversion of the notes, Telstra would account for approximately 20 percent of the enlarged share capital of PCCW, after its merger with C&W HKT, according to details of the MOU released by Telstra.

      PCCW shares were suspended before trade opened on Wednesday.

      They closed down HK$0.30 on Tuesday at HK$15.40.

      Telstra shares were suspended at A$7.64, up 1.6 percent from Tuesday`s close of A$7.52.

      Telstra said in Sydney the joint venture would form an Internet Protocol (IP) backbone firm to operate as a global carrier, and a regional mobile phone company to offer wireless voice and data network services in the Asia Pacific region.

      TWO COMPANIES UNDER JV In Hong Kong, PCCW told analysts the regional mobile company would be 60 percent held by PCCW and 40 percent by Telstra.

      The international IP company would be held 50-50. PCCW said the aim was to spin off the two companies.

      "The intention is to go IPO (Initial Public Offering)," PCCW Chairman Richard Li told the analysts.

      Li, the 33-year-old son of property tycoon Li Ka-shing, set up his PCCW Internet company last year and is now in the midst of a takeover bid for C&W HKT. The deal with Telstra would give him a stronger regional position.

      In Sydney, Telstra said a key feature of the deal would be pooling regional assets and cash in joint ventures.

      The proposal on Wednesday was outlined in the MOU. But Telstra said any deal was conditional on PCCW completing its bid for C&W HKT. The bid valued C&W HKT at up to US$38.1 billion, making it Asia`s largest merger deal. Peter Milliken, telecom analyst at Lehman Brothers in Hong Kong, said of the Telstra news: "The best thing about this whole deal is PCCW ends up with a substantial amount of cash, which will reduce its massive interest burden post-HKT merger." An Australian telecommunications analyst, who declined to be named, said: "Strategically it`s important that they (Telstra) can make this sort of move to diversify beyond the Australian market where they are constrained in a commercial sense." But some analysts said Li may have been pressured into the deal in a quest for cash. The research director of an Asian securities house in Hong Kong, who asked not to be named, said: "This is a distressed rescue, plain and simple.

      vwd HONGKONG. Pacific Century CyberWorks (PCCW) in Hongkong und der australische Telekommunikationskonzern Telstra haben eine strategische Allianz gegründet, um die regionalen Reichweiten der beiden Unternehmen auf dem asiatischen Telekommunikationsmarkt auszuweiten. Als Teil der Zusammenarbeit werde Telstra rund drei Mrd $ in PCCW und ein neues Joint-Venture investieren, sagte PCCW-Chairman Richard Li am Mittwoch auf einer Analystenkonferenz. Im einzelnen zahle Telstra 1,5 Mrd $ für Wandeleinleihen von PCCW. Die restlichen 1,5 Mrd $ würden in ein neues Telekommunikations-Joint-Venture zwischen PCCW und Telstra investiert. PCCW wird den weiteren Angaben zufolge 60 % und Telstra 40 % an dem JV halten. Ein Börsengang des neuen Unternehmens sei so schnell wie möglich geplant, sagte Li weiter.

      Mr. Li, im wahrsten Sinne des Worte ein Schlitzauge.
