SHANGHAI, Oct. 1 /PRNewswire-Asia-FirstCall/ -- ShengdaTech, Inc. ("ShengdaTech" or the "Company") , the leading manufacturer of nano-precipitated calcium carbonate ("NPCC") in China, today announced that Andrew Weiwen Chen has resigned as chief financial officer ("CFO") effective September 30, 2010. Mr. Chen stated personal family reasons as the purpose for his resignation and leaves with no disagreements with the Company in regard to its financial statements or accounting matters.
The Company has begun a search to hire a new chief financial officer and has engaged an international executive recruiting firm to assist in this effort. In the interim, Ms. Anhui Guo, the Company's chief operating officer, was appointed acting chief financial officer, while retaining her duties as chief operating officer until such time as a new CFO is in place. Ms. Guo served as ShengdaTech's chief financial officer from March 2006 to April 2009. She will be available at the upcoming Annual General Meeting on October 18, to respond to investor questions and will continue to do so until a new CFO is in place. Mr. Carl Mudd, chairman of the Audit Committee, will also be available at the upcoming Annual General Meeting to respond to investor questions.

SHANGHAI, Dec. 9, 2010 /PRNewswire-Asia-FirstCall/ -- ShengdaTech, Inc. ("ShengdaTech" or the "Company") , a leading manufacturer of nano-precipitated calcium carbonate ("NPCC") in China, today announced that it intends, subject to market and other conditions, to offer an aggregate of $90.0 million of senior convertible notes due 2015 (the "Notes") in a private offering. The Company also intends to grant the initial purchasers an option to purchase an additional $30.0 million of Notes. The Notes will be issued at 100% of the principal amount. The Notes will be convertible into shares of ShengdaTech's common stock at terms and a conversion price to be determined at the time of pricing of the offering.
ShengdaTech currently intends to use at least $62.0 million of the net proceeds from the offering to repurchase a portion of the Company's existing convertible notes due 2018. The Company plans to use the remaining net proceeds to finance its NPCC production capacity expansion, the Company's research and development activities, and other working capital requirements.

As previously announced in the Company's press release dated March 15, 2011, the Company appointed a special committee of the Board of Directors to investigate potentially serious discrepancies and unexplained issues relating to the Company and its subsidiaries' financial records identified by the Company's auditors in the course of their audit of the consolidated financial statements for the fiscal year ended December 31, 2010. Due to the pendency of the internal investigation, the Company has not been able to file its Annual Report on Form 10-K in a timely manner.
On March 16, 2011, the Listing Qualifications Department of Nasdaq advised the Company that due to the Company's inability to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2010 with the Securities and Exchange Commission in a timely manner, the Company is not in compliance with Nasdaq Listing Rule 5250(c)(1). Nasdaq also requested that the Company submit, prior to March 31, 2011, a plan to regain compliance. In its plan, the Company (1) noted that although it is uncertain at this time when the special investigation will be completed, the Company aims to file its 2010 Form 10-K (as well as any other reports due prior to the end of such period), thereby becoming compliant with the Nasdaq listing rules, within 180 days of March 16, 2011 and (2) requested that Nasdaq grant the Company through September 12, 2011 (or the period as it deems appropriate) to regain compliance with the listing rules.
