die schulden vorzeitig zurückbezahlt. das ist positiv.
jetzt sind wir kredithai waterton los. das ist sehr positiv.

negativ ist: scorpio hat die GSV-aktien verkauft.
[tafelsilber verhökern. was ist die logik?
weil die GSV-aktien nicht so stark gefallen sind wie die SGN-aktien ?
(GSV hat sich seit dez 2012 halbiert, SGN ist -80% )
ich habe ein vages gefühl, hawley hat schiss davon, in eine mögliche zwangslage zu kommen, sollte sich die märkte weiter verschlechtern.]

die GSV werden 3 bis 4m cad gebracht haben.
sollte GSV übernommen werden, oder pinon veräussert werden, bekommt scorpio weitere "bis zu" 3m cad als trostpflaster.

coral reef ist nicht börsennotiert.
aus sicht von coral reef kauft man SGN am tiefpunkt der minenzyklus.
[tiefstpunkt? -- wissen wir noch nicht.]
SGN notierte mal 8mal höher.
es könnte sein, dass coral reef billig an eine börsennotierung herankommen will.

6.)
unklar ist, was passiert mit den projekten von coral reef.

7.)
aus sicht der SGN-aktionären:
--- muss ich ein anderes mal diskutieren.

"strategic financing" ?????
das ist doch eine fusion. oder ein verkauf.

meine ersten gedanken:

1.)
coral reef bezahlt 15m usd. (=18,9m cad)
bei aktueller markt cap von SGN 17m cad.
eine PP ist das jedenfalls nicht.

2.)
na gut, wenn SGN aktuell 17m cad "wert" ist,
nachher wird SGN 17+19 = 36m cad "wert" sein,
es gibt dann aber doppelt so viele aktien.

3.)
die hälfte der aktien wird dann coral reef besitzen. (49,8% )
sting in the tail [ es heisst hier doch "scorpio" !] sind aber die warrants:
wenn coral reef die warrants ausübt dann besitzt coral reef 62% von SGN.

4.)
hawley hat bereits mit SPM eine fusion vollgezogen,
anscheinend eine defensive massnahme angesichts der marktsituation sowie der schleppenden entwicklung der projekte.
ich hatte schon erwartet, dass er [oder waterton] ähnliches mit SGN vorhaben könnte.

5.)

(TSXV: GSV, NYSE MKT:GSV) (“Gold Standard” or the “Company”) is pleased to announce that it has filed a preliminary prospectus supplement to its short form base prospectus dated June 23, 2014 with the securities regulators in each of British Columbia, Alberta and Ontario (the “Canadian Securities Regulators”) and a preliminary prospectus supplement to a registration statement on Form F-3 (Registration No. 333-196751) with the U.S. Securities and Exchange Commission (the “SEC”). The Company proposes to complete a public offering of 17,000,000 common shares of the Company (the “Common Shares”) upon terms to be determined in the context of the market (the “Offering”).

Macquarie Capital Markets Canada Ltd. (“Macquarie”) is acting as lead underwriter on behalf of a proposed syndicate of underwriters (collectively, the “Underwriters”). [naja, für SGN nicht ganz optimal: um (ua) die letzte tranche an SGN zu bezahlen, ( 2,5m cad, denke ich), gibt GSV neue aktien aus, dadurch wird die beteiligung von SGN an GSV etwas verwässert.

hauptsache aber GSV bekommt geld, um pinion weiter zu entwickeln.

ich bin etwas skeptisch über die erfolgsaussichten einer "public offering" in diesem börsenklima. ]

aber zb:

bei diesem loch gab es noch dazu
4.57m mit 0.97g/t und
7.62m mit 0.62g/t
