      Cisco's Acquisition Of BlackBerry: To Be Or Not To Be?

      BlackBerry (BBRY) recently announced that the company was exploring some strategic options to bail it out of its current moribund financial state. The strategic options include joint ventures where possible, partnerships, and outright sale of the company. Indeed, those who have been following the financial reports of BlackBerry since a few years ago knew this was coming. Shortly after the announcement, speculations were rife that some giant tech companies like Google (GOOG), Cisco (CSCO) and SAP (SAP) are warming up to either purchase BlackBerry in parts or outright or salvage its declining fortunes via possible joint venture agreements in line with the options laid bare by BlackBerry. While I wish BlackBerry well and hope that it doesn't come to an outright sale, I think the thought of a mutually beneficial relationship existing between either of Google, Cisco or SAP and Blackberry isn't a bad one.

      Now, if Cisco does decide to buy BlackBerry in line with the speculations because Cisco is already a giant in the enterprise space, would that decision be right for Cisco at this time? Does Cisco have the resources to buy BlackBerry? Will the acquisition of BlackBerry strategically improve the financial fortunes of Cisco at all? We will attempt to answer these questions here and, thereafter state the possible outcome for BlackBerry if Cisco decides to purchase the company.

      Does Cisco have the resources to buy BlackBerry?

      For those not familiar with Cisco, the company is a major producer and marketer of Internet Protocol-based equipment - especially switches and routers - that are commonly used by companies and professionals in internet networking industry for transmitting data and voice messages across internet networks. Currently, the size of the global networking equipment industry is worth about $50 billion in annual spending and Cisco plays a prominent role in this industry. That said; financials won't be a hindrance to Cisco if the company chooses to purchase BlackBerry because the company is worth more than $125 billion in market value and it has a cash balance of about $50 billion in the bank though a debt valued at about $16 billion is also on its balance sheet.

      Looking at Cisco's antecedents on acquisitions, acquiring BlackBerry won't be out of place for this giant tech company. To date, Cisco has acquired about 140 companies it considered strategic to its business drive and its passion to maintain dominance in its niche area.

      Will the acquisition of BlackBerry strategically improve the fortunes of Cisco?

      Though BlackBerry's stock has suffered a massive decline because its quarterly sales have declined by about 45%, there is nevertheless a fortune beneath the surface of BlackBerry. There might be some value to the assets of this company that has one time been a giant producer and marketer of high-end mobile devices worldwide. The handset division of BlackBerry might have lost its market share but its messenger division, which is a messaging service that BlackBerry uses to integrate customers, businesses, and advertisers and it's a rallying point where businesses and individuals target one another, could still generate over $1 billion in revenue for Cisco at the initial stage. In addition, BlackBerry's IP portfolio is worth about $3 billion apart from its enterprise division. The hardware section of BlackBerry is worth about $2 billion and all these assets might worth the investment of Cisco if the company initiate acquisition process.

      Moreover, should the acquisition process take place, BlackBerry could rekindle Cisco's passion for producing smart devices. Remember that Cisco showed strong interest in producing smart devices when it launched its Cius Tablet last year but the dream didn't last long because the company killed off the investment within a year with the explanation that customers allowed their employees to have strong affinity towards other devices and integrate them into the network. The Cius Tablet was an Android-based smart device created to make business collaboration easier. In addition, since Cisco is already a market leader in security technology, the patents and security technology of BlackBerry might be appealing to Cisco to enable the company improve its dominance in that sector with the synergy of the technologies of both companies.

      Possible outcome for BlackBerry if Cisco decides to purchase the company

      If Cisco decides to purchase BlackBerry, it is in doubt if the transaction will be a win-win scenario for BlackBerry because the company may be restricted to the enterprise sphere if Cisco chooses not to explore the potentials in its smart devices division.

      Is BlackBerry stock a buy now?

      For investors who might be interested in buying BlackBerry stock now because of the rumored acquisition, that might be profitable if the process is initiated and concluded but if not, your investment may depreciate as the stock may lose value further in the eventuality that Cisco isn't buying it nor is any other company in the short

Lazaridis, who invented the BlackBerry smartphone and jointly ran the business until last year, said yesterday he’s hired Goldman Sachs Group Inc. (GS) to help him explore a bid for the Waterloo, Ontario-based company. He’s working on the effort with fellow BlackBerry founder Doug Fregin, who used to run the company’s operations. (FFH), BlackBerry’s biggest shareholder, which is seeking partners to help finance a buyout. Fairfax unveiled its offer on Sept. 23, though it hasn’t named additional backers or announced financing for the purchase. “Here’s a competing transaction that’s going to look out for financing the same way that Fairfax is out looking for financing,” said Catharine Sterritt, a Toronto-based risk arbitrage strategist at Bank of Nova Scotia. “It doesn’t make any sense to me that these guys will end up competing.” Lazaridis’s prospective bid got a muted response from investors. The stock climbed just 1.1 percent yesterday in New York, even as the Standard & Poor’s 500 Index rose 2.2 percent. As of 10:20 a.m. today, the shares have fallen 0.8 percent to $8.14 -- below the tentative bid of $9 a share from Fairfax. For Sale BlackBerry put itself up for sale after years of losing ground to Apple Inc. and Samsung Electronics Co. (005930) The company posted a 45 percent plunge in sales last quarter and a $965 million loss, dragged down by unsold inventory of its latest smartphones. In a filing yesterday, the co-founders said their goal was “stabilizing and ultimately reinventing the company based on a plan developed by them.” The two men aren’t available for interviews, said Mike Sitrick, a spokesman who runs the firm Sitrick & Co. Getting the money to finance a bid may not be easy, said David Cockfield, a fund manager with Northland Wealth Management in Toronto. “It’s a tough business to be in,” said Cockfield, whose firm manages about C$225 million ($217 million), including a small amount of BlackBerry shares. Lazaridis “has to find someone who has the belief and is willing to write him some large checks,” he said. Centerview Partners In addition to Goldman Sachs, Centerview Partners LLC is serving as an adviser to Lazaridis and Fregin. The New York-based firm advised Silver Lake Management LLC, which helped finance Dell Inc.’s $24.9 billion buyout. That deal was approved by shareholders approved last month. For either prospective bidder, finding the help of a large buyout firm may be challenging. BlackBerry has been shopped to Blackstone Group LP and KKR & Co., and both private-equity firms passed, people with knowledge of the matter have said. Silver Lake said last month that it looked at taking a stake in BlackBerry and decided against it. “We don’t have enough confidence to underwrite what the business plan will look like,” Michael Bingle, a managing partner at the firm, said Sept. 27 at a conference in New York. “When you don’t have that confidence, it’s tough to really pursue this opportunity.” Fairfax isn’t working with Lazaridis and Fregin, said a person with knowledge of the matter, who asked not to be identified because the matter is private. John Varnell, vice president of corporate development at Fairfax, didn’t immediately respond to a request for comment. Waiting for Approval A special committee of BlackBerry’s board continues to review its options, Lisette Kwong, a spokeswoman for the smartphone maker, said in an e-mail. “We do not intend to disclose further developments with respect to the process until we approve a specific transaction or otherwise conclude the review of strategic alternatives,” she said. The co-founders together control 8 percent of BlackBerry’s shares, the filing said. Toronto-based Fairfax, meanwhile, has a 9.9 percent stake. BlackBerry agreed to pay Fairfax a fee of 30 cents a share, or $157 million, if it strikes a better agreement with another buyer. The breakup fee rises to 50 cents a share, or about $262 million, if the smartphone maker and Fairfax sign a definitive transaction. Under its agreement with BlackBerry, Fairfax has until Nov. 4 to make a definitive bid for the company. School Friends Lazaridis, a 52-year-old who formerly worked as co-chief executive officer, and Fregin, the company’s ex-vice president of operations, have been friends since the fifth grade. They started BlackBerry in 1984 as engineering students. The company pioneered the market for wireless-data devices, turning millions of users into e-mail addicts pecking away at their “CrackBerry” keyboards. Then Apple and Samsung ushered in the age of the touch-screen smartphone, and Lazaridis and his team were slow to adapt to the shift in consumer preferences. Since quitting the top job at BlackBerry and then leaving its board in March, Lazaridis has focused his attention on quantum computing and nanotechnology, the science and technology of things approaching the size of an atom. He and Fregin now own Quantum Valley Investments, which focuses on developing quantum-computing technology. Fregin left BlackBerry in 2007. Thorsten Heins became CEO of the company last year, and Lazaridis stayed on as vice chairman until May. Breakup Scenario While Lazaridis and Fregin say they have a turnaround plan for BlackBerry, the company has become increasingly open to a breakup scenario, a person with knowledge of the matter said. Companies such as SAP AG (SAP), Cisco Systems Inc. (CSCO) and Samsung, which were approached last week by BlackBerry advisers, have indicated they’re only interested in parts of the company, people familiar with the discussion said. Jim Dever, a spokesman for Walldorf, Germany-based SAP, declined to comment, as did Cisco’s John Earnhardt. Chenny Kim, a spokeswoman for Samsung, said her company has ruled out a bid for all of BlackBerry.       Lt. Analysten ist der Kurs so rasant gestiegen weil man endlich die defizitäre (bis JETZT .... JA) Gerätesparte los ist und eben mal 5,4 Mrd. Cash in die Kassa kommt ...........


      Ich bin gespannt, ob NOK als Netzwerkausrüster (NSN) und Kartendienstleister ("Here") tatsächlich die grossen Gewinne macht ......... ("Here" - Kartendienst bisher defizitär) .....bei NSN hat man erst den Siemens-Anteil gekauft ...........


      Ich wäre eher überzeugt von einem TA bei NOK gewesen, wenn man MIT der Gerätesparte erfolgreich ist ........was m.E. der Fall ist da von Q zu Q die Verkaufzahlen der Lumias steigen .......am 22. Okt werden vorauss. 6 neue Geräte vorgestellt ..... u.a. ein Tablet .........naja - sie werden schon wissen was sie tun ......:rolleyes:;)



      So betrachtet gibt es auf jeden Fall einige Parallelen zu BBRY .......
