Commerce Lands Revenue Sharing at Covisint

I think of Covisint as a poster boy of the March bull market. This new company, an online auto parts exchange formed by the Big 3 automakers, promised to unleash all the cost-savings power of the Internet and make people a ton of money in the mean time. The automakers signed up both Commerce One and Oracle to make the exchange work. It was unclear how, or if, revenues would be shared. According to an article in this morning’s Journal, it is clear now, and Commerce One is the big winner. In exchange for equity stake in Commerce One, C1 will get both cash and a share of the revenue from the new exchange.

Deal finalized giving GM, Ford stakes in Commerce One-WSJ


NEW YORK, Dec 12 (Reuters) - Covisint, the Big Three auto
makers` online-parts exchange, has finalized a deal that is
expected to give General Motors Corp and Ford Motor
Co a share of technology supplier Commerce One Inc
. valued at $1.26 billion, the Wall Street Journal
reported in its electronic edition Tuesday.
The agreement is to be announced Tuesday and makes Commerce
One a key technology partner in the exchange, the paper said.
The deal leaves the two auto makers with a combined 14
percent share of Pleasanton, Calif.-based Commerce One, it said. Under the terms of the deal, GM and Ford each are receiving 14.4 million Commerce One shares, valued about $630 million apiece based on Commerce One`s closing price of $43-3/4 on the Nasdaq Monday, the paper said.
Half the shares for each company will be held in escrow
until 2002, releasable to Ford and GM upon satisfaction of
certain conditions, according to the report.
In addition, Commerce One will provide many of the
technologies to run the Covisint exchange in return for
undisclosed cash for consulting services and a share of the
exchange`s recurring revenue, the paper said.
On Monday, Covisint announced that it has become a legal
entity.

RESEARCH ALERT - Lehman starts Commerce One


NEW YORK, Dec 12 (Reuters) - Lehman Bros initiated coverage
on Tuesday of technology supplier Commerce One Inc. .
In a research note, it said it started Commerce One with an
outperform rating and set a 12-month share price target of $55.
Commerce One stock closed Monday on the Nasdaq at 43-12/16.
"Our 2-Outperform rating reflects our appreciation of
Commerce One`s growth strategy, but is tempered by our belief
that Commerce One faces a critical transition over the next 2-3
quarters," the Lehman note said.
It said it estimates penetration rates for Commerce One`s
core applications have reached 24 percent. "To maintain growth,
Commerce One needs to ramp its commerce services."
Tuesday`s Wall Street Journal reported that Covisint, the
Big Three auto makers` online-parts exchange, has finalized a
deal expected to give General Motors Corp and Ford
Motor Co a combined 14 percent share of Commerce One
valued at $1.26 billion.
