On February 23, 2006, the Company announced that it entered into a Memorandum of
Understanding and Intent (MOU) with Horvath Holdings, LLC ("Horvath") to acquire
30% of Ohio Funding Group, Inc. in exchange for 200,000,000 shares of previously
un-issued restricted common stock in an exempt issuance to Horvath Holdings.
Integrated into the MOU is a one year option for Horvath to purchase a
controlling interest in Aventura through the sale of other Horvath controlled
entities to Aventura either in a single transaction or a series of transactions.

Once we enter into a binding agreement with Horvath Holdings, LLC our future
operating business and ownership will change. Therefore, management determined
that continuing as a BDC is not practical and that it is in the Company's best
interest to un-elect BDC status in the second fiscal quarter of 2006.
Un-electing this status requires a shareholder vote but, inasmuch as one
shareholder holds a majority of our stock, we determined that we can make this
election upon submitting the matter to this one shareholder then filing an
information statement (Form 14C). Therefore, in order to withdraw from its BDC
status, the Company will first be required to file a Form 14C Preliminary
Information Statement regarding the proposed shareholder vote to withdraw its
BDC election, and any other matters to be voted on by shareholders. The company
will not be seeking proxies as the Company believes that a majority of its
outstanding stock is controlled by one shareholder who will vote in favor of the
BDC withdrawal. Upon completion of the Preliminary Information Statement, the
Company will then file a Form 14C Definitive Information Statement, setting the
shareholder meeting to vote on the BDC withdrawal. The Company will then hold
the shareholder meeting. Assuming majority shareholder approval to withdraw the
BDC election, the Company will then file a Form N-54C notifying the Securities
and Exchange Commission that, pursuant to the provisions of Section 54(c), it is
withdrawing its election to be subject to Sections 55 through 65 of the
Investment Company Act of 1940 ("Investment Company Act" or "1940 Act"). Upon
completion of this process, the Company will no longer be subject to the
Investment Company Act but will continue as an operating reporting public
company, and will still be subject to the Securities Exchange Act of 1934.

Under the rules of the Securities and Exchange Commission, the election to
terminate status as a BDC cannot become effective until at least 20 days after
the accompanying Information Statement has been distributed to the stockholders
of the Company. We expect the termination of such status, and the appropriate
filing to be made with the Securities and Exchange Commission, on or about April
25, 2006.
Management conducted its due diligence on Ohio Funding Group, Inc. and other
Horvath Holdings, LLC investments. Horvath owns and operates successful
automobile dealerships and finance companies concentrating in the sub-prime
market. Horvath executives have decades of automobile industry experience
including key public company positions. If Horvath exercises their option
discussed in our MOU and takes control of Aventura, we expect to pursue a
different business model consistent with their experience including possible
further acquisitions within the automobile industry. We believe management's
plan will allow the Company to continue as a going concern.

Bei dem Volumen die letzten beiden Tage und vor ein paar Wochen über 0,002, habe ich eigentlich keine Angst mehr, dass wir groß unter 0,002 zurückfallen.
...und falls doch werde ich nächstes mal richtig nachkaufen, denn bei AVNT sind regelmäßig Zocker am Werk, die den Kurs mal um 50-100% pushen und danach wieder aussteigen. Wenn man mal den Chart längere Zeit beobachtet hat war das bei AVNT immer so. Erst zwischen 0,0003-0,0006 danach zwischen 0,0008-0,00012 und vor ein paar Wochen nach der Nachricht dann der Ausbruch bis 0,004.

Hi Drumtom,

habe in der letzten Zeit nicht mehr geschrieben, da ich beim Hype vor ein paar Wochen pari verkaufen konnte. Nach zwei Jahren des unendlichen Wartens war die Verlockung doch zu groß. Und für meine Verhältnisse hatte ich auch ziemlich viel Geld investiert, das ich eigentlich schon abgeschrieben hatte.

Zur aktuellen Entwicklung: Ich weiß auch nicht genau, wie es weiter geht. AVNT wird demnächst wieder als "normale" börsennotierte Company geführt. Waltzer hat sich - wie im letzten Filing zu ersehen - für die nun auf einmal wertlose Aventura Networks (war ja eigentlich die wertvollste Beteiligung der BDC) mal eben 600 Mio. shares genehmigt hat. Und die hat er sicherlich (so meine Vermutung) schon in den Markt geschmissen (Outstanding shares nun 2,9 Mrd.) AVNT hat nun momentan überhaupt kein laufendes Geschäft und die ehemaligen Beteiligungen sind im Filing als wertlos abgeschrieben. Dies kann sich jedoch mit der Übernahme des ganzen Ladens durch Horvath demnächst wieder ändern. Vielleicht passiert ja dann was, wobei ich dies sehr skeptisch sehe. Ist alles ziemlich undurchsichtig.

Waltzer hat nun immer noch die absolute "Voting Control" und konnte deshalb auch die Aufgabe des BDC Status quasi im Alleingang durchziehen. Im Juni werden seine 900 Mio. "restricted shares" frei, die er dann sicher mit einem von schönen PRs begleiteten Hype (siehe PR zur Schuldenfreiheit) unters Volk bringen will, bevor er die Führung an Horvath abgibt. Was Horvath allerdings bewegt, den Laden zu übernehmen, weiss ich auch nicht.

Wie gesagt, dies ist auch viel Spekulation.

Übrigens: Auch die Einigung mit Coleman ist sehr schleierhaft. Coleman verzichtet auf seine "Mitbestimmung" bei AVNT und schon sind die 323 Mio. shares, die sich der "Verbrecher" vor der BDC Umwandlung unauthorisiert genehmigt hat, vergessen. Also nichts mehr mit "Rückkauf über den Markt".

Ergebnis: Anstatt der 1,6 Mrd. Shares vor wenigen Monaten haben wir nun 2,9 Mrd. und die noch im letzten Filing vor drei Monaten mit 900.000 Dollar bewertete Beteiligung Aventura Networks ist nun nichts (NULL) wert...

Danke. Wünsche Dir und allen Alt-Sunnies viel Erfolg. Ich werde AVNT auch weiterhin im Auge behalten und denke, der Juni könnte im Hinblick auf das Freiwerden von Waltzers "Restricted Shares" interessant werden. Denn er wird diese ja - sollte er (die Mehrheit an) AVNT tatsächlich an Horvath verkaufen wollen und sich aus AVNT verabschieden wollen - ja ein gesteigertes Interesse daran haben, diese zu möglichst hohen Kursen in den Markt zu schmeissen. Vielleicht geht dann da noch was...

The Internet consulting company has launched a national contest that will give one winner's website a $10,000 "Extreme Makeover."

"Extreme Makeover has become a bit of a catchphrase," said the founder and president of the website design company Elliot Krasnow. "So we wanted to see if it can work for us."

The grand prize winner of the "Free Extreme Makeover Website Contest" will receive an analysis of his/her business needs, a complete professional, search-engine-friendly redesign of a website and one year of hosting.

Dozens of people around the United States have already entered the contest, which ends May 31, but Krasnow said he hopes to get even more.

"We are going to turn an ugly website into a swan," he said.

Crissy Rodriguez, Realtor and office manager for Accord International Corp. in Miami Beach, entered because she dreams of a website that is fast, clean and user-friendly.

"Nowadays, having a good website is very important," Rodriguez said. "Having a decent website can be very expensive."

Headquartered at 2801 NE 208th Terr. in Aventura, Netspace now has about 20 franchises in places including California, Pennsylvania and Texas. Krasnow said he opened the company in 1997, but has been developing websites for South Florida companies and organizations since July 2000.

David Lee Windecher, who owns PC Clique Inc., a network administration firm, said that he recently redeveloped his company's website with the help of Netspace.

"I got exactly what I wanted," said Windecher, whose site costs about $2,000. "It's not too flashy; it's professional and clean."

Windecher said he wishes he could have known about the contest before he sought out help.

"It's a really cool thing they are doing," he said.

Krasnow said they came up with the idea for the contest because "we want people to know what we can do."

Entering the contest is easy, but there is only one winner. Visit www.netspace.com and click on the "Extreme Makeover" logo.

Once there, tell your story. Krasnow said the person who best expresses why he/she needs an extreme website makeover the most will likely be the winner. The winner will be announced shortly after May 31.

Rodriguez knows her site would be a good candidate, but calls herself a realist.

"My chances of winning are like winning the lottery," she said, "but you can always hope."

da werden volumen eingebucht, ganz schräge zahlen und die gleich zweimal hintereinander in der selben sekunde und alles wird gezählt. kann das sein? ich habe die größten zweifel, das ist schlicht nicht möglich und bei vielen aktien finde ich dieses muster wieder.

hat iregent einer AHNUNG was da los ist ich suche nach NEWS aber finde nichts hab gerade einem AMI zocker gefragt der hatte auch keine ANTWORT

Runter auf 0,0016 dann wieder rauf auf 0,0025 und das wiederholt sich immer und immer wieder.
Dieses Spiel werden wir noch ein oder zwei Monate mitmachen und dann sollte der Durchbruch gelingen.
Charttechnisch betrachtet ein sauberer Vorgang.
Bodenbildung so um die 0,0016 Dollar, tiefer gehts nicht mehr.
Nachoben werden wir bald unser blaues Wunder erleben, aber Geduld sollte man bei diesem Wert auf jeden Fall haben.

On February 23, 2006, the Company announced that it entered into a Memorandum of Understanding and Intent (MOU) with Horvath Holdings, LLC ("Horvath") to acquire 30% of Ohio Funding Group, Inc. in exchange for 200,000,000 shares of previously un-issued restricted common stock in an exempt issuance to Horvath Holdings. Integrated into the MOU is a one year option for Horvath to purchase a controlling interest in Aventura through the sale of other Horvath controlled entities to Aventura either in a single transaction or a series of transactions.

Once we enter into a binding agreement with Horvath Holdings, LLC our future operating business and ownership will change. Therefore, management determined that continuing as a BDC is not practical and that it is in the Company's best interest to un-elect BDC status. Un-electing this status requires a shareholder vote but, inasmuch as one shareholder holds a majority of our stock, we determined that we can make this election upon submitting the matter to this one shareholder. On April 24, 2006 the Company filed an information statement (Form
14C) to withdraw our BDC election. The Company will file a Form 14C Definitive Information Statement on or about May 15, 2006 then file a Form N-54C notifying the Securities and Exchange Commission that, pursuant to the provisions of
Section 54(c), it is withdrawing its election to be subject to Sections 55 through 65 of the Investment Company Act of 1940 ("Investment Company Act" or "1940 Act"). Upon completion of this process, the Company will no longer be subject to the Investment Company Act but will continue as an operating reporting public company, and will still be subject to the Securities Exchange Act of 1934.

Under the rules of the Securities and Exchange Commission, the election to terminate status as a BDC cannot become effective until at least 20 days after the accompanying Information Statement has been distributed to the stockholders of the Company.

Management conducted its due diligence on Ohio Funding Group, Inc. and other Horvath Holdings, LLC investments. Horvath owns and operates successful automobile dealerships and finance companies concentrating in the sub-prime market. Horvath executives have decades of automobile industry experience including key public company positions. If Horvath exercises their option discussed in our MOU and takes control of Aventura, we expect to pursue a different business model consistent with their experience including possible further acquisitions within the automobile industry. We believe management's plan will allow the Company to continue as a going concern.

Der Kursverlauf stimmt mich sehr zuversichtlich, denke hier wird es bald richtig krachen.
Hatte erst zweimal so ein komisches Gefühl in den letzten Jahren, wie einst bei Feedback oder USXP.
Der Chartverlauf zeigt mir einen baldigen Ausbruch, aber was heißt das schon bei OTCBB Werten.

Du bist wohl neu im Geschäft des OTC-Handels. Die meisten OTC Klitschen sind Selbsbereicherungsbuden gewisser Leute.(Die Aktionäre zahlen dabei immer die Zeche.) AVNT gehört meiner Meinung nach ganz klar zu dieser Sorte. Den ein oder anderen Spike gibt es immer mal, aber im Endeffekt bleibt ihr immer die Doofen. Spätestens nach dem ersten Reserve Split seid ihr alle um eine Erfahrung reicher.

Ja, du hast recht. Das passiert mir heute schon zum zweiten mal. Ich überfliege zu schnell die Filings und gebe dadurch ein falsches Statement ab.(Heute ist nicht mein Tag.) Die wollen wieder zurück zum Securities Exchange Act of 1934 und sich vom BDC Status verabschieden. Das ändert jedoch nicht mit dem Aktien werfen. Das dürfen sie auch ohne BDC Status.

Also wenn ich das Filing richtig gelesen habe, wurden die $5 Millionen Aktien schon ausgegeben und sind in dem heutigen Kurs schon längst eingepreist. Das Szenario bezieht sich auf ein "Form N-54 Filing" vom 15. März 2005 und mußte bis April 2006 abgeschlossen sein.
Nun ist man dabei zum Securities Exchange Act of 19 zurückzukehren und sich von BDC Status zu verabschieden.

Für mich ein positives Zeichen und ein klares Kaufsignal (für Zocker) die in kurzer Zeit viel Geld verdienen können aber sich auch darüber im klaren sein müssen, alles verlieren zu können, denn es ist und bleibt nun mal eine OTCBB Aktie.

Verstehe dein negatives Statement von daher nicht und betrachte deine Aussage für völlig falsch.

ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

On May 16, 2006, Aventura Holdings, Inc., a Florida corporation (the "Company") entered into several agreements with Horvath Holdings, LLC ("Horvath"), a Michigan limited liability Company, which owns and operates automobile dealerships and finance companies concentrating in the sub-prime lending market. These agreements included a Securities Purchase Agreement ("SPA"), a Class A Common Stock Purchase Warrant ("Warrant"), a Registration Rights Agreement and a Lock-Up Agreement (the "Transaction"). Such agreements are included with this Form 8-K as Exhibits.

The parties to the SPA include the Company, Horvath and one of Horvath's wholly-owned subsidiaries, Ohio Funding Group, Inc., a Michigan corporation ("Ohio Funding"). Pursuant to the terms of the SPA, in exchange for contributing thirty percent (30%) of the equity of Ohio Funding with an agreed value of one hundred thousand dollars ($100,000), Horvath received two hundred million (200,000,000) shares of common stock of the Company.

As a part of the Transaction, the Company issued to Horvath a Warrant exercisable for one (1) year. The Warrant enables Horvath to contribute, at any time during the exercise period, at a fixed price per share of $.0005, the remaining equity interests in its subsidiaries in exchange for the greater of:
(a) 2,528,443,528 shares of the common stock of the Company, or (b) that number of shares of common stock of the Company as shall be required for Horvath to obtain, when combined with other shares of common stock of the Company then cumulatively held by Horvath, at least fifty-one percent (51%) of the total fully-diluted shares of common stock outstanding of the Company on the date the Warrant is fully exercised. The Warrant immediately grants to Horvath one (1) Board seat designation right with respect to the Board of Directors of the Company, and grants one (1) additional Board seat designation right, up to a total of four (4) Board seat designations (including the original Board seat), upon each tender of a controlling equity position in a legal entity controlled by the Company.

The Transaction also includes a Registration Rights Agreement between Horvath and the Company, which grants Horvath certain registration rights concerning the shares of the Company's common stock that it received under the SPA and those shares it will receive upon exercise of the Warrant. The Company is obligated to effect up to two (2) demand registrations, and an unlimited number of "piggyback" registrations, and to pay for certain expenses incurred in connection with such registrations, for a period of five (5) years from the Transaction closing date.

Also in connection with the Transaction, Melissa Apple, as trustee under the Maria Lopez Irrevocable Trust UTD March 29, 2004 (the "Trust"), the current majority shareholder of the Company, entered into a Lock-Up Agreement with Horvath whereby the Trust agreed to refrain from transferring its shares of common stock of the Company ("Trust Shares") to any third party, except to certain permitted transferees, for a period of one (1) year following the Transaction closing date and to only transfer up to a permitted amount of Trust Shares equal to five percent (5%) of the total number of Trust Shares in each of the following four (4) years. The Trust also granted Horvath, while the Warrant is outstanding, full authority to vote, in person or by proxy, all of the Trust Shares on matters submitted to the vote of Company's shareholders, including but not limited to, the election of the Company's Board of Directors.

ITEM 5.01 CHANGES IN CONTROL OF COMPANY

Pursuant to the Transaction described more fully above in Item 1.02, a change in control of the Company has occurred as of the Transaction closing date, May 16, 2006, since Horvath acquired voting control of the Company. Pursuant to the terms of the Warrant, the Trust (the Company's majority shareholder) granted Horvath full authority to vote all of the Trust Shares while the Warrant remains outstanding.

In addition, the Warrant grants Horvath up to a total of four (4) Board seat designations with respect to the Board of Directors of the Company. The Company also agreed that, at no time prior to the expiration of the Warrant, shall the total number of directors of the Company exceed seven (7).

Following the Transaction, Horvath beneficially owns 2,959,502,446 shares of common stock of the Company, or approximately 51% of the voting securities of the Company, which includes: (1) 200,000,000 shares of the Company's common stock received by Horvath in the Transaction, and (2) 2,759,502,446 shares of the Company's common stock assuming full exercise of the Warrant as of the Transaction closing date.

With respect to the additional information specified in Item 5.01(a)(8), the Company hereby incorporates by reference its Form 10-K filed with the Commission on March 30, 2006 and its Form 10-Q filed with the Commission on May 12, 2006.

ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

Divestiture of Interest in Aventura Networks, LLC


In an effort to divest itself of non-core business assets, Aventura Holdings, Inc., a Florida corporation (the "Company") entered into an Assignment and Assumption Agreement with Craig A. Waltzer ("Waltzer"), the Company's President, pursuant to which the Company assigned its 100% ownership interest in Aventura Networks, L.L.C., a Florida limited liability company ("Networks") in exchange for Waltzer's assumption of any and all liabilities and obligations of the Company associated with the ownership and operation of Networks (the "Divestiture").

The Company acquired its interest in Networks on June 7, 2005, in exchange for 880,000,000 shares (the "Shares") of its previously un-issued restricted common stock in an exempt issuance. The Shares were valued at a discounted price of $0.00091 per share and the purchase was reflected on the Company's financial statements at $800,724. Networks was originally a wholesale voice-over Internet protocol ("VoIP") buyer and seller of routes predominantly in third-world countries where rates were high and margins were wide. Increased competition led to lower prices and reduced margins and Networks exited from the VoIP wholesale carrier market. Networks changed direction and began to further develop and sell developed and third party VoIP switching and internet protocol private branch exchange software.

An independent accredited business valuation firm was hired by the Company to assign a fair market value to the Company's investment in Networks and to determine the likelihood of repayment of an account receivable balance owed to the Company by Networks, each as of December 31, 2005. This account receivable balance represents advances made by the Company to Networks during 2005 for working capital and other purposes. The valuation firm determined the fair market value of the Company's investment in Networks was $0 as of December 31, 2005, and reported that the likelihood of repayment of the account receivable balance was indeterminable. Although the valuation firm was unable to determine a likelihood of debt repayment, Networks paid Company expenses in 2006 with proceeds from certain sales of its assets to cash, thereby reducing such account receivable balance. There remains a negligible balance under this account receivable as of the date of this filing. The obligation to repay this account receivable balance will survive the Divestiture.


Company Borrowing


On July 10, 2006, the Company executed a promissory note (the "Note") in favor of American Dealer Enterprise Group, LLC, a Michigan limited liability company ("ADEG"), pursuant to which the Company obtained a loan from ADEG in the maximum aggregate principal amount of $750,000. The Note has a maturity date of July 10, 2011. Borrowed funds under the Note will accrue interest at the rate of 10% per annum. While not limited in its use of the borrowed funds, the Company expects to use them primarily to fund its day-to-day business operations.

Pursuant to the Note, ADEG has the right, at its option, at any time after July 10, 2007 and continuing thereafter until the earlier of: (a) July 10, 2012, or (b) the date the entire outstanding indebtedness of the Note shall have been paid in full, to convert the outstanding principal balance and accrued interest on the Note, in whole or in part, into fully paid and nonassessable shares of common stock of the Company (the "Common Stock"). The number of shares of Common Stock into which the Note may be converted shall be determined by dividing the aggregate amount of indebtedness to be converted by a factor of $.0015 per share, provided the resulting number of shares of Common Stock shall be rounded up to the next whole share.

wie es weier geht: es gibt einen wechsel im management. howard übernimmt. er bringt seine "aktivitäten" ein, die im primärmarkt angesiedelt sind und profitabel arbeiten. schuldenfrei ist avetura auch und hat einen deal gemacht, der das tägliche geschäft finanziert. alles nachzulesen.... ich finde, das sind ermutigende entwicklungen.

wir haben jetzt ich glaube seit 3 monaten keine einzige news mehr

RECENT DEVELOPMENTS

On March 6, 2006 the Company terminated its Stock Purchase Agreement with Dutchess Private Equities Fund II, L.P. (Dutchess) having delivered three hundred million (300,000,000) shares and a payment of $978 to extinguish the debt.

On April 24, 2006 the Company filed a preliminary information statement (Form
14C) with the Securities and Exchange Commission ("SEC") and our controlling shareholder voted to withdraw our Business Development Company ("BDC") election. The Company filed a definitive information statement (Form 14C) and notification of withdrawal of business development company election (Form N-54C) on May 15, 2006, notifying the SEC that, pursuant to the provisions of Section 54(c), the Company withdrew its election to be subject to Sections 55 through 65 of the Investment Company Act of 1940 ("Investment Company Act" or "1940 Act"). Accordingly, the Company is no longer subject to the Investment Company Act but will continue as an operating reporting public company, and is subject to the Securities Exchange Act of 1934.

On May 16, 2006 the Company entered into several agreements with Horvath Holdings, LLC ("Horvath"), a Michigan limited liability Company, which owns and operates automobile dealerships and finance companies concentrating in the sub-prime lending market. These agreements included a Securities Purchase Agreement ("SPA"), a Class A Common Stock Purchase Warrant ("Warrant"), a Registration Rights Agreement and a Lock-Up Agreement (the "Transaction"). The parties to the SPA include the Company, Horvath and one of Horvath's wholly-owned subsidiaries, Ohio Funding Group, Inc., a Michigan corporation ("Ohio Funding"). Pursuant to the terms of the SPA, in exchange for contributing thirty percent (30%) of the equity of Ohio Funding with an agreed value of one hundred thousand dollars ($100,000), Horvath received two hundred million (200,000,000) shares of common stock of the Company. As a part of the Transaction, the Company issued to Horvath a Warrant exercisable for one (1) year. The Warrant enables Horvath to contribute, at any time during the exercise period, at a fixed price per share of $.0005, the remaining equity interests in its subsidiaries in exchange for the greater of: (a) 2,528,443,528 shares of the common stock of the Company, or (b) that number of shares of common stock of the Company as shall be required for Horvath to obtain, when combined with other shares of common stock of the Company then cumulatively held by Horvath, at least fifty-one percent (51%) of the total fully-diluted shares of common stock outstanding of the Company on the date the Warrant is fully exercised. The Warrant immediately grants to Horvath one (1) Board seat designation right with respect to the Board of Directors of the Company, and grants one (1) additional Board seat designation right, up to a total of four (4) Board seat designations (including the original Board seat), upon each tender of a controlling equity position in a legal entity controlled by the Company. The Transaction also includes a Registration Rights Agreement between Horvath and the Company, which grants Horvath certain registration rights concerning the shares of the Company's common stock that it received under the SPA and those shares it will receive upon exercise of the Warrant. The Company is obligated to effect up to two (2) demand registrations, and an unlimited number of "piggyback" registrations, and to pay for certain expenses incurred in connection with such registrations, for a period of five (5) years from the Transaction closing date. Also in connection with the Transaction, Melissa Apple, as trustee under the Maria Lopez Irrevocable Trust UTD March 29, 2004 (the "Trust"), the current majority shareholder of the Company, entered into a Lock-Up Agreement with Horvath whereby the Trust agreed to refrain from transferring its shares of common stock of the Company ("Trust Shares") to any third party, except to certain permitted transferees, for a period of one (1) year following the Transaction closing date and to only transfer up to a permitted amount of Trust Shares equal to five percent (5%) of the total number of Trust Shares in each of the following four (4) years. The Trust also granted Horvath, while the Warrant is outstanding, full authority to vote, in person or by proxy, all of the Trust Shares on matters submitted to the vote of Company's shareholders, including but not limited to, the election of the Company's Board of Directors.

Pursuant to the Transaction, a change in control of the Company has occurred as of the Transaction closing date, May 16, 2006, since Horvath acquired voting control of the Company. As set forth above, the Trust (the Company's majority shareholder) granted Horvath full authority to vote all of the Trust Shares while the Warrant remains outstanding and the Warrant grants Horvath up to a total of four (4) Board seat designations with respect to the Board of Directors of the Company. The Company also agreed that, at no time prior to the expiration of the Warrant, shall the total number of directors of the Company exceed seven
(7). Following the Transaction, Horvath beneficially owns 2,959,502,446 shares of common stock of the Company, or approximately 51% of the voting securities of the Company, which includes: (1) 200,000,000 shares of the Company's common stock received by Horvath in the Transaction, and (2) 2,759,502,446 shares of the Company's common stock assuming full exercise of the Warrant as of the Transaction closing date.

On June 30, 2006 the Company assigned its 100% member interest in Aventura Networks, LLC to Craig A. Waltzer (the Company's president and chairman) in exchange for Mr. Waltzer's assumption of liabilities arising out of the Company's ownership or operation of Aventura Networks, LLC.

On July 10, 2006, the Company executed a promissory note (the "Note") in favor of American Dealer Enterprise Group, LLC, a Michigan limited liability company ("ADEG"), pursuant to which the Company obtained a loan from ADEG in the maximum aggregate principal amount of $750,000. The aggregate advances under the Note may not exceed $150,000 in each of the 12 month periods following July 10, 2006. The Note has a maturity date of July 10, 2011. Borrowed funds under the Note accrue interest at a fixed rate of 10% per annum. On July 27, 2006, ADEG advanced $75,000 to the Company under the Note, which represents the current principal balance of the Note. As of the date of this filing, approximately $34.93 [17 days at 10%] in interest has accrued on such principal balance, for an aggregate indebtedness under the Note of $75,034.93. While not limited in its use of the borrowed funds, the Company expects to use them primarily to fund its day-to-day business operations.

Pursuant to the Note, ADEG has the right, at its option, at any time after July 10, 2007 and continuing thereafter until the earlier of: (a) July 10, 2012, or
(b) the date the entire outstanding indebtedness of the Note shall have been paid in full, to convert the outstanding principal balance and accrued interest on the Note, in whole or in part, into fully paid and nonassessable shares of common stock of the Company. The number of shares of common stock into which the Note may be converted shall be determined by dividing the aggregate amount of indebtedness to be converted by a factor of $.0015 per share, provided, however, that the resulting number of shares of common stock shall be rounded up to the next whole share. While the Company cannot accurately predict the amount, if any, of debt under the Note that will be converted into shares of common stock, for illustrative purposes only, if the maximum amount of principal is advanced and converted, ADEG would be entitled to receive 500,000,000 shares of common stock (exclusive of any accrued interest on such funds to be converted).

RESULTS OF OPERATIONS
The Company was retrospectively consolidated, for financial reporting with its wholly owned subsidiary, Aventura Networks, LLC, through and until June 30, 2006, when the Company assigned its 100% member interest in Aventura Networks, LLC to Craig A. Waltzer (the Company's president and chairman) in exchange for Mr. Waltzer's assumption of the Company's liabilities arising out of ownership or operation of Aventura Networks, LLC. The Company's 30% investment in Ohio Funding Group, Inc. is accounted for using the equity method of accounting where the Company's investment is adjusted based on the Company's ownership ratio of Ohio Funding Group, Inc. multiplied by Ohio Funding Group, Inc.'s net income.

REVENUES

Revenues for the six and three months ended June 30, 2006 were $39,149 and $16,471 as compared to revenues for the six and three months ended June 30, 2005 of $312,525 and $80,472 and were derived from our subsidiary at that time, Aventura Networks, LLC.

OPERATING AND OTHER EXPENSES

Operating expenses for the six and three months ended June 30, 2006 were $79,061 and $40,559 as compared to operating expenses for the six and three months ended June 30, 2005 of $160,834 and $114,198.

Financing expenses were $21,705 and $0 for the six and three months ended June 30, 2006 compared to $0 and $0 for the comparable six and three months ended June 30, 2005. The 2006 amount relates to amortization of the Dutchess investment cash and non-cash financing costs.

As a result of these factors, we reported a net loss of $306,599 and $260,976 or $(nil) and $(nil) per share for the six and three months ended June 30, 2006 as compared to a net loss of $100,131 and $92,233 or ($.nil) and $(nil) per share for the six and three months ended June 30, 2005.

LIQUIDITY AND CAPITAL RESOURCES

At June 30, 2006, we had an accumulated deficit of $662,982 and working capital deficit of $34,994.

We have no material commitments for capital expenditures.

Net cash used in operations during the six months ended June 30, 2006 was $1,832. Non-cash amortization of deferred financing costs of $21,705, warrant expense payable with Company common stock of $250,000 and a net decrease in revolving trade deposits of $25,320 in our former subsidiary Aventura Networks, LLC were the primary factors contributing to the difference between our net loss and use of cash. In the comparable period of 2005, we had net cash used in operations of $147,960, primarily relating to the net loss of $101,131, a net increase in revolving trade deposits of $69,237 in our former subsidiary Aventura Networks, LLC.

Net cash generated by investing activities for the six months ended June 30, 2006 was $595. Net cash used by investing activities for the six months ended June 30, 2005 was $122,038 and consisted of a $100,000 minority interest investment in VoIPBlue and purchases of fixed assets in the amount of $22,038.

Net cash used by financing activities for the six months ended June 30, 2006 was $978 as compared to net cash provided by financing activities of $300,000 for the six months ended June 30, 2005. During the six months ended June 30, 2006 we paid $978 in cash to extinguish our debt to Dutchess Private Equities Fund II, LP. In the comparable period of 2005, we entered into a Stock Purchase Agreement with Dutchess, received net advances of $300,000.

For the fiscal year ended December 31, 2005, our independent registered public accounting firm issued a going concern opinion in connection with their audit of our financial statements. These conditions raise substantial doubt about our ability to continue as a going concern if sufficient additional funding is not acquired or alternative sources of capital developed to meet our working capital needs.

Management expects to make other investments in Horvath Holdings, LLC ("Horvath") companies. Horvath owns and operates successful automobile dealerships and finance companies concentrating in the sub-prime market. Horvath's executives have decades of automobile industry experience including key public company positions. If Horvath exercises its rights under the Warrant and takes control of the Company, we expect to pursue a different business model consistent with Horvath's experience, including possible further acquisitions within the automobile industry. We believe management's plan will allow the Company to continue as a going concern.

CRITICAL ACCOUNTING POLICIES

A summary of significant accounting policies is included in Note 2 to the unaudited financial statements included elsewhere in this Report. We believe that the application of these policies on a consistent basis enables us to provide useful and reliable financial information about our operating results and financial condition.

OFF BALANCE SHEET ARRANGEMENTS

There are no off balance sheet arrangements that have or are reasonably likely to have a current or future effect on our financial condition, changes in financial condition, revenues or expenses, results of operations, liquidity, capital expenditures or capital resources that are material to investors.

Hier wird sicherlich bald was kommen - die vielen fillings in den letzten monaten sind ein eindeutiger indiz dafür das Horvath bemüht ist aventura auf die beine zu helfen.

Zu dem haben die mms mal wieder ihr bestes getan um den kurs zu drücken. Mittwoch standen wir bei 0,0006 kurz danach wurde das ASK bis zu 0,0010 regelrecht leer gesaugt - man sei gespannt auf die kommenden wochen

Der Deal selbst erscheint auch nicht sehr ergiebig.

Hi rbkio,

schön, mal wieder von Dir zu hören. Ich verfolge unser ehemaliges Schätzchen eigentlich seit dem für mich erlösenden Hype im Frühjahr nur noch sporadisch und habe letztens gesehen, dass Waltzer sich geschickt aus der Affäre gezogen und den Laden an Horvath verhökert hat. Schlau wie er ist, hat er seine in den Filings als wertlos eingestufte Firma Aventura Networks auch noch quasi zum Nulltarif wieder bekommen. Wird ein gutes Geschäft auf Kosten der Shareholder gemacht haben, der gute alte Craig.

Ja, was waren das noch für Zeiten. Auf jeden Fall habe ich Aventura noch immer auf der Watchlist. Nach fast drei Jahren habe ich den Laden irgendwie lieb gewonnen. Und Horvath will sicher bald auch mal einen schönen Pump initiieren. Mal sehen, vielleicht bin ich dann wieder mit dabei.

Du bist also noch gut rausgekommen, wenn ich es richtig verstehe. Das freut mich.

Ich habe mich, seitdem ich ausgestiegen bin, nicht mehr mit dem Laden beschäftigt. Darum Danke für die Info. Wusste ich nicht. Ich glaube nicht, dass ich nochmal in einen OTC-Wert gehe. Bin jetzt etwas "konservativer" geworden. Na ja, aber nur etwas. Pennystocks sind halt immer noch meine Leidenschaft, aber in Maßen.

Ja, da hast Du recht. Waren trotz allem schöne Zeiten (Lehrgeld bezahlt!). Wir kannten uns richtig gut mit SNNW aus (meinten wir zumindest) und haben die Filing richtig in uns eingesogen.

Hi rbkio,

ja, bin seinerzeit im Frühjahr ca. pari rausgekommen zu 0,0037 oder so dank meines unermüdlichen Verbilligens. Aber das Ganze war mir auch eine ziemliche Lehre. Zockereien mache ich seitdem auch nur noch ganz selten.

Zu SNNW-Experten sind wir ja mehr zwangsläufig geworden aufgrund unserer Blauäugigkeit in Bezug auf Coleman und später Waltzer. So wurde der Traum von schnellen Geld (den ich ja immer noch träume zum drei Jahre währenden Alptraum mit verhältnismäßig gutem Ende. Aber - wie gesagt - eine sehr lehrreiche Zeit.

ITEM 4.01. CHANGE IN REGISTRANT'S CERTIFYING ACCOUNTANT
On October 31, 2006 Salberg & Company, PA (Salberg) resigned as the independent registered public accounting firm for the Company. Salberg served as the Company's independent registered public accounting firm for the fiscal years ended December 31, 2005 and 2004. On November 1, 2006, the Company engaged Jewett, Schwartz & Associates (Jewett) to replace Salberg as its independent registered public accounting firm for the fiscal year ended December 31, 2006. The resignation of Salberg and the replacement with Jewett as the Company's independent registered public accounting firm was approved by the Audit Committee of the Board of Directors of the Company (the Audit Committee).

The reports of Salberg on the Company's financial statements for the fiscal years ended December 31, 2005 and 2004 contained no adverse opinion or disclaimer of opinion and was not qualified or modified as to uncertainty, audit scope or accounting principle except that there was an explanatory paragraph describing conditions that raise substantial doubt about the Company's ability to continue as a going concern.

During the fiscal years ended December 31, 2005 and 2004 and through October 31, 2006, there were (1) no disagreements with Salberg on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of Salberg, would have caused them to make reference thereto in their report on the financial statements for such years, and (2) no reportable events (as defined in Regulation S-K Item 304(a)(1)(v)).

During the two fiscal years ended December 31, 2005 and 2004 and through October 31, 2006, the Company did not consult with Jewett regarding either: (i) the application of accounting principles to a specified transaction, either completed or proposed; or the type of audit opinion that might be rendered on the Company's financial statements, and neither a written report was provided to the Company or oral advice was provided that Jewett concluded was an important factor considered by the Company in reaching a decision as to the accounting, auditing or financial reporting issue; or (ii) any matter that was either the subject of a disagreement, as that term is defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions to Item 304 of Regulation S-K, or a reportable event, as that term is described in Item 304(a)(1)(v) of Regulation S-K.

The Company requested that Salberg furnish it with a letter addressed to the SEC stating whether or not such firm agrees with the above statements. A copy of such letter from Salberg is being filed as Exhibit 16.1 to this Form 8-K.

um deine verluste wett zu machen könntest du ja jetzt bei den amis kaufen

bei 5.000.000 stück zum beispiel für 0,0008 us cent

sind ca, 0,0006 euro cent bis 0,003 und schon hast du ca. 6000 euro gewinn

weiss ja nicht wie viel du brauchst um pari bei zum beispiel 0,003 euro cent

börse kann so einfach sein

jetzt kaufen und nicht wenn sie 300 - 400 % höher steht

da wird verkauft

Meine einstieg bei AVNT 0,0032

Beim NEXIA Einstieg 0,0005. Seit diese tag pendelt der wert zwischen 0,0002-0,0004.

Beim PAIM einstieg 0,0026. Seit diese tag fällt der wert auf 0,0008.

Und zu USXP will ich gar nicht mehr sagen.

dabei bin ich schon seit deutscher Erstnotierung von SNNW, habe damals etwas Gewinn mitgenommen und bin dann ausgestiegen. Mit 2005 wieder rein und hoffte durch Wechsel etwas mitzunehmen. Hat aber leider bis 03/2006 gedauert, aber naja. In Juli peu a´peu wieder reingegangen und nun warte ich. Wird schon guter Gewinn werden, aber die Wartezeit ist schon nervig.

Zu AVNT:
Im Moment sieht es ja so aus, als wenn Horvath ca. 2,7 Mrd der Shares hat und ca. 1,7 Mrd bei einer Frau Applegate, der Rest sind dann scheinbar wir. Das wirft für mich die Frage auf, wenn die ca. 1,5- 2,0 Mio in Dolar festhalten, wäre es doch sinnvoll dieses Geld irgenwo anders anzulegen. Schließlich will man doch sein Geld mehren.
Da kein Geschäftsablauf erkennbar ist, steh ich vor der Sache langsam etwas ratlos. Aventura-Networks gehört ja scheinbar auch nicht mehr dazu, haben noch nicht mal mehr eine Homepage.

aventura network hat sich waltz oder wie der frühere ceo vor horv hieß unter den nagel gerissen,nachdem er den wert auf null gesetzt...naja.
eigentlich sollte avnt mit der firma von horv schon was bringen. sind ja damit im prime market....
aber es ist ätzend, dass rein gar nichts kommt. bei diesen typen weiss man nie...
naja, was hilfts. wait and see - eines der schlagworte bei diesem wert, den man allerdings nicht mehr wirklich hören kann..

habe mal wieder etwas Langweile.

Überlege gerade warum sich nichts tut und was eventuell hinter Horvath und seinem Geschäftsziel steckt.

Bin dabei auf eine interessante Möglichkeit gestossen.

Mein zurückgelegter Suchweg:

Horvath - American Dealer Enterprise Group, LLC (ADEG)

Nach google gehörte die ADEG einer Larry Lee´s Autofinance Center. Diese wiederum hängt mit einer credit acceptance corporation zusammen, die das Geschäftsmodell des Herrn Horvath seit ca 1971 betreibt. Finanzierungen! "we change lives".

Wenn ihr da mal auf den Bereich investor relations geht, seht ihr den fast identischen Aufbau der aventura homepage. Nur das bei aventura bei den wichtigen Feldern immer noch "coming soon" steht.

Ich kann mich nun ganz schön täuschen, aber ich werde das Gefühl nicht los, das Horvath einfach nur ein neuer Wettbewerber werden will. Vielleicht dauert es nur etwas länger.
Wäre auch schön, denn die creditacceptance corporation(NSDQ=CACC) liegt bei ca. 1% der share-menge. Der share-preis ist aber $ 26,27.
Gesamtwert ca. 800 Mio $

so dunkel erinnere ich mich, dass der bei sun network eine rolle gespielt hat. kriege das aber nicht mehr zusammen.....
