Apollo Solar Widens Loss on Segment Sale

      Posted on Apr 22, 2010 | 16:04

Apollo Solar Energy Technology (0566.HK) announced April 22 that it recorded a loss attributable to company owners of HK$122.1 million in 2009, compared to a loss of HK$55.7 million in 2008, as it divested its primary toy and mould business segment in November. Company revenue grew to HK$717.4 million in 2009, up from HK$511.8 million in 2008.

Apollo's production segment for turnkey production lines and equipment, which are used for the manufacturing of silicon-based thin film solar photovoltaic modules, generated revenue of HK$315.3 million and profit of HK$49.1 million in the period, while Apollo's toys and moulds segment recorded revenue of HK$401.5 million and a loss of HK$7.3 million in 2009.

The company announced April 16 that it expected to record a loss for the full year 2009, mainly due to an accounting loss resulting from the disposal of 49% of the company's toy business in November.

Apollo Solar Energy, formerly called RBI Holdings, acquired its photovoltaic business in October 2009, when it purchased Apollo Precision Limited and its subsidiaries for HK$4.18 billion. Apollo Precision Limited and its subsidiaries exceeded a net profit target of $15 million for the five months ended December 31 2009, the filing also said.

Hong Kong, China: Apollo Solar Energy and Hanergy Sign Thin Film Equipment Contract

Apollo Solar Energy Technology, Fujian Apollo (an indirect wholly-owned subsidiary of the Group) and Hanergy have entered into the principal sales contract of providing Hanergy equipment and integrated turnkey solution for the manufacturing of silicon-based thin film solar PV modules, for a total contract sum of US$2.55 billion (equivalent to approximately HK$19.84 billion).

An application has been made to the Stock Exchange for resumption of trading in the shares with effect from 9:30 am on 17 June 2010.

Apollo Solar is also pleased to announce that the Group has introduced Hanergy as a strategic investor and one of the major shareholders of the Group.

On 20 May 2010, the Group and Hanergy entered into the principal subscription agreement pursuant to which Hanergy has agreed to subscribe, or procure the Hanergy nominee to subscribe, for 4,911,528,960 subscription shares at the subscription price of HK$0.239 per subscription share.

Mr. Peng Li Bin, Executive Director of the Group said, "Hanergy is one of the largest and leading non-state-owned clean energy generation enterprises in China. Having Hanergy to be our strategic investor and one of our major shareholders serves to demonstrate that the technology level and R&D capability of Apollo have been recognized by Hanergy. The mega order will generate large amounts of cash flow to Apollo, thus will highly enhance its R&D resources and increase the capital investment of Apollo's R&D team, strengthening our R&D capability. It can also significantly enlarge the market share of Apollo in the global equipment and integrated turnkey solution for the manufacturing of silicon-based thin film solar PV modules supplier market and further strengthen Apollo's leading position."

The equipment sales contract will be divided into three batches of production lines and be produced and delivered by Fujian Apollo in three phases. Each batch of the production lines consists of, among other items, 140 units of PECVD equipment and 30 units of PVD equipment, which are the core equipment of the new turnkey equipment, tools and machinery of the solar PV modules production system. Fujian Apollo shall complete the delivery of all equipment for each batch of the production lines within six months after the payment of the first installment of the prepayment for such batch of the production lines.

The aggregate equipment consideration is US$2.55 billion (equivalent to approximately HK$19.84 billion) which was arrived at by reference to the historical selling price of similar equipment with similar capacity for the production of the thin film solar PV modules. The equipment consideration for each batch of production lines is US$850 million (equivalent to HK$6.613 billion).

Apollo Solar (HKG:0566) sells commercial ppt for $44.1M
[Date:07-05-2010] Source: Infocast News RSS Feed

Apollo Solar Energy Technology (HKG:0566) (Apollo Solar) has agreed to sell 49% issued share capital of RBI Conglomerate to Yip Yun-kuen (a director of certain subsidiaries of Apollo Solar) at a consideration of $44.1 million. Expecting a book gain of approximately $45 million from the disposal, Apollo Solar intends to use the net proceeds from the disposal to fund future development and as general working capital.

RBI Conglomerate is principally engaged in securities investment and investment holdings. The company's principal asset is its investment in the entire issued share capital of RBI Property Investment which, in turn, holds certain properties. The properties are the office premises situated at 7th Floor, Tower 1, South Seas Centre, 75 Mody Road, Tsim Sha Tsui East, Kowloon, Hong Kong, and the four carparks in the same building. Apollo Solar considers that the disposal represents a good opportunity for it to realise part of its indirect investment in the properties at market price.

The properties (excluding the four carparks), with a total saleable area of approximately 10,697 square feet, are principally occupied by RBI Industries Holdings (Toy Sub Group) as its head office in Hong Kong. The Toy Sub Group is currently owned as to 51% by Apollo Solar and as to 49% by Yip.

      $3.3b going to Apollo

      Monday, August 30, 2010

Solar energy equipment maker Apollo Solar Energy Technology (0566) expects to receive an advance payment of HK$3.3 billion for production lines ordered by Hanergy Group.
The first batch of solar-energy production lines are expected to be delivered in February at the earliest, said Ronnie Hui Ka-wah, Apollo chief financial officer.

In June, Apollo Solar signed a US$2.55 billion (HK$19.89 billion) contract to provide three batches of production lines over three years to Beijing- based alternative energy power producer Hanergy Holding Group.

Hanergy also agreed to subscribe for 4.9 billion of new Apollo shares- accounting for 51.57 percent of its enlarged share capital- at 23.9 HK cents each. The deal will make Hanergy the second-largest Apollo stakeholder.

Apollo made a net profit of HK$40.33 million in the first half, reversing a net loss of HK$47.7 million a year ago. The profit was due to a strong performance in the solar energy business division it acquired in November.

Revenue rose 3.5 times to HK$688 million - with around 77 percent contributed by the solar energy business. No interim dividend was recommended. SOPHIE

He has a B.Sc. in physics from the University of Glasgow and a Ph.D. in laser physics from the University of St. Andrews, Scotland.

During 2010, media coverage of a-Si tool suppliers often outweighed that of their own customers who were hard at work seeking new business for sub-10% efficient PV panels. With much of the attention on well-known names such as Applied Materials, Oerlikon, and Ulvac, other equipment suppliers located within the Asia Pacific region moved quietly – but efficiently - into the turnkey a-Si space, clocking up a host of new orders from enthusiastic thin-film entrants. And the two equipment companies receiving most of these new orders were Jusung Engineering and Apollo Solar Energy Technology.

For anyone tracking the overall PV equipment landscape during 2010, Apollo was the company to monitor. Having entered the a-Si turnkey PV manufacturing business through the merger of RBI Holdings with Apollo Precision in November 2009, the renamed Apollo Solar quickly secured one of the largest ever PV equipment orders (contracts) -- from Hanergy Holding Group -- for US$2.9 billion. In fact, Hanergy was one of four new companies to place orders on Apollo for turnkey a-Si production lines in 2010.

Apollo’s PV equipment revenues recognized during 2010 were equivalent to US$390 million – a figure significantly higher than most well-established tool suppliers to the PV industry. To put this in perspective, Apollo’s 2010 PV revenues were above those of Oerlikon and Roth & Rau, and only marginally below Ulvac’s PV revenues for the year.

Furthermore, utilizing in-house deposition/sputtering tools and sourcing laser scribers locally from Han’s Laser (and Rofin-Sinar), Apollo’s solar segment gross profit margin during 2010 exceeded 69%, with a net income for this segment around US$153 million.

While final counting and full-year reporting is still ongoing, there is little doubt that Apollo’s US$390 million PV revenues will see the company comfortably within any top-10 list for PV equipment suppliers in 2010. In fact, Apollo is one of several PV equipment suppliers across the Asia Pacific region which benefited from the strong investment by tier 2 and tier 3 PV manufacturers within China last year.

Often, these manufacturers purchase equipment locally with significantly reduced tool ASPs. Apollo’s turnkey lines were ordered at between US$0.75/W to US$1/W in 2010, depending on the MW-level ordered by its new customer base.

The short-term outlook for Apollo appears encouraging. A backlog (of tool revenues recognizable within 12 months) at the US$1 billion level, a customer base hungry to match low capital costs with low operating costs, and a manufacturing base close to the a-Si action these days. But some caveats ought to be applied.

Hindsight informs us of previous GW+ a-Si turnkey backlogs within the PV industry that failed to materialize; high-volume tool ramp-up is still in its infancy period; and the prospects of its customers placing several hundred MW of new PV panels during 2011 may prove increasingly problematic at a time when tier 1 c-Si module inventories are starting to rack up.

Ultimately, equipment suppliers gain from fab investment and expansions. While new entrants continue to secure financing, turnkey suppliers like Apollo will continue to benefit – somewhat shielded in the short-term from any delays of their customers in securing downstream project business.

      Hanergy übernimmt auch Global Solar

Jiang Dingzhi, vice Party chief and governor of Hainan Province (L) talks with Hanergy chairman Li Hejun at the production commencement ceremony of Hanergy's Haikou plant on Thursday, March 29, 2012. [Chen Boyuan / China.org.cn]
