MONTREAL, Jan. 11, 2022 (GLOBE NEWSWIRE) -- Nomad Royalty Company Ltd. ("Nomad" or the "Company") (TSX: NSR) (NYSE: NSR) is pleased to announce that it has entered into an agreement with a syndicate of underwriters led by BMO Capital Markets, under which the underwriters have agreed to buy on bought deal basis 4,400,000 common shares (the “Common Shares”), at a price of C$9.10 per Common Share for gross proceeds of approximately C$40 million (the “Offering”). The Company has granted the Underwriters an option, exercisable at the offering price for a period of 30 days following the closing of the Offering, to purchase up to an additional 15% of the Offering to cover over-allotments, if any. The offering is expected to close on or about January 20, 2022 and is subject to Nomad receiving all necessary regulatory approvals.

The net proceeds of the offering will be used to support the Company’s recently announced acquisitions of streams on the Greenstone Gold project and the Platreef palladium-rhodium-platinum-nickel-copper-gold project, and for general corporate purposes.

The Common Shares will be offered by way of a prospectus supplement to the company’s base shelf prospectus dated September 30, 2020 which prospectus supplement is expected to be filed with the securities commissions and other similar regulatory authorities in each of the provinces of Canada on or about January 13, 2022.

Nomad Royalty Company Announces Closing Of Previously Announced C$42.5 Million Bought Deal Financing

MONTREAL, Jan. 20, 2022 - Nomad Royalty Company Ltd. ("Nomad" or the "Company") (TSX: NSR) is pleased to announce today that it has closed its previously announced public offering on a bought deal basis of an aggregate of 4,675,000 common shares (the "Common Shares"), which includes 275,000 Common Shares issued upon partial exercise of the over-allotment option granted to the Underwriters, at a price of C$9.10 per Common Share, for gross proceeds to the Company of approximately C$42.5 million (the "Offering").

Summary

Nomad Royalty released its Q4 and FY2021 results last month, reporting a 10% increase in annual gold-equivalent ounce sales, and a 2% increase in revenue year-over-year.

This growth was despite the fact that Blyvoor saw a slower ramp-up than planned and had to lap no production from Woodlawn, helped by the addition of its Caserones royalty.

While FY2021 sales growth came in below that of other royalty/streaming peers, the company's future growth is unrivaled, and Nomad trades at a dirt-cheap valuation when factoring in this growth.

I see Nomad Royalty as a Strong Buy at current levels, and if we see further weakness, I would continue to build my position in the stock.

Nomad shareholders to receive significant premium of approximately 34% based on the 20-day volume-weighted average prices of both companies.

Nomad shareholders maintain meaningful ownership in Sandstorm's high-quality portfolio of assets: Nomad shareholders will hold 28% of Sandstorm at closing of the Transaction.

("Sandstorm") (TSX: SSL) (NYSE: SAND), pursuant to which Sandstorm will acquire all of the issued and outstanding shares of Nomad (the "Nomad Shares") in an all-share transaction (the "Transaction") valued at approximately C$755 million. The Transaction will be effected by way of a court-approved plan of arrangement, is subject to certain regulatory and shareholder approvals and is expected to close in the second half of 2022. Under the terms of the Transaction, shareholders of Nomad will receive 1.21 common shares of Sandstorm (the "Sandstorm Shares") for each Nomad Share held.

The consideration implies a value of approximately C$11.57 per Nomad Share based on the closing price of the Sandstorm Shares on the Toronto Stock Exchange ("TSX") on April 29, 2022 and represents a premium of 21% to the closing price of the Nomad Shares as at the same date and a premium of 34% on the 20-day volume weighted average price of the Nomad Shares and Sandstorm Shares on the TSX for the period ending on April 29, 2022.
