Terra may pay big premium for Lycos

LONDON (CBS.MW) -- Terra Networks SA, Spain’s biggest Internet service provider, is continuing talks with Lycos Inc. that could lead to a takeover of the U.S. portal. A combined group may also link with Germany’s Bertelsmann, according to press reports.
Both the Financial Times and the Wall Street Journal reported that the talks, which Terra (TRRA: news, msgs) confirmed on Friday, could lead to a takeover by Terra in an all stock deal.
Terra’s reportedly prepared to pay a large premium to gain control of the combined group, which would be a major international Net player with a market capitalization of some $22 billion. However, the reports added that the talks could merely lead to an alliance.
The Spanish company couldn’t be reached for comment.
According to the newspapers, Bertelsmann, the media giant that’s Lycos’ partner in Lycos Europe, could link with a combined Terra-Lycos meaning the group would cover the English, Spanish and German markets. Bertelsmann spokesman Markus Payer declined to comment.
A takeover of Lycos would give Terra, which outside of Spain also has a major presence in Latin America, access to the bigger e-commerce and advertising opportunities available in the more mature U.S. Internet market. Terra has a market capitalization of roughly $16.4 billion versus $5.95 billion for Lycos.
Analysts are generally positive on a deal from the Spanish company’s point of view.
“Terra would be acquiring a well-known Internet brand which has 50 percent higher forecast sales than itself,” Peter Bradshaw, Merrill Lynch’s London-based Internet analyst, said in a note to clients.
He added however, that Terra, which has been focusing on the Spanish-language market, would need to explain why it’s moving away from this strategy.
On Friday Terra posted first-quarter revenue of $33.3 million vs. $15.02 million in the same period of 1999 and a loss of $64.5 million vs. $24 million. The ISP’s customer base swelled some 523 percent to 1.99 million.
Terra shares dipped 1.4 euros, or 2.2 percent, to 63.5 in Madrid.
