Fortel Reports Third Quarter Fiscal Year 2000 Results

Strong Sequential Revenue Growth, Narrowed Operating Loss Reported for the Quarter

FREMONT, Calif., July 24 /PRNewswire/ -- FORTEL Inc. (Nasdaq: FRTL - news) today announced results for the third fiscal quarter ended June 30, 2000.
Revenue, consisting of software license, maintenance and related services, of $7.8 million increased 113% over comparable revenue in the third fiscal quarter of
1999 and 90% over the second quarter of 2000. Software license revenue of $5.1 million in the current quarter increased 218% over license revenue in the fiscal
1999 quarter and 182% over the second quarter of 2000. Included in revenue in the third quarter of 2000 is software license revenue of $2.87 million from Unisys
Corporation, under a December 1999 software license and reseller agreement.

Net profit for the quarter, including a $1.0 million one-time gain on settlement of litigation, was $57 thousand or $0.00 per share versus a net loss of $1.8 million, or
$0.08 per share for the same quarter of the prior year. Weighted average shares outstanding were 26,386,000 in the June 2000 quarter compared to 21,930,000
for the third quarter of fiscal 1999. The operating loss for the quarter was $952 thousand as compared with a loss of $1.8 million for the similar period the previous
      year.

``I am pleased with the strong license revenue growth generated by our original products and the enthusiastic response to our new product launched May 8. While

we will work to leverage the opportunity for FORTEL`s real-time, end-to-end performance management software by making sales calls at customers and prospects,

      FORTEL Inc.
      Third Quarter Investor Conference Call
      July 24, 2000
Welcome to FORTEL’s June-quarter investor conference call. I am Asa Lanum, CEO and President. With me is Anna McCann, FORTEL’s CFO.

I will discuss the company’s significant activities during the quarter and Anna will review FORTEL’s financial performance. We will then open the call to questions.

During this conference call, we may make forward-looking statements regarding future events and financial performance. These statements are only predictions; actual events and results may differ materially and are subject to a number of risks and uncertainties, including those identified in the reports filed by the Company with the Securities and Exchange Commission.

The Company’s June quarter was exciting and eventful. During the quarter, FORTEL re-launched the company: not only changing product focus, but also targeting an expanded list of customers and applications, particularly eBusiness critical-path activities. As many of you know, on May 8th the company made public its new name, new market focus, and introduced SightLine, the industry’s first end-to-end service level assurance software solution. Service level assurance answers two fundamental questions: first, is there service available; and second, how good is it.

Service level assurance is probably the number-one topic of IT organizations and eBusiness. eBusinesses face special challenges: the cost of service level degradation or failure is much higher than traditional businesses. Once an order is lost, most likely it has gone somewhere else, and the revenue and customer may be lost forever.

Today, a typical customer fix might be to install three times peak-level capacity. At large sites, 50 or 100 servers may be idle most of the time. Purchasing and managing this excess infrastructure impacts margins; it will not be possible to continue to pass these costs on to customers.

SightLine provides unmatched aggregation and correlation of heterogeneous information to allow real time, end-to-end ebusiness service level assurance. Existing performance management tools cannot do this. In addition, most performance management tools are based on client/server and mainframe architectures. More and more, businesses that use the web are moving service delivery out to the customer, with a high proportion of UNIX and NT components. SightLine’s platform-independence matches these technology and business trends, creating an excellent market opportunity for FORTEL. We have SightLine betas at 5 US sites and 3 UK sites.

As part of our SightLine launch, we created what we believe will be a powerful prospecting and proof-of-capability tool. "Quickstart" packaged solutions enable eBusiness players to realize the benefits of SightLine technology quickly. There are three offerings, one for web hosting, one for storefronts and a third for B2B back-office operations. These can be easily extended and customized with the full enterprise capabilities of SightLine. Quickstarts are designed to be deployed in five days – providing critical service level information right out of the gate. QuickStarts are installed at 3 sites and 11 more are scheduled for this quarter.

Now, I would like to review the highlights of the June quarter:

Unisys was our largest customer this quarter. We successfully completed development work under our December 1999 license and reseller agreement, allowing Unisys to deploy our solution throughout its organization and FORTEL to recognize both license and engineering contract revenue. Unisys has introduced the product to its traditional systems sales organization and is now preparing to introduce our product into its the solutions-provider Services Group. This is the systems integrator group that targets large contracts for Unisys, and is a new area of penetration for us.

In addition to Unisys, our top-ten license revenue customers in the quarter included state agency Florida Dept. of Children and Families and data storage vendor Imation in the US. In Europe, customers included financial and financial support organizations Nationwide, Real-Time Center in Bern, Coventry Building Society and Midland Finance; as well as KPN Telecom, Elsevier Science and food conglomerate Boekos.

21% of revenue was generated by new customers. New customers included in our top-ten revenue contributors in the quarter were Elsevier and Coventry Building Society. Average revenue per top-ten customer, excluding Unisys, was $151-thousand.

Our original product remains in active status. Customers that already have it installed or had planned installations at the time of our SightLine introduction have the option of moving ahead with their plans or upgrading to SightLine. We are marketing SightLine to all new prospects.

In conjunction with the SightLine introduction, I have personally met with twelve industry analysts groups and three dozen trade and business publications, in both the US and Europe, including leading firms such as Gartner and Meta Group.

Analysts acknowledged that the problem SightLine addresses is exactly the right one. As an analyst at Gartner said, "if you can really do this, it’s a ‘WOW." They will now begin to confirm SightLine’s capabilities for themselves. We are scheduling industry analysts to look at and work with SightLine at FORTEL and putting them in touch with early users.

A number of the trade press have actually asked to install Quickstarts at their own testing centers, to conduct performance analysis on other vendors’ products. These installations will occur during the current quarter.

My focus now is meeting directly with our larger North American and European customers and prospects, in some cases to introduce SightLine and in others to get their feedback on the product. I am very encouraged by the meetings that have occurred so far. Feedback has confirmed that the problem we are addressing is the one that companies conducting ebusiness need to solve, and they are enthusiastic about our solution.

Our recruiting efforts became effective after our May 8th launch, when we were able to explain our new product and strategy. Since then, we have been able to attract the caliber of sales personnel the company is seeking and in June we hired 6 new sales people. We plan to continue aggressive hiring, and are running ads in nine cities.

FORTEL is growing its European sales and support by adding new staff and offices and by acquiring a former distributor, effectively doubling its European presence. We opened an office in Germany, staffed by a new Country Manager and European Partners Manager. In Switzerland the company acquired former distributor, Telemetrics Systems AG. We will also be opening a sales office in France.

There is still much that needs to be accomplished. During this current quarter, we are focusing on:

      1. Briefing all existing customers about SightLine and their upgrade options
      2. Selling Quickstarts at strategic targeted customers, ISPs, ASPs and eBusinesses
      3. Hiring and training more sales and support personnel
      4. Delivering complete solutions for referenceable accounts
      5. Expanding our indirect sales channels
      6. Making additional product announcements to expand SightLine’s capabilities

There is a tremendous amount of activity at the company. Our sales organization is recruiting, hiring and training, as well as pursuing large- and medium- sized sales opportunities. We are moving as quickly as possible to add sales infrastructure, including technical support and indirect channel partners.

It’s premature to forecast the sales cycle at this time. As we add salesmen, build pipeline and increase the number of potential deals each quarter, we will be able to better calibrate our sales cycle and closing rates. My focus is on growing the top line, reaching breakeven and growing the bottom line as quickly as feasible to increase shareholder value.

Now, Anna McCann, FORTEL’s CFO will review the Company’s June-quarter financial highlights.

[Anna] Thank you, Asa. Financial highlights of the June quarter are:

Total revenue in the June quarter was $7.8-million, an increase of 90% sequentially and a 113% gain over prior year’s comparable software license and related revenue. This strong revenue growth, both sequentially and year-over year, was actually less than we had originally anticipated. We believe near-term constraining factors to revenue growth will be our performance in hiring and training sales, professional services and technical field personnel to support the SightLine product. The US accounted for 72% of revenue, Europe the remainder.

For the nine months ended in June, total software license, maintenance and services revenue was $17.4-million, a 34% increase over the same period in fiscal 1999.

License revenue in the third fiscal quarter was $5.1-million, a 182% increase from the prior quarter and a more than 200% gain over the prior year. Our original product represented all license revenue in the quarter. 21% of license revenue was generated by new customers. Unisys represented $2.87-million of the quarter’s license revenue.

Year-to-date license revenue of approximately $10-million, is a 73% increase over the prior year.

June quarter Maintenance revenue was $1.7million, a 4% increase from the prior quarter and a 27% gain over the same period of the prior year.

We generated gross margin of 69% in the third quarter compared to 63% in the prior quarter and 59% in the prior year on comparable revenue. The improvement in gross margin is due primarily to an increase in software license revenue.

Operating expenses in the quarter totaled $6.3 million compared to $5.6 million in the prior quarter and $4.4 million in the same quarter of the prior year. Included in the current quarter’s operating expenses are costs related to the re-launch effort of approximately $520-thousand and additional legal expense of approximately $175-thousand.

The company’s two outstanding lawsuits were settled during the quarter. In the first, FORTEL was awarded $2.5 million in cash ($1.8 million after attorney fees). In the second, FORTEL issued 387,500 shares of common stock. The net result was a gain of $1.0-million.

The operating loss of $952-thousand in the current quarter was offset by the net gain from the settlement of litigation during the quarter, thus generating net income of $57-thousand, or breakeven earnings per share on 26,386- thousand common shares outstanding. This compares to an operating loss and net loss in the same period of the prior year of approximately $1.8 million or $0.08 per share on 21,930 thousand common shares outstanding.

Cash at June 30 was $1.3-million.

On July 18, 2000, the Company completed a $5-million private placement of common stock priced at the five-day average closing bid price of the Company’s common stock prior to the closing date. Proceeds will be used for the expansion of our sales and marketing efforts.

[Asa] Thank you, Anna. This concludes the Third Quarter Investor Conference Call.

Werde heute versuchen billig reinzukommen - also unter 1,9 Euro. Hoffe ich hab Glück. Ich dachte es würde in USA weiter runtergehen.
