      Lutz Düvel: Der Leitspruch von Hartcourt lautet: "The best way to predict the future is to create it" (Der beste Weg, die Zukunft vorherzusagen, ist, sie selbst zu gestalten).
      Ich erinnere mich, dass TA professional 1999, auf dem Gipfel der Internet-Hausse, ungefragt diverse eMails von Hartcourt erhielt, in denen Interviews mit den Gründern o.ä. angeboten wurden.
      Die Werbekampagne war scheinbar erfolgreich, auch in den Boards wurde Hartcourt hoch gehandelt. Als die Hausse in der Jahresendrallye 1999-2000 gipfelte, explodierte die Aktie in weniger als zwei Monaten von rund 0,40 auf fast zehn Euro. Die Kursexplosion um über 2.500 Prozent ist im folgenden Chart links noch zu sehen.


      Die Rallye von Ende 1999 war nichts weiter als ein Strohfeuer einer sehr marktengen Aktie, die in den USA nicht an der NASDAQ, sondern nur im Over the Counter Markt (OTC Bulletin Board - Kürzel: HRCT.OB) gehandelt wird. Es ging danach nur noch abwärts zurück auf das Penny-Stock-Niveau, das bereits in den Jahren vor 1999 vorherrschte.
      Mit einem (braunen) Pfeil ist der Zeitpunkt der letzten Technischen Analyse von Hartcourt markiert. Zuvor lieferte die Aktie ein klares Verkaufssignal. Die Empfehlung lautete damals in den Leserbriefen Nr.5 vom 24.04.2000, bei einem möglichen Pull-Back zurück an den Widerstand bei 5,50 Euro (vor Split 11 bis 11,50 Euro) short zu gehen bzw. zu verkaufen. Charttechnisch perfekt folgte dieser Pull-Back im Juni 2000.

      Auf Pull-Back-Phasen konnte man sich auch in der folgenden Zeit verlassen - jedes Mal, wenn Hartcourt eine bedeutende, tiefere Unterstützung durchbrach, folgte danach die Bestätigung des Verkaufsignals mit einer Rallye zurück an die in einen Widerstand verwandelte Unterstützung (waagerecht blau-rot): siehe Januar und Oktober 2001.

      Als Ziel gibt die Hartcourt Holding mit Sitz in Kalifornien an, ein Netzwerk aus Internet- und Telekommunikations-Services in China aufzubauen, u.a. das führende Finanzportal (SinoBull Financial Group, Hartcourt Capital). Klingt wirklich gut, erscheint aber nicht sehr realistisch: Die Marktkapitalisierung ist bei einem Kurs von aktuell etwa 0,18 Dollar auf zwölf Millionen Dollar zusammengeschrumpft, in den ersten drei Quartalen 2001 hat Hartcourt laut Yahoo!Finance bei einem Verlust von 3,5 Millionen Dollar läppische 5,9Millionen Dollar Umsatz generiert.

      Eindeutig negatives Rating. Totalverlust ist möglich.

The 30-year-old executive vice president and co-founder of World of Internet, says he and two friends came up with the idea for the business a few years ago when they were humanities students at a college near Hamburg.       Police is investigating also in Vienna

      FBI is acting against a gang of worldwide active financial artists who allegedly bilked gigantic 15 Billion ATS (1 Billion USD) from clients. Since last Autumn, the instigators of the gang own a banking corporation in Vienna. The police is investigating.

      Behind the facades of the small "General Commerce Bank AG" which operated under federal administration since last year [the police] believes to find certain information about a large scale scam. Two weeks ago the US federal police has discovered the scandal after having conducted investigations for more than one year and through infiltration of undercover agents.

      After the Australian exchange commission has been pressed by defrauded customers, 10 days ago a big sweep in Bangkok too place: Supported by the FBI, the local police arrested 81 suspects, mostly Europeans. The gang is accused of running a worldwide network of brokerage offices, so called "Boiler Rooms", first artificially raising the prices of worthless stocks and then selling them to thousands of clients. In the next days, sweeps are "scheduled" in further 9 cities on 3 continents.

      The FBI dossier: Fraudsters bilked out one Billion Dollar

      The format is exclusively in possession of the FBI report in which the shocking dimensions of the deals are described: It lists the names of 18 Boiler rooms, reaching from the Philippines over Thai to Singapore and Czechia, in which the gang has cashed in the amazing sum of 1 Billion Dollars, about 15 Billion Schillings.

      For the Austrians it is very revealing what the FBI dossier says about the perpetrators of the affaire: In the organisation hierarchy ranked behind Manila and Los Angeles based Amador Pastrana, the "mastermind of the operations" according to the FBI are the US citizens Regis Possino and Sherman Mazur. 52-year old Possino appeared in Vienna last Summer for the first time where he resided in an "approbiate" luxury flat in Radisson SAS Palais (Rent: 62.500 ATS)

      Hi, I bought 1,000 ECSX shares back in May 2000. Little did I know that ECSX was controlled by crooks. I was so pissed that last month I spent 3 days of my vacation, digging out everything I could find about these crooks, even trying to date one of the secretaries working at the Mafia headquarter in Santa Monica (unsuccessfully, I admit). However, from all the data and conversations I had with people at this office, I learn of the following:
      a. ECSX and a bunch of other scam companies on the BB ( ITNW, UNIF, JUNM or EBID, ASAT, VNOW or DIGS) are controlled by Corporate Finance Enterprise and American Equities. These two companies are owned by Sherman Mazur. His two sidekicks (employees) are Regis Possino (CFC) and Reid Breitman (AE).
      b. Mazur is the infamous real estate whiz kid who was jailed for 5 years on fraud conviction. Possino is an ex-convict, disbarred lawyer, drug dealer. Most employees of the firm are ex-convicts. Brian Volmer , Mazur ‘s right hand man was in the front page of Wall Street Journal when the SEC got him. There are plenty of details on the Net on these scam artists. If you need help to find out, I will try to post some link.
      c. Jim Pruzin is just a puppet, Reid Breitman is the Chairman of ECSX. But the real power is Mazur.
      d. Mazur and a guy named Bryant (don’t know last name) control United Capital Management, Dukes And Companies in Manila, Sherman Brothers in Bangkok, Global Capital Partners in Austria, Pacific Continental and IAR Advisory in Spain. They also control numerous offshore entities, whose sole purpose is to buy and sell (mostly sell) stocks of companies they control.
      e. These scam artists claimed that they have protection from powerful politicians that the SEC could not touch them. In fact, Mazur, Possino and Bryant have been in the same kind of pump and dump operations for the last 5 years.
      f. All of these scam artists are living in $5 Million homes, driving newest Mercedez and BMW’s, spending money like big tycoons, all fully paid for by our money.

      I already filed my complaint with the SEC but I think ECS will close its doors in a few months and we won’t get a penny back from this operation. I agree with Roesti that the only way to get some money back is for CLASS ACTION LAWSUITS against these scam artists INDIVIDUALLY, because they have personal assets here and abroad we can seize. If anyone has any idea, please post. I cannot afford a good lawyer now, but if all of us can contribute a little, it will help a great deal. I have written to Mr. Fischer in Switzerland, but we need a US lawyer here.

      SEC gears for high-tech
      war with int`l syndicates

      THE SECURITIES and Exchange Commission (SEC) is working hard to form an ad hoc interagency task force in response to various complaints from foreigners against Philippine-registered companies that appear to be misrepresenting themselves as securities brokers or dealers.

      This task force already has the support of the National Bureau of Investigation, Department of Justice, Transnational Crime Commission, Department of Foreign Affairs and Bureau of Immigration.

      The task force, once formed, will trail and document suspicious activities of firms here with operations overseas and are engaged in businesses beyond what is allowable in their corporate franchise.

      An SEC official familiar with talks to form this body stressed that coordination among various government agencies was vital to catch international crooks illegally peddling securities. He revealed that almost immediately after the commission had terminated the operations of a securities company being used as a front by a syndicate, another corporation with the same purpose would be set up.

      "As has been raised by Philippine consular offices abroad, if these questionable business activities are not enjoined, this may cause a dent on the credence of any Philippine corporate franchise that may be issued by the commission before the international business community," the SEC said in a statement last month.

      Who`ll spill the beans?

      The SEC recently issued orders shutting down several companies suspected of defrauding investors here and abroad.

      Last month, the commission uncovered an international syndicate using Philippine companies to defraud small investors millions of dollars.

      A senior investigator said the syndicate. s modus operandi was to incorporate Philippine companies and use them as vehicles to defraud people seeking to invest in US stocks and bonds.

      The SEC has found an informant who is willing to spill the beans on this racket, he said.

      "I think this is global in nature. There is already a probable asset. He could spill the beans. He knows the operations of this group," the person familiar with the matter said.

      Initial investigations showed that shell companies posing as investment firms were preying on people here and abroad who are looking for US stocks and bonds to place their money in.

      These companies will either run away with their victims. money or place them in securities that they have no intention of turning over to their clients.

      Documents from the SEC showed that investors had already lost some $100 million to this scam.

      International syndicates

      The SEC official said the syndicate was operating not only in the Philippines but also in Thailand, Taiwan, Saudi Arabia, New Zealand, Australia and Hong Kong.

      The gang is allegedly overseeing the operations of several companies that the SEC has found to be misrepresenting themselves as securities brokers or dealers.

      The commission recently issued a cease-and-desist order against four companies closely linked together and identified with the group of Amador Pastrana, Rufino Abad, Noel Galang, Ronnie Arojado, Hilda Ronquillo, Greshiela Compedio and their foreign partners.

      The SEC has shut down the operations of Saxon and Swift Inc., Knowle and Sachs Inc., Dukes & Co. Securities Corp., and Muller & Sons Securities Management Inc. Their officers, directors, agents, representatives and all persons claiming and acting under their authority were ordered to cease and desist from selling securities.

      The commission said it has been receiving letters from foreigners assailing the business conduct and activities of these companies, which have not been issued secondary licenses to engage in the buying and selling of securities.

      The securities business activities of the Pastrana group undertaken by the four companies. predecessors--defunct Griffin Securities Corp., First Federal Capital Inc. and Pryce Weston Inc.--have been the subject of cease-and-desist orders issued by the SEC. s brokers and exchanges department.

      One of the SEC. s chief investigators said the government would have to step up its technology if it wanted to effectively deal with international syndicates specializing in financial fraud.

      Ideal arrangement

      The people behind these syndicates aren. t street thugs armed with guns and knives. Their preferred tools of the trade are computers and other high-technology equipment that will allow them to move stealthily and cover their tracks. To keep up with them, the SEC would have to be just as sophisticated.

      SEC Chair Lilia Bautista said an ideal setup, like the one being implemented by the US Securities and Exchange Commission, would be to form a division devoted solely to securities fraud.

      Bautista said US regulators have been very vigilant in monitoring and tracking down the illegal sale of securities through the Internet.

      The SEC is trying its best to catch up. This month, the commission sent the acting head of its prosecution and enforcement department to the United States to learn from his counterparts.

      Sinobull: Finanzdaten und -anwendungen
      Historisches Kernfeld ist die Sinobull-Finanzgruppe. Die Unternehmen der Gruppe bieten Finanzdaten und -anwendungen vorwiegend via Internet an. Indes arbeitet nur Financial Telecom, an der Hartcourt 58,53% hält, mit nennenswerten Umsätzen. Sinobull wird demnächst mit dem Börsenmantel Global Telephone Communications verschmolzen, um so am OTC Bulletin Board gelistet zu werden. Diese Spin-Off-Strategie soll die Beteiligungen der Gruppe liquider machen.

      Elephant Talk: Breitband/Telekommunikation/Medien
      Erste über einen Reverse Merger an das OTC Bulletin Board gebrachte Beteiligung und absoluter Star im Portfolio ist das Telekommunikationsunternehmen Elephant Talk, aus dem praktisch der Geschäftsbereich Breitband/Telekommunikation besteht. Über achtzig Prozent der Hartcourt-Umsätze stammten im letzten Quartal aus dieser 51%-Beteiligung. Am Betriebsverlust war Elephant Talk dagegen nur mit knapp einem Fünftel beteiligt. Wie alle anderen Unternehmen im Portfolio steht auch Elephant Talk nicht wirklich auf eigenen Füßen. Im ersten Quartal 2002 verbrannte das Unternehmen bei knapp drei Millionen Dollar Umsatz 173.497 Dollar im operativen Geschäft. Bilanztechnisch ist das Unternehmen sogar überschuldet, ebenso wie Hartcourt selbst.

      Der Rest ist Schweigen
      Lässt man Elephant Talk und Financial Telecom fort, bleibt von der Hartcourt-Gruppe nicht mehr viel übrig. Das ist für Altanleger besonders enttäuschend, denen der Mund wiederholt mit der 85%-Tochter Streaming Asia wässrig gemacht wurde. Im ersten Quartal 2002 brachte der Streaming Media-Bereich gerade einmal 76.115 Dollar Umsatz bei einem fast ebenso hohen Betriebsverlust.
      Doch CEO Wallace Ching hat große Hoffnungen. Das Lieblingskind des Ex-Prudential-Investmentbankers scheint hingegen ein neues Geschäftsfeld zu sein: Hartcourt Capital. Im entstehenden Finanzmarkt China bietet Hartcourt Capital Beratungsdienste im Bereich Investment-Banking an. Wieviel das bringen wird, muss sich erst noch zeigen.

      Riskantes Geschäft
      Ching sieht sein vorrangiges Ziel naturgemäß darin, Hartcourt und seine Beteiligungen so weit zu bringen, dass sie auf eigenen Füßen stehen können. Dabei bedingt natürlich das eine das andere. Doch dürfte es dennoch nicht so einfach zu bewerkstelligen sein. In den Sektoren Telekommunikation und Internet hat es in den letzten Monaten viel Pleiten und Ernüchterung gegeben. Kursdatenanbieter und Streaming Media-Anbieter haben es längst nicht mehr so leicht, Kunden und Investoren zu finden. China mag noch Nachholbedarf haben, aber dafür stellt die Regierung, die nun immer noch eine sozialistische Diktatur ist, immer wieder ihr gespaltenes Verhältnis zum Medium Internet unter Beweis. Wenn Tausende von Internetcafés in China geschlossen werden, dann betrifft das auch die Nachfrage nach Hartcourt-Produkten.

      Daher laufen die Bemühungen auch auf strategischer Ebene. Einige der im Hartcourt-Portfolio vor sich hin dümpelnden Beteiligungen wurden abgeschrieben, vereinbarte Beteiligungen wurden abgeblasen. Dafür hat Hartcourt zwei neue Kandidaten in Aussicht. Im Unterschied zu früher sucht man jetzt allerdings nicht nach Start-Ups mit großen Plänen, sondern nach „rentablen Unternehmen in Branchen mit unter Beweise gestelltem Wachstumspotenzial“. Einer der Kandidaten, der Systemintegrator Kangrun, soll im Jahr 2001 angeblich 7,1 Millionen Dollar umgesetzt haben. Das ist etwa die Größenordnung von Elephant Talk. Wenig bekannt ist über den zweiten Kandidaten, Control Tech.

      Ebbe in den Kassen
      Solange aber fehlt Hartcourt Geld. Selbst die Akquisition von Elephant Talk ist noch nicht bezahlt: 1,25 Millionen Dollar waren im Februar fällig, jetzt ist der Tilgungszeitpunkt auf Mai verschoben. Die Konten sind überzogen, 4,6 Millionen Dollar offene Rechnungen stehen aus.

      Ein "Grabstein" vom Investor?
      Erste Finanzierungsquelle ist eine Aktienkreditlinie des Brokers Swartz Private Equity im Umfang von 35 Millionen. Dollar. Doch Swartz ist nicht unbedingt eine erste Adresse. Der Spezialist für Privatplatzierungen hatte zuletzt 47 solcher Deals mit einem Gesamtumfang von 146 Mio. Dollar laufen. Bei 90 Prozent der von Swartz auf diese Weise unterstützten Unternehmen ist der Kurs der Aktie seit dem Einsteig abgestürzt. Trauriger Rekordhalter: die im Konkursverfahren befindliche Ursus Telecom. Swartz` Darstellung des Hartcourt-Enagements ist jedenfalls erstaunlich. Auf der Website des Finanziers findet sich Hartcourt in der Rubrik "Tombstones" (Grabsteine), gemeinsam mit anderen abgestürzten Aktien. Was soll das aussagen?

      ETLK`s total revenues plunged 29% in the three months ended 6/30/02 compared to the same period in 2001. Its cost of sales also dropped about 29%, so ETLK once again eked out a gross profit of US$13,000.

      However, after adding in operating and other costs (including another $90,000 writedown in the value of the HRCT shares it holds), ETLK`s net loss came in at US$835,000 for the quarter. That`s an improvement over ETLK`s US$1.1 million loss in last year`s second quarter.

      A major cost for ETLK during the six months through 6/30/02 was the US$579,000 charge the company took related to the issuance of 1,710,000 shares to "certain consultants and advisors" in exchange for certain "services." ETLK`s S-8 filing with the SEC dated 4/11/02 names six "consultants and advisors" - including long-time HRCT attorney John Furutani, who provided his expert opinion on the S-8 itself - but does not indicate exactly what services these people are providing in exchange for this largesse. (ETLK`s S-8 filing dated 4/16/02 for another 2,000,000 shares - none of which appear to have been issued yet - names one "Tang Wai Leong" as an ETLK "consultant." Mr. Leong is well-known to HRCT shareholders as a "consultant" similarly rewarded for his actions on behalf of HRCT in concert with a certain Mr. Kwok, who received a large number of HRCT shares a couple of years ago and never paid for most of them. HRCT eventually admitted it did not expect to receive such payment any time soon.)

      Oddly, under Note 8 of the 10-Q, ETLK management says, "Management devoted considerable effort during the period ended June 30, 2002, towards (i) obtaining additional equity financing (ii) controlling of salaries and general and administrative expenses and (iii) management of accounts payable. In that regard, on April 11 and 16, 2002, Elephant Talk filed two registration statements with the Securities and Exchange Commission to issue 4,000,000 shares in aggregate, that will provide the necessary capital to settle certain obligations of the consultants and to continue its operations during 2002."

      Yet it appears the 1,710,000 of these 4,000,000 shares that have been issued raised no money at all. Instead, these shares were given away in exchange for unnamed "services."

      In fact, ETLK had to borrow an additional US$273,000 from "related parties" to keep its operations going during the period.

      As with its parent HRCT in the past, ETLK`s current 10-Q also includes the warning that there is "substantial doubt about ElephantTalk`s ability to continue as a going concern."

      LIST OF QUESTIONS:

      1. I see many, if not all, the state banks using the FX168 format...Is this as profitable as it appears it could be?
      A. The market seems to respond well with the product. However, we do not expect FX168 to generate major profit until Q2 of 2004.


      2. Have we found a partner for HCTV and are they moving forward?
      A. We are still in negotiation with a local partner. However, since we are limiting the number of acquisitions due to our new strategy, we intentionally slow down this project.

      3. What is the status of Hrct Capital?..We haven`t heard much from them in the past 4 months or so...Are we any closer to the fund approval?
      A. Dr. Ching is very active in generating deals and investors for the company. However, the market is extremely difficult.

      4. Would it be safe to assume that we can throw away our Enova shares and not worry about any taxable gains, on that one?
      A. Enova is still in litigation with Comerica Bank over the Pego liabilities. Until that is resolved, we cannot comment on this subject.

      5. What are the status of Sinobull and GTCI merger?
      A. GTCI has to resolve some dispute with their creditors. Until that is resolved, we cannot move forward. However, we are planning alternative spin-off for Sinobull assets.

      6. After looking through the last quarter report I noticed that FTL is the marketing agent for Standard and Poors Comstock, a division of McGraw Hill....I would think that must be a lucrative deal for FTL and Hrct....Can you explain any of the details of the deal and if either Standard and Poors Comstock or McGraw Hill are going to expand there business with Hrct`s companies in the future?...
      A. We cannot comment at this time.

      7. Would you explain any future andor current plans for deeper market penetration and expansion for Hrct Capital, Sinobull, AI Asia and Elephant Talk?
      A. All operational units of Hartcourt are continually looking for opportunities to expand, either internally or by acquisitions.

      8. Could you give us an update on the future listing of AI Asia?
      A. We cannot comment at this time. Please wait for the Press Release.

      9. Can you provide any information pertaining the issuance of dividend shares of Elephant Talk?
      A. Details should be made public in September.

      10. Is it still a viable goal to turn Hartcourt profitable by years end?
      A. The whole organization is committed to this goal.

      11. Is Hrct working on the paperwork to join the BBX??
      A. Yes.
      12. AI Asia, Hrct Capital, Sinobull, Elephant Talk and Hrct E-Ed...Of these companies, which do you expect to be the most profitable in the next few years?....
      A. It is difficult to make comparative projection for these divisions as they are essentially different business models. However, we are confident that Hartcourt will be profitable.

      13. Is there still an interest to acquire 30% of Koffman Securities?
      A. Not under the current economic environment.

      14. We heard about cost-cutting measures. What are they and how much they will effect the bottom line?
      A. If we reduce the G&A expenses by 60 percent, we shall be able to achieve profitability within a short period.

      15. With the stock price at 6 cents, we heard that there will be continuation of acquisitions? How are you going to fund them?
      A. We have to be creative and use many different types of instruments: bonds, stocks, JV, notes, intangibles, market contracts, strategic partners etc.. Above all, the owners of the acquired entity must believe strongly in the ultimate success of Hartcourt.

      16. FTL has some new products such as e-signal...Are the products very popular yet?...How are sales?
      A. We do not expect this product to be profitable until the sales reach critical mass, hopefully, in the next 6 months.

      17. Aug 15th is right around corner. Will HRCT file on time?
      A. We are planning to.

      18. Will Hrct Capital ever become the central company which all of the others revolve around or will Hrct (the shell) always be the main entity?...In other word, will there always be a need for a shell company?..
      A. Hartcourt is still the main entity. If Hartcourt Capital grows big enough, it will be spun-off like other subsidiaries.

      19. Have we any more "PYR Mgmts" out there, if so, if so, how many, and what size?
      A. I think you mean "convertible bonds". No we don`t have any at present and we do not plan any in the future.

      20. While we all hope the markets will improve, what kind of plans does HRCT have to survive long term, should we see market conditions stay as they are, or even get worse?
      A. As explained, our plan is simple. We are trying to be profitable and wait for the market to return to normalcy.

      21.In light of the fact that HRCT needs to be flexible enough to adapt quickly to changing market conditions, would you be better able to keep us up to date with plans perhaps through a shareholder letter ?
      A. We will have this Q&A letter on a monthly basis.

      22. Was Lexington involved in shorting HRCT shares?
      A. We do not know of any shorting done by Lexington.

      23. What are the projected revenues for HRCT in 2003, 2004, 2005?
      A. We should be able to respond intelligently to this question by year-end.

      24. We need NEW INVESTORS.!! What are your plans to promote Hrct?
      A. We plan to hire a new PR firm in Q3. However, we do not think they could produce any short-term effect, considering the depressed state of the equity market.

      25. Has the stake in ETLK already been paid now ?
      A. Details will be given in our 10Q`s.

      30. Many companies are now doing "reverse splits" to slow down or eliminate de-listing & increase per share value. What plans do you have to "reverse split" HRCT shares ?
      A. We do not have any plan for reverse-split at the moment.
