To Our Shareholders

The fiscal year 2002 (year ended November 30, 2002) saw enormous growth in our potential to deliver MMH MALAREX, our premier anti-malarial medication, to some of the most malaria plagued areas of the world.

As mentioned in a previous corporate update, MMH MALAREX, as per the results of all the tests that have been completed, is non-toxic and is extremely effective in the treatment of malaria. Several small scale human trials, run under the auspices of Prof. Same – Ekobo, head of the country of Cameroun’s national anti-malarial agency, have confirmed our ability to cure malaria, even those with acute cases of the disease. Currently, Prof. Same – Ekobo is running another series of tests and we have an agreement from an internationally recognized institution to test the efficacy of MMH MALAREX. That agency has already received sufficient samples of
MMH MALAREX for the administration of the test.

As per our 10k annual report, we had received authorizations to sell and distribute
MMH MALAREX in 8 countries in West and Central Africa and are imminently awaiting authorizations from several others. We are also currently in the process of obtaining homologations in several East African nations. Receiving selling authorizations means that the Country’s National Health authorities, headed by the Nation’s Minister of Health, have completed their own independent tests on our product, and have concluded, based on their test results, that they will allow their malaria afflicted citizens to use MMH MALAREX as a valid and effective medication to fight malaria.

As with any new drug or treatment, the actual commercial or selling phase always takes more time than anticipated. Setting up distribution channels for a new product, and all the other ancillary steps, receiving the initial orders with internationally acceptable payment protocols and the first large scale production run inevitably lead to problems that have to be addressed. Millenia sees the commencement of the commercialization stage as being on the near horizon.

Millenia has reorganized itself as a pure bio-tech corporation, having divested its ownership of Sword Comp-Soft Corp., its former subsidiary, in return for that company’s promising on-line medical software and a promissory note of $ 600,000. This will allow the officers and directors of Millenia to focus on the critical strategic aspects and potential of MMH MALAREX and, once the latter is firmly entrenched in the international marketplace, to branch out into related bio-tech and medical areas. Furthermore, our share price will be judged by the market as a pure bio-tech, pharma stock, judged on our MMH MALAREX sales and profits and on our future bio-related product and projects.

The corporation’s management structure has changed. Dominique Morisot, our President and CEO, has left Millenia and returned to France to pursue other endeavors. And sadly, Mr. Ronald LaPenna, our V.P. of Personnel, recently passed away, our condolences to his widow and family.
We are currently in the midst of talks with several veteran pharmaceutical executives to fill those positions as well as other corporate positions. In the interim, current management has taken on an extra workloads to ensure the continued smooth running of the corporation. We expect, within a very short while, to announce the new additions to our corporate administration.

By pharmaceutical and bio-tech company standards, our company is just about to exit the start up stage. Management fully and firmly believe that the future of Millenia Hope is bright. The realization of our twin goals, of bringing to the world community an effective treatment in the battle against malaria and rewarding our shareholders and others, is in our near term future.
