      Super Chance für alle Worldcom Aktionäre, dieser Weg ist sicher ganz neu im Amerika und soll das Gericht von der Werthaltigkeit der Aktien überzeugen, da hier vieles nicht ganz so ist wie es sein sollte. Ich bin mal gespannt wie Worldcom selbst darauf reagiert.

      "The bankruptcy judge is not going to let the stockholders vote on this plan. Since the stockholders lose everything under the plan the judge assumes that the stockholders would disapprove," said Neal Nelson, the WorldCom stockholder and Chicago area computer consultant that created the web site. "We have created a web site where both stockholders and non-stockholders can record their approval or disapproval of the plan, the judge, the SEC, the congress and the company management."

      Initial results indicate over 90% dissatisfaction with the SEC, congress, management, the bankruptcy judge and the plan.

      The web site is located at http://www.wcom-iso.com where individuals can vote in the straw poll and view the results of the poll. The vote counts are updated once each minute.

      The web site is sponsored by an independent committee of WorldCom stockholders. The committee was formed to promote the interests of the stockholders during the company`s current reorganization.

      WASHINGTON -(Dow Jones)- Motorola Inc. (MOT, news) Wednesday objected to the disclosure statement to WorldCom Inc.`s (WCOEQ, news) reorganization plan, saying the statement doesn`t provide enough information for creditors of WorldCom Wireless Inc. to decide whether to vote for or against the plan.

      Motorola, a creditor of WorldCom Wireless, also said the disclosure statement doesn`t give creditors enough information about the estates of the separate WorldCom entities. It doesn`t provide an adequate description of assets and liabilities, and a traditional liquidation analysis.

      Disclosure statements are a summary of a bankrupt company`s plan to reorganize. They must be approved by a bankruptcy court before a company can begin its reorganization.

      The U.S. Bankruptcy Court in Manhattan, which is overseeing WorldCom`s case, is scheduled to consider the disclosure statement at a hearing May 19.

      NEW YORK, April 23 (Reuters) - More MCI bondholders dissatisfied with WorldCom Inc.`s (Other OTC:WCOEQ.PK - News) proposed plan of reorganization have joined MCI trade creditors in asking a federal bankruptcy court judge to appoint a trustee, an attorney representing the holders said on Wednesday.

      Those with $142 million worth of senior MCI notes and others representing $242 million worth of junior MCI debt have joined an earlier request made by MCI trade creditors in asking the court to appoint a trustee to fight for their interest, said Thomas Mayer, of Kramer Levin Naftalis & Frankel, the firm representing the dissenting bondholders.

      A hearing before Judge Arthur Gonzalez of the U.S. Bankruptcy Court in New York is scheduled for May 15.

      The creditors said they are paying the price of WorldCom`s twisted accounting practices that pushed the company into filing last July the world`s largest bankruptcy case. Several of the company`s former executives face criminal charges, including its former chief financial officer.

      On April 14, WorldCom filed its reorganization plan, which among other things, would give WorldCom bondholders 36 cents on the dollar for their $26 billion in notes. The payment will be in the form of ownership in the new company.

      The MCI senior bondholders, who are owed $2.6 billion on their bonds, get 80 cents the dollar, while Intermedia creditors receive 94 cents on the dollars for about $1 billion in bonds.

      Trade creditors get 36 cents on the dollar. MCI trade creditors represent about $300 million of the $2.8 billion of WorldCom owes to vendors.

      MCI junior bondholders get nothing on the $750 million they were owed.

      INTERCOMPANY CLAIMS

      Recently, WorldCom, a holding company comprised of 221 subsidiaries, said that because of the internal accounting mess, it was unable sort out intercompany claims -- the amount of money each of the company`s units owe each other, according to court documents.

      WorldCom consolidated much of the claims, instead of verifying the figures. They said there could be $1 trillion of intercompany claims, a figure the dissenting bondholders and trade creditors doubt.

      "These are ledger entries made by the same people who are under indictment," Mayer said. The dissenters said that stripped the MCI companies of their value and their creditors share of their fair portion of the reorganization plan payments.

      WorldCom paid $40 billion in stock for MCI back in 1998, when MCI was the No. 2 U.S. long-distance phone company. According to the dissenters` court filing, MCI has operated as it had before the merger, owning substantially all the assets it owned premerger.

      "To the extent MCI and its subsidiaries comprise the valuable businesses of WorldCom, the creditors of MCI are entitled to that value before creditors of MCI parent company - WorldCom - are entitled to it," the court papers said.

      Three of the senior bond holders have left the Ad Hoc MCI Bondholder Committee and have joined the dissenting bondholders` motion, Mayer said.

      "I think it`s a misnomer to call them the dissenting (bondholders)," said David Rosner, of Kasowitz, Benson, Torres & Friedman, who represents the MCI Bondholders Committee. "It implies that they`re dissenting from the senior deal, the 80 cents deal."

      Rosner said those holders left the committee to fight for the other positions they hold, such as junior debt holders. The committee, which unanimously approved the reorganization plan, represents about 45 percent of the MCI bondholders.

      Creditors still must vote to approve the plan before it is presented to the judge for confirmation.

      Mich wundert nur, daß das so lange gedauert hat. Aber lieber spät als gar nicht!:)

      Mit Sicherheit wird es wieder mehr Hoffnung machen, wenn sich hier eine Gruppe gefunden hat die für den Erhalt der Shares kämpft!



      Worldcom, sorry meine natürlich MCI, sollte endlich mal Ihre Bücher öffnen und alles, aber auch wirklich alles säuberlich darlegen. Dann würde man endlich sehen, daß für die Aktionäre doch noch etwas da ist! Aber dieses Geld gibt man ja lieber (noch) den Bondholdern, als den Aktionären. Es ist auf jeden Fall wichtig, daß sich hier jemand gefunden hat, der für den Erhalt der Shares öffentlich kämpft und u.U. auch Klagen durchziehen wird. Und wenn Du die Amerikanische Presse so liest,
      sehen dem Plan inzwischen nicht mehr so viele positiv entgegen. Also ein gutes Zeichen für Uns "Altaktionäre".

      NEW YORK (Reuters) - Some major U.S. firms, under investigation for overstating profits, are preparing to collect or file for refunds in overpaid taxes tied to the same earnings they are accused of manipulating, according to a published report Friday.

      Telecommunications firm WorldCom Inc., which plans to change its name to MCI to distance itself from its massive accounting scandal, is among the firms seeking tax credits from the Internal Revenue Service, according to the Wall Street Journal.

      WorldCom has already collected tax refunds of nearly $300 million tied to some of its now-discredited profits, the paper reported, citing a person close to the situation.

      Local telephone firm Qwest Communications International Inc., which plans to restate $2.2 billion in revenue, is also likely to seek a refund from the IRS, as is collapsed energy trading firm Enron Corp.

      WorldCom, Qwest and Enron media relations officials contacted early Friday morning did not immediately return calls seeking comment.

      The Journal quoted a spokesman for embattled HealthSouth Corp. -- which has been accused of overstating earnings by more than $2 billion -- as saying the rehabilitation clinics and hospitals operator is considering filing for a refund but has not made up its mind.

      HealthSouth, according to the newspaper, said that by inflating its income, it overpaid more than $300 million in federal taxes.

      "Logically, if we overpaid taxes on income we didn`t have, we may seek a refund," said Andy Brimmer, a company spokesman.

      Fraud or not, the current U.S. tax code makes no distinctions. It is a basic tenet of tax law -- both for individuals and corporations -- that those who overpay are entitled to a refund.

      02. Mai 2003 Amerikanische Unternehmen, die im Zuge der Bilanzskandale im vergangenen Jahr negative Schlagzeilen machten, wollen Steuern zurückfordern, die sie auf ihre fälschlich aufgeblasenen Gewinne gezahlt haben. Das berichtete das „Wall Street Journal“ am Freitag.

      Der Telekomkonzern Worldcom, der sich gerade in MCI umgenannt hat, wolle mindestens 300 Millionen Dollar zurückverlangen. Worldcom mußte im vergangenen Jahr Gläubigerschutz beantragen, nachdem ans Licht kam, daß das Unternehmen mit illegalen Bilanztricks seine Einnahmen weit übertrieben hatte. Die Finanzmanager wollten damit die Erwartungen von Analysten nicht enttäuschen, was den Aktienpreis belastet hätte.

      Auch das Energieunternehmen Enron, das als erstes vor 16 Monaten in einem Bilanzskandal unterging, wolle Rückzahlungen beantragen. Das Unternehmen hatte allerdings von 1996 bis 2001 ohnehin nur 63 Millionen Dollar an Steuern gezahlt. Enron befinde sich in „Diskussionen“ mit den Steuerbehörden, sagte ein Sprecher der Zeitung.

      +++ Der bankrotte Telekom-Wert WorldCom (881477) (WCOEQ) kam einem Bericht im WSJ zufolge auf die verwegene Idee, vom Finanzamt beachtliche 300 Mio Dollar an zu viel gezahlten Steuern auf zu hoch angesetzte Firmengewinne zurückzufordern. Anleger reagieren auf diese abstruse Idee, die aber gute Chancen auf Erfolg hat, mit Abschied aus der Aktie. Das Papier verliert 11,59 % auf 0,07 Dollar. Nachbörslich Stillstand.

      company management that their plan is a mistake.

      MCI executives sign ethics pledge

      Some 300 top executives at MCI, formerly WorldCom, have been required to sign an ethics pledge in an effort to restore investor confidence in the bankrupt and scandal-ridden telecom group, its chief executive said on Wednesday.

      "We will operate at a higher standard than the rest of the world. The burden of proof is on us," Michael Capellas (pictured) said on Wednesday at the JP Morgan technology and telecoms conference in San Francisco.

      In his first major presentation to investors since taking over as chief executive in November, Mr Capellas said MCI has adopted a zero tolerance policy toward wrongdoers in an effort to leave behind the legacy of the massive accounting fraud that brought the company to its knees.

      The move is part of MCI`s rehabilitation since it earned the dubious distinction of being the largest corporate collapse in US history. Last month, MCI filed a reorganisation plan with the bankruptcy court that should see it emerge from Chapter 11 in the autumn.

      Investigators are still attempting to work out how the fraud was perpetrated and what was responsible. Mr Capellas said findings from a series of investigations commissioned to determine what went wrong at the company should be released within a few weeks. MCI will not only agree with the findings but expects to be in a position to state it has already implemented the recommendations, said Mr Capellas.

      Mr Capellas said that while he had never before steered a company through bankruptcy, there have been few surprises for him so far. He said running MCI is similar to operating a regular company, adding that dealing with the creditors` committee was akin to answering investor concerns at normal companies.

      MCI has surprised industry observers by forecasting revenue growth at a time when other telecom groups` sales are shrinking. But company insiders believe that, despite its fabricated earnings, WorldCom built the best network in telecom industry.

Die Bewegung ist ein Teil MCI`s Rehabilitation, da sie die zweifelhafte Unterscheidung des Seins der größte korporative Einsturz in der US Geschichte erwarb. Letzter Monat, MCI ordnete einen Reorganisierungplan mit dem Konkursgericht ein, das ihn sehen sollte, von Kapitel 11 im Herbst aufzutauchen. Forscher versuchen noch, auszuarbeiten, wie der Betrug perpetrated war und was verantwortlich war. MCI hat Industriebeobachter überrascht, indem es Einkommen Wachstum prognostizierte, zu einer Zeit als andere Telekommunikationsgroups` Verkäufe shrinking sind. Aber Firmaeingeweihte glauben, daß, trotz seines fabrizierten Einkommens, Worldcom das beste Netz in der Telekommunikationsindustrie errichtete.

      +++ Die National Legal and Policy Center (NPLC) zeigte sich erbost darüber, was die Skandalfirmen MCI alias WorldCom (WCOEQ) (+0,72% auf 7 Cents) und Enron (851914) (-1,39 % auf 7 Cents) planen. Zuerst führten die Unternehmen Anleger, Pensionsfonds mit Mio. von erfunden Gewinnen hinters Licht, dann fordern sie die zu viel bezahlten Steuern zurück, die sie zahlen mussten, damit der perfide Plan funktionierte. Senator Grassley meinte, die Steuerrückforderung zeige, dass mancher nie aus seinen Fehlern lerne.

      +++ Das insolvente Telekommunikationsunternehmen WorldCom (WCOEQ) gab heute bekannt, den Bereich Wireless-Highspeed-Internetzugang für geschätzte 65 Mio Dollar an BellSouth zu verkaufen. Im Jahre 1999, auf dem Höhepunkt des Internetbooms, bezahlte WorldCom noch eine Mrd. Dollar für diese Sparte. Konkurrent Sprint hatte damals in einem gnadenlosen Bieterwettkampf das Nachsehen. Die WorldCom-Aktie rührte sich auch heute nicht von der Stelle - Endstand 0,07 Dollar.

      Chapter 11 staffelt sich von Anfang an bei worldcom in folgende Phasen:

      1. worldcom erhält einen Kredit (für die Abwicklung und Fortführung)
      2. worldcom "schlachtet" sämtliche lukrativen Teilbetriebe ab, die noch Geld bringen
      3. Abstimmung über den reorganisation plan
      4. Einziehung der Aktien

      Die Aktionäre erhalten keinen Cent, sondern nur Gläubiger.

      Wer es nicht glaubt, sollte sich Exodus Communications anschauen!!! Als ehemaliger Aktionär dieser Firma, der damals auch einige Aktien verloren hat, weiß ich ganz genau, was ich hier schreibe. Die restlichen Aktien von Exodus wurden nach positiver Abstimmung über den reorganisation plan eingezogen. Ohne Entschädigung. (Blanke Enteignung !)

      Ich denke, bei worldcom wird genau das Gleiche ablaufen.
      Einfach mal Exodus Comm. ansehen, ich habe daraus nachhaltig gelernt. :look:

      unangenehme Wahrheiten bleiben trotzdem Wahrheiten.

      Ausgabe neuer Aktien, wer sagt das denn ?
      Und wer sollte diese Aktien bekommen ? Die bisherigen Aktionäre wohl kaum, sonst würde man ja einen Kapitalschnitt (das Gegenteil eines Aktiensplits)durchführen.

      Nachdem man die lukrativen Bereiche verkauft hat, soll die Firma mit dem Rest fortgeführt werden ? Auch nach diesen Verkäufen hat Worldcom noch deutlich über 30 MRD US-$ Schulden.

      Vergleich mit EXDS: EXDS hatte zum Schluß noch 7 laufende Rechenzentren, u.a. Frankfurt u. Rechenzentren in Australien. (gemietete Räumlichkeiten)

      Meine Meinung: Es gibt Besseres als in Worldcom zu investieren.

      Ich habe auch meine Risikoanlage im Depot.

      Dies ist Light Management Group (LMGR), eine der interessantesten Firmen weltweit. Nach Erteilung des Patentes für einen all optical switch, dem einzigen weltweit baut sich hier ein Wettbewerbsvorteil gegenüber der Konkurrenz auf. Der switch ist ca. 250 x so schnell wie das beste Konkurrenzprodukt.
      Die Bilanz von LMGR ist nach Ausgabe neuer Aktien im März 2003 ausgeglichen.

      Risiko m.E. 10 %, Chance 90 %.

      Wer die neuen Shares bekommt „Bitte“ das muss ich dir bestimmt nicht erklären,das es die alten Aktionäre sind sicher nicht das hat hier auch keiner gesagt nur hoffen bzw. durch ein Gerichtserfolg wünschen tun es einige hier(da liegt vielleicht eine Chance für Einige).

      Worldcom hat es im Gegensatz zu Exodus so gut wie geschafft aus CH11 mit Erfolg aufzutauchen .

      Mich interessiert nur ein Investment nach Ch11 da dieses Unternehmen den ganzen Markt durch einander wirbeln wird ,mit Erfolg wird man sehen !

      und ich denke das der Rest mit mir hier eh mehr an der ganzen Geschichte interessiert ist als ein Investment im CH11 auf Träumerei auf zubauen!

      Hier kann man nur lernen;),den die ganze Geschichte die sich hier abspielt ist einmalig und ist in dieser Form noch nie über die Bühne gelaufen!


      Ein Vergleich mit Worldcom wäre XOXO ;)

      Herr Neal Nelson sammel auf seiner www.wcom-iso.com geld für einen Anwalt zur Zeit sind es $ 2,053.07.
      Ich frage mich nur wofür er das Geld brauch?
      Für den Anwald auf jeden fall nicht.

      Denn nach Amerikanischen recht ist das so:

      Im Fall von Woldcom nehmen die amerikanischen Aktionäre bei ihrer Klage ( wenn sie eine einreichen) keinerlei Risiko auf sich. Die Anwälte arbeiten auf Erfolgsbasis und kommen in jedem Fall für alle Kosten auf. Sollten die amerikanischen Aktionäre gewinnen, wird das Gericht die Höhe der Anwaltsgebühren festsetzen und diese aus der Vergleichssumme bedienen.
      Das heist bei einer sammelklage entstehen keine Kosten die ein anleger zahlen müste.

      Also frage ich mich wofür Herr Nelson eigendlich sammelt.

      Verizon Wages Unprecedented Campaign Against MCI

      Verizon Communications Inc. (VZ, news), the country`s largest local phone company, is waging an unprecented campaign to derail MCI`s (MCWEQ, news) pending emergence from bankruptcy and drive it instead into liquidation, Thursday`s Wall Street Journal reported.

      Verizon`s chances of succeeding with its highly unusual tactics are slim because 90% of the creditors of the company, formerly known as WorldCom Inc., have voiced support for the reorganization plan. That will weigh heavily with the bankruptcy judge overseeing the case. MCI`s chairman and chief executive, Michael Capellas, has said he hopes the company will emerge from reorganization as early as September.

      Even so, William Barr, a former U.S. attorney general who is Verizon`s chief legal counsel, has written to the head of the Securities and Exchange Commission seeking support for liquidation. The SEC Wednesday declined to comment.

      In addition, Mr. Barr has helped orchestrate objections to the reorganization plan from four states, which filed complaints with U.S. Bankruptcy Court for the Southern District of New York. Verizon, New York, also has lobbied lawmakers in Washington to support its viewpoint.

      Much of the struggling telecom industry has opposed MCI`s emergence from bankruptcy on the grounds that it committed the largest fraud in corporate history and, thanks to its pending reorganization, would operate with much less debt. Its lower debt means that MCI, which has 20 million customers and 55,000 employees, in theory could cut its prices, putting other companies at a competitive disadvantage.

      Under the reorganization, MCI would be left with $4 billion to $5 billion in debt -- $36 billion less than when it went into bankruptcy. Verizon, by contrast, has debt of about $54 billion, while AT&T Corp.`s debt stands at about $18 billion.

      Ja tester, das wundert mich heute auch schon den ganzen Tag! Da werden fast 20 Mill. Shares ins Bid geschmissen (haupts. kleine Orders) und die stehen weiterhin bei 0,060! Sehr ungewöhnlich, daß der Kurs nicht absackt! Da wird m.E. stark aufgenommen.

      In rating this stock as a "Strong Buy," I am using the assets, revenues, customer base, and the growth of the Internet. I have discounted such possibilities as paid judges, fraud, deceptive bankruptcy, perjury, and embezzlement. Naturally, if these factors are added in, the "Strong Buy" rating must be removed. My knowledge, analysis, and values, however, assume that government and judiciary corruption will not be tolerated in America. Clearly, based on the facts (see post 600621) MCI remains a "Strong Buy," and I predict that MCI will be bragging that it is a 100 billion dollar company within 18 months. I have two additional facts to support the contention that MCI remains a "Strong Buy": (1) Why else would Capellas and his henchmen work so hard and risk prison time to eliminate the shareholders from this gold mine? And (2), look at the number of bashers on this board who will lie or do whatever it takes to assure that this embezzlement takes place. I can assure you that federal judges do not come cheap. MCI dominates the Internet, and the Internet is the future. If you doubt that MCI would be a "Stong Buy" if our government and the judiciary were not corruptly invoved, read post 600621 and click on the post below:

      In line with CEO Michael Capellas` promise to turn from a policy of "debt for equity" to a "Turnaround" based on "integrity," we now know that the 2.9 billion common shares will be retained, will return to trading, and will soon rise to their present $20.00 per share debt-free (book value) equity. The following facts support the Capellas` and shareholder optimism:

      1. The bashers on this board have participated in an almost panic state of personal attack and vulgarity that reflects both their evil intent and their desperation.

      2. Unlike K-Mart, MCI/WorldCom, like Harley Davidson, is Number One in its field, the Internet, and Number Two in telephone service (MCI); and like Harley Davidson, Chrysler, and Best Buy, MCI/WorldCom beats the competition, earning 25-30 billion dollars a year in revenues on over 100 billion dollars in goodwill-free equity, consisting of cash, physical assets in 65 countries, and an assured customer base of 25 million plus, including major contracts with the federal government (including the Pentagon) and leading corporations, including Chrysler, Procter and Gamble, etc.

      3. Due to "unusual circumstances" (fraudulent personal and exaggerated loans that precipitated this contrived and unnecessary bankruptcy), the creditors have lost their legal right to demand the equity of their victims (the shareholders), and Judges Arthur Gonzalez and Jed Rakoff, under Georgia bankruptcy laws, will not allow the shareholders to have their throats cut by white-collar criminals. Moreover, MCI/WorldCom has reached an agreement with the SEC and now has a 9 billion dollar fine hanging over its head, a fine that can assure the security of the common shares at a beginning price of $3.00 per share.

      4. President Bush and Attorney General John Ashcroft cannot permit the predator bankers to loot the pension plans of millions of Americans. Such a heist would result in the election of a Democrat in 2004, would rob millions of Americans of their savings, would destroy MCI/WorldCom`s credibility, and would tarnish Wall Street and the stock market.

      5. President Bush cannot allow MCI/WorldCom to emerge debt free and in a position to undermine its competition. Instead, look for MCI/WorldCom to pay substantially on its debt, retain the 2.9 billion shares whole and intact, and re-negotiate its loans, all before June 1, 2003.

      6. Due to the unfortunate layoffs of 20,000 good people and improved management, MCI/WorldCom will now see lower expenses coupled with growing profits. This is already reflected in the huge cash buildup, recent payments on the debt, and the rejection of the DIP financing. The fact is that this bankruptcy should be canceled. It is fraudulent.

      In 1996, Best Buy was in trouble, with its shares at a new low. In the 1970`s, Chrysler almost went under like American Motors and Studabaker. Harley Davidson was being crushed by the competition and was close to folding. Today, all three companies, like MCI/WorldCom, are ranked Number One, and all three companies have made their shareholders wealthy. Those who hold the common shares of MCI/WorldCom, like those who invested in Harley Davidson, will see their investment roar back to a new state of health. Moreover, the shareholders of MCI/WorldCom will print out this post and will mail it, along with their own cover letter, to President Bush, to Attorney General Ashcroft, to the Creditors, To Judges Arthur Gonzalez and Jed Rakoff, to the SEC, and to Michael Capellas. They know that MCI/WorldCom is not bankrupt, and they will demand that President Bush intervene in any attempt to steal their 60 billion dollars in debt-free equity. The shareholders know that, unless America is corrupt enough to loot the savings and pensions of its citizens, that MCI/WorldCom will emerge as the best investment in a decade. Simply stated, we are the owners of MCI/WorldCom, and we are the Harley Davidson to the Communications industry.

      Statt 9 Milliarden Dollar Geldstrafe, den Kurs am Montag auf $3,00 pro Share zu setzen ist doch sehr einleuchtend. Wer weiss was sich die beiden Richter für Montag ausgedacht haben.

      Our Immediate Plan
      Since the company management and bondholders have joined together to promote the plan which leaves the stockholders with nothing, the stockholders should take the following steps at this time:
      1) Find a bankruptcy lawyer. Establish a legal fund. Have the lawyer file some motions in bankruptcy court to oppose the company plan.

      2) Begin a grass roots protest of this unnecessary and unfair treatment of the original WorldCom/MCI stockholders.

      3) Begin to track and publish the total of intended cancellations of MCI long distance service if the plan is approved in its current form.

      4) Prepare and distribute "Stop MCI, Ask Me Why!" bumper stickers so stockholders can begin to tell their friends how the company is being stolen by billionaire bondholders and the company management.

      5) Initiate an email "chain letter" exposing this abuse and asking people to consider cancelling their MCI long distance if this plan is approved.

      6) Write "letters to the editor" and send them to local newspapers asking for a public inquiry into this matter.

      7) Contact the "talk radio" programs and ask for coverage of this outrageous asset theft.

      8) Contact the cable news programs and ask for coverage of this outrageous asset theft.

      9) Contact the U.S. Trustee, Congress and the SEC to request an inquiry into this abuse of the bankruptcy system.

      PHILADELPHIA, May 18 (Reuters) - WorldCom Inc. (Other OTC:WCOEQ.PK - News) is close to a settlement with the U.S. Securities and Exchange Commission (News - Websites) that would resolve charges it fraudulently misled investors and would require it to pay one of the largest fines ever levied by the agency, a source familiar with the situation said on Sunday.
      The settlement would remove a major hurdle for the bankrupt telephone and data services company, whose accounting scandal is expected to top $11 billion. It also will likely ease its emergence from Chapter 11 bankruptcy, legal experts have said.

      WorldCom, which is changing its name back to MCI, declined to comment. SEC officials could not be immediately reached.

      Business Week`s online edition reported on Friday that WorldCom and the SEC could announce a settlement as early as Monday. WorldCom, without admitting or denying the fraud allegations, had reached a partial settlement with SEC in November. As part of that deal, WorldCom agreed to refrain from future securities violations and establish new training programs to prevent future problems.

      WorldCom`s fine is expected to be "several times larger" than the $10 million fine levied against Xerox Corp. (NYSE:XRX - News) in 2002, the source said. Wall Street firms recently agreed to pay $1.4 billion to settle charges with securities regulators over research practices.

      The SEC, which regulates financial markets, charged WorldCom in June with fraud and alleged the company manipulated its financial records at least as early as 1999 to meet Wall Street expectations. WorldCom is expected to restate more than $11 billion in earnings.

      The Ashburn, Virginia-based company, which still faces shareholder lawsuits, recently filed a reorganization plan that will cut its debt to a range of $3.5 billion to $4.5 billion, down from $41 billion, and give its creditors control of the company.

      Since its bankruptcy filing in July, WorldCom has hired a new chairman and overhauled its management team and board. The company`s former chief financial officer, Scott Sullivan, has been charged with securities fraud, conspiracy, and making false statements about WorldCom`s financial health in SEC filings.

      Four other former WorldCom executives pleaded guilty to securities fraud and have agreed to cooperate with authorities probing the case. WorldCom, which aims to emerge from bankruptcy later this year, also is cooperating with the investigation.

      Two reports reviewing WorldCom`s past accounting practices have been delayed at the request of prosecutors, who claimed that early public disclosure of the information may harm their criminal investigations of former Chief Executive Bernie Ebbers and other former WorldCom executives, according to court filings. The reports are expected to be filed in June.

      ASHINGTON, May 18 — The Securities and Exchange Commission is close to announcing a settlement with the long-distance and Internet company MCI, formerly WorldCom Inc., resolving the largest fraud lawsuit the agency has ever brought against a company, people involved in the case said today.

      The size of the financial settlement could not be learned tonight.

      The terms of the deal, expected to be announced soon, would depart significantly from past cases of this type by setting up a fund for shareholders who were defrauded by the company. Another fund will be set up for creditors of the company, which has been operating under Chapter 11 bankruptcy protection since last summer.

The suit said the company had defrauded investors by manipulating its bookkeeping to meet Wall Street`s expectations.

      The following month the company, the nation`s second-largest long-distance company after AT&T and a large carrier of Internet traffic, sought bankruptcy protection.

      The company and the commission submitted a preliminary settlement of the suit last November to Judge Jed S. Rakoff of Federal District Court in Manhattan, who was overseeing the fraud case. At the time, WorldCom executives had indicated they hoped the company might avoid paying any money. But the S.E.C., which lately has taken a hard line on corporate fraud, reserved the right to come back to Judge Rakoff requesting a fine.

      People involved in the case said that the settlement would depart significantly from previous bankruptcy cases involving accusations of securities fraud. Normally, most of the money recovered in such cases goes either to the government in the form of a penalty or to the debt holders, who have priority over shareholders in Chapter 11 proceedings.

      But a provision of the relatively new Sarbanes-Oxley Act gives the commission broader authority to direct money that might otherwise be given to the government to shareholders instead. The law was adopted after the government filed the lawsuit, but the S.E.C. has recently invoked it even in some instances where the suspected fraud occurred before the law`s passage. In fact, it was the WorldCom case, and the sheer size of the admitted bookkeeping problems, that prompted lawmakers to adopt Sarbanes-Oxley, which had been languishing in Congress before the company`s discrepancies surfaced.

      People involved in the case say that the settlement with MCI does not affect the S.E.C.`s and Justice Department`s investigations of former top WorldCom executives, including Bernard J. Ebbers, the company`s former chief executive. A number of former senior executives, including Scott D. Sullivan, a former chief financial officer, have been indicted on charges of conspiracy to commit fraud. The company`s former controller and the former director of general accounting have already pleaded guilty to criminal charges.

      Under its new chief executive, Michael D. Capellas, the company filed a reorganization plan last month, saying it hoped to emerge from bankruptcy later this year. At the same time, the company said it would resume using the name MCI, as the company was called before it was acquired by WorldCom in 1998.

Beide Parteien hätten in monatelangen Verhandlungen eine Einigung erzielt, schreibt das “Wall Street Journal“ (WSJ) unter Berufung auf Kreise in seiner Montagausgabe.

      Noch am Berichtstag würden SEC und MCI dem zuständigen Richter Jed Rakoff das Ergebnis ihrer Verhandlungen präsentieren. Der ehemaligen Worldcom wird von der amerikanischen Börsenaufsicht vorgeworfen, sie habe durch die Aufblähung von Umsätzen und dem überhöhten Ausweis von Gewinnen Investoren getäuscht.

      Die SEC beziffere die Höhe der fälschlich ausgewiesenen Beträge mittlerweile auf elf Milliarden Dollar, schreibt das “WSJ“. MCI habe einer hohen Strafzahlung zugestimmt, schreibt die Zeitung, ohne einen genauen Betrag zu nennen. Die Börsenaufsicht werde die höchste Strafe verhängen, die sie jemals gegen eine nicht im Broker-Geschäft tätige Gesellschaft geltend gemacht habe, heißt es. Der Betrag werde die 10 Millionen Dollar, die Xerox wegen Bilanzunregelmäßigkeiten zahlten mußte, “bei weitem übertreffen“, heißt es. Allerdings hat Richter Rakoff das Recht, den ausgehandelten Kompromiß zurückzuweisen.
