      NEWS SNAP: Vasco Narrows 3rd Quarter Losses, Comes Out Fighting

      BRUSSELS -(Dow Jones)- Vasco Data Security International Inc. (NasdaqNM:VDSI - News) CEO said Wednesday improved sales and aggressive cost cutting narrowed third-quarter losses but current economic uncertainty made it impossible to give an indication about future financial performance.

      "We`re alive and kicking," the company`s chief executive Mario Houthooft told Dow Jones Newswires, "We`re bringing new products to the market."

      At 1826 GMT shares of Vasco were up 8.0% to $1.49 on Nasdaq.

      Houthooft spoke just after the Belgian-U.S. maker of security programs booked an operating loss of $808,882 in the third quarter, a major improvement over its $3.6 million loss in the year-earlier period.

      Vasco has struggled since the Internet bubble burst in 2000. Its share price has plunged from a high of $25 in February 2000 to its present level. The market for data security software evaporated.

      But large customers such as banks are now placing new orders. Revenues climbed 7% to $5.1 million during the quarter underpinned by sales of Digipass and VACMAN software used to conduct secure phone and e-banking.

      "Banks are offering customers more services remotely," as they cut branches to reduce costs explains Houthooft. "They want them to be secure."

      Vasco also is making inroads into the core network access market, territory traditionally dominated by RSI Holdings Inc (RSII) . Margins are much higher than in other area of data security software. This business now accounts for over a quarter of Vasco`s total revenues.

      Vasco has sharply reduced its overheads this year. It now trains salespeople in-house and no longer prints glossy sales brochures - they`re sent electronically or customers can read CDs. The company has also stopped attending large and expensive trade shows and now organizes its own events. Research and development is carried out at two sites rather than seven.

      Operating expenses fell by 42% in the third quarter to $3.8 million. Houthooft expects the full effects of the cost reductions to be realized in the fourth quarter. This will place Vasco in good position to "move quickly to profitability and positive cash flow" when markets become more stable, Houthooft said.

      Vasco faces a number of other challenges. It is presently contesting a lawsuit bought against it by ActivCard SA . Costs associated with the case, which has yet to go to court in the U.S., have swelled its general and administration overhead by $300,000 to $1.2 million.

      "We are impressed by the evolution of revenues, but the G&A costs are disappointing," said Christophe Pieron, an equity analyst at Bank Degroof in Brussels.

      But Houthooft said he didn`t expect it to be a long-term drain on the company`s finances.

      ActivCard(R) (EUROPE: ACTI) , the leader in IDentity Management (IDM) software, today reported
      financial results for the third quarter ended September 30, 2002.

      In the third quarter of fiscal 2002, ActivCard reported its third sequential quarterly revenue increase, achieving
      record revenues of $12.0 million, an increase of 25% over the $9.6 million reported in the second quarter of
      2002. Third quarter 2002 revenues were also 36% higher than third quarter revenues in the comparable
      quarter a year ago.

      Pro forma net loss for the quarter was $1.2 million, or $0.03 per diluted share, compared to pro forma net
      loss of $3.0 million or $0.07 per diluted share in the second quarter of 2002 and $2.5 million, or $0.06 per
      diluted share, in the third quarter of 2001. Pro forma net loss for the quarter excludes acquisition-related
      charges, re-incorporation costs, deferred stock compensation, restructuring charges, foreign exchange gains
      and losses, and the loss from discontinued operations. Actual GAAP net loss for the quarter was $2.9 million,
      or $0.07 per diluted share, compared to a net loss of $4.7 million, or $0.11 per diluted share, in the second
      quarter of 2002 and $3.8 million or $0.10 per diluted share in the third quarter of 2001.

      "We are very pleased with the record revenues we achieved in the third quarter and our continued focus on
      expense controls has improved the bottom line," commented ActivCard Chief Executive Officer Steven
      Humphreys. "We are well on our way to achieving our previously stated objectives of 30-35% year-over-year
      revenue growth and cash flow breakeven from continuing operations in the fourth quarter.

      Third Quarter 2002 Highlights Highlights of the third quarter of 2002 included: -- Announced Microsoft(R)
      Corporation as a customer for ActivCard Identity Management Software(TM) (AIMS) and digital ID badge
      solutions. Microsoft has issued 25,000 corporate ID badges to its employees to date. The companies also are

      Achieves 34% Year-over-Year Revenue Growth in 2002 and Positive Cash Flow from Continuing Operations in Fourth Quarter


      FREMONT, Calif., Feb. 10 /PRNewswire-FirstCall/ -- ActivCard® (Nasdaq: ACTID; Nasdaq Europe: ACTI), the leader in IDentity Management (IDM) software for remote access, secure sign-on and digital ID card solutions, today reported financial results for the year and quarter ended December 31, 2002.
      Revenues for the year ended December 31, 2002 increased 34% to $41.8 million compared to $31.2 million for the year ended December 31, 2001. In the fourth quarter of 2002, ActivCard reported its fourth consecutive quarterly revenue increase, achieving revenues of $12.1 million, an increase of 79% over the $6.8 million reported in the fourth quarter of 2001 and 1% higher than the third quarter of 2002.

      Net loss, in accordance with U.S. GAAP, for the year ended December 31, 2002 was $45.5 million, or $1.10 per diluted share, compared to $16.7 million, or $0.42 per diluted share, for the year ended December 31, 2001. The results for 2002 include a write-down of other intangible assets of $5.1 million, restructuring charges of $8.6 million and a loss from discontinued operations of $16.8 million. Net loss, in accordance with U.S. GAAP, for the fourth quarter of 2002 was $9.2 million, or $0.22 per diluted share, compared to a net loss of $9.8 million, or $0.24 per diluted share, in the fourth quarter of 2001 and $2.9 million, or $0.07 per diluted share, in the third quarter of 2002. Pro forma net loss for the fourth quarter of 2002 was $1.4 million, or $0.03 per diluted share, compared to a pro forma net loss of $6.2 million, or $0.16 per diluted share, in the fourth quarter of 2001 and $1.2 million, or $0.03 per diluted share, in the third quarter of 2002. Pro forma net loss for the quarter excludes acquisition-related charges, re-incorporation costs, deferred stock compensation charges, restructuring charges, foreign exchange gains and losses, and the loss from discontinued operations.
