Ahold announced today that it has entered into a revolving credit facility with ABN AMRO, Goldman Sachs, ING, JP Morgan and Rabobank. The facility provides for aggregate borrowings of EUR 2.65 bln. In addition, the company said banks remain committed to provide and additional EUR 450 mln backup facility to support existing US$ 850 million securitization programs described below. Ahold had announced on February 24, 2003, the EUR 3.1 bln commitment of the financial institutions and banks to provide the new credit facility as well as the backup facility.

Henny de Ruiter, Chairman of Ahold’s Supervisory Board, commented that “Entering into this new credit facility is an important step in stabilizing Ahold’s financial condition and demonstrates our continued access to significant liquidity. We are extremely pleased by the vote of confidence shown by the lender group, as well at the ongoing support shown by Ahold’s existing suppliers. While no one can predict the future, we are encouraged by the lenders’ conclusion to move forward and we remain optimistic about the company’s prospects. With this new credit facility in place, the company can now turn its attention to the development of longer term solutions to the problems that have arisen from Ahold’s recently disclosed accounting issues.”

Mr. De Ruiter further emphasized “Ahold has great businesses - like Stop & Shop and Albert Heijn - with solid market positions, significant assets, strong cash flow, loyal customers and dedicated staff. We are continuing to focus on serving our customers - wherever they may be - to the best of our abilities.”

The credit facility, which has a term of 364 days from February 24, 2003, provides for two tranches of borrowings. Under one tranche, a total of US$ 1.285 bln and EUR 600 mln is available immediately. The second tranche of US$ 915 mln will be available following the satisfaction of various conditions, including the delivery to the lenders of audited fiscal year 2002 financial statements of Stop & Shop Supermarkets Company and Albert Heijn B.V. by May 31, 2003 and of audited fiscal year 2002 consolidated financial statements of Ahold by June 30, 2003, which currently also must be delivered for the first tranche to remain available. Amounts owing under the facility are guaranteed by Ahold and certain of its other subsidiaries. In addition, the borrowings under the first tranche are secured by a pledge of the shares of stock of Ahold’s significant Dutch and American retail subsidiaries. Ahold anticipates that the new facility will be used to repay certain outstanding indebtness and for general working capital purposes. Ahold has been able to negotiate in the new credit facility a quarterly interest coverage ratio of 2.25.

As previously disclosed, the banks under U.S. Foodservice’s receivable securitization programs have agreed to extend the programs until the last week of April 2003. The back up facility is expected to provide additional support for the securitization programs if needed. It would be available subject to completion of definitive documentation and satisfaction of the customary conditions.

As prevoiusly announced, Ahold’s auditors have informed Ahold they have suspended work on Ahold’s fiscal year 2002 audit pending completion of the investigations into the accounting irregularities found at U.S. Foodservice and the circumstances surrounding the failure to provide to the auditors certain information relevant to the decision to consolidate ICA Ahold and various other current or former Ahold joint ventures. These investigations are proceeding and Ahold is working diligently to complete the investigations and to take such other actions as may be required to resume the audit.

Investigations have been commenced by the U.S. Department of Justice and the U.S. Securities and Exchange Commission into the matters announced by Ahold on February 24, 2003. Ahold had previously brought these matters to the attention of these regulatory authorities and is fully cooperating with these investigations.

In connection with entering into the new credit facility and to further strengthen Ahold’s finances, Ahold has determined that it will not pay the final dividend on its common shares in respect of fiscal year 2002.

AMSTERDAM, March 5 (Reuters) - Global retailer Ahold confirmed on Wednesday it had been granted a key revolving credit facility for 3.1 billion euros by its banks, securing new funding to help it through a troubled time as it faces widening investigations into accounting irregularities.

Ahold announced it was securing new credit when it revealed last week that it had overstated earnings by more than $500 million euros since 2001. The company`s chief executive and chief financial officer resigned in the scandal.

The loan has been arranged by ABN AMRO, Goldman Sachs, ING, J.P. Morgan and Rabobank.

Ahold also said on Wednesday that it would not pay a dividend for its common shares for 2002 in order to strengthen its finances.

Zaandam (vwd) - Die Ahold NV, Zaandam, hat eine revolvierende Kreditlinie von 2,65 Mrd EUR mit den Banken ABN Amro, Goldman Sachs, ING, JP Morgan und der Rabobank vereinbart. Zusätzlich stellten die Banken eine Stützungsfazilität von 450 Mio EUR zur Verfügung, teilte der niederländische Einzelhandelskonzern am Mittwoch mit. Die Kreditlinie habe ab dem 24 Februar eine Laufzeit von 364 Tagen. Ahold erhalte eine erste Tranche von 1,285 Mrd USD und 600 Mio EUR sofort.

Die Gewährung der zweiten Tranche von 915 Mio USD werde an bestimmte Bedingungen geknüpft. Dazu gehöre die Vorlage geprüfter Ergebnisse 2002 für die Stop & Shop Supermarkets Co und die Albert Heijn BV bis zum 31. Mai 2003. Das konsolidierte Ergebnis von Ahold müsse bis zum 30. Juni vorgelegt werden.

Sofern die Kreditzusage stimmt, wird damit die Zahlungsfähigkeit von Ahold gestärkt, und sie dürften vorerst aus dem gröbsten raus sein.
Sollte es dazu noch gelingen einige Teile (möglichst die nicht profitablen oder nicht so gut zu intergrierenden Teile/Firmen) an die Konkurenz zu verkaufen, dann könnten wir einen schönen Kursverlauf sehen.

so wie ich es gestern schon gsagt hab, wir sind auf dem besten weg zur 4 € marke. sehr positive meldungen (da dauerts immer ein bisserl, bis alle begriffen haben dass nur gute unternehmen einen neuen kreditrahmen bekommen), spannnende übernahmephantasie, DAX wird heute grün, amis werden auch mitspielen. bessere voraussetzungen gibts gar nicht.

Tesco hat angekündigt noch diese Woche ein Angebot für Ahold abzugeben. Ich denke, die haben erkannt, daß die Zeit drängt. Denn wenn erst einmal wieder Ruhe eingekehrt ist und sich alle darüber im Klaren sind, daß lediglich die Gewinnerwartung durch die zu viel verbuchten Gewinne von ca. 500 Mio. € um 33% gesenkt werden muß, dann könnte eine Übernahme viel teurer werden.

Legt man den in den Presseveröffentlichungen genannten Kaufpreis von 10 Mrd. GBP zugrunde, dann entspricht dies einem Kaufpreis von ca. 15 Mrd. €. Bei 900 Mio. Aktien ergäbe sich also ein rechnerischer Übernahmepreis von 16,61 €.

Bin mal gespannt,ob das Angebot Donnerstag oder erst Freitag kommt. Dann sehen wir ganz andere Kurse.

hinter jedem gerücht steckt ein bisschen wahrheit. solche szenarien werden jedoch immer top secret behandelt.

Also, kaum hat eine Firma Schwierigkeiten, wird gleich der Bankrott gesehen.
Wobei allerdings eingeräumt werden muß, daß wir hier viel zu wenig Einblick haben.
Gut, es gibt die Tatsache (die allerdings noch untersucht wird!) der Falschbuchung.
Weiterhin ist die finanzielle Lage angespannt (Bei welcher Firma nicht?)
Die Anleger sind Hypernervös!!
Dazu möchte ich sagen:
Bei Nortel insbesondere und auch Lucent Technologys wurde vor 3-4 Monaten ähnliches gepostet.
Wie oft habe ich gelesen Nortel geht bankrott.
Habe mir einige bei 62 Cent zugelegt. Sind dann schön bis 2,50 € gelaufen. Heute allerdings bei ca. 2 €.
Seit Wochen lese ich keine Postings von Bankrott mehr. Diese Schlaumeiers haben sich alle verkrochen.
Nun Nortel kann und will ich nicht mit Ahold vergleichen. Dazu sind die Firmen viel zu unterschiedlich.
es geht lediglich um das insolvenzgeschreibsel und auch um die 8€ Kursziele. Beides übertrieben.
Ahold ist ja nun nicht irgendeine Inetklitsche.
Erstens haben sie erhebliche reale Umsätze in Milliardenhöhe (natürlich, Schulden auch) und zweitens dürften auch reale Werte vorhanden sein.
80 Mil. Umsatz treibt man nicht von heute auf morgen in die Insolvenz. So schnell geht das auch wieder nicht.
Ich denke da währen schon viele viele große Firmen bankrott gegangen, alle Branchen und Firmen haben immer wieder böse Durchhänger, die gilt es zu meistern und dann gehts wieder aufwärts.

PARIS, March 5 (Reuters) - Carrefour , the world`s second-largest retailer, vowed on Wednesday it would continue to expand in 2003 despite a cloudy economic outlook as it raised 2002 earnings just ahead of forecasts.

And as shares in Ahold spiral in the wake of an accounting scandal, Carrefour said it might be in the market for any assets that were spun off from its Dutch rival.

Chief Executive Daniel Bernard told a news conference his company would not consider making an outright bid for Ahold, whose shares have fallen in value by over two thirds since it announced accounting irregularities last week.

But Bernard said he would examine any disposals made by Ahold in an effort to reduce its 12.3 billion euro net debt.

"We are not candidates to acquire Ahold, but if portions of the company were up for sale we would look at them with our investment criteria in mind," he said.

Following up strong results earlier this week from the group`s Spanish subsidiary, Carrefour said in a statement net profits before exceptional items rose 15.1 percent to 1.389 billion euros ($1.52 billion).

France -- easily Carrefour`s biggest market -- saw profits at EBIT (earnings before interest and taxes) level grow by an impressive 8.4 percent to contribute about two thirds of the group total EBIT of 3.03 billion euros, even though sales at constant exchange rates increased only 2.2 percent.

In the rest of Europe and principally Spain, Carrefour`s business also outpaced the market, growing EBIT by 8.5 percent on sales growth of just 6.7 percent.

Meanwhile, Latin American operations saw sales tumble 36 percent as the local currencies weakened sharply. In constant currency terms, sales from the region increased by 7.8 percent.

Total sales before taxes slipped to 68.73 billion euros from 69.49 billion, but Carrefour said the figure represented a 4.6 percent improvement at constant exchange rates. A strengthening euro has dragged down the value of non-euro zone sales.


BIG GETS BIGGER

Although Bernard said he felt the beginning of the current year was neither "cause for euphoria nor beset by difficulties", he added he was confident about the group`s ability to expand. Carrefour plans to open 830 new stores in 2003, bringing the total number of outlets to more than 10,000.

It also said sales would increase by more than five percent at constant exchange rates and promised double-digit growth in earnings per share, which came in at 1.95 euros for 2002.

Profitability also improved, with return on capital employed increasing to 14.8 percent from 12.5 percent in just two years, it added. But as Latin American markets drag down performance, the group said it would invest further in its European core where it makes about 90 percent of sales.

"To further this improvement, group strategy will give priority to organic growth and to the development of all its formats, and in particular a strengthening of its European base," the company said.


HARDLY SURPRISING

Carrefour`s net profit came in just ahead of analysts` consensus forecasts of 1.37 billion euros, which was perhaps hardly surprising since the group gave guidance earlier this year that earnings would come in at the "upper end" of its own 10-15 percent forecast range.

"They`d fairly clearly flagged the numbers with the sales," said analyst Tim Attenborough at BNP Paribas in London. "Maybe the dividend is a couple of euro cents better than expected. But no one buys Carrefour for the yield."

Carrefour, the world`s second-largest retailer after U.S. giant Wal-Mart , said it would pay a net dividend of 0.64 euros per share for 2002, implying a yield of less than two percent at current prices.

Shares in Carrefour fell in early trade in a market but clawed back gains to stand one percent firmer at 35.58 euros by 1139 GMT on a soft Paris bourse.

With over 80 percent of its sales made in food, Carrefour is regarded as a highly defensive stock, but the shares have fallen by 19 percent this year. The stock has underperformed the DJ Stoxx European retail index <.SX1P> by about nine percent.

KKR considering bid for Ahold`s US retail division

KOHLBERG Kravis Roberts (KKR), the US private equity firm, is considering a bid for the US retail arm of Royal Ahold, the Dutch retailer mired in a $500 million (£320 million) accounting scandal.
The firm, which recently pulled back from the race to buy Safeway, the UK supermarket chain, is understood to have a keen interest in the Dutch group’s US grocery chains, Giant, Bi-Lo and Stop & Shop.

KKR declined to comment about a potential bid for the most profitable part of Ahold’s international empire, but sources said that it was in talks with Ahold executives about leading a management buyout of the US retail assets.

A KKR spokeswoman said: “We decline to comment about suggestions such as this.” She pointed out, however, that KKR was active in the supermarket industry.

KKR has already owned Stop & Shop once before. It backed a management buyout of the chain in 1988, selling it on to Ahold in 1996. KKR also once owned Safeway in the US.

Ahold is expected to launch a fire sale of assets after the discovery of $500 million overstated revenues at its US Foodservice division sent its share price tumbling and put its liquidity at risk.

Ahold yesterday confirmed that investigators from the US Department of Justice (DoJ) had requested financial statements from 1999 to the present day. The DoJ issued a grand jury subpoena on Monday demanding documents relating to the four-year period.

Washington sources added that, because Ahold is a company with assets based in America, the Department of Justice had complete jurisdiction over it and could pursue a thorough investigation of all its businesses, including those in Europe.
