RAMBUS springt hoch an potenzielle Verkaufsmarke
Rambus (Nachrichten) - Kürzel: RMBS - ISIN: US7509171069
Börse: Nasdaq in USD / Kursstand: 15,33 $
Kursverlauf vom 07.08.2002 bis 27.08.2007 (log. Kerzenchartdarstellung / 1 Kerze = 1 Tag)

Rambus jumps 8 pct after legal recommendation
Mon Aug 27, 2007 1:45PM EDT
SAN FRANCISCO, Aug 27 (Reuters) - Shares of Rambus Inc (RMBS.O: Quote, Profile, Research) rose almost 9 percent on Monday following news that a board committee had recommended pursuing legal claims against a former executive regarding stock options.
Rambus, which develops computer chip technology, said on Friday that a lawsuit brought by shareholders against former Vice President Ed Larsen should continue and that the company would seek to take control of the litigation.
A special legal committee, set up to look into issues related to incorrect accounting and dating for stock options, also determined that claims against other former executives should be dropped. That would allow the company to proceed with settlements that will reimburse Rambus more than $6.5 million.
Rambus shares were up $1.24, or 8.8 percent, to $15.29 in early afternoon trading on Nasdaq. (Reporting by Scott Hillis)

Rambus Gains With End to Option Disputes

Rambus Rises After Saying Will Settle With All but 1 Former Employee in Stock-Option Disputes
NEW YORK (AP) -- Shares of Rambus Inc. gained Monday, due partly to the belief that the company's recent settlement with some former employees signals it is close to filing an overdue financial report, one analyst said.
Shares of the Los Altos, Calif.-based company added $1.11, or 7.9 percent, to finish trading at $15.16. During the past 12 months it has traded between $12.05 and $23.95.
On Friday, Rambus said an internal committee created to look into improperly dated stock-option grants will settle all legal disputes, except one, with former employees.
The Los Altos, Calif.-based memory chip designer said last October that the committee determined "a significant number" of past stock option grants hadn't been dated or accounted for properly. Rambus has held off on filing its 2006 report because of its investigation, but has said it intends to file the report during its third quarter.
"I think people are looking at that announcement as, 'That is a precursor, now that we'll finally get those financials filed,'" said American Technology Research analyst Jeff Schreiner in a phone interview Monday.
On Friday the company said it agreed to $6.5 million in settlements with some former employees, Some 2.7 million stock options will also be relinquished as part of the settlements, Rambus said.
The company said it didn't dismiss claims against Ed Larsen, who worked as vice president of human resources between Sept. 1996 and Dec. 1999 and as senior vice president of administration for Rambus until July 2004.

LOS ALTOS, Calif.--(BUSINESS WIRE)--
Rambus Inc. (Nasdaq:RMBS) today announced that on August 17, 2007, the Board of Directors of The NASDAQ Stock Market LLC ("Nasdaq Board") informed the Company that it had granted the Company until October 17, 2007 to file all delinquent periodic reports necessary for Rambus to regain compliance with its Nasdaq listing requirements. If the Company has not regained compliance by October 10, 2007, the Nasdaq Board has directed the Nasdaq staff to discuss with the Company any reasons for such continued delay and provide an update to the Nasdaq Board.
Also on August 17, 2007, the Company received a notice of non-compliance from the Nasdaq staff in accordance with NASDAQ Marketplace Rule 4310c(14), due to the delay in the filing of its Quarterly Report on Form 10-Q for the quarter ended June 30, 2007. Previously on August 8, 2007, Rambus filed a Form 12(b)-25 with the Securities and Exchange Commission indicating that it would be unable to timely file its Form 10-Q for the quarter ended June 30, 2007.
Rambus intends to file its Form 10-K and required Forms 10-Q as soon as practicable following the completion of its restatement of prior financials to reflect the findings of the Audit Committee's independent review of the Company's historical stock option granting practices and related accounting. As previously disclosed, the Company estimates that the charge for all stock option related issues will be approximately $170 million to be booked as a non-cash, pre-tax charge from 1997 through 2005. A further approximately $20 million non-cash charge may be recognized between 2006 and 2009 as the older mis-priced options vest.

Rambus Receives European Commission Statement of Objections
LOS ALTOS, Calif.--(BUSINESS WIRE)--
Rambus Inc. (NASDAQ:RMBS) today confirmed that the European Commission has issued a Statement of Objections against the Company alleging violations of European Union competition law. The Statement of Objections follows complaints set forth by certain DRAM manufacturers originating with Rambus' 1992-1995 participation in an industry standard-setting organization, the Joint Electron Device Engineering Council ("JEDEC").
"The issues raised by the European Commission include Rambus' participation in JEDEC that ended over a decade ago," said Thomas Lavelle, senior vice president and general counsel at Rambus. "These are largely the same issues examined by a number of US courts, the Federal Trade Commission, and currently before the US Court of Appeals for the District of Columbia Circuit. We are studying the Statement of Objections and plan to respond in due course."
A Statement of Objections is a procedural step in the European Commission's antitrust investigation, in which the Commission communicates its preliminary view with respect to a possible infringement of European Union competition law. The European Commission will review responses to the Statement of Objections in order to determine whether to issue a final Decision. Any Decision would be subject to appeal to both the European Court of First Instance and the European Court of Justice.
The Company will present its response to the Commission's Statement of Objections over the next several months.
Rambus first filed a patent application for its revolutionary memory technology in 1990 and proceeded to teach the industry how to apply that technology, subject to nondisclosure agreements. By invitation, Rambus later joined a JEDEC committee that was developing a DRAM standard. Today, Rambus' industry-leading memory architecture solutions can be found in dozens of products including personal computers, servers, workstations, video game consoles, high-definition TVs, set-top boxes, and networking routers and switches.
