As background QIC own a substantial stake in Ambri. Given I joined the board of directors 2 days ago you can see that QIC are committed to a long holding period and generating growth in the stock.
As for what the board are doing, we are evaluating investment and merger opportunties that will provide share price appreciation for all shareholders with minmal dilution. Given the previous board squandered 97 million dollars on a biosensor technology I think the current boards cautious approach to sourcing investments and other approriate uses of Ambri capital in challenging global economic conditions is warranted.
If you have any further queries I am prepared to establish a phone call with you to discuss however let me be clear that I will not continue to respond to daily emails seeking updates on progress.

Memorandum has been prepared to assist Shareholders in considering the resolutions set out in the

Item 1 – Accounts and Reports
The financial statements of the Company and its controlled entities for the year ended 30 June 2008
together with the related Directors’ Report, Directors’ Declaration and Auditors’ Report have been
provided to you. Shareholders will be given the opportunity to ask questions of the Board and the
Auditor in relation to this material.
Resolution 1 – Remuneration report
This item provides an opportunity for Shareholders to ask questions and comment on the Remuneration
Report included in the Annual Report 2008.
The Corporations Act requires that at a listed company’s annual general meeting, a resolution that the

Mr Baynton is the managing director of Orbit Capital, a private, independent investment company that
also provides corporate advisory services, focusing on capital raisings, preparation for Stock Exchange
listing and listed investment opportunities. He has extensive experience in establishing and structuring
new companies, and raising seed and venture capital. Among other sectors, Mr Baynton also has
significant experience in early stage ventures in the life sciences/biotechnology sector and has been a cofounder
of three Australian biotechnology companies.
Mr Baynton also served as a director of PIPE Networks Limited, Tissue Therapies Limited and Lodestone
Exploration Limited.
Directors’ Recommendation
The Board recommends that members vote in favour of electing Mr Baynton as a director of the
Company.
Resolution 4 – re-election of Mr Timothy Brown as director
Rule 16.1 of the Company’s Constitution, consistent with Listing Rule 14.4, provides for the retirement of
one third of the directors from office at each annual general meeting.
In accordance with the Constitution, Mr Timothy Brown retires as director and offers himself for election
as a new director at this Annual General Meeting.
Upon re-election, Mr Brown will be a non-executive director of AMBRI.
Set out below is a brief bio for Mr Brown.
Mr Brown is currently employed by Macquarie Bank as Divisional Director-Head of Sales, Mortgages
Australia. Mr Brown has worked in the banking and finance industry for over 25 years and has held senior
management positions in financial intermediaries such as Suncorp, LJ Hooker, Aussie Home Loans and
AVCO Finance (acquired by GE Capital). Mr Brown’s extensive commercial experience includes his

successful establishment and ownership of LJ Hooker Home Loans as a master franchise, which was
subsequently acquired by LJ Hooker in 2003.
Directors’ Recommendation
The Board recommends that members vote in favour of re-electing Mr Brown as a director of the
Company.
Resolution 5 – change of company name
Resolution 5 seeks approval for a change of the Company’s name to ‘Diversa Limited’ in accordance with
section 157(a) of the Corporations Act and clause 9.2 of the Company’s constitution. Resolution 5 is a
special resolution which requires a 75% majority of members present or voting by proxy.
Since the cessation of research and development activities in 2006, the Company has sought to diversify
its interests in technologies and seek lower risk opportunities to exploit its technologies and otherwise
create value for shareholders.
Starting with the acquisition of Glykoz Pty Ltd in December 2006 the Company has succeeded in
broadening the Company’s interests to now be far wider that the development of the “Ambri
technologies” only. The “Ambri technologies” are also now licenced to third parties.
As a result, the board considers that it is appropriate to change the Company’s names to reflect the
broadening of the Company’s interests over the last two years resulting in a move away from being solely
focussed on development of the :Ambri technologies”.
Directors’ recommendation
The Board recommends that members vote in favour of changing the Company’s name to Diversa
Limited.
Resolutions 6 and 7 – approval of issue of options to directors under the Employee Share
Option Plan
Subject to the re-appointment of Mr Matthew Morgan under Resolution 2 and the appointment of Mr
Gregory Baynton under Resolution 3, AMBRI proposes to issue options to the Messrs Morgan and
Baynton, as incentives in addition to their remuneration as a director of the Company. It is proposed that
the options be issued under the Employee Share Option Plan.
50% of the options proposed to be issued under these resolutions require that the respective director
remain a director on the first anniversary after the options are issued in order for the options to vest.
The vesting terms for the options will be as outlined below:

Resolution 6: Mr Morgan – 1,000,000 options vesting on issue and 1,000,000 options vesting on the
first anniversary of issue provided Mr Baynton is, at that time, a director of the Company.
•
Resolution 7: Mr Baynton – 1,000,000 options vesting on issue and 1,000,000 options vesting on the
first anniversary of issue provided Mr Baynton is, at that time, a director of the Company.
The terms and conditions applying to the options is set out in Employee Share Option Plan, a copy of
which is available on request.
Approval for the issue of these options is sought under Listing Rule 10.14. Once approval is obtained
pursuant to Listing Rule 10.14, AMBRI is entitled to rely on Listing Rule 10.12, Exception 4 as an
exception to any requirement that may otherwise apply requiring shareholder approval under Listing Rule
10.11. Similarly, approval will not be required under Listing Rule 7.1.

General Information
ASX Listing Rule 10.14 requires the approval of holders of ordinary securities before securities can be
issued to a ‘related party’ under the Employee Share Option Plan. The Listing Rules apply the same
definition of related party as the Corporations Act, or a person whose relationship with the entity or
related party is in ASX’s opinion, such that approval ought to be obtained. Specific information must be
provided to Shareholders in accordance with Listing Rule 10.15A. and this is set out below.
The key terms of the options to be issued are as follows:
•
Messrs Morgan and Baynton (or their respective nominees) will be issued that number of options, at
the exercise price per option and subject to vesting in accordance with the relevant performance
milestones stated in the table above. The options are also subject to Mr Baynton’s continued
employment and/or consultancy with the Company;
•
the options will be issued as soon as practicable following shareholder approval, but in any event, not
later than one month after the date of the Annual General Meeting;
•
each option will entitle the holder (or nominee) to acquire one fully paid ordinary AMBRI share. The
maximum number of Shares that may be acquired on exercise of the options is 2,000,000;
•
no amount will be payable on the grant of an option;
•
any option that is not exercised prior to 5pm on 30 November 2011 will expire on that date;
•
if AMBRI makes an issue of Shares or other securities, including equity securities convertible into
Shares (Further Issue), a holder of options not is entitled to participate in such Further Issue unless
the options have been exercised on or before the relevant record date;
•
if there is a reorganisation (including consolidation, sub-division, reduction or return) of the share
capital of the Company, the rights of each holder of options issued will be changed to the extent
necessary to comply with the Listing Rules applying to a re-organisation of capital at the time of the
re-organisation (including the adjustment of the exercise price of the option in accordance with
Listing Rule 6.22);

all Shares issued pursuant to the exercise of options will, subject to the Constitution, rank in all

the options will not be quoted on ASX. AMBRI intends to apply to ASX for quotation of any Shares
acquired on exercise of the options; and
•
There are no loans in relation to the proposed issue under the Employee Share Option Plan.
Valuation
AASB 2 and IFRS Standard (No. 2) deal with share based payments. Consistent with those standards,
the Company discloses the following information concerning the value of the options to be issued to each
of the directors. A fair value for the options to be issued has been calculated using the Black Scholes
methodology and based on a number of assumptions, set out below, with an adjustment to the expected
life of the option to take account of limitations on transferability. The Board believes this valuation model
to be appropriate to the circumstances and has not used any other valuation or other models in
proposing the terms of the options.
The Board draws Shareholders’ attention to the fact the stated valuation does not constitute and should
not be taken as audited financial information. The reportable value of the employee benefit expense in
subsequent financial periods may vary due to a range of timing and other factors. In particular, the
figures are relevant to 31 July 2008.

Gregory Baynton under Resolution 3, Resolutions 8 and 9 seek Shareholder approval for the purposes of
Listing Rule 10.14 in respect of the possible issue of Shares to Messrs Morgan and Baynton as
Directors(assuming they are elected under Resolutions 2 and 3) under the Company’s Executive Officer
Share Plan in lieu of Director’s fees or other payments that would otherwise be payable in cash during
the period of three years after the date of this Annual General Meeting.
The proposal will allow Messrs Morgan and Baynton to elect to receive Shares under the Company’s
Executive Officer Share Plan in lieu of up to the full amount of the Director’s fees or any other payment
they may be entitled to receive. Approval was sought and obtained at the 2006 Annual General Meeting
for the then continuing directors to participate in the Executive Officer Share Plan, and renewal of the
approval of the operations of the Executive Officer Share Plan. Approval under these Resolutions will
permit Messrs Morgan and Baynton to be entitled to the same rights as the other Directors.
The potential issue of Shares under the Company’s Executive Officer Share Plan to Messrs Morgan and
Baynton is intended to align the interests of Messrs Morgan and Baynton with those of AMBRI and its
Shareholders as well as to conserve the cash reserves of the Company. There is no guarantee that, once
approved, Messrs Morgan and Baynton will elect to take Shares in lieu of cash.
Messrs Morgan and Baynton will be required to make an election each year, within 2 weeks after the
release of the Company’s Annual Report and half year report to ASX, as to the percentage of his fees
they wish to take by way of Shares rather than cash. This election will apply for the two subsequent
quarters. Such Shares will be issued at the prevailing market price (calculated as described below).
If Shareholders approve Resolutions 8 and 9, Messrs Morgan and Baynton can elect to receive Shares in
lieu of fees out of the pool of 3,600,000 Shares approved by shareholders at the 2006 AGM for the
purpose of issuing Shares to Directors under the Executive Officer Share Plan. That is, AMBRI does not
seek to increase that total number of Shares which can be issued (in lieu of cash fees), but simply to add
Messrs Morgan and Baynton to the list of Directors who can do so. The extent to which such Shares
actually will be issued will depend on the extent to which Messrs Morgan and Baynton elect to receive
Shares in lieu of their cash fees or other payment. Those Shares will, upon issue, immediately vest for

the benefit of Messrs Morgan and Baynton, and will be held by the trustee until Messrs Morgan and

Upon approval of Resolutions 2, 3, 8 and 9 being obtained, the following Directors and their associates
will be entitled to participate in the Executive Officer Share Plan:

Shares to be issued
The maximum number of Shares to be issued under the Executive Officer Share Plan will be 3,600,000
Shares over a period of three years from the date of the 2006 Annual General Meeting which was

The Shares will be issued to Messrs Morgan and Baynton upon their election, to receive Shares in lieu of
some or all of their cash fees or other payments, at the end of each quarter ending 31 March, 30 June,
30 September and 31 December of each year. The number of Shares to be issued to Mr Baynton will be
determined by dividing the cash amount that they agree to forego by the volume weighted average
market price of the Company’s Shares on ASX over the 10 trading days prior to the end of each quarter,
rounded up to the nearest half cent (VWAP). The maximum number of Shares which may be issued to
each of Messrs Morgan and Baynton is 1,200,000 Shares over the period until 14 December 2009.
No loan will be provided to Messrs Morgan and Baynton in connection with the acquisition of any Shares.

This Explanatory Memorandum forms part of the Notice of Annual General Meeting. This Explanatory
Memorandum has been prepared to assist Shareholders in considering the resolutions set out in the
Notice of Meeting. It is an important document and should be read carefully in its entirety by all
Shareholders in conjunction with the Notice of Meeting.
Item 1 – Accounts and Reports
The financial statements of the Company and its controlled entities for the year ended 30 June 2008
together with the related Directors’ Report, Directors’ Declaration and Auditors’ Report have been
provided to you. Shareholders will be given the opportunity to ask questions of the Board and the
Auditor in relation to this material.
Resolution 1 – Remuneration report
This item provides an opportunity for Shareholders to ask questions and comment on the Remuneration
Report included in the Annual Report 2008.
The Corporations Act requires that at a listed company’s annual general meeting, a resolution that the
remuneration report be adopted must be put to the vote. Shareholders will be given ample opportunity

Rule 13.2 of the Company’s Constitution, consistent with Listing Rule 14.4, provides for the election at
the next Annual General Meeting of the Company of a director appointed to fill retirement a casual
vacancy on the board.
In accordance with the Constitution, Mr Matthew Morgan offers himself for election as a new director at
this Annual General Meeting.
Upon election, Mr Morgan will be a non-executive director of AMBRI.
Set out below is a brief bio for Mr Morgan.

Mr Morgan is a Senior Investment Manager with the Queensland BioCapital Fund (QBF). He has
significant experience in technology investing, capital raising and commercialisation and is currently a
director of a number of unlisted biotechnology companies including Chair of CNSBio Pty Ltd. He is also a
member of the Kauffman Fellows Class 12.

The Board recommends that members vote in favour of electing Mr Morgan as a director of the
Company.
Resolution 3 – election of Mr Gregory Baynton as Director
Rule 13.2 of the Company’s Constitution, consistent with Listing Rule 14.4, provides for the election at
the next Annual General Meeting of the Company of a director appointed to fill retirement a casual
vacancy on the board.
In accordance with the Constitution, Mr Gregory Baynton offers himself for election as a new director at
this Annual General Meeting.
Upon election, Mr Baynton will be a non-executive director of AMBRI.
Set out below is a brief bio for Mr Baynton.
Mr Baynton is the managing director of Orbit Capital, a private, independent investment company that
also provides corporate advisory services, focusing on capital raisings, preparation for Stock Exchange
listing and listed investment opportunities. He has extensive experience in establishing and structuring
new companies, and raising seed and venture capital. Among other sectors, Mr Baynton also has
significant experience in early stage ventures in the life sciences/biotechnology sector and has been a cofounder
of three Australian biotechnology companies.
Mr Baynton also served as a director of PIPE Networks Limited, Tissue Therapies Limited and Lodestone
Exploration Limited.
Directors’ Recommendation
The Board recommends that members vote in favour of electing Mr Baynton as a director of the
Company.
Resolution 4 – re-election of Mr Timothy Brown as director
Rule 16.1 of the Company’s Constitution, consistent with Listing Rule 14.4, provides for the retirement of
one third of the directors from office at each annual general meeting.
In accordance with the Constitution, Mr Timothy Brown retires as director and offers himself for election
as a new director at this Annual General Meeting.
Upon re-election, Mr Brown will be a non-executive director of AMBRI.
Set out below is a brief bio for Mr Brown.
Mr Brown is currently employed by Macquarie Bank as Divisional Director-Head of Sales, Mortgages
Australia. Mr Brown has worked in the banking and finance industry for over 25 years and has held senior
management positions in financial intermediaries such as Suncorp, LJ Hooker, Aussie Home Loans and
AVCO Finance (acquired by GE Capital). Mr Brown’s extensive commercial experience includes his

successful establishment and ownership of LJ Hooker Home Loans as a master franchise, which was
subsequently acquired by LJ Hooker in 2003.
Directors’ Recommendation
The Board recommends that members vote in favour of re-electing Mr Brown as a director of the
Company.
Resolution 5 – change of company name
Resolution 5 seeks approval for a change of the Company’s name to ‘Diversa Limited’ in accordance with
section 157(a) of the Corporations Act and clause 9.2 of the Company’s constitution. Resolution 5 is a
special resolution which requires a 75% majority of members present or voting by proxy.
Since the cessation of research and development activities in 2006, the Company has sought to diversify
its interests in technologies and seek lower risk opportunities to exploit its technologies and otherwise
create value for shareholders.
Starting with the acquisition of Glykoz Pty Ltd in December 2006 the Company has succeeded in
broadening the Company’s interests to now be far wider that the development of the “Ambri
technologies” only. The “Ambri technologies” are also now licenced to third parties.
As a result, the board considers that it is appropriate to change the Company’s names to reflect the
broadening of the Company’s interests over the last two years resulting in a move away from being solely
focussed on development of the :Ambri technologies”.
Directors’ recommendation
The Board recommends that members vote in favour of changing the Company’s name to Diversa
Limited.
Resolutions 6 and 7 – approval of issue of options to directors under the Employee Share
Option Plan
Subject to the re-appointment of Mr Matthew Morgan under Resolution 2 and the appointment of Mr
Gregory Baynton under Resolution 3, AMBRI proposes to issue options to the Messrs Morgan and
Baynton, as incentives in addition to their remuneration as a director of the Company. It is proposed that
the options be issued under the Employee Share Option Plan.
50% of the options proposed to be issued under these resolutions require that the respective director
remain a director on the first anniversary after the options are issued in order for the options to vest.
The vesting terms for the options will be as outlined below:
•
Resolution 6: Mr Morgan – 1,000,000 options vesting on issue and 1,000,000 options vesting on the
first anniversary of issue provided Mr Baynton is, at that time, a director of the Company.
•
Resolution 7: Mr Baynton – 1,000,000 options vesting on issue and 1,000,000 options vesting on the
first anniversary of issue provided Mr Baynton is, at that time, a director of the Company.
The terms and conditions applying to the options is set out in Employee Share Option Plan, a copy of
which is available on request.
Approval for the issue of these options is sought under Listing Rule 10.14. Once approval is obtained
pursuant to Listing Rule 10.14, AMBRI is entitled to rely on Listing Rule 10.12, Exception 4 as an
exception to any requirement that may otherwise apply requiring shareholder approval under Listing Rule
10.11. Similarly, approval will not be required under Listing Rule 7.1.

The options have exercise prices of $0.02 and $0.03 which is 66% and 150% higher than the share price
as at the date of this Notice of Meeting and Explanatory Memorandum.

Total funds raised, assuming all of the options vest and are exercised, will be $100,000. The Company
intends to apply these aggregate funds to the general working capital of the Company.
General Information
ASX Listing Rule 10.14 requires the approval of holders of ordinary securities before securities can be
issued to a ‘related party’ under the Employee Share Option Plan. The Listing Rules apply the same
definition of related party as the Corporations Act, or a person whose relationship with the entity or
related party is in ASX’s opinion, such that approval ought to be obtained. Specific information must be
provided to Shareholders in accordance with Listing Rule 10.15A. and this is set out below.
The key terms of the options to be issued are as follows:
•
Messrs Morgan and Baynton (or their respective nominees) will be issued that number of options, at
the exercise price per option and subject to vesting in accordance with the relevant performance
milestones stated in the table above. The options are also subject to Mr Baynton’s continued
employment and/or consultancy with the Company;
•
the options will be issued as soon as practicable following shareholder approval, but in any event, not
later than one month after the date of the Annual General Meeting;
•
each option will entitle the holder (or nominee) to acquire one fully paid ordinary AMBRI share. The
maximum number of Shares that may be acquired on exercise of the options is 2,000,000;
•
no amount will be payable on the grant of an option;
•
any option that is not exercised prior to 5pm on 30 November 2011 will expire on that date;
•
if AMBRI makes an issue of Shares or other securities, including equity securities convertible into
Shares (Further Issue), a holder of options not is entitled to participate in such Further Issue unless
the options have been exercised on or before the relevant record date;
•
if there is a reorganisation (including consolidation, sub-division, reduction or return) of the share
capital of the Company, the rights of each holder of options issued will be changed to the extent
necessary to comply with the Listing Rules applying to a re-organisation of capital at the time of the
re-organisation (including the adjustment of the exercise price of the option in accordance with
Listing Rule 6.22);

all Shares issued pursuant to the exercise of options will, subject to the Constitution, rank in all
respects (other than in respect of dividends, rights issues or bonus issues for which the record date
for participation has passed) pari passu with the existing Shares at the date of issue and allotment;

the options will not be quoted on ASX. AMBRI intends to apply to ASX for quotation of any Shares
acquired on exercise of the options; and
•
There are no loans in relation to the proposed issue under the Employee Share Option Plan.
Valuation
AASB 2 and IFRS Standard (No. 2) deal with share based payments. Consistent with those standards,
the Company discloses the following information concerning the value of the options to be issued to each

to participate in the Employee Share Option Plan after Resolutions 6 and 7 are approved (and in addition
to the approval that was obtained at the 2006 AGM), who are not named in this Explanatory
Memorandum (or that of the 2006 AGM), will not participate until approval is obtained under ASX Listing

Directors’ Recommendation
Resolution 6 - The Board (excluding Mr Morgan) recommends that members vote in favour of approving
the issue of options to Mr Matthew Morgan under the Employee Share Option Plan.
Resolution 7 -The Board (excluding Mr Baynton) recommends that members vote in favour of approving
the issue of options to Mr Gregory Baynton under the Employee Share Option Plan.
Resolutions 8 and 9 – approval of the issue of Shares to Mr Matthew Morgan and Mr Gregory
Baynton under Executive Officer Share Plan
Subject to the re-appointment of Mr Matthew Morgan under Resolution 2 and the appointment of Mr
Gregory Baynton under Resolution 3, Resolutions 8 and 9 seek Shareholder approval for the purposes of
Listing Rule 10.14 in respect of the possible issue of Shares to Messrs Morgan and Baynton as
Directors(assuming they are elected under Resolutions 2 and 3) under the Company’s Executive Officer
Share Plan in lieu of Director’s fees or other payments that would otherwise be payable in cash during
the period of three years after the date of this Annual General Meeting.
The proposal will allow Messrs Morgan and Baynton to elect to receive Shares under the Company’s
Executive Officer Share Plan in lieu of up to the full amount of the Director’s fees or any other payment
they may be entitled to receive. Approval was sought and obtained at the 2006 Annual General Meeting
for the then continuing directors to participate in the Executive Officer Share Plan, and renewal of the
approval of the operations of the Executive Officer Share Plan. Approval under these Resolutions will
permit Messrs Morgan and Baynton to be entitled to the same rights as the other Directors.
The potential issue of Shares under the Company’s Executive Officer Share Plan to Messrs Morgan and
Baynton is intended to align the interests of Messrs Morgan and Baynton with those of AMBRI and its
Shareholders as well as to conserve the cash reserves of the Company. There is no guarantee that, once
approved, Messrs Morgan and Baynton will elect to take Shares in lieu of cash.
Messrs Morgan and Baynton will be required to make an election each year, within 2 weeks after the
release of the Company’s Annual Report and half year report to ASX, as to the percentage of his fees
they wish to take by way of Shares rather than cash. This election will apply for the two subsequent
quarters. Such Shares will be issued at the prevailing market price (calculated as described below).
If Shareholders approve Resolutions 8 and 9, Messrs Morgan and Baynton can elect to receive Shares in
lieu of fees out of the pool of 3,600,000 Shares approved by shareholders at the 2006 AGM for the
purpose of issuing Shares to Directors under the Executive Officer Share Plan. That is, AMBRI does not
seek to increase that total number of Shares which can be issued (in lieu of cash fees), but simply to add
Messrs Morgan and Baynton to the list of Directors who can do so. The extent to which such Shares
actually will be issued will depend on the extent to which Messrs Morgan and Baynton elect to receive
Shares in lieu of their cash fees or other payment. Those Shares will, upon issue, immediately vest for

the benefit of Messrs Morgan and Baynton, and will be held by the trustee until Messrs Morgan and
Baynton instruct the trustee otherwise.
The following further information is provided in accordance with Listing Rule 10.15A.
Details of participants
Upon approval of Resolutions 2, 3, 8 and 9 being obtained, the following Directors and their associates
will be entitled to participate in the Executive Officer Share Plan:

Mr Matthew Morgan;

Mr Gregory Baynton; and
•
Mr Timothy Brown.
Shares to be issued
The maximum number of Shares to be issued under the Executive Officer Share Plan will be 3,600,000
Shares over a period of three years from the date of the 2006 Annual General Meeting which was
convened on 15 December 2006.
The Shares will be issued to Messrs Morgan and Baynton upon their election, to receive Shares in lieu of
some or all of their cash fees or other payments, at the end of each quarter ending 31 March, 30 June,
30 September and 31 December of each year. The number of Shares to be issued to Mr Baynton will be
determined by dividing the cash amount that they agree to forego by the volume weighted average
market price of the Company’s Shares on ASX over the 10 trading days prior to the end of each quarter,
rounded up to the nearest half cent (VWAP). The maximum number of Shares which may be issued to
each of Messrs Morgan and Baynton is 1,200,000 Shares over the period until 14 December 2009.
No loan will be provided to Messrs Morgan and Baynton in connection with the acquisition of any Shares.

Posten 1 - Konten und Berichte
Der Jahresabschluss der Gesellschaft sowie der von ihm kontrollierten Unternehmen für das Jahr zum 30. Juni 2008
zusammen mit der damit verbundenen Directors' Report, Directors' Erklärung und Bestätigungsvermerk des Abschlussprüfers wurden
Ihnen. Die Aktionäre erhalten die Möglichkeit, ihre Fragen des Verwaltungsrats und des
Abschlussprüfer in Bezug auf dieses Material.
Resolution 1 - Vergütungsbericht
Dieser Posten ist eine Chance für die Aktionäre, Fragen zu stellen und Kommentar über die Vergütung
Bericht im Geschäftsbericht 2008.
Die Corporations Act verlangt, dass an einer börsennotierten Gesellschaft der Hauptversammlung eine Entschließung, dass die
Vergütung Bericht angenommen werden muss, über die Abstimmung. Aktionäre erhalten ausreichend Gelegenheit
Fragen in Bezug auf diese Berichte und Erklärungen an dem Treffen teil. Die Abstimmung über den

Resolution 2 - Wahl von Herrn Matthew Morgan als Regisseur

Direktor einer Reihe von nicht börsennotierten Biotechnologie-Unternehmen einschließlich der Lehrstuhl für CNSBio Pty Ltd Er ist auch ein
Mitglied der Kauffman Fellows Klasse 12.

Resolution 3 - Wahl von Herrn Gregory Baynton als Direktor

auch Corporate-Beratung, wobei der Schwerpunkt auf Kapitalerhöhungen, Vorbereitung für Stock Exchange
Angebots-und Investitionsmöglichkeiten zu finden. Er verfügt über umfangreiche Erfahrungen bei der Einrichtung und Strukturierung
neue Unternehmen, und Steigerung des Seed-und Venture Capital. Unter anderen Sektoren, Herr Baynton hat auch
große Erfahrung in der frühen Phase Ventures im Bereich der Life Sciences / Biotechnologie-Branche und war ein Mitbegründer
von drei australischen Biotechnologie-Unternehmen.
Herr Baynton diente auch als Regisseur von PIPE Networks Limited, Tissue Therapien Limited und Lodestone
Exploration Limited.

Der Vorstand empfiehlt, dass die Mitglieder stimmen der Wahl von Herrn Baynton als Direktor des
Firma.
Resolution 4 - Wiederwahl von Herrn Timothy Brown als Direktor
Artikel 16/1 dass das Unternehmen in der Verfassung, im Einklang mit Artikel Listing 14/4, sieht vor, dass die Altersversorgung der
ein Drittel der Direktoren aus dem Amt bei jeder jährlichen Hauptversammlung.
In Übereinstimmung mit der Verfassung, Herr Timothy Brown tritt in den Ruhestand als Direktor und bietet sich für die Wahl
als neuer Direktor an dieser Hauptversammlung.
Bei der Neuwahl, Herr Brown wird ein Non-Executive Director von Ambrì.
Im Folgenden dargelegt ist eine kurze bio für Herrn Brown.
Herr Brown ist derzeit bei Macquarie Bank als Divisional Director-Head of Sales, Hypotheken
Australien. Herr Brown hat sich im Banken-und Finanz-Industrie seit über 25 Jahren und hat leitende
Management-Positionen in Finanzintermediäre wie Suncorp, LJ Hooker, Aussie Home Loans und
AVCO Finanzen (erworben durch GE Capital). Herr Brown's umfangreiche Erfahrung umfasst sein

Firma.
Auflösung 5 - Änderung des Firmennamens
Auflösung 5 soll Genehmigung für eine Änderung der Firma der Name "Diversa Limited" im Einklang mit
Abschnitt 157 (a) des Corporations Act und Klausel 9.2 der Firma Verfassung. Auflösung 5 ist ein
besonderen Entschließung, die eine 75% Mehrheit der anwesenden Mitglieder oder die Stimmabgabe durch Stimmrechtsvertretung.
Seit der Einstellung der Forschungs-und Entwicklungsaktivitäten in 2006, die Gesellschaft hat sich um die Diversifizierung der
seine Interessen in Technologien und suchen geringeres Risiko Möglichkeiten zur Nutzung ihrer Technologien und anderes
Schaffung von Mehrwert für die Aktionäre.
Beginnend mit dem Erwerb von Glykoz Pty Ltd im Dezember 2006 der Firma ist es gelungen,

Resolutionen 6 und 7 - Genehmigung der Ausgabe von Optionen an Direktoren im Rahmen der Mitarbeiter-Anteil
Option Plan
Vorbehaltlich der Re-Ernennung von Herrn Matthew Morgan gemäß der Resolution 2 und die Ernennung von Herrn
Gregory Baynton gemäß der Resolution 3, Ambri schlägt vor, zur Ausgabe von Optionen an die Herren Morgan und
Baynton, wie Anreize zusätzlich zu ihrer Vergütung als Direktor der Gesellschaft. Es wird vorgeschlagen, dass
die Optionen werden im Rahmen der Employee Share Option Plan.
50% der Optionen vorgeschlagen, werden im Rahmen dieser Resolutionen verlangen, dass die jeweiligen Leiter
nach wie vor ein Regisseur auf dem ersten Jahrestag nach der Optionen ausgegeben werden, damit die Optionen für die Weste.
Die Sperrfrist Bedingungen für die Optionen werden wie folgt an:

Auflösung 6: Herr Morgan - 1000000 Ausübung der Bezugsrechte bei Erteilung und 1000000 Ausübung der Bezugsrechte, auf die
ersten Jahrestag der Frage, die Herr Baynton ist, zu diesem Zeitpunkt, ein Direktor des Unternehmens.

Entschließung 7: Herr Baynton - 1000000 Ausübung der Bezugsrechte bei Erteilung und 1000000 Ausübung der Bezugsrechte, auf die
ersten Jahrestag der Frage, die Herr Baynton ist, zu diesem Zeitpunkt, ein Direktor des Unternehmens.
Die Voraussetzungen und Bedingungen für die Gewährung der Optionen ist in Employee Share Option Plan, eine Kopie der

Genehmigung für die Ausstellung dieser Optionen beantragt wird, unter Artikel Listing 10.14. Nach Genehmigung erteilt wurde
gemäß Artikel Listing 10,14, Ambri ist berechtigt, sich auf Artikel Listing 10/12, 4 als Ausnahme ein
Ausnahme für jede Anforderung, dass anders Mai gelten, die Zustimmung der Aktionäre gemäß Artikel Listing

Allgemeine Informationen
ASX Listing Artikel 10,14 bedarf der Zustimmung der Inhaber von Wertpapieren vor dem ordentlichen Wertpapiere können
, die einem "verbundenen Parteien" unter der Employee Share Option Plan. Das Kotierungsreglement gelten die gleichen
Definition der Beziehungen zu nahe stehenden Unternehmen wie die Akte, oder eine Person, deren Beziehung mit dem Unternehmen oder
mit verbundenen Parteien ist ASX in der Stellungnahme, so dass die Genehmigung sollte zu erhalten. Spezifische Informationen müssen
sofern an die Aktionäre in Einklang mit Artikel Listing 10.15A. und das ist im Folgenden dargelegt.
Die wichtigsten Begriffe der Optionen für die ausgestellt werden, sind wie folgt:

Herren Morgan und Baynton (oder ihre jeweiligen Kandidaten) ausgegeben werden, dass die Zahl der Optionen, bei
der Ausübungspreis pro Option und vorbehaltlich der Sperrfrist im Einklang mit den einschlägigen Performance -
Meilensteine in der Tabelle oben. Die Optionen unterliegen auch Herr Baynton's weiter
Beschäftigungs-und / oder Beratung mit der Firma;
•
die Optionen werden so bald wie möglich nach Zustimmung der Aktionäre, aber in jedem Fall, nicht
später als einen Monat nach dem Tag der Hauptversammlung;
•
jede Option berechtigt den Inhaber (oder Nominee) zu erwerben, ein voll eingezahlten Aktien normalen Ambri. Der
maximale Anzahl von Aktien, die erworben werden dürfen bei Ausübung der Optionen ist 2000000;
•
wird kein Betrag zu entrichten, über die Gewährung einer Option;
•
jede Option, die nicht ausgeübt werden vor 5pm am 30. November 2011 läuft zu diesem Zeitpunkt;
•
Ambri macht, wenn ein Ausgabe von Aktien oder anderen Wertpapieren, einschließlich Dividendenwerte umwandelbar in
Aktien (Weitere Ausgabe), ein Inhaber von Optionen ist nicht berechtigt zur Teilnahme an solchen Weitere Ausgabe, es sei denn,
die Optionen ausgeübt wurden am oder vor dem jeweiligen Stichtag;
•
wenn es eine Umstrukturierung (einschließlich Konsolidierung, Sub-Division, Reduktion oder Hin-und Rückfahrt) der Aktie
Grundkapital der Gesellschaft, die Rechte der einzelnen Inhaber der ausgegebenen Optionen wird so geändert werden, das Ausmaß
erforderlich sind, um mit dem Kotierungsreglement Anwendung zu einer Neuorganisation des Kapitals zum Zeitpunkt der

Hinsicht (außer in Bezug auf Dividenden, die Rechte Fragen oder Bonus, für die die Record Date
für die Teilnahme ist vergangen) pari passu mit den bestehenden Aktien zum Zeitpunkt der Ausstellung und Zuteilung;

die Optionen werden nicht zitiert auf ASX. Ambri beabsichtigt, für ASX für die Notierung von Aktien
erworben bei Ausübung der Optionen; und
•
Es gibt keine Kredite in Bezug auf die vorgeschlagene Thema im Rahmen des Employee Share Option Plan.
Bewertung
AASB 2 und IFRS-Standard (Nr. 2) befassen sich mit Aktien auf der Grundlage Zahlungen. In Übereinstimmung mit diesen Normen,
die Gesellschaft offenbart die folgenden Informationen über den Wert der Optionen soll an jedem
der Direktoren. Eine faire Wert für die Optionen, die ausgestellt worden ist, berechnet anhand des Black-Scholes
Methodik und basiert auf einer Reihe von Annahmen, im Folgenden dargelegt, mit einer Anpassung an den erwarteten
Laufzeit der Option zur Berücksichtigung von Beschränkungen der Übertragbarkeit. Der Verwaltungsrat ist der Auffassung, dieser Bewertung Modell

Vorbehaltlich der Re-Ernennung von Herrn Matthew Morgan gemäß der Resolution 2 und die Ernennung von Herrn
Gregory Baynton gemäß der Resolution 3, Entschließungen 8 und 9 um Zustimmung der Aktionäre für die Zwecke der
Listing Artikel 10,14 im Hinblick auf die mögliche Ausgabe von Aktien an die Herren Morgan und Baynton als
Directors (vorausgesetzt, sie gewählt worden sind, gemäß den Resolutionen 2 und 3) im Rahmen der Gesellschaft Executive Officer
Share Plan an Stelle des Direktors der Gebühren oder andere Zahlungen, die sonst zu zahlen in bar während
den Zeitraum von drei Jahren nach dem Datum dieser Hauptversammlung.
Der Vorschlag ermöglicht es den Herren Morgan und Baynton zur Wahl zu erhalten, Aktien im Rahmen der Gesellschaft
Executive Officer Share Plan anstelle von bis zu den vollen Betrag des Direktors der Gebühren oder jedem anderen Zahlungsmittel
sie auch sein mögen zusteht. Genehmigung beantragt wurde, und erhielt 2006 an der Hauptversammlung
für die dann weiterhin Direktoren zur Teilnahme an den Executive Officer Share Plan, und Erneuerung der
Genehmigung der Maßnahmen des Executive Officer Share Plan. Genehmigung im Rahmen dieser Beschlüsse wird
Genehmigung Herren Morgan und Baynton, dem das Recht auf die gleichen Rechte wie die anderen Direktoren.
Das Potenzial Ausgabe von Aktien im Rahmen des Company's Executive Officer Share Plan, um den Herren Morgan und
Baynton ist, um die Interessen der Herren Morgan und Baynton mit denen von Ambri und seine
Aktionäre sowie zur Erhaltung der Cash-Reserven der Gesellschaft. Es gibt keine Garantie, dass es nach der

anstelle von Gebühren aus dem Pool von 3600000 Aktien von Aktionären auf der Hauptversammlung 2006 für die
Zweck der Ausgabe von Aktien der Directors im Rahmen des Executive Officer Share Plan. Das heißt, Ambri nicht

einige oder alle ihrer Cash-Gebühren oder sonstigen Zahlungen, am Ende eines jeden Quartals bis zum 31. März, 30. Juni,
30 September und 31. Dezember eines jeden Jahres. Die Anzahl der Aktien soll an Herrn Baynton werden
ermittelt, indem der Cash-Betrag, dass sie damit einverstanden, auf der gewichteten durchschnittlichen
Marktpreis der Aktien der Gesellschaft auf ASX über der 10 Börsentage vor dem Ende eines jeden Quartals,
gerundet auf den halben Cent (VWAP per). Die maximale Anzahl von Aktien dar und kann zu
jeder der Herren Morgan und Baynton ist 1200000 Aktien über den Zeitraum bis zum 14. Dezember 2009.

Posten 1 - Konten und Berichte
Der Jahresabschluss der Gesellschaft sowie der von ihm kontrollierten Unternehmen für das Jahr zum 30. Juni 2008
zusammen mit der damit verbundenen Directors' Report, Directors' Erklärung und Bestätigungsvermerk des Abschlussprüfers wurden
Ihnen. Die Aktionäre erhalten die Möglichkeit, ihre Fragen des Verwaltungsrats und des
Abschlussprüfer in Bezug auf dieses Material.
Resolution 1 - Vergütungsbericht
Dieser Posten ist eine Chance für die Aktionäre, Fragen zu stellen und Kommentar über die Vergütung
Bericht im Geschäftsbericht 2008.
Die Corporations Act verlangt, dass an einer börsennotierten Gesellschaft der Hauptversammlung eine Entschließung, dass die
Vergütung Bericht angenommen werden muss, über die Abstimmung. Aktionäre erhalten ausreichend Gelegenheit
Fragen in Bezug auf diese Berichte und Erklärungen an dem Treffen teil. Die Abstimmung über den
vorgeschlagene Entschließung ist die rein beratende Funktion und wird nicht rechtsverbindlich für die Direktoren oder die Gesellschaft.

Resolution 2 - Wahl von Herrn Matthew Morgan als Regisseur

Direktor einer Reihe von nicht börsennotierten Biotechnologie-Unternehmen einschließlich der Lehrstuhl für CNSBio Pty Ltd Er ist auch ein
Mitglied der Kauffman Fellows Klasse 12.

Resolution 3 - Wahl von Herrn Gregory Baynton als Direktor

auch Corporate-Beratung, wobei der Schwerpunkt auf Kapitalerhöhungen, Vorbereitung für Stock Exchange
Angebots-und Investitionsmöglichkeiten zu finden. Er verfügt über umfangreiche Erfahrungen bei der Einrichtung und Strukturierung
neue Unternehmen, und Steigerung des Seed-und Venture Capital. Unter anderen Sektoren, Herr Baynton hat auch
große Erfahrung in der frühen Phase Ventures im Bereich der Life Sciences / Biotechnologie-Branche und war ein Mitbegründer
von drei australischen Biotechnologie-Unternehmen.
Herr Baynton diente auch als Regisseur von PIPE Networks Limited, Tissue Therapien Limited und Lodestone
Exploration Limited.

Der Vorstand empfiehlt, dass die Mitglieder stimmen der Wahl von Herrn Baynton als Direktor des
Firma.
Resolution 4 - Wiederwahl von Herrn Timothy Brown als Direktor
Artikel 16/1 dass das Unternehmen in der Verfassung, im Einklang mit Artikel Listing 14/4, sieht vor, dass die Altersversorgung der
ein Drittel der Direktoren aus dem Amt bei jeder jährlichen Hauptversammlung.
In Übereinstimmung mit der Verfassung, Herr Timothy Brown tritt in den Ruhestand als Direktor und bietet sich für die Wahl
als neuer Direktor an dieser Hauptversammlung.
Bei der Neuwahl, Herr Brown wird ein Non-Executive Director von Ambrì.
Im Folgenden dargelegt ist eine kurze bio für Herrn Brown.
Herr Brown ist derzeit bei Macquarie Bank als Divisional Director-Head of Sales, Hypotheken
Australien. Herr Brown hat sich im Banken-und Finanz-Industrie seit über 25 Jahren und hat leitende

AVCO Finanzen (erworben durch GE Capital). Herr Brown's umfangreiche Erfahrung umfasst sein

Auflösung 5 - Änderung des Firmennamens
Auflösung 5 soll Genehmigung für eine Änderung der Firma der Name "Diversa Limited" im Einklang mit
Abschnitt 157 (a) des Corporations Act und Klausel 9.2 der Firma Verfassung. Auflösung 5 ist ein
besonderen Entschließung, die eine 75% Mehrheit der anwesenden Mitglieder oder die Stimmabgabe durch Stimmrechtsvertretung.
Seit der Einstellung der Forschungs-und Entwicklungsaktivitäten in 2006, die Gesellschaft hat sich um die Diversifizierung der
seine Interessen in Technologien und suchen geringeres Risiko Möglichkeiten zur Nutzung ihrer Technologien und anderes
Schaffung von Mehrwert für die Aktionäre.
Beginnend mit dem Erwerb von Glykoz Pty Ltd im Dezember 2006 der Firma ist es gelungen,
Erweiterung des Unternehmens Interessen nun weit, dass die Entwicklung der "Ambri
Technologien "nur. Die "Ambri-Technologien" sind auch jetzt Lizenz an Dritte weitergegeben.

Resolutionen 6 und 7 - Genehmigung der Ausgabe von Optionen an Direktoren im Rahmen der Mitarbeiter-Anteil
Option Plan
Vorbehaltlich der Re-Ernennung von Herrn Matthew Morgan gemäß der Resolution 2 und die Ernennung von Herrn
Gregory Baynton gemäß der Resolution 3, Ambri schlägt vor, zur Ausgabe von Optionen an die Herren Morgan und
Baynton, wie Anreize zusätzlich zu ihrer Vergütung als Direktor der Gesellschaft. Es wird vorgeschlagen, dass
die Optionen werden im Rahmen der Employee Share Option Plan.
50% der Optionen vorgeschlagen, werden im Rahmen dieser Resolutionen verlangen, dass die jeweiligen Leiter
nach wie vor ein Regisseur auf dem ersten Jahrestag nach der Optionen ausgegeben werden, damit die Optionen für die Weste.
Die Sperrfrist Bedingungen für die Optionen werden wie folgt an:

Auflösung 6: Herr Morgan - 1000000 Ausübung der Bezugsrechte bei Erteilung und 1000000 Ausübung der Bezugsrechte, auf die
ersten Jahrestag der Frage, die Herr Baynton ist, zu diesem Zeitpunkt, ein Direktor des Unternehmens.

Entschließung 7: Herr Baynton - 1000000 Ausübung der Bezugsrechte bei Erteilung und 1000000 Ausübung der Bezugsrechte, auf die
ersten Jahrestag der Frage, die Herr Baynton ist, zu diesem Zeitpunkt, ein Direktor des Unternehmens.
Die Voraussetzungen und Bedingungen für die Gewährung der Optionen ist in Employee Share Option Plan, eine Kopie der

Genehmigung für die Ausstellung dieser Optionen beantragt wird, unter Artikel Listing 10.14. Nach Genehmigung erteilt wurde
gemäß Artikel Listing 10,14, Ambri ist berechtigt, sich auf Artikel Listing 10/12, 4 als Ausnahme ein
Ausnahme für jede Anforderung, dass anders Mai gelten, die Zustimmung der Aktionäre gemäß Artikel Listing

Insgesamt aufgenommenen Mittel, wenn alle der Optionen ausübbar sind und ausgeübt werden, werden 100.000 Dollar. Das Unternehmen
beabsichtigt, diese Summe Mittel an die allgemeine Betriebskapital des Unternehmens.
Allgemeine Informationen
ASX Listing Artikel 10,14 bedarf der Zustimmung der Inhaber von Wertpapieren vor dem ordentlichen Wertpapiere können
, die einem "verbundenen Parteien" unter der Employee Share Option Plan. Das Kotierungsreglement gelten die gleichen
Definition der Beziehungen zu nahe stehenden Unternehmen wie die Akte, oder eine Person, deren Beziehung mit dem Unternehmen oder
mit verbundenen Parteien ist ASX in der Stellungnahme, so dass die Genehmigung sollte zu erhalten. Spezifische Informationen müssen
sofern an die Aktionäre in Einklang mit Artikel Listing 10.15A. und das ist im Folgenden dargelegt.
Die wichtigsten Begriffe der Optionen für die ausgestellt werden, sind wie folgt:

Herren Morgan und Baynton (oder ihre jeweiligen Kandidaten) ausgegeben werden, dass die Zahl der Optionen, bei
der Ausübungspreis pro Option und vorbehaltlich der Sperrfrist im Einklang mit den einschlägigen Performance -
Meilensteine in der Tabelle oben. Die Optionen unterliegen auch Herr Baynton's weiter
Beschäftigungs-und / oder Beratung mit der Firma;
•
die Optionen werden so bald wie möglich nach Zustimmung der Aktionäre, aber in jedem Fall, nicht
später als einen Monat nach dem Tag der Hauptversammlung;
•
jede Option berechtigt den Inhaber (oder Nominee) zu erwerben, ein voll eingezahlten Aktien normalen Ambri. Der
maximale Anzahl von Aktien, die erworben werden dürfen bei Ausübung der Optionen ist 2000000;
•
wird kein Betrag zu entrichten, über die Gewährung einer Option;
•
jede Option, die nicht ausgeübt werden vor 5pm am 30. November 2011 läuft zu diesem Zeitpunkt;
•
Ambri macht, wenn ein Ausgabe von Aktien oder anderen Wertpapieren, einschließlich Dividendenwerte umwandelbar in
Aktien (Weitere Ausgabe), ein Inhaber von Optionen ist nicht berechtigt zur Teilnahme an solchen Weitere Ausgabe, es sei denn,
die Optionen ausgeübt wurden am oder vor dem jeweiligen Stichtag;

wenn es eine Umstrukturierung (einschließlich Konsolidierung, Sub-Division, Reduktion oder Hin-und Rückfahrt) der Aktie

für die Teilnahme ist vergangen) pari passu mit den bestehenden Aktien zum Zeitpunkt der Ausstellung und Zuteilung;

die Optionen werden nicht zitiert auf ASX. Ambri beabsichtigt, für ASX für die Notierung von Aktien
erworben bei Ausübung der Optionen; und

Es gibt keine Kredite in Bezug auf die vorgeschlagene Thema im Rahmen des Employee Share Option Plan.
Bewertung
AASB 2 und IFRS-Standard (Nr. 2) befassen sich mit Aktien auf der Grundlage Zahlungen. In Übereinstimmung mit diesen Normen,
die Gesellschaft offenbart die folgenden Informationen über den Wert der Optionen soll an jedem
der Direktoren. Eine faire Wert für die Optionen, die ausgestellt worden ist, berechnet anhand des Black-Scholes
Methodik und basiert auf einer Reihe von Annahmen, im Folgenden dargelegt, mit einer Anpassung an den erwarteten
Laufzeit der Option zur Berücksichtigung von Beschränkungen der Übertragbarkeit. Der Verwaltungsrat ist der Auffassung, dieser Bewertung Modell

Share Plan an Stelle des Direktors der Gebühren oder andere Zahlungen, die sonst zu zahlen in bar während
den Zeitraum von drei Jahren nach dem Datum dieser Hauptversammlung.
Der Vorschlag ermöglicht es den Herren Morgan und Baynton zur Wahl zu erhalten, Aktien im Rahmen der Gesellschaft
Executive Officer Share Plan anstelle von bis zu den vollen Betrag des Direktors der Gebühren oder jedem anderen Zahlungsmittel
sie auch sein mögen zusteht. Genehmigung beantragt wurde, und erhielt 2006 an der Hauptversammlung
für die dann weiterhin Direktoren zur Teilnahme an den Executive Officer Share Plan, und Erneuerung der
Genehmigung der Maßnahmen des Executive Officer Share Plan. Genehmigung im Rahmen dieser Beschlüsse wird
Genehmigung Herren Morgan und Baynton, dem das Recht auf die gleichen Rechte wie die anderen Direktoren.
Das Potenzial Ausgabe von Aktien im Rahmen des Company's Executive Officer Share Plan, um den Herren Morgan und
Baynton ist, um die Interessen der Herren Morgan und Baynton mit denen von Ambri und seine

anstelle von Gebühren aus dem Pool von 3600000 Aktien von Aktionären auf der Hauptversammlung 2006 für die
Zweck der Ausgabe von Aktien der Directors im Rahmen des Executive Officer Share Plan. Das heißt, Ambri nicht

Marktpreis der Aktien der Gesellschaft auf ASX über der 10 Börsentage vor dem Ende eines jeden Quartals,
gerundet auf den halben Cent (VWAP per). Die maximale Anzahl von Aktien dar und kann zu
jeder der Herren Morgan und Baynton ist 1200000 Aktien über den Zeitraum bis zum 14. Dezember 2009.

Sie möchten Abstimmung in der Aus, Vor-Box oder der Stimme enthalten oder Kisten. Der
Summe der abgegebenen Stimmen darf nicht mehr als Ihre Abstimmung den Anspruch oder die

Ernennung eines zweiten Proxy: Sie sind berechtigt, bis zu zwei

Jetzt verkauft man also doch noch sein einziges Kapital, den wohlklingenden Namen Ambri, der mit A beginnt und gerne von anderen gekauft wurde. Das war wahrscheinlich das einzige was hier noch Wert hatte! Herzlichen Glückwunsch an die Noch-immer-Aktionäre. Diversa, dass ich nicht lache.
Jetzt fehlt nur noch wieder im Abzocke-Blatt "der Aktionär" "Diversa - Der Ion Channel Swith Biosensor erobert ganz neu den Markt, die 300, nein die 1000 Prozent Chance", was letztlich nicht schlecht wäre, dann könnt ihr von dem Geld was ihr hier verloren habt wenigstens noch mal toll essen gehen, falls ihr dann so schlau seid zu verkaufen.
Sollte allen eine Leere sein auf dieses Blatt hören!
