BOCA RATON, Fla.--(BUSINESS WIRE)--Oct. 12, 2004--Med Gen Inc. (OTCBB:MDGN), manufacturers of the national brands Snorenz(R), snore relief throat spray and Good Nights Sleep(R), sleep aid throat spray, announced today that its sales for the month ending September 30th, 2004 were $101,352. Sales for September have exceeded monthly sales over the past four months and indicate very positive growth:D as a result of the advertising campaigns that were implemented in April. The normally quiet summer months are now giving way to the company`s most profitable seasons, fall and winter.

Paul Kravitz, company Chairman and Chief Executive, in a telephone conference with investment professionals went on to explain that the company shows other important signs of healthy growth. In a comparison of September 2003 with preliminary and unaudited September 2004 numbers, the company has dramatically increased its operating income by $89,000 and in doing so has reached "break even" on an operating basis:eek:. This is a result of an intensive reduction in costs associated with legal, general overhead and rent. Secondly, the company went from a negative shareholders equity of $881,000 to a positive shareholders equity of $355,000:D, a swing of $1.23 million and lastly, current liabilities were reduced from $1,918,267 to $267,034, a reduction of $1.65 million.:D

As a result of the tremendous improvement in the company`s financial position, management feels that it has positioned the company for expansive growth as it enters its eighth year. New store openings, a healthy capital position and reduced overhead all spell success.

      OVERVIEW

Med Gen Inc. (MDGN-OTCB) is a publicly traded company. It is the manufacturer and marketer of the first liquid snoring relief formula in the world. Med Gen’s Snorenz® brand has been featured on national television, radio shows and in newsprint. Snorenz® is sold in over 35,000 stores world-wide and in the United States is featured in major drug and department stores, some of which are Wal-Mart, Eckerd, Walgreen, Albertson, Sav-On, Osco and smaller chains and independent pharmacies serviced by major pharmaceutical distributors.

The company has released its newest product, Good Nights Sleep™, a liquid spray sleep aid, which is now being sold at Albertson and CVS stores and in mid-October, will be featured at Eckerd Drugs.

Both products are unique in their delivery systems, allowing for fast absorption into the body for quick relief and effectiveness. The niche markets that Med Gen’s products cater to have yet to be explored by larger pharmaceutical companies and therefore the company enjoys exclusivity on the shelves of the many stores it sells.:D In combination, the worlds markets for both products exceed $5 billion, with a market of over $1.6 billion in the United States alone.

Being small sometimes has its advantages and Med Gen is proving this theory by identifying “hot” OTC health product areas into which it can sell uniquely formulated products that can quickly attract the buying public without having to spend millions of dollars on introductory advertising blasts. The company is already readying a new and unique analgesic for an early spring opening.

Since 1996 when the company was formed, it has surprised the OTC Pharma markets by being able to introduce products into major stores without having the large amounts of capital normally required to do so. The raising of enormous amounts of capital, usually necessary to bring products to market, has an equally enormous dilution effect on a companies stock. By not having to raise a lot of capital the company has been able to preserve the valuation of its securities. Management is steered by two seasoned executives with over 70 years of experience in sales and marketing. Their know how in navigating the mountains and valleys is the magical key that has unlocked the doors to retail shelves internationally.

All executives look forward to performance based bonus arrangements paid in the company’s security. In this manner, investor and employee both share and enjoy in the increased valuations that enhanced performance brings.

Hier noch der letzte Brief an die ktionäre vom CEO:D

      September 29, 2004

      From the Chairman

AN OPEN LETTER TO ALL SHAREHOLDERS AND THE GENERAL PUBLIC

Nobody benefits when rumors dictate the movement of stock or the direction of a company. While it is true that most stocks trade on “future hope” and some hype, it is also true that the personality of a real company should be based upon fact, calculated predictions and honesty.:D

It is often said that life is shaped by events… and to a great degree I believe that there is truth to that adage. Med Gen is now seven years old. Most companies don’t make it past the three-year mark. So you must believe that we have great products, great management or both. We certainly never had the benefit of a lot of money. The biggest single event that is now shaping our destiny is the lawsuit that has been recently announced in a News Release by the company and which has been discussed ad nauseum in almost every chat room on the Internet.

Let me clarify for all, the future events that are apt to take place and the possible effects on our company. Mind you, the attitude of management is “business as usual”. You have been made aware of significant progress in marketing, distribution and R&D efforts to bring out new and exciting products. This massive effort on the part of management will no doubt make Med Gen an exciting and highly prosperous company. Yet we must get over the legal problems in order to build immediate shareholder loyalty and long-term investors.

With regard to the lawsuit, there are several events going on at the same time. There is a (i) “motion for a new trial”, (ii) negotiation for settlement, (iii) Appeal for a new trial on damage award and (iv) filing prepared for protection under the chapter 11 bankruptcy code. None of these events, other than a negotiated settlement, would happen before March 2005 and maybe, in the case of an Appeal until early 2006. The company’s legal team will protect us all during the process, leaving management free to run the company [not that I don’t worry a lot- and oversee the process]. The point is, to make a “buy” or “no buy” decision at this point purely on the speculative outcome of the legal action does not make much sense. As the gurus say, buy low sell high. If you as an investor feel that our stock at this level is undervalued, this could well be the buying opportunity of a lifetime.

Disclaimers aside, Snorenz® and Good Night’s Sleep® are products of unparallel value with huge market potential. Did you know that the combined domestic markets for these products exceed $1.6 billion? You should also know that Good Night’s Sleep is unique in that it has no competition as a liquid spray sleep-aid…Snorenz® has only one competitor and Snorenz® is the only all natural snore-relief brand, an original patented formula that has been proven over 7 years and major studies to do what it says it will do. We are a company with real products, sold in major stores throughout the USA and soon in major markets World-Wide. Need I say more!

      DATE: October 4, 2004

      SUBJECT: A NEW ERA

I believe that we are fast approaching a new era in the way we invest in companies, protect our assets and spend our money. No longer will we be able to trust that Government will take care of us in our old age…. And certainly, as we are now finding out, no longer are we going to rely upon industry or Government to completely take care of our healthcare needs. So where do we go from here?

Once there was a line in a song that went, “For every drop of rain that falls, a flower grows”. The message is clear, the raindrop is a dollar and the flower is our future. In their wondrous wisdom, the SEC enacted or forced the enactment of the “financial reporting” of all trading companies and instituted the Sarbanes-Oxley Act, making it almost impossible to create sin at the expense of the shareholder. That being so, the risk of investing in “long shots”, “start-ups”, “micro-caps” and developing companies becomes one of knowing the product(s), the management and the capital availability. In the end, investing in these companies will provide the monetary growth necessary to provide for ones old age and healthcare.

Years ago it was the dinosaur called the “Savings Account”, Government Bonds and various forms of money-market accounts. One could hardly keep pace with the increasing cost of living using any of these mediums.

My point with all this is that I am increasingly alarmed as I visit the chat rooms and watch the posts as they predict stock gyrations, company news releases and new store openings. To what end? Pumping up stocks only to see them fall again serves little purpose, as I see it the gain of one day can easily be the loss in the next… and so forth, ad infinitum. I have witnessed Med Gen rise from $0.10 to $0.19 only to fall to $0.15 by the close. If a companies stock is a mirror to its value, how can the same company be worth $2 million in the morning and $1 million by the afternoon? Further, the roller coaster rise and fall of the shares create a massive short position forcing market-makers to alter positions at the expense of creating an orderly market, which just happens to be their intended purpose.

Humbly I submit, if everybody that invested in the AM put their stock away for 6 months, allowing the company to perform, increase its value and thus their share price, the market would dry-up the shorts, the shares would rise as the value of the company increases, savings would increase and everyone’s individual wealth would increase to the point that they wouldn’t need government help. Sure, betting on the right horse is important… but that is the risk that is inherent in all forms of life. It’s the same risk we take when we choose to fly to a destination… And we all take that risk gladly, rather than drive long distances.

I have taken the time to write these thoughts because I love this company and its products. Seven years ago, while searching for a way to stop my own snoring affliction I discovered Snorenz®, invested my own money to commercialize the product and then built Med Gen around the brand, the rest is history. The claims that I have made regarding our products, and the company has published are true and accurate. Being accused and being guilty, as one knows are quite different. The FTC matter regarding Apnea claims was brought about by a third party during an infomercial TV show and was never purported by either myself or the company to be true. Nevertheless, we accepted the “slap-on-the-hand” and we are still here. Two years later, at great expense, we have completed the biggest and best study yet. Done by a recognized Otolaryngology specialist at a Sleep Center at Northside Hospital, Atlanta Georgia, Snorenz was pronounced, once and for all, “an effective alternative to surgery or other medical treatment, for reducing the noise caused by snoring”.

Hey, if we can all agree that we have the product, and almost everyone snores [whether we admit it or not]. Does Med Gen have a long term future? You bet it has! News Releases, Stories, new store openings aside these releases are for public information purposes only, not meant to pump sales. The company will eventually grow and prosper on its own, grow beyond imagination…grow because of its products and the demand for its products.

Think about it this way. If Wal Mart, Walgreens, Gristedes, CVS, Meijers, Osco Drug, Albertsons, Acme Supermarkets, and others stock these products…. Are their buyers crazy?

Now, make up your minds… we need long term players. Join us while we explore the markets of the world. Let’s make the drop of rain fall.

      My best.

Most of the profits emanating from these sales should go to the bottom line since the company`s operations are now at or near breakeven.

More International news will follow as the company capitalizes on its year-long efforts to establish SnoreAway(R), its overseas snoring brand, as a leader in snoring-relief for the international market place.
