Wireless Age Releases Fiscal 2004 Results
Friday April 1, 10:05 am ET
TORONTO--(BUSINESS WIRE)--April 1, 2005--Wireless Age Communications, Inc. (OTCBB:WLSA - News) announced today that it attained revenues of $15,209,161 consisting of $12,600,017 in product sales revenue and $2,609,134 in activation commissions and residual revenues during fiscal 2004, compared to $7,111,822 and $2,156,747, respectively, during fiscal 2003. The Company achieved a growth rate of over 77% in product sales revenue and 21% in activation commissions and residual revenues. The overall growth rate of revenues was 64% which included organic growth of the retail and wholesale/distribution segments of 12% and 23%, respectively, and 29% from acquisitions.

The Company posted a loss of $2,043,372, ($0.09 per share) in fiscal 2004 compared to a loss of $137,307 ($0.01 per share) in the previous fiscal year. The 2004 loss resulting from several non-recurring costs totalling approximately $1.6 million including; a write down of goodwill and intangible assets, expensing all costs associated with the terminated proposed acquisition of Westcan/Allcan/Bluewave, investment losses, non-operating interest expense, offset by foreign exchange gains.
"We`ve opted to take this opportunity, just prior to the mmwave acquisition, to clean up and strengthen our balance sheet to position the Company for the future." said Gary Hokkanen, Wireless Age`s CFO. "Virtually all of the unusual items in our income statement are one time non-recurring items. Going forward our balance sheet is much stronger; we`ve got $800,000 in cash, we`ve swung a working capital deficit to a surplus of approximately $286,000, we`ve reduced debt from over $2.5 million to less than $250,000. The $288,000 in interest expense we recorded in 2004 will be reduced to less than $20,000 going forward. Although the operating income before taxes and non-recurring items was negative ($56,984) the Company has eliminated annualized salaries totalling over $400,000, along with the reduction in interest costs. In addition, the mmwave acquisition adds over $9 million in revenue with no additional corporate overheads. In short we have become more efficient."
Brad Poulos, Wireless Age`s President commented, "In fiscal year 2005 we will focus on operational results. We have several strong business units, each of which is profitable in their own right. I`m confident that we can grow each of these businesses to the benefit of all Wireless Age shareholders."
John Simmonds, CEO of Wireless Age also stated, "We tried to do a lot of different things in 2004. Some we were successful with, some we were not. I`m particularly pleased with the results of our Western Canadian retail segment led by Allen Cowie - his leadership certainly made a valuable contribution, particularly in the latter half of the year. Going forward I feel that Brad Poulos, who has demonstrated an extremely high level of energy, will also have a significant impact as we combine the mmwave and Wireless Age businesses."

John Simmonds Agrees to Acquire 300,000 Additional Wireless Age Shares in Private Transaction
TORONTO--(BUSINESS WIRE)--April 4, 2005-- Wireless Age Communications (OTCBB:WLSA - News), a leader in the Canadian telecommunications industry, announced today that its Chairman and CEO, John Simmonds has entered into an agreement with Phantom Fiber Corporation (OTCBB:PHMF - News) to acquire 300,000 Wireless Age shares in a private transaction.

The purchase price for the shares was $0.75.
Previously the company announced a transaction in which 800,000 shares were to be acquired by Mr. Simmonds and group of colleagues, and that 500,000 shares were to be personally acquired by Mr. Simmonds. Ultimately Mr. Simmonds elected to take up the remaining 300,000 shares personally.
Mr. Simmonds commented, "I believe that the company`s stock is a strong buy at the current levels. If you look closely, you will see that the current market capitalization is lower than the value of our retail subscriber base alone. If you add the results associated with our other lines of business, our investment in Azonic, and the recent acquisition of mmwave, clearly the stock price does not reflect the value of the company."

Wireless Age Announces Earnings for the Second Quarter 2005
Monday August 8, 9:32 am ET
Conference Call Scheduled for August 17, 2005
TORONTO--(BUSINESS WIRE)--Aug. 8, 2005-- Wireless Age Communications, Inc. (OTCBB:WLSA - News), a leading supplier of solutions to the Canadian wireless communications industry, today reported its financial performance for the second quarter, ended June 30, 2005.
The company`s Chairman and CEO, John Simmonds commented, "I`m very encouraged with the results our team has posted these past several quarters. The Company has been stabilized in terms of earnings, and we are now focusing on the future. This includes ensuring we have the right team in place, that each of our business units is positioned for growth and profitability, and that we have the necessary resources to complete our plan."
"We are tracking well to our goal of earnings of at least $0.05 per share during fiscal 2005. With our strongest traditional season ahead of us, we`re confident that we will meet our goal, and continue the trend for the next several quarters", the company`s President and COO, Brad Poulos, commented. One of the keys to this is our recent acquisition of Knowlton Pass. Although we don`t expect the full impact of this transaction to be felt for quite some time, I believe that it will add significantly to what we`ve already accomplished in Wireless Age."
Gary Hokkanen, Wireless Age CFO stated, "Although we are pleased to report continued growth in both our top line revenue and earnings, the management team is not fully satisfied with the net income contribution. The company will continue to focus on delivering improved net income results in the upcoming quarters with a primary focus on organic growth and increased operational efficiencies. We have reduced our selling and administrative expenses during the three month period ended June 30, 2005 to 26.5% of revenue from 34.1% a year earlier, and I`m confident we can improve further."
