      Company Overview
DataLogic is comprised of two primary business segments – Consulting Services and Communications.

Consulting Services . Provider of IT services, consulting and outsourcing to U.S. and international governmental agencies and to enterprises including Fortune 500 corporations. It also provides the Company with consistent growth and a stable revenue base. The market for Consulting Services is growing. On the government side, IDC forecasts that the market for external government IT services will reach $42.2 billion by 2006, for a five-year compound annual growth rate (CAGR) of 7.8%. Among corporate enterprises, spending on IT outsourcing reached $56 billion in 2000 and is expected to top $100 billion by 2005. (Source: IDC Research -Worldwide IT Services Industry Forecast and Analysis, 2000-2005).

Communications . Provider of Voice over Internet Protocol (VoIP), Global Positioning System (GPS) vehicle and asset tracking solutions, and secured mobile communications. In the VoIP arena, the Company provides low cost, high quality IP telephony product and services to consumers and small businesses worldwide. VoIP markets include rapidly developing nations around the world where long-distance rates are still very high and access to traditional, telephone landline infrastructure is lacking. VoIP offers very low long distance rates. According Frost & Sullivan research, IP phone and appliance revenues for the total world market are projected to reach $2.7 billion in 2006.

GPS Vehicle and Asset Tracking . The company offers a total vehicle and asset tracking solution through its product Panther TrakTM. The vehicle tracking device recently began shipping in production quantities and in April won the AeA’s Orange County Chapter 2005 Best Device award. GPS Vehicle and Asset Tracking markets are also growing. While roughly half of the market today consists of sales of automotive and asset-tracking equipment, these segments will still continue to grow at rates faster than that of the broader market for GPS equipment. Emerging applications, plus renewed growth in existing markets, will help propel the global GPS market north of $22 billion by 2008, according to technology market research firm ABI.

Secured Mobile Communications . The Company provides a secured wireless communications solution through its product EncrypTAC™. This product is marketed to the public safety and homeland security sectors.

      GROWTH STRATEGIES
 In the Consulting Services realm, where it is an SAS Alliance Quality Partner, DataLogic is marketing its growing capabilities to past customers and to government and enterprise prospect.
 In the Communications segment, the company is introducing new VoIP and TDM communication equipment to reduce telecommunication costs worldwide. The Company plans to leverage the recent commercialization of its Panther Trak™ vehicle tracking device to draw new customers, including private-label and custom development partners. It’s also marketing the secured mobile communication solution, EncrypTAC, to public safety and homeland security agencies nationwide.
 Company-wide, acquisitions across all business segments are under consideration to provide further growth

      Consulting Services
DataLogic is capitalizing on the trend towards IT outsourcing by large corporations and public entities that are looking to economize, move fixed costs to variable costs and focus on core competencies. IT outsourcing has become a much more common practice due to the proliferation and increased sophistication of technology in the workplace.

Thousands of IT service providers have entered the market, which has created acquisition opportunities for DataLogic.

The 2005 acquisition of the assets of New Mexico-based IS Solutions, LLC (now DataLogic New Mexico - DNM) brings DataLogic the ability to provide new IT services for public safety and homeland security customers.

      Communications
      VoIP
DataLogic provides low-cost, high-quality VoIP solutions that are marketed to businesses and consumers worldwide. The company offers complete solutions including: Turnkey communication servers with accounting and billing systems, other required software and hardware licenses, phone sets, private labeling, hosting, co-locating, and residual international long distance airtime.

The company is targeting underserved or ethnic telecommunications markets, and is currently working with various telco`s, ISP’s, system integrators and distributors in Asia, the Middle East, South America, Australia, Africa and Europe. Its products and solutions have been successfully deployed in the Philippines, Vietnam and the United States. Deployment testing is ongoing in China, Eastern Europe and other markets.

The company has recently begun shipping the VG800 voice gateways.

This is a high capacity gateway for the international call shop market that typically serves international or ethnic markets needing lower cost alternatives for calling internationally and domestically. The VG800 voice gateway dramatically lowers the cost of service offerings, while increasing the profit margins of the calling-shop clients that deploy it.The company has recently completed a successful test with a telecommunications company in Eastern Europe for its complete solution, including communication servers, phone sets, and private labeling.

Another recent milestone was successful testing of the VoIP-IVR solution in Vietnam, China, Taiwan and Malaysia. Additionally tests are ongoing in the Philippines and Indonesia.
      Secured Mobile Communications
DataLogic next-generation encryption and two-factor authentication product, EncrypTAC, allows law enforcement agents using mobile communications to access FBI databases efficiently without compromising security. EncrypTAC is already approved by New Mexico-based police departments and is ready for nationwide launch.
GPS VEHICLE AND ASSET TRACKING AND MANAGEMENT TECHNOLOGY
      GPS Vehicle and Asset Tracking
DataLogic provides complete solutions for real-time vehicle and asset management services. DataLogic’s competitively priced Panther Trak device harnesses wireless connectivity and the Global Positioning System to allow a complete range of customer-defined options in keeping track of valuable vehicular assets.

In the first quarter of 2005, DataLogic began shipping Panther Trak under a $3 million, one-year agreement with CBSi. CBSi will use Panther Trak to keep tabs on vehicles subject to repossession, dramatically reducing the cost of repossessions and providing faster inventory turns for used car dealers. Panther Trak has also been chosen to safeguard armored car installations in Mexico, where it provides real-time tracking of the armored car fleet as well as safety alerts to the driver and the web-based attendant.

The Panther Trak device consists of a GPS receiver and a cellular modem that communicates with most wireless data networks. The Panther Trak solution incorporates these industrial-grade mobile tracking units with location-based servers, administrator modules and software and hardware licenses.

Unlike the OnStar system popular with U.S. consumers, Panther Trak allows complete user control and feature definition from a user’s cell phone, PC or landline.

      Features and applications include:
 Notification when the vehicle is moved or approaches a specified location. For example, body or repair shop locations where the vehicle might be at risk for chopping, with its serial numbers changed or destroyed.
 Secure customer access to vehicle status and continuous live tracking by cell phone.
 Disabling a vehicle or even unlocking a vehicle’s doors with a cell phone.
 Activating a hidden microphone to listen to what is happening in a vehicle
 Customer access to their information from anywhere in the world, including customized alerts on their cell phone, internet or e-mail.

DataLogic is forming strategic alliances with Application Service Providers to serve local markets worldwide, Panther Trak has been successfully tested in the USA, Canada, Europe, Mexico, Latin America and China. The solution currently supports English, Spanish and Portuguese, and other languages can be added. Datalogic’s GPS Products Group can private-label, host, and co-locate Panther Trak devices as well as provide custom development, residual airtime and monitoring services.
