      Mission Statement
      The mission is to establish the Company as a major service provider of
      Wireless Internet (WISP) by offering a secure high quality Wi-Fi (Wireless
      Fidelity) service for use by the public and private sector. These Wireless
      Internet services include access, infrastructure, secure instant messaging,
      voice over IP communications, multi-user text messaging, file transfer and
      secure IP video.
      As of March 2004 there were an estimated 11,000 commercial hotspots in
      the United States the number of hotspots one year later has more than
      doubled to 24,000. As a result of the increased usage of laptops and Wi-Fi,
      the estimated 2 million (as of 2003) wireless hotspot users are expected to
      grow to more than 20 million hotspot users by the end of 2006. The average
      spend per wireless hotspot is $10 per month which suggests a potential
      market of $720 million in 2006.

      Business Model
      Seamless Wi-Fi Inc. is the parent company operating through its subsidiary
      company Seamless Skyy-Fi Inc. and Seamless Peer 2 Peer, Inc.
      Seamless Skyy-Fi the Company’s Wireless Internet provider (Wi-Fi) that
      establishes Seamless Skyy-Fi locations that provide subscriber’s access to
      the World Wide Web.
      The Seamless Skyy-Fi Inc. service is a turnkey solution that enables
      location owners to offer wireless hotspot Internet access to their customers
      effortlessly. Seamless Skyy-Fi Inc. takes care of all of the details such as
      billing, network monitoring, customer service, marketing and promotion.
      Seamless Peer 2 Peer developed a proprietary software program (patent
      pending) that encrypts Wi-Fi transmissions based upon RSA’s government
      certified 128 bit Crypto C Micro Edition AES encryption coupled with RSA’s
      Cert C for authentication.
      The current wireless hotspot landscape is made up of four types of operator:
      (1) A few large players such as T-Mobile and Wayport.
      (2) Medium Sized players such as Seamless Skyy-Fi Inc. that have solved
      many of the issues around ROI and scalability and are now well placed to
      grow in a controlled manner.
      (3) Small players, whose business models, competencies and capitalization
      are not allowing for growth.
      (4) “Do it yourself” and “Community” wireless hotspots that are free to the
      end user.
      Seamless Skyy-Fi Inc. stands out from the crowd as a prime investment
      opportunity. A pioneer in the commercial wireless hotspot arena, the
      company is recognized as a key player in the industry.
      The explosion in demand for Wi-Fi is currently driving a “land-grab” for
      locations by smaller players. These companies are usually poorly funded
      and will soon be targets for an industry “roll-up” or consolidation.
      Seamless Skyy-Fi Inc. is uniquely positioned to take advantage of this
      opportunity. The company has the reputation and strength of brand to lead
      such a rollup successfully.

      Business Model: Revenues
      The average end-user revenue or “usage revenue” that we are seeing from our
      Hotspot Locations is $300 per month per location. This average is made up
      of some locations that generate over $1500 in usage revenue per month and
      some that generate $20 per month.
      We expect usage to double over the next year in line with industry analyst
      projections, as Wi-Fi enabled devices become ubiquitous and public
      awareness continues.
      However, we also anticipate price competition driving access prices down
      over the next few years. As such, we are working under the assumption that
      the average usage revenue per location will remain in circa $300 per month.
      (Note: some industry analysts predict average usage revenues per month by
      2006. We are taking a more conservative stance on these figures, opting to
      work with what we already know, rather than what “might be”).
      Seamless Skyy-Fi Revenue is generated from two sources:
      Revenue from subscriber/end-users: Subscribers will either pay a flat
      monthly fee if they are a Seamless Skyy-Fi member or a per use fee if the
      user is a random access user.
      End-users pay by the hour, day, weekly or monthly to access the
      Internet. The pricing plans are:
      • $3.95 1 hour (24 hours from initial connect)
      • $7.95 per day (24 hours from initial connect)
      • $9.95 per week (7 days from initial connect)
      • $19.95 per month (30 days from initial connect)
      Revenue from the proprietor: If subscribers and or random access users
      are provided free Internet access with the purchase of goods or services from
      the proprietor of a Hot-Zone location the proprietor will pay a monthly fee for
      providing the access and support services for the Wi-Fi access to
      the Company. Seamless Skyy-Fi will seek roaming agreements with national
      Wi-Fi aggregators and other Wireless Internet Service Providers (WISPs)
      to increase the Company’s national presence, thereby allowing
      Seamless Skyy-Fi subscribers greater roaming access to the Internet.
      Seamless Peer 2 Peer Revenue is generated from two sources:
      Revenue from subscriber: Subscribers will pay a flat monthly fee if they
      are a Seamless member or a per use fee if the user is a random access user.
      Revenue from the network proprietor: If a subscriber is a proprietor of a
      Wide Area Network (WAN) and/or a Local Area Network (LAN) Seamless is
      paid per month or per year by the number of users that are part of the
      network.

      Business Model: Cost Structure
      Seamless Skyy-Fi Inc.’s philosophy from the beginning has been that in
      order to excel in the wireless hotspot business, costs must be kept to a
      minimum in order to maximize margin.
      The cost elements involved in running wireless hotspots are:
      • Wireless access gateway
      • DSL or other fixed broadband backhaul
      • Installation costs
      • Back-Office billing and authentication services
      • Customer support services
      • New location marketing
      • New subscriber marketing
      These are dominated by two main costs: the wireless access gateway
      hardware and the cost of technical support. Both these costs can be
      reduced significantly by scaling the operation.
      Business Model: Growth & Acquisition
      This business plan draws out a growth strategy to bring the Seamless
      Skyy-Fi Inc. wireless hotspot network to 2800 locations in a period of 24
      months and 4800 locations within 36 months.
      This growth curve will generate company revenues of over $1.7M in year 1,
      8.9M in year 2 and 17M in year 3.
      These revenues will result in an operational loss of almost $1M in year 1,
      profit of $1.4M in year 2 and profit of $5M in year 3.
      Agent Network:
      We have received numerous inquiries from groups wishing to be involved
      with Seamless Skyy-Fi Inc.’s expansion both domestically and overseas.
      These groups fall into three main categories: IT Consultants, Sales
      Consultants and Franchisees.

      Payment Options
      Seamless Skyy-Fi`s payment options allow users to pay for our service in a
      way most convenient for them. Users can Pay for time as they use it or
      save money with a pre-paid connection card.
      All consumer fees are collected in advance and can be paid for by the
      consumer in any fashion acceptable to your business (Cash, Credit, Room
      Charge, etc.). Seamless Skyy-Fi`s Prepaid Connection Cards enable users
      to conveniently use Seamless Skyy-Fi’s high-speed Internet access.

      Privacy Policy
      Privacy is very important to Seamless Skyy-Fi and we will always attempt to
      act in a responsible manner with respect to any personal information that we
      may obtain from you. The Service will not correlate its users with any sites
      visited. Seamless Skyy-Fi does record the user’s room number for billing
      purposes. The record of a specific name associated with that room number
      is stored in a separate database to protect the privacy of the user. A log of
      certain information is automatically collected and maintained for system
      performance and maintenance purposes, as well as system security
      requirements. This information includes: (1) the home server domain names,
      e-mail addresses, type of client computer and type of Web browser of visitors
      to its Web sites (2) the e-mail addresses of visitors that communicate with
      Seamless Skyy-Fi via e-mail or (3) information knowingly provided by the
      visitor in online forms, registration forms, surveys, and contest entries and (4)
      information on what pages visitors access. Again, the Service does not
      correlate this information to individual user names. Seamless Skyy-Fi will only
      disclose usage information without your permission when required by law or in
      good faith belief that such action is necessary to investigate or protect against
      harmful activities to hotel guests, visitors, associates, or property (including
      this Service), or to others. Information collected by Seamless Skyy-Fi will be
      used by Seamless Skyy-Fi only for purposes relating to improvement of the
      Service, including without limitation: editorial and feedback purposes,
      marketing and promotional purposes, statistical analysis of users’ behavior,
      product development, content improvement, and customization of content and
      layout of Seamless Skyy-Fi’s Web sites. Any user names, postal or e-mail
      addresses and phone numbers knowingly and voluntarily disclosed to
      Seamless Skyy-Fi by users may be added to our databases and used for
      future calls and mailings from Seamless Skyy-Fi or third parties regarding
      site updates, new products and services, upcoming events and status of
      orders placed online. However, users may opt out of having their personal
      information collected or distributed by Seamless Skyy-Fi by informing
      Seamless Skyy-Fi via postal mail, e-mail or telephone.
      Seamless Skyy-Fi Inc. reserves the right to change this policy and any of the
      terms and conditions at any time by notifying visitors of the existence and
      location of the new or revised privacy policy, the sole notice of which shall be
      the posting of such new or revised policy on Seamless Skyy-Fi’s Web site or
      sites. Internet cookies save certain information about the user including the
      pages of the Seamless Skyy-Fi Web site viewed and the advertisements
      viewed or clicked by the user. When the user revisits the Seamless Skyy-Fi
      Web site, Seamless Skyy-Fi may recognize the user by the Internet cookie
      and customize the user’s experience accordingly. Users may decline the
      Internet cookie by using the appropriate feature of their Web client software, if
      available.

      Management
      Albert Reda President and CEO Mr. Reda is currently the President and
      CEO of Seamless Wi-Fi and has been with the company since November
      1988. From 1996 to 1998, he was employed with CRT Corporation as Vice
      President in charge of production for manufacturing frozen food products.
      For the period of 1994 to 1995, Mr. Reda was self-employed in the financial
      lending area buying and selling loans between individuals and institutions.
      Mr. Reda received his Bachelor of Science Degree from California State
      University, Long Beach, with a major in engineering. Mr. Reda is an officer
      and director of two other public companies, DCM Enterprises, Inc. and
      Global Debit Cash Card, Inc.
      John Domerego President of Seamless Skyy-Fi Prior to taking his current
      position as President of the Seamless Wi-Fi, Inc. subsidiary. Mr. Domerego
      was involved in the development, designing, engineering and erection of
      congeneration and power, generating facilities both as an employee of
      Raytheon Engineering and self-employed as an associate of Malcom Jones
      Associates, an engineering company where he managed multi-million dollar
      projects from conception to completion. Mr. Domerego also has 20 years
      experience in the Pulp and Paper industry, where he was employed and
      performed as chief engineer and eventually as general manager. He was
      responsible for all facets of the industry involving the successful operation of
      paper mills and facilities. Mr. Domerego has a bachelor of Science degree
      in Mechanical Engineering.
      Luke Rippy President of Seamless Peer 2 Peer Mr. Rippy has been
      selling and marketing high value Internet products and services worldwide to
      businesses and consumers for the past 10 years. Mr. Rippy has sales and
      marketing skills that give him the ability to assimilate new technologies, make
      contacts in new markets, and develop sales channels to achieve results.

      Some of the benefits of a Peer 2 Peer approach include: improving

      applications. The model is not secure and anonymous, leaving information
      and machines open to hacking and the compromising of data. The anonymity,
      insecurity, network exposure and vulnerability are some of the primary
      reasons why most companies ban these software applications from their
      enterprise networks.
      Existing Peer 2 Peer technologies have limited use even for the home user.
      The primary use of existing Peer 2 Peer applications software is to share
      music and video files. Most of this file sharing activity is illegal and several of
      these software providers and users are under attack from private industries
      and government agencies for promoting copyright infringement and theft.
      Collaboration Products
      Software products providing collaborative solutions are available and some
      use Peer 2 Peer technologies enabling some of their feature sets. Some of
      the products and companies include Groove, 1stNetworks and Alberg

      technologies. Groove Networks (www.groove.net) provides collaboration
      tools for project and contact management, schedule sharing, file sharing,
      application sharing and communication (note: the other companies
      mentioned in this category provide similar functionality).
      While their tools utilize Peer 2 Peer technologies to maintain some of their
      features, they still rely heavily on server based software infrastructures that
      are costly resource intensive and burdensome. Furthermore, these
      applications are not focused on Peer 2 Peer applications but instead on
      collaborative features utilizing Peer 2 Peer technology when necessary.
      Collaboration software products do not currently pose a competitive threat to
      Seamless Peer 2 Peer as their use of Peer 2 Peer technologies is limited
      and their business model does not focus on Peer 2 Peer applications.
      Furthermore, they are collaborative in nature and not platforms to build
      and distribute true Peer 2 Peer applications.

      There are few products that focus on Peer 2 Peer networking technologies,
      and fewer still that are secure and encrypted. Other Peer 2 Peer products
      and companies include Endeavors Technologies, Colloquia and
      Scour/CenterSpan.
      Seamless Peer 2 Peer is in a category providing encryption and true Peer 2
      Peer technology to be used for secure communications, sharing electronic
      information, and tracking and auditing user activity across all TCP/IP based
      networks including dynamic addressing and wireless technologies.

      Ich habe mir wieder welche zugelegt! da kommt noch mehr:D Nachdem es fast 2 Monate nur runtergegangen ist kann es locker wieder richtung 0,10 cent gehen!!!
