      Goldgroup is a Canadian-based gold production, development, and exploration Company with significant upside in a portfolio of projects in Mexico, including its flagship 100%-owned advanced stage gold development project Caballo Blanco in the state of Veracruz, and a 50% interest in DynaResource de Mexico, S.A. de C.V., which owns 100% of the high-grade gold exploration project, San José de Gracia located in the state of Sinaloa. The Company also operates its 100%-owned Cerro Prieto and Cerro Colorado heap-leach gold mines, both in the state of Sonora.

      Goldgroup reaching production at Cerro Prieto is also good news for Oroco Resource Corp (OCO – $0.045), because when it sold the property to Goldgroup in September of last year, the Company negotiated terms so that it also benefits from the produced gold.

      The most important terms of the agreement between Oroco and Goldgroup were:

      Goldgroup paid Oroco $4.5 million USD in cash on signing of the deal;
      Oroco received 5.5 million common shares of Goldgroup. Thanks to Goldgroup reaching production at Cerro Prieto, its shares have risen 37 percent in 2014. Goldgroup’s shares in Oroco’s treasury are now worth over $900,000;
      Starting on January 31, 2015, Oroco will receive six equal monthly installments of $250,000 each;
      Oroco will also receive $4,125,000 on the second anniversary of the transaction closing date. Goldgroup may elect to pay this amount by issuing and delivering to Oroco 16,500,000 Goldgroup common shares in lieu of cash;
      In addition, Goldgroup agreed to pay Oroco a production royalty from Cerro Prieto. The royalty is payable for each month in which the monthly average gold price is in excess of $1,250 per ounce. When that’s the case, 20% of the dollar value of that excess is multiplied with the number of ounces of gold produced from the property during that given month, to a maximum royalty of $90 per ounce. For example, when the average daily gold price next month reaches $1,350 and Goldgroup produces 1,000 ounces of gold during that month, it will have to pay $20,000 to Oroco. This production royalty will be payable for each and every of the greater of (i) the first 90,000 ounces of gold produced from the property or (ii) all ounces of gold produced from the Property until the completion of five full years of commercial production.
      Thanks to the agreement with Goldgroup, Oroco is, and will continue to be, sufficiently funded to advance its Xochipala Project in Guerrero State, Mexico, a prospect which shares important characteristics with the known gold-bearing structures elsewhere in the Guerrero Gold Belt..

      With the latest worldwide round of QE many investors are looking for a place to make money going forward. The best place to do that is to buy shares in gold companies. One of the best countries to buy gold companies in is Mexico, and one of the best places in Mexico to find gold is Guerrero.

      Mexico has a long history of commercial Gold and Silver mining that dates back over 500 years. The main mining provinces in Mexico are Sonora, Coahuila, Zacatecas, Chihuahua, Durango and Guanajuato. We can now add Guerrero as a significant new mining province with over 16 million ounces of gold discovered to date.

      The modern-day history of the Guerrero area commenced when gold was discovered at Xochipala in 1924 by the Franco Urias Family, who operated a small family-owned mill and mine until 1988, producing a reported total of 360,000 ounces of gold (Au). The ‘Guerrero Gold Belt” or GGB, as the area is now known, extends for at least 55 km from southeast to northwest and remains open to exploration in all directions.

      Regionally, several multi-million ounce gold deposits all related to large intrusions have been identified. These include Newstrike’s Ana Paula deposit (possible 3 million ounce plus), the El Limon and Los Guajes deposits of Torex (4.8 million ounce), Goldcorp’s Los Filos-El Bermejal mine (~11 million ounce), which is currently the largest producing mine in Mexico, forecast to produce 345,000 ounces of gold in 2012.

      There are few investments that can generate profits as quickly as a gold exploration company that has just discovered a new deposit. The typical life cycle of a gold stock generates profits in several phases from initial speculation through to implementation of development and eventually production. Typically a stock will trend upward after news of drilling is announced. If a discovery is made, the stock can generate 10 to 20 times your initial investment! As drilling continues the initial excitement can subside with the share price giving back some of its gains. In time, as the project is de-risked through more drilling and engineering studies, the share price will again increase as speculation gives way to investment. Further gains can be made when a senior producer acquires an exploration company.

      Ironically the place where gold was first discovered in Guerrero is the least explored using modern techniques. Oroco Resources OCO.v .26 has recently announced registration of the Xochipala project with the PRM (Mexican mining authority). The Xochipala Property, which is surrounded by concessions owned by Goldcorp, lies approximately 4 kilometers southeast of Goldcorp’s Los Filos Mine. The Oroco property contains the southern-most intrusion in the Guerrero Gold Belt. Historical workings have exposed highly oxidized mineralized zones. These were then sampled by Oroco geologists in a preliminary evaluation of the claims soon after the property was acquired. Mapping and assay results indicate that gold mineralization exists at Xochipala along the contact zone between intrusive and sedimentary rocks. Oroco represents the initial phase of speculation and thus, the opportunity for the greatest share appreciation. The exciting thing is that it displays the common trait of a GGB deposit, a contact zone with an intrusive and also has a very good address, being the closest to a producing mine. Of course the best place to look for a deposit is next to a mine! According to recent reports 24 holes have indeed been drilled at Xochipala. The interesting thing is that is was not done by Oroco.

      Habe heute nach Veröffentlichung noch 100k in Kanada zu C$ 0,045 gekauft und in Stuttgart 35k zu € 0,037.
      Einstand jetzt bei C$ 0,14.
      Wenn ich vorhin sagte, daß es bis dahin noch ein weiter Weg ist, scheint das nach der heutigen Meldung vielleicht doch gar nicht mehr so lange zu dauern.

      Goldgroup produziert und zahlt dann auch an Oroco.
      Oroco hat die Eigentumsrechte an Xochipala.
      Mit dem Cash sollte jetzt endlich nach langer Durststrecke mal Bewegung in den Wert kommen.
      Trotz Nachkäufen (auch heute) ist es zum Einstandskurs noch ein gutes Stück.

(TSX VENTURE: OCO) ("Oroco" or "the Company") is pleased to announce that the Federal Tribunal of Mexico has granted the Company's appeal of the decision of the lower Federal District Court and has ordered that all aspects of the 2011 Guerrero State Court auction (the "Court Auction") of a 50% interest in the Celia Gene and a 100% interest in the Celia Generosa concessions (collectively, the "Camacho Interest") be set aside. The decision of the Federal Tribunal confirms that the Company's subsidiary, Minera Xochipala, S.A. de C.V., is the sole registered owner of 100% of each of the Celia Gene and Celia Generosa concessions (the "Xochipala Property") and terminates the competing claim of Mr. Avinadain Bautista ("Bautista") arising from the Court Auction of the Camacho Interest.

      The Federal Tribunal also dismissed the appeal by Bautista which sought to enforce his claim to the Camacho Interest. Upon granting the Company's amparo and setting aside the entire Court Auction process, the Federal Tribunal determined that Bautista had no legal claim or interest in the concessions and thus had no legal standing to petition the courts.

      The last two years has been challenging, to say the least, for juniors. Long before the markets were acknowledged to be crashing institutional investors had shut down. The amounts we needed to put CP into production were increasingly difficult to obtain. While our existing lender, Wexford, was a concern, they were nevertheless being cooperative enough that we had time and opportunity to thoroughly looking for funding sources or potential purchasers of CP. We spoke to many parties about funding, possible mergers or a sale of the property. Goldgroup's offer was far and away the best option, and ultimately we feel we have obtained good value for the asset. Consideration could top $20 million, and we are not running the kind of risk that production financing by way of debt would have entailed.

      While there may be an appearance of a change of terms for the worse, we feel the amended terms offer several important things. The initial investment of $1 million into Oroco and the $4.5 million on closing remain the same. The original deal saw additional consideration of $13.5 million contingent on production of 90,000 ounces. With gold prices falling there was a concern that Goldgroup would be under pressure to high-grade the deposit, taking only the most profitable ounces, and Oroco would not receive the maximum consideration under the royalty arrangement. There was also a concern that Goldgroup may struggle to fund the mine, and while we could have forced a closing of the deal, it would have been a struggle for Goldgroup to get the operation into producing. The revised terms give us approximately half the contingent $13.5 million up front and in a guaranteed fashion. The balance, up to $13.5 million can be made up by the royalty, interest on the note, VAT refund, and appreciation in GGA's shares. After long and detailed discussions with GGA management we feel that they are well positioned to obtain permitting for Caballo Blanco and this would likely result in a substantial rise in their share price. We are therefore happy to be shareholders.

      The bottom line to the emended deal is that we are now guaranteed certain payments at a minimum and have upside beyond the maximum possible consideration in the original deal. In the original we had neither, and the original terms were hindering GGA's ability to close.

      On closing, and after repaying Wexford, we have over $500,000 remaining. Securities available for sale have a current in excess of that amount, and we believe may shortly have a higher value still. Above that, we have retained a VAT refund due our former Mexican subsidiary of +$500,000.

      The amparo is moving through the court as expected, and we are told by Mexican counsel that we may have a judgement in the next round within weeks.

      Oroco is currently the registered owner of Xochipala and we don't expect that to change. We expect the challenge currently working its way through the amparo court to fail.

      When the amparo process is over we are comfortable that we have resources and that sufficient support for a drill program exists in the institutional investment community to fund a drill program. Could that be started still in 2013? That's possible but likely ambitious. Subject to the conclusion of the amparo process and the end of any challenges to our ownership we can commence work on the property, aside from drilling, but drilling in the next 90 days might be unrealistic.

      With cash, notes, securities, as well as a royalty we are well positioned to move at Xochipala, once we can. And we have had sufficient interest from investors that I believe we will be well supported once the ownership challenge is dismissed. We may also have sufficient resources to look at possible acquisitions, and are currently reviewing a number of properties. As you can appreciate, there are a great many quality projects owned by juniors who are currently struggling and with little prospect of funding in the near term.
