"Can we buy you a drink?

Next week you will be receiving a rather lengthy Notice of Meeting about the US$120 million one of the world’s largest sovereign wealth funds is investing to develop the Salamanca mine.

Whilst you are strongly encouraged to read the document, we suspect that most of you will have better things to do than wade through the 100 or so pages of some really quite boring technical and financial explanations. (It is how our lawyers and investment bankers justify their fees.)

So we thought we would give you a very brief overview of what the deal means for you as a shareholder.

Tim Keating from the Oman sovereign wealth fund says that they are investing because the Salamanca mine is a long life , low cost mine development opportunity with outstanding economic fundamentals.

We in turn have welcomed Tim’s fund as a long-term strategic investor.

So far so good. They like us. We like them. But what does it mean for you as a shareholder?

Well firstly, we are shareholders too, so we want the best deal just as much as you do.

Secondly we are fairly risk averse. Like you we think that there is enough risk in this business without adding any more in the financing than we absolutely need to.

In particular we didn’t want to be stuck with hefty loan repayments (especially during construction and commissioning), nor any offtake agreements struck at low prices, nor any of those dangerous covenants that you get with project finance, nor one of those convoluted private equity deals that cause no end of problems when things don’t go accordingly to plan.

So we have been boring, very boring indeed. Plainer than vanilla. And just to prove it to you we can explain the financing in a single sentence:

As long as we construct the mine and meet some very reasonable technical targets Tim’s fund will convert the $65 million interest free loan into equity at 50 pence per share.

Tim will become an ordinary shareholder like you and me and own 28% of the Company and to keep an eye on things he will appoint one of his team to join our Board.

Tim has also offered to invest a further $55 million in equity of the company through the conversion of options at 60 pence, 75 pence and £1 per share. (Which gives you some idea of where he thinks the share price is headed.)

How is that for a simple financing?

There is of course lots of detail I have missed out which our lawyers think is terribly important. They get very stressed when I try to make their work sound this simple.

So if you have the time (and the patience) please do have a read through the document and if anything is not absolutely clear Hugo Schumann and the team who have worked tirelessly to put the deal together will be absolutely delighted to explain to you what it means.

The important thing is that there will be a vote at the AGM in late November at which you, along with the rest of the shareholders, will have an opportunity to let us know whether you think we should do the deal.

sehe ich genauso. Zumal die aktuellen Rahmenbedingungen des Uran-Marktes m.E. wesentlich günstiger aussehen, als es beim letzten Hoch der Fall war.

Der gefühlte 20ste test beim uranpreis der 20er Marke. Nachdem diese jetzt die ganze schwache Sommerzeit gehalten hat und wir ein höheres Tief als letztes Jahr gebildet haben stehen die Chancen gut im Winter vielleicht wieder Preise um die 25 usd zu sehen. @numerco app: sieht bei mir gleich aus

Daniel says the uranium market took a beating due to a new W.N.A report. The takeaway from that report is that they are showing a deficit around 2025. We see a 10 to 15 million pound deficit around 2020. The market is getting very tight and could quickly enter into deficit. Price is unlikely to break to the downside and increasingly likely to head up. 75% of the industry is not making money against their cash costs, and there is not much left to cut.
