Gibt es noch irgentwelche Risikofaktoren, die den Umtausch zunichte machen koennten (z.B HV, die drueber abstimmen muss,etc.)?
Steht das Datum fest?
Wann ungefahr ist der Gang an die Nasdaq?

Waere dir fuer die Beantwortung der obigen Fragen echt dankbar!

- Das Umtauschverhältnis von 1 : 1 steht in den Merger-Vereinbarungen festgeschrieben.
- Der Gang an die Nasdaq erfolgt sobald auf der HV alles auch von den Aktionären abgesegnet wurde-
- Risiko HV : Aufgrund der Tatsache, dass die Hauptaktionäre nicht nur überzeugt sind von der Fusion sondern diese auch eingeleitet haben sehe ich die HV als kein Risiko an.

Tip : Arbeite mit Limit - sehr geringe Umsätze

Der Kurs von TBU schon 10% Prozent im Plus. Ich habe soeben noch
mal mit Investor Relation gesprochen, es wurde mir nochmals bestätigt
das das Nasdaj-Listing nach Plan verläuft (Umtauschverhältnis mit
aviationgr.1:1). Also wirds ab heute bergaufgehen ,kurzfristig sind
100% drin. Auch die verschlafenen Kanadier werden in Kürze aufwachen.
In Amerika befasst sich nach dem Listing das bekannte Analystenhaus
Donalds.Lufk.&J. mit TBU .

Aviation Group Files Registration Statement for Planned Arrangement with travelbyus.com ltd.
- First Step with Trans Atlantic Strategic Partnership with Travel24.com Completed with Cash Injection of US$8 Million -
WHITE ROCK, British Columbia, June 29 /CNW/ -- travelbyus.com ltd. (Toronto Stock Exchange: TBU; Frankfurt Stock Exchange: TVB) announced today that Aviation Group, Inc. (Nasdaq: AVGP; Boston Stock Exchange: AVG) has filed a registration statement with the Securities and Exchange Commission relating to their previously announced business combination. When the registration statement becomes effective, both Companies will call shareholders meetings to vote upon the transaction.
travelbyus.com and Aviation Group also announced today that on June 16, 2000, travelbyus.com and Travel24.com AG (Frankfurt Neuer Market: TVD) executed agreements relating to their previously announced intent to exchange cash and shares in a cross-shareholding arrangement.

Under the terms of the two-part Travel24.com deal, travelbyus.com agreed to issue 2,000,000 of its common shares at a per share price of US$2.50 for a total of US$5,000,000, and a two-year convertible debenture for US$3,000,000 with the conversion price set at US$3.00 per share. The above transaction, totaling US$8,000,000, closed June 28, 2000.

In the second part of the cross-shareholding arrangement, travelbyus.com agreed to exchange 11,800,000 of its common shares at US$2.50 per share in exchange for the issuance of 1,482,594 shares of Travel24.com at an average price of US$19.90 (approximately Euro 22.00) per share. This share swap is subject to certain legal and regulatory conditions, and is expected to be completed no later than September 30, 2000. On a fully diluted basis, assuming completion today, travelbyus.com would own approximately 13% of Travel24.com. Travel24.com would own approximately 14% of travelbyus.com.

NUR : Vergleicht den Umsatz hier und dann den Umsatz in Kanada.

Wird dr Kurs in Kanada oder in D. gemacht ?

Das Problem denke ich ist im Moment, dass sehr schwer vorauszuahnen ist, wann auch die Kanadier erwachen und dann ist es zu späht. Dann sind schnell 30 - 40 % Kurssprung drin.

Zu den Umsätzen von AVGP habe ich mich nun mehr als 5 mal ausführlikch geäußert. Lest es euch einfach einmal durch. Die Umsätze waren mit 35.000 Stück nicht gering sondern RIESIG.

Das duerfte daran liegen, dass in TBU keine Zocker sind, sondern Leute die wissen, welche Chance sie mit der Aktie haben. Diese Leute sind einfach nicht bereit, TBU zu verkaufen, schon gar nicht nach "nur" 20% Anstieg. Da in den Threads viele Leute erkannt haben, dass man schon allein durch den 100 % Abschlag hier nur gewinnen kann, hat dies wahrscheinlich den Kurs hochgetrieben.Gruss ....Chris

sieht ganz gut aus, waehrend dem ganzem 3 Sat gepushe habe ich die Haelfte zu 11,5 verkauft (l&s), dann bei 8,2 wieder eingekauft. Seit dem hat Valor konsolidiert, ist vor ein paar Tagen mit ueber 20 % an 2 Tage ausgebrochen, bis auf 9,70. Konsolidiert jetzt wieder nach unten, hat ne Tradingrange zw. 8,20 und 9,20 ausgebildet, aus der sie sobald ne gute Nachricht kommt nach oben ausbrechen sollte. Nach unten ist bei 8,20 ein x-fach getesteter Boden.

Mach dir keine Sorgen um deine TBU, in spaetestens 1-2 Monaten ist TBU an der Nasdaq, wenn wir Glueck haben direkt zum Anfang der Jahresendrally.Dann wirst du ueber die 2,8 nur noch lachen und dir wuenschen, zu dem Nieveau nachgekauft zu haben! Folgende Antwort habe ich auf eine entsprechende Anfrage vom IR manager bekommen:

Ich will euch ja nicht die Hoffnung nehmen, aber TBU hat in Kanada nur mit 6 % Prozent im Plus geschlossen, was vermutlich auch nur darauf zurueckzufuehren ist, dass einige gedacht haben, dass da was im Busch ist, wenn es in Deutschland 22 % hochgeht.
AVGP hat an der Nasdaq auch wieder einen grossen Teil seines Gewinnes eingebuesst (8%) und steht jetzt wieder unter 2 Dollar, obwohl die Nasdaq gestern um 22 Punkte nach oben gegangen ist.
Der Wert von TBU umgerechnet in Euro, vom Schlusskurs in Toronto ausgehend, duerfte ungefaehr bei 1,15-1,20 liegen, und da werden wir meiner Meinung nach auf heute wieder landen.
Trotzdem noch viel Glueck mit dem "Aussitzen" von TBU.

Da hab ich Dich wohl in meiem Thread zu früh gelobt...
Es ist zwar in der Tat komisch, daß in Kanada lediglich 6 % gewonnen wurden, die höchstwahrscheinlich auch noch von deutschen Anlegern zum Großteil kamen.
Aber bei der Betrachtung der Umsätze in Kanada sieht man auch, daß diese drastisch angestiegen sind. Immer wenn es einigermaßen hohe Umsätze gibt, steigt auch der Kurs in Kanada.
Bezüglich AVGP kann ich nur sagen, daß ich bei einem Kursanstieg von ca. 40% vorgestern, gestern auch überlegt hätte, ob nicht ein paar Gewinne mitgenommen werden könnten.
Der Kurs von TBU steigt übrigens auch heute wieder ( im Moment bei 1,42 E +6%) und es gibt auch keinen Grund, warum er das nicht tun sollte.
Gerade charttechnisch ist der Kurs nach oben ausgebrochen und wird sich langsam aber scher in einen Aufwärtstrend umwandeln.
Das könnte gestern endgültig der Turn-Around gewesen sein.

Es waere auch ziemlich bloed, jetzt nicht einzusteigen, und zu hoffen, dass der Zug nicht ohne einen abfaehrt, sondern davor noch ein paar Prozent runtergeht. Da das Umtauschv. 1:1 ist, hat man schon jetzt 80 % Kurssteigerung sicher. Warum sollte man dies wegen 10 % mehr Kurssteigerung riskieren?

Je nachdem, wie AVGP heute eröffnet sind wahrscheinlich auch noch ein paar mehr Cents drin.
Bei positivem AVGP-Kurs könnten wir heute schon die 1,50E sehen und damit weiter nach oben ausbrechen.

Ich denke nicht, dass der Kurs bis zum Nasdaq listin ueber 1,4 bleiben wird, deshalb habe ich heute morgen auch die Haelfte meiner shares in FS verkauft (5000 stk. a 1,42). Da ich davon ausgehe, dass der Kurs nochmal auf mind. 1,25 zurueckgehen wird habe ich dadurch allein schon 1 800 Dm Gewinn gemacht.
Deine Begruendung eines weiteren Anstieges mit der Charttechnik ist ueberigens mehr als schwach, da man der Charttechnik bei so volatilen Werten, mit einer so geringen Marktkapitalisierung und so geringem Volumen nur wenig Bedeutung beimessen kann (schon gar nicht, wenn sich diese "chartt. Analyse" nur auf den Durchbruch der 38 tages Linie bezieht).
Wenn man den RSI (Relative Strenght) Indikator betrachtet, der bei solchen Werten ein viel besserer Indikator ist, ergibt sich ein ganz anderes Bild:
Der steht mittlerweile schon fast auf 80 Zaehlern, liegt damit deutlich im ueberkauftem Bereich und liefert ein deutliches Verkaufssignal!!!
Trotzdem sind solche Diskussionen eigentlich sinnlos, da wir beide unsere subj. Meinung haben, von der keiner den anderen ueberzeugen wird. Wenn der Markt zeigt, dass du Recht hast, werde ich das akzeptieren und versuchen daraus zu lernen. Dasselbe erhoffe ich mir auch von dir, da es ja Ziel dieses Boards ist, Erfahrungen auszutauschen. Die Quartalszahlen sind ja nicht der Hammer - irgendwie hab ich mehr Umsatz erwartet. EPS für die ersten drei quarters: C$ -0,32, das entspricht: EUR -0,24. Ende September soll die neue website online sein. TBU admits they are 2-months behind their own schedule due to complexity of integrating and assimilating all the technology and aquisitions. Aber das sind ja eigentlich gute Nachrichten für die Zukunft!
Schade, dass wir den ersten Zocker on board haben.

Ich wuesste nicht, wessen ich mich schaemen sollte.
Ist es deine Auffassung von einer lebhaften Diskussion, wenn sich alle immer nur bestaetigen, wie toll TBU ist und dass man sie auch zu 1,4 bedenkenlos kaufen kann, ohne dabei Gegenmeinungen zu akzeptieren?
Ich habe auch nicht "geholfen den Kurs zu druecken", sondern den Lesern dieses Boards lediglich mal einen anderen Blickwinckel vermittelt. Und das der RSI deutlich im Ueberverkauftem Bereich ist, ist nun mal Fakt, ob du es magst oder nicht.
Im Grunde stimme ich ja mit dir ueberein, das TBU ein tolles Unternehmen ist, mit wahrscheinlich den Besten Kursgewinnpotential im Verhaeltnis zum Kursrisiko. Trotzdem sollte man auch dann kritisch bleiben und zumindest mal nicht soweit gehen, dass man Leuten sagt, sie sollen sich schaemen, wenn sie eine andere Meinung haben.
-Naja, die passende Erklaerung, warum meine Einschaetzung bis jetzt eingetroffen ist, hast du dir ja schon zusammengeschustert:
-Es war natuerlich nicht der Markt, der es32 recht gegeben hat, nein, es32 hat mit einem Posting (!)den Kursverlauf einer Aktie dramatisch veraendert, so dass sie ins Minus gerutscht ist und so den Trend, der ansonsten (natuerlich !) nur bergauf gegangen waere, gekippt hat.
Ich hoffe, dir ist die Ironie letzteren Satzes aufgefallen.

Okay jetzt pass mal auf.
Ich glaube, Du liest entweder nur oberflächlich oder Du verstehst nicht, was ich meine.
Erstens warst Du es natürlich nicht alleine, der den Kurs gekippt hat (kann ich mir jedenfalls bei denen Rechnungen niocht vorstellen), sondern Du warst einer von denen.
Zweitens habe ich nicht gesagt, daß Du dich schämen sollst, weil Du Deine Meinung sagst. Das kann und will ich hier keinem verbieten. Es war eher auf den Verkauf bezogen und ein bißchen spaßig gemeint. So wie eigentlich der ganze Artikel, flapsig sein sollte, aber Du verstehst es irgendwie nicht und nimmst alles sehr persönlich.
Schade eigentlich.
Drittens meine ich Deine Grundeinstellung. Ich war eigentlich voller Hofnung, daß nach der Talfahrt alle kleinen Zocker und Pusher wieder abgesprungen sind.
Doch jetzt geht das ganze schon wieder los und es kommt wieder eine blöde Unruhe in den Wert.
Nimms jetzt nicht wieder persönlich, aber bei einem so großen Zockerumfeld wird sich die Aktie wahrscheinlich wirklich noch etwas länger schwer tun.

Vor der Sendung und nach jeder Werbepause kam von Travel 24.com jeweils eine Kurzwerbung.
Die scheinen sich jetzt wohl richtig ins Zeug legen zu wollen. Die Werbung kostet schon etwas mehr.

schon ok, im Grunde hast du ja recht, das Zocker TBU nur schaden, und ich moechte auch keine Zocker bei TBU haben, aber nachdem die Aktie in den letzten Wochen schon 2-3 mal auf 1,4 hoch ist, nur um dann wieder runterzugehen, wollte ich wenigstes mal die Haelfte meiner Gewinne realisieren.-Da ich erst zu 1,18 rein bin, haben wir wahrscheinlich diesbezueglich einen anderen Standpunkt, da fuer die meisten 1,4 noch kein Gewinn ist.-Fuer mich sind es fast 20 %!
Ich hoffe du verstehst meine Postition, im Grunde bin ich auch kein Zocker und werde heute diese verkaufte Haelfte wieder kaufen (limit. zu 1,3).

Ich wuerde eher zu 1,4 limitieren.
-Die Nasdaq ist gestern um ueber 100 Punkte hoch, nach dem "labor day" Wochenende werden wieder hoehere Umsaetze in Amerika erwartet, da die Sommerpause damit zuende ist.
Das koennte eine Rally werden, waehrend der TBU dann 1:1 in avgp umgetauscht wird. Schon jetzt ist der Abschlag mit 80 % enorm, dieser "Gap" duerfte in den naechsten Wochen bis zum umtausch (3-4 Wo.) noch um einiges kleiner werden.

RUHE VOR DEM STURM
-Bis jetzt fast keine Umsaetze bei TBU. Die 10 t DM Umsatz sind laecherlich. Dies ist fuer mich die Ruhe vor dem Sturm, da alle, die kaufen wollen, abwarten wie sich der Kurs von avgp und TBU in Toronto entwickelt. Sobald es von Seiten der Nasdaq (avgp) weitere positive Signale gibt, duerfte TBU aus von ass24 genannten Gruenden (1:1 Umtausch usw...) nicht mehr zu stoppen sein!
Heute ist meiner Meinung nach eine der letzten Chancen, guenstig einzusteigen.-Habe selbst vorhin zu 1,33 limit. gekauft.
Trotzdem: auf jeden Fall limitieren, da marktenger Wert,
vor dem Kauf zuerst gruendlich informieren (Thread 24 usw.)

Habe im November 1999 einige TBU gekauft und eigentlich vergessen. Jetzt nach Deinem Bericht habe ich nochmal nachgehieft und damit den Einstiegskurs etwa halbiert.

Ich möchte folgende Frage in den Raum stellen:
Warum soll TBU bis zum Zusammenschluß auf das Niveau von AVGP steigen, kann es nicht auch sein, das AVGP auf das Niveau von TBU fällt?

Gleichzeitig möchte ich Euren Blick auf SMPX lenken (WKN 912376)! Da geht schon nächste Woche die Post ab! 100% mit Ansage! Wenn nicht, steinigt mich!
