OmniSky Anticipates Better Than Expected Earnings and EBITDA for Second Quarter
Company Completes Initiatives to Accelerate Deployment of Wireless ASP Services
SAN FRANCISCO--(BUSINESS WIRE)--July 26, 2001--OmniSky Corporation (NASDAQ National Market: OMNY - news), a leading global provider of award-winning wireless applications and services, announced today that it anticipates reporting second quarter revenues of between $4.6 and $4.7 million, in line with prior guidance. Service revenues are expected to be in a range of between $3.8 and $3.9 million, based on approximately 42,000 subscribers at the end of the period.
OmniSky also expects to report a significantly smaller EBITDA loss of between $19.0 and $21.0 million (excluding anticipated non-cash and one-time charges) compared with previous guidance of between $31.0 and $33.0 million for the second quarter; net loss is expected to be between $27.0 and $29.0 million compared with previous guidance of between $41.0 and $43.0 million. These significant improvements reflect initiatives begun several months ago to focus the company`s resources on the full-scale deployment of its Oxygen platform.
``We continue to leverage our award-winning services while managing our costs and further reducing operating expenses,`` said Patrick McVeigh, chairman and CEO of OmniSky. ``We expect to see the results of these efforts, with several commercial launches on the Oxygen platform in the late fall, positioning us as a leading provider of applications and services for wireless carriers, online service providers, and hardware manufacturers.``
In connection with these efforts, the company has restructured its business, forming a consumer unit focused on the company`s target market of mobile professionals and an applications and services unit to market its advanced suite of applications and services known as ``OmniSky Oxygen.`` Added McVeigh, ``We believe this organizational structure will enable us to more efficiently manage our resources and respond to customer needs.``
``We will continue to closely monitor our operating and capital expenditures as we move to support our ASP business,`` said Lawrence Winkler, CFO. ``The actions we`ve taken significantly reduce our cash burn while we continue ongoing discussions with vendors and partners to raise the capital necessary to take us to profitability.``
As part of its ongoing business review, the company has reduced its global workforce by nearly 100 employees. The company continued to realize synergies from its consolidation of OmniSky International by reducing its European workforce and closing several European offices. Consumer-focused beta trials in the United Kingdom and Germany are nearing completion, and the company expects to close the trials as it assimilates information from those trials into its European product offerings. In the future, the company intends to deliver its applications and services throughout Europe in partnership with carriers, online service providers, hardware manufacturers and others.
OmniSky also confirmed that it would announce second quarter results on August 7, at which time management expects to update investors on the company`s progress in marketing the Oxygen platform and expectations for the remainder of the year.

OmniSky Announces Second Quarter Results
SAN FRANCISCO--(BUSINESS WIRE)--Aug. 14, 2001--OmniSky Corporation (Nasdaq: OMNY - news)
-- Second quarter EBITDA and net income significantly better than
Wall Street consensus expectations
-- OmniSky signs deal with Verizon Wireless to provide wireless
data applications and services
-- Company completes initiatives to accelerate deployment of
Oxygen platform while significantly reducing cash burn and
funding requirements
OmniSky Corporation (Nasdaq: OMNY - news), a leading provider of award-winning wireless data applications and services, today reported operating results for its second quarter ended June 30, 2001.
FINANCIAL RESULTS
Revenue for the second quarter was $5.4 million, an increase of 590% from the $0.8 million reported for the second quarter of 2000. Revenue for the six months ended June 30, 2001 was $10.9 million, with service revenue comprising 74% of the total. EBITDA for the second quarter, as adjusted for $8.3 million of non-cash charges including a $6.1 million inventory write-down, was ($17.9) million, a 30% improvement from comparable EBITDA of ($25.5) million in the first quarter. Both adjusted and unadjusted EBITDA for the second quarter were significantly better than the previous guidance of an EBITDA loss of $31 to $33 million, reflecting significant operating improvements and cost reductions effected during the quarter.
Net loss for the second quarter, including amortization of stock-based compensation, was ($24.4) million, or ($0.38) per share, excluding the effects of $9.5 million of special charges including the inventory write-down. The company`s net loss per share was significantly better than First Call`s consensus estimate of ($0.63) per share. The company`s OmniSky-branded subscriber base grew to 42,000 at the end of the second quarter.
MANAGEMENT COMMENTS
``We are pleased to report that during the second quarter we effectively implemented a strategy that enabled us to significantly reduce our cash burn, while launching our Oxygen platform for wireless data applications and services with our recently announced agreement with Verizon Wireless,`` said Patrick McVeigh, OmniSky chairman and chief executive officer. ``The efforts we began at the end of last year to leverage our technologies and resources for the Wireless ASP business are starting to pay dividends. Just as we`ve been recognized again and again as the industry leader for our OmniSky-branded wireless service, we fully expect to become the recognized leader in providing award winning applications and services through the OmniSky Oxygen platform to wireless carriers like Verizon Wireless, online service providers like AOL, and hardware manufacturers. Our belief that wireless data services offer the most attractive opportunity for wireless carriers and others to enhance their revenue base continues to resonate with the industry. Based on ongoing discussions, we anticipate several commercial service offerings based on the Oxygen platform in the late fall.``
``During the second quarter we successfully halved our adjusted EBITDA loss from the fourth quarter, as we continued to make significant progress towards reducing our funding requirements,`` said Lawrence Winkler, OmniSky chief operations and financial officer. ``Our relentless attention to reducing our cost structure, our successful realization of synergies as a result of our European consolidation, and our continued focus on delivering applications and services to a new segment of customers have all contributed to better than anticipated financial results. We remain committed to investing in our industry leading technology platform, which we expect to produce significant benefits over the next several quarters.``
STRATEGIC INITIATIVES
While gaining operating efficiencies and reducing costs, OmniSky has achieved considerable momentum on several strategic fronts.
Verizon Wireless Becomes Flagship Customer for OmniSky Oxygen
During the second quarter OmniSky introduced its next-generation wireless data applications and services platform, called OmniSky Oxygen. The Oxygen offering, based on OmniSky`s industry-leading wireless data services, now enables telecommunications carriers, online service providers and hardware manufacturers to generate new sources of revenue through differentiated wireless data services.
The company`s initial customer for the Oxygen platform is Verizon Wireless. The two companies recently signed a deal that makes OmniSky a premier provider of wireless data applications and services to Verizon Wireless, the nation`s largest wireless carrier with almost 30 million wireless subscribers including more than 1.1 million subscribers to its Mobile Web and Mobile Web IP data services.
OmniSky also completed initiatives to refocus its business on the Oxygen platform of applications and services, including an organizational redeployment of resources to more efficiently and effectively achieve the company`s business objectives.
Device, Platform and Network Expandability
OmniSky continued to establish the flexibility and expandability of its applications and services, as well as its technology leadership, by showcasing multiple instances of the service across multiple wireless networks, mobile-phone handsets, laptops and new handheld devices.
Expanded commercial service to the three leading Pocket PCs -- Hewlett-Packard 520 Series, Compaq iPAQ, and Casio E-125.
Delivered its first wireless access solution -- for the Hewlett-Packard Pavilion Notebook.
Showcased service over GSM, GPRS, and CDMA networks.
Delivered service using Bluetooth technology.
Delivered a WAP-version of the OmniSky service.
Solutions and Industry Development
OmniSky was again recognized by the industry with a MobileFocus Award for the best wireless service. OmniSky`s recognition as the industry leader in providing superior wireless data services has given the company a platform as a key advisor to critical industry agendas. As part of its strategy to play a leadership role in the industry dialogues that affect the development and adoption of wireless data services, OmniSky initiated numerous efforts to work cooperatively with major industry organizations and partners to address pivotal consumer adoption and technology standards issues.
