Liebe Mitaktionäre,

ich habe inzwischen mit der Firma Kontakt auf genommen und meine Anfrage an GGR wurde an Mr. Summers weitergeleitet, vom dem ich eine ausführliche Stellungnahme erhalten habe. Mr. Summers ist Mitarbeiter der jetzigen Verwalter Bryan Kevin Hughes und Vincent Anthony Smith von Norgard Clohessy. Das Wichtigste ist, daß bis zum 01.11.00 eine zweite Versammlung der Gläubiger stattfinden soll, die über die Zukunft der Firma entscheidet. Eventuell wird es anschließend eine Aktionärsversammlung geben. Die Verwalter suchen zur Zeit nach Lösungsmöglichkeiten für die finanziell angeschlagene Firma.

Hier das Statement im Original:

Dear xxx,

I refer to your email dated 7 September 2000 in relation to General Gold Resources NL (Administrators Appointed) ("GGR").

I advise that Mr Bryan Hughes and Mr Vincent Smith were appointed Joint and Several Administrators of the above Company on 12 July 2000. The appointment was made as the company believed that it was insolvent or was likely to become insolvent at some future time.

As you are aware, the company`s shares have been suspended from trading on the ASX. The Corporations Law prevents shareholders from selling or transferring their shares during the period of the administration unless they have court approval.

The Company`s future will be decided by creditors of GGR at the second meeting of creditors. As you may be aware, the Administrators applied to the Supreme Court of Western Australia and were granted an order extending the convening period for the calling of the second creditors meeting from 1 August 2000 to 1 November 2000. The order also allows the Administrators to convene the second meeting of creditors earlier than 1 November 2000 if they are in a position to do so.

The Administrators are unable to comment on the future of the Company,including whether the Company will re-list on the Australian Stock Exchange at this point in time, however they are currently considering a number of options for the Company`s future, which will hopefully see GGR relist some time after 1 November 2000.

Shareholders will be notified in due course as to the outcome of the second meeting of creditors and should the company be proposing a restructure of capital, shareholders will be notified and a meeting of shareholders convened to consider the proposal.

As you may be aware, as a result of the appointment of Voluntary Administrators to GGR`s subsidiary General Gold Operations Pty Ltd on 5 July 2000, the Directors of GGR resolved to appoint myself and Mr Vincent Smith of Norgard Clohessy, Chartered Accountants, as Voluntary Administrators of the Company on 12 July 2000. The object
of the Administration is to maximise the chances of the Company, or as much as possible of its business, continuing in existence; or if that is not possible, administer the Company in such a way that results in a better return for the Company`s creditors and membersthan would result from an immediate winding up of the Company.

The purpose of this circular is to provide shareholders with a brief update as to the progress of the Administration of GGR and to provide access to further information if they require it.

The second meeting of creditors held on 8 November 2000 was adjourned and was reconvened on 6 December 2000. At this meeting, creditors resolved to accept a proposal for a Deed of Company Arrangement, which will assist the Company to be restructured and re-quoted on the Australian Stock Exchange. Copies of the Administrators` reports to creditors can be obtained by viewing the Company`s website at http://www.generalgold.com.au. I recommend you review these reports that provide more detail on the process and possible outcomes. If you are unable to access the Internet, a copy of the reports will be made available for your inspection, if requested, at the offices of GGR.

The Administrators have been actively advertising for parties interested in the restructure of the Company and/or the purchase of it assets. As a result of these advertisements the Administrators have received in excess of 80 expressions of interest from a wide range of parties throughout the world. Of these parties the Administrators have prepared a short list of some 8 parties. Restructuring proposals, or offers to purchase, from these parties will be further refined to reduce this list to one party per asset. A report will then be sent by the Administrators to shareholders providing them with details of the successful party or parties, their proposals or offers, and their effect on shareholders. A meeting of shareholders will then be held at which time shareholders will be required to vote on any restructuring proposal.

I am unable to provide shareholders with further details at this time, however, shareholders will receive necessary details in due course. At this time, we request shareholders` review the creditors reports and wait for the provision of a more detailed shareholder report before making any further inquiries. I anticipate shareholders receiving a report before March 2001. We appreciate your patience during this process.

The Deed Administrators of General Gold Resources NL advise that the Company executed a Deed of Company Arrangement ("DOCA") on 26 December 2000, the essential terms of which were set out in their supplementary report to creditors dated 28 November 2000.

The Committee of Inspection, together with the Deed Administrators, are currently reviewing a number of proposals for the restructure of the Company which are expected to involve the re-quoting of the company on the Australian Stock Exchange. The Deed Administrators will seek shareholder approval for a restructure in due course.

The Deed Administrators anticipate paying an interim dividend to admitted creditors of the Company within 14 days of finalising the adjudication of Proofs of Debt. In this regard Notice calling for Proofs of Debt was forwarded to all known creditors on 4 January 2001. Creditors are required to submit a Form 535: Formal Proof of Debt or Claim form on or before 6 February 2001 to participate in the distribution.

Das heißt, daß es noch Hoffnung gibt. Zumindest bemüht sich der Verwalter darum, die Gesellschaft wieder flott zu machen.

Da Du die Aktien im Moment ehedem nicht handeln kannst, mußt Du Dich um nicht kümmern. Entweder es gibt ein Relisting oder es gibt keines. Ich wollte mit den Postings nur über den aktuellen Stand informieren.

Heute habe ich von Michelle Skinner folgende Mail erhalten:

"The Administrators are very close to making a selection from the expressions of interest received and they have advised me that a notice to shareholders will be made very soon."

Die Verwalter sind dicht daran, eine Auswahl über die eingegangenen Interessensbekundungen vorzunehmen und sie haben mir mitgeteilt, daß eine Benachrichtigung an die Aktionäre sehr bald folgen wird.
