Nach dem Verkauf der TigerTel Aktien und der bevorstehenden NASDAQ-IPO von intellesale (30.1.) werden die Kassen prall gefüllt sein.
Im Bereich Infrastruktur zwischen Computer + Internet + Kommunikation ist Applied digital Solutions bestens postitioniert, zudem forciert man agressiv den b2b-Bereich.
Der Digital Angel kann einen 100Mrd knacken! ADSX besitzt das Patent dazu.
CEO R. Sullivan erwartet für 2000 einen Umsatz von 1 Mrd. $,
ADSX wird zur Zeit mit 346,5 Mll. $ bewertet!
Bei einer positiven Analysten-Bewertung bzw. Entdeckung durch Wallstreet kann der Kurs rapide nach oben gehen - Dies könnte durchaus schon im Vorfeld der Bekanntgabe d. nächsten Quartalszahlen erfolgen.

ich fürchte, ich muß etwas Wasser in den Wein gießen:
ADSX hat derzeit etwa 100 Millionen $ Schulden, wird nach dem Verkauf von Tigertel und dem IPO als maximal schuldenfrei sein, keineswegs aber prall gefüllte Taschen haben!
Dennoch ist ADSX ein sehr interessantes Langfristinvestment, ich bin auch mit einem kleinen Einsatz dabei!

FACTS about the pending IPO
ADSX is spinning off a divison called Intellesale.com. Currently Intellesale is 100% owned by ADSX and is part of their earnings. After the IPO Intellesale (Symbol: SALE) will be a seperate company with ADSX holding 49% of the shares. Yes, that`s right, 49%. Some of the sites you see may read 80% but they are not re-adjusting for the S-1/A filing. ADSX owns 80% of Intellesale RIGHT NOW, as per the latest S-1/A it`s down to 49% since they will be selling shares.
-SALE has not IPOed yet, it is still in the filing process and a quiet period.
-The filings states that ADSX shareholders will get NO shares in SALE as a direct benefit from owning ADSX.
-SALE has NO set IPO date, the underwriter sets the date, not these sites like http://www.hoovers.com The S-1/A still reads this:
"The underwriters are offering the shares subject to various conditions. The underwriters expect to deliver the shares to purchasers on or about [_____], 2000."
See that blank? That means there will be another amendment soon to put that date in. Until then there is no set IPO date.
-ADSX is selling 1.7 million shares in SALE at the offering price, whatever that may be. It`s set at $9 now but that could change.
-ADSX is set to receive $32.3 million in cash from the proceeds of the IPO. This is the amount that is locked in considering the $9 offering price that is said in the S-1/A. If it goes higher, the amount ADSX is set to receive will go higher as well.
-ADSX is set to be worth $92.7 million IN STOCK on paper assuming the $9 offering price of SALE. ADSX will still own 10.3 million shares in SALE so that is where this amount comes from. These shares will probably not be freely sold by ADSX to raise money unless it is needed.
-That would come to a total of of $125 million ADSX is set to be worth either inherently through stock or directly from cash proceeds just from this IPO.
-SALE is currently profitable, but it will carry a high amortization spread out over 7 years which will hurt their earnings a little.
-Goto http://www.intelesale.com to find out what SALE sells.

Breakdown of TTEL and the SALE IPO.
Here`s a break down of all the money ADSX is set to receive from the IPO of SALE and from TigerTel.
TigerTel:
Bought for $9.25 Canadian
C$9.25 x 7,506,297 (Shares outstanding) = approx. $69.4 million
C$9.25 x 4,942,284 (ADSX`s share of TTEL) = approx. C$45.7 million
Now, here`s the convertion into American dollars:
C$45,716,127 x .68 = $31,086,966.36, or approx. $31 million American.
Not bad for a company they bought a year and a half ago for $6.3 million.
Onto the IPO:
ADSX will be selling 1.7 million shares of SALE @ the offering price which is set @ $9 per share as of the latest S-1/A.
1,700,000 x 9 = $15.3 million
Just from selling stock, ADSX will receive $15.3 million.
SALE is also planning to pay back ADSX $17 million from the proceeds they receive to pay back ADSX for loans the company advanced them.
$15,300,000 + 17,000,000 = $32.3 million
$32.3 million is the combined amount ADSX is guaranteed to receieve at the $9 offering price for SALE.
SO, combining TigerTel and SALE we come up with a total of approx. $63.3 million.
$32,300,000 (From the IPO) + $31 million (From TigerTel) = $63.3 million
If all the terms and agreements were to stay the same as they are today and the IPO and merger went through this is how much ADSX would receive no matter what.
Now, SALE is in debt to ADSX a total of $34.9 million, they are only paying back $17 million. That leaves $17.9 million still to be payed back. SALE is expecting to close on a $50 million credit line once the IPO is finished and use it to pay back its remaining debt. There is no guarantee SALE will get this funding though. In either case this has the possibility to raise the amount ADSX receives to $81.2 million
ADSX will also still own 10.3 million shares in SALE after the IPO. Just at the offering price this equates to a value of $92.7 million. As is the case, this will fluctuate with the movement of SALEs share price.
So, in conclusion:
$63.3 million in cash- GUARANTEED to ADSX if all terms and conditions stay the same and the merger and IPO go through as planned.
$81.2 million in cash -Assuming SALE does get its credit line as planned they will pay back ADSX $17.9 million to rid themselves of debt. This figure shows that amount already on top of what ADSX would gain from the IPO and merger.
That`s all in cash, here`s the stock:
$92.7 million in stock- JUST what ADSXs share of SALE will be worth at the offering price of $9. If the share price jumps on the day it IPOs this figure will go up also.
Total:
$63.3 millon in cash + $92.7 million in stock = $156 million in both cash and stock value which will increase to $173.9 million once SALE pays back ADSX.
Overall, these transactions have the potential to be worth $173.9 million in cash and stock for ADSX if all terms and conditions stay the same.
I know it`s a lot of numbers, sorry.

Wenn ADSX nach dem IPO ( Einnahmen 5,7 Mio Akt.x 9$= 51,3 Mio zzgl. ca. 30 Mio § aus Tigertel )von Intellesale.com dann mehr oder weniger schuldenfrei ist, dürfte das im Bereich der I-Nets auch Seltenheitswert haben.
Ich finde, der Kurs hat sich gestern wacker gehalten und wir haben es hier nach wie vor mit einem völlig unentdeckten und unterbewerteten Wert zu tun, welche von der Produktpallette in Verbindung mit dem bereits vorhandenen Kundenstamm ( s. www.adsx.com ) her absolut zukunftsweisend ausgerichtet ist.
Also, ich setze neben Jafco in diesem Jahr voll auf ADSX.

...ja digit, prima, haste mir ja auch schon im CS mitgeteilt. "Butter bei die Fische": ADSX hat gestern nicht gut ausgesehen, deutlich schlechter als der Markt - sollten wir ganz klar benennen wie es ist! Wichtig für alle Zittrigen: ADSX kann in den nächsten Tagen durchaus auf 6$ und darunter fallen, charttechnisch wäre das wohl vertretbar, fundamental hingegen nicht!

Ich habe interne ´Nachrichten gelesen über ADSX ,die weit unterbewertet ist ,noch verschuldet aber welch eine aktie ob b2b oder internet zB comerce one die neulich erst ein split gehabt hatt sbrt auch noch verschuldet oder spyglass.Aber adsx hatt vor durch ibo mit der sie auch beteiligt ist schon aus den minus zahlen rauszukommen ihr sollt nicht groß auf meine nachricht achten ihr sollt nur wissen das ADSX spätestens bis nächsten freitag einen Kurz von 10$ hatt .
bis Ende des Monats wird sie bei 17-25 $dollar liegen
das ist kein hergeholter wert .Sondern ein wert wo die zahlen sprechen
die ziele und den einsatz der firma die mit einem neuen pressechef und einen neuen produkt die offensive ergriffen haben .Die Analysten werden es auf die aktie aufmerksam nachdem sie schon einen riesensprung gemacht hatt ,das heißt mindestens schon beo 15 $doller liegt dann fährt der zug weiter ab bis auf 25$doller das soll euch nur einen kleinen vorgeschmack geben .Nun mal zu denjenigen die gleich angst bekommen sobald eine aktie mal um 10 %fällt .ADSX ist eine aktie die von nachrichten lebt ,nachrichten muß man sich erarbeiten das braucht zeit somit kommen die kurzschwankungen zustande weil die leute nicht wissen was nun los ist oder was vor sich geht .Aber sobald eine nachricht rauskommt macht sie dann gleich große sprünge also nur mit geduld könnt ihr auch wirklich kapital einbringen also ich wünsch euch noch alles gute

...ja, erstaunlich heute - "jibbet ja net!". Wenn Ihr das Kurstreiben der letzten Minuten verfolgt habt werdet Ihr vielleicht die eine oder ander 8 gesehen haben, der Kurs sprang hin und her - aber schloss im Plus mit 7,5$ (+5,26%).

eins verstehe ich nicht:
Woher hast Du INTERNAS von dem Umternehmen - und falls Du
tatsächlich welche haben solltest, so würdest Du Dir Dein Depot
mit der Aktie "vollknallen" und nicht mit STRAFBAREN INSIDERWISSEN
angeben.
Bitte entschuldige mich, aber ich halte Dich für eine Pusher,
aber glaube mir (jemandem der professionell mit Aktien zu tun hat),
dass die Aktie so gut und unterbewertet ist, dass sie nicht
künstlich gepusht werden muss!

Durch die bevorstehende IPO von SALE und den hoffentlich guten Quartalszahlen (nach unserern Recherchen gehe ich mal davon aus, dass die Erwartungen übertroffen werden) sollten endlich auch einige Analysten auf ADSX aufmerksam werden.

Applied Digital Solutions, of Palm Beach, Florida, said it had acquired patent rights to the technology and planned to have a working prototype of the device - which it calls the Digital Angel - built by the end of next year.
The original patent documents for the device describe it as an "apparatus for tracking and recovering humans", but ADS said it had ideas to make the Digital Angel more than just a people-locator beacon.
Because the transceiver sends and receives data and can be continuously tracked by global positioning system (GPS) technology, the original inventors said the device would be ideal for locating children who are lost or who have been abducted, to remotely monitor a patient`s medial conditions, or track the whereabouts of wilderness sports enthusiasts.
ADS, a company with an e-business focus on the Internet, said the Digital Angel could also be used as a tamper-proof means identifying individuals for e-commerce security.
Also, a non-implanted version of the technology could be secreted among valuables or attached to works of art to assist in tracking thieves, the company said.
"We believe its potential for improving individual and e-business security and enhancing the quality of life for millions of people is virtually limitless," said Richard Sullivan, chairman and chief executive.

Global-positioning-Systeme (GPS) sind besonders in den Straßen von Großstädten willkommene High-Tech-Extras moderner
Autos. Die sogenannte Satelliten-Navigation führt den Fahrer aller Orts sicher zum Ziel. Was bei Luxus-Automobilen
schon längst zur Serienausstattung gehört, könnte noch in diesem Jahr dabei helfen, flüchtige Verbrecher, Ausreißer
oder Opfer von Entführungen aufzuspüren.
Ein GPS-Implantat, nicht größer als ein Pfennig-Stück, würde der Betroffenen Person unter die Haut gepflanzt und
stünde in ständiger Verbindung mit etwa fünf der über 20 GPS-Satelliten, die in 22000 Kilometern Höhe um die Erde
kreisen. Befindet sich die Person im Empfangsbereich eines zweiten, stationären GPS-Receivers, so ließe sich ihr
Aufenthaltsort mit absoluter Präzision bestimmen. Diese GPS-Systeme werden schon lange zur Navigation von Autos,
Schiffen und Flugzeugen erfolgreich eingesetzt. Wenig später erkannte man auch die Vorzüge dieser Technik zum
Aufspüren gestohlener Nobel-Karossen, in denen ein solcher GPS-Receiver an unbekannter Stelle montiert wurde. Der
Prototyp im Mini-Format, entwickelt von Applied Digital Solutions of Florida (ADS), wird wegen seiner Hütefunktion am

Global-positioning-Systeme (GPS) sind besonders in den Straßen von Großstädten willkommene High-Tech-Extras moderner
Autos. Die sogenannte Satelliten-Navigation führt den Fahrer aller Orts sicher zum Ziel. Was bei Luxus-Automobilen
schon längst zur Serienausstattung gehört, könnte noch in diesem Jahr dabei helfen, flüchtige Verbrecher, Ausreißer
oder Opfer von Entführungen aufzuspüren.
Ein GPS-Implantat, nicht größer als ein Pfennig-Stück, würde der Betroffenen Person unter die Haut gepflanzt und
stünde in ständiger Verbindung mit etwa fünf der über 20 GPS-Satelliten, die in 22000 Kilometern Höhe um die Erde
kreisen. Befindet sich die Person im Empfangsbereich eines zweiten, stationären GPS-Receivers, so ließe sich ihr
Aufenthaltsort mit absoluter Präzision bestimmen. Diese GPS-Systeme werden schon lange zur Navigation von Autos,
Schiffen und Flugzeugen erfolgreich eingesetzt. Wenig später erkannte man auch die Vorzüge dieser Technik zum
Aufspüren gestohlener Nobel-Karossen, in denen ein solcher GPS-Receiver an unbekannter Stelle montiert wurde. Der
Prototyp im Mini-Format, entwickelt von Applied Digital Solutions of Florida (ADS), wird wegen seiner Hütefunktion am
Menschen auch Digitaler Engel genannt. Sein Entwickler, Richard Sullivan, erwartet zahlreiche Einsatzmöglichkeiten von
der medizinischen Betreuung lebensgefährdeter Patienten bis hin zur Verfolgung von Straftätern.
Bürgerrechtler sehen der Entwicklung jedoch mit Sorge entgegen. Emily Whitfield, Sprecherin der American Civil
Liberties Union befürchtet Missbrauch durch Personen, die Zugang zu den gelieferten Daten haben. Regierungsvertreter
könnten so völlig legitim jede Bewegung der Bürger ihres Landes auf Schritt und Tritt verfolgen, womit wir der
gläsernen Gesellschaft erschreckend nahe kämen. Auch wäre es nur eine Frage der Zeit, bis sich Unbefugte Zugang zu den
übermittelten Daten verschaffen und diese für kriminelle Zwecke missbrauchen könnten, so eine weitere Befürchtung
Whitfields. Bis eine permanente Personenüberwachung tatsächlich möglich wäre, müsse jedoch die erforderliche
Energieversorgung der Implantate gewährleistet werden. Die Elektronik sei ohne weiteres auf die nötige Miniaturgröße
zu bringen, dennoch hätte nach dem heutigen Stand der Technik jeder Betroffene eine Zwölf-Volt-Autobatterie mit sich
herumzutragen, sagt Ron Bishop, Mitarbeiter der SOS Wireless Telecommunications Company. Trotzdem rechnet Sullivan mit
dem ersten Einsatz seines Prototypen am Menschen bereits Ende dieses Jahres. Zur Stromversorgung sollte ein
Piezo-Quarz dienen, der die erforderliche Energie zum Beispiel aus der Muskelkontraktion seines Trägers gewinnen

In der WELT von Samstag wird auf der Seite INNOVATIONEN über den Digital Angel als zukunftstechnologie am technologischen Horizont gesprochen. Erwähnt wird hier auch, daß ab dem Jahr 2001 in den USA jedes handy ortbar sein muß wegen häufiger Notrufe von Teilnehmern, die nicht ortbar sind.
Könnte für den DG ein riesenpotential sein. Das größte Potential sehe ich persönlich bei der Installation in Autos, Handys, bei Kindern, entführungsgefährdeten Personen, höherwertigen Kunst - und Schmuckgegenständen, höherwertige Kleidungsstücke wie Pelze etc., wohlmöglich im PC Bereich zur Useridentification, im Militär - und Strafvollzug ( Freigänger etc. ) Das alles zusammen weltweit betrachtet wäre ein ungeheures Umsatzpotential. Man bedenke alle, weiviel Autos jährlich weltweit zugelassen werden.
Wohlmöglich machen die Versicherer die Implatation eines solchens Chips als Auflage für den Diebstahlschutz bei PKW`s , Kunstgegenständen, Luxusgütern wie Pelze, Schmuck etc.

Ich muß mal ein Seminar machen, wo man so etwas lernt.
Aber inhaltlich ist das schon richtig wiedergegeben.
Ich bleibe in jedem Fall weiter in ADSX investieren und überlege, die Position zu verdoppeln.
Es ist ja nicht nur der DA sondern die sontige produktpallette von ADSX ist ja auch zeitgemäß.
Das Unternehmen existiert seit 19 Jahren und befindet sich gerade in einer Umstruktuierungsphase.
Am 24.1.2000 soll Intellesale.com an die Nasdaq gehen. Hiervon verspreche ich mir nicht nur Gewinn für ADSX sondern vor allem auch Publicity.
Die Bewertung mit einem lächerlichen Jahresumsatz ist absolut lächerlich. Ich halte unter Voraussetzung einer guten Pressearbeit und guten Zahlen eine Bewertung von 1,5 Millarden USD für absolut fair und realistisch. Das entspäche einem Kurs von 35 USD / Aktie.

...Leute! Positionen überdenken! Am Wochenende wurde gemeldet, dass sich fast der ganze Vorstand von seinen Aktien getrennt hat! Das sind Insiderverkäufe nach SEC Filing 4, und wurden z. B. unter Freerealtime.com/ADSX/News gemeldet! Es könnte am Dienstag eine starke Korrektur erfolgen - macht was Ihr denkt, aber wenn der Vorstand seine eigenen Aktien verkauft dann ist das für mich nicht gerade ein Kaufsignal!

Ich habe die SEC 4 Meldungen sehr genau gelesen und zwar schon lange vor Dir. Die sind durchaus nicht alt, lediglich der Zeitraum der Veräusserung der Aktien liegt zurück! Die Meldung ist brühwarm und nicht zu unterschätzen!
Sullivan hat z.B. ALLE SEINE AKTIEN verkauft - ALLE! Nur so zur Information, weill Dein obiges Beispiel nur ein SEC 4 von vielen CxO`s und Direktoren ist. Mache sich jeder selbst seinen Reim darauf, ich bin erstmal draußen! Wünsche Euch steigende Kurse, ehrlich, habe heute Pari verkauft und bin zufrieden. ADSX sollte immerhin ein Langfristinvestment für mich werden, aber nicht unter diesen seltsamen Bedingungen. Sollte sich alles aufklären werde ich gerne wieder aufspringen und sei es bei 12$!

i`m going to say this for the last time. You people that are so concerned with the sells are either fools or extremely inexperienced
traders/investors. Insiders usually file to sell when thy realize or know something is going to move the stock price way up. If they
waited till it happened it would be to late and could only sell after the retracement. They file now so they can sell whenever they
feel like doing it. By doing this they guarantee themselves the opportunity to make some money on the next pop. If they want to
they can just buy back more shares later because they get them cheaper than we do anyway. They also don`t have to sell all the
shares they file for. They can hold or partial sell if I remember correctly. Quit relying on posts and do some DD for Goodness
Sakes. I can`t beleive you think the stock has been under accumulation for so long just so they can drive the price down. It`s like
I`m on the backwards board or something. Oh well, all IMHO and Good Luck.

Sag` mal, triffst Du eigentlich alle Deine Aktienentscheidungen nur deshalb weil ein paar Leute auf diesem und anderen Boards sagen "Nicht Verkaufen", "in einer Woche locker bei 20" (ein gewisser "Stane" vom BO-Board) usw...
Bist Du so uninformiert??? Was man teilweise auf den Boards zu ADSX liest ist echt der Hammer!!
Höhepunkt war vor einigen Tagen die Aktienverkäufe des Managements.
"Stane" vom BO-Board pusht außerdem mit dem SALE-IPO, daß angeblich nächste Woche über die Bühne gehen soll.
QUITE PERIOD!! Da ist noch nichts Offizielles bekanntgegeben worden.
Das Datum ist immer noch vakant. Das IPO kommt schon noch, nur die Ruhe.
Mensch, Leute(jedenfalls einige) informiert Euch besser.
Schreibt der IR-Abteilung von ADS `ne mail um in gewissen Dingen endgültige Klarheit zu schaffen!!!
Vielleicht ist Euch nicht bekannt...aber ADSX hat das Potential sich zu VERVIELFACHEN. Die Aktie hat seit Anfang Nov. 400% gemacht.
Ihr müßt ADSX langfristig sehen.
Ist es nicht viel angenehmer genau informiert zu sein und zu wissen, daß man die richtige Aktie zum richtigen Preis eingekauft hat und nicht ständig die Kurse abfragen muß, um den besten Verkaufskurs zu erzielen.
ADSX ist nur LANGFRISTIG interessant!!! Ich hoffe, daß wir uns im Bereich um $10 eine Basis für den nächsten Anstieg schaffen. Das wäre sehr gesund für die langfristige Entwicklung.
Gestern das Interview gehört: Zwei Dinge, die mir bis jetzt noch nicht so gefallen haben, wurden klar verbessert.
Zum einen die IR-Abteilung (Robert Jackson knows the street) und die Ausrichtung auf das core-business: B2B!!!

stelligen euro Bereich liegen.

Bin auch wieder im Boot...
ADSX haben sich nicht schlecht entwickelt in den letzen Wochen, obwohl es sich ohne Zweifel um ein Langfrist-Investment handelt (12 - 16 Monate) - Also, nicht verrückt machen lassen und mit etwas Geduld werden wir noch einige Freude damit haben...

Chart an. Die Ausprägung des Ausbruchs wird immer deutlicher.
Man erkennt zudem eine Parallelität zwischen der Vergangenheit und der
gegenwärtigen Lage:
Bisher war es so, dass nach jedem grösseren Kursschub eine 5 bis 10-tägige
Seitwärtsbewegung die Regel war, täuscht hier mein müdes Auge???
