Entry into Material Agreement, Sale of Equity



Item 1.01 Entry Into a Material Definitive Agreement
On September 26, 2005, the Registrant and its sole officer, director and principal stockholder, Stephen W. Carnes, entered into an Agreement and Plan of Merger (the "Merger Agreement") with ei3 Corporation, a Delaware corporation ("ei3"). Pursuant to the terms of the Merger Agreement, the Registrant will reincorporate in Delaware and then merge (the "Merger") with ei3, with the Registrant as the surviving corporation of Merger. The Registrant will change its name to ei3 Corporation and will cease to be a shell company. The merger is intended to be structured as a tax-free reorganization accounted for as a purchase whereby ei3 will be merged with and into the Registrant wherein the separate corporate existence of ei3 shall cease to exist. As a result of the Merger, the stockholders of ei3 will receive shares of the Registrant`s common stock representing approximately 93% of the Registrant`s outstanding shares of common stock after the Merger.

The shares of the Registrant`s common stock issued in the Merger will not be registered under the Securities Act of 1933, as amended and will therefore be deemed "restricted securities".

Consummation of the Merger is subject to the satisfaction of various conditions, including (i) approval of the Merger Agreement and the Merger by the Registrant`s and ei3`s stockholders, (ii) approval by the Registrant`s stockholders to reincorporate (change of domicile) the Registrant in the State of Delaware; (iii) approval by the Registrant`s stockholders of a one for 47.84168 reverse stock split, such that the Registrant shall have not more than 10,147,620 shares of common stock issued and outstanding; (iv) certain of the Registrant`s notes held by Cornell Capital Partners being amended in form satisfactory to ei3; (v) ei3 shall have consummated a debt or equity financing of at least $1,500,000; and (vi) the accuracy of representations and warranties. The Merger Agreement contains certain termination rights for both the Registrant and ei3.

Further, Stephen W. Carnes, the Registrant`s sole officer, director and principal stockholder will receive $200,000 in cash upon closing of the Merger. In addition, Mr. Carnes has agreed to assume all of the Registrant`s liabilities, excluding the notes held by Cornell Capital Partners, upon closing of the Merger, pursuant to the terms of an Assumption Agreement dated September 26, 2005 between the Registrant and Mr. Carnes, a copy of which is filed as Exhibit 10.1 to this Current Report.

Mal was zum Handel in Berlin (und anderen Börsen in D)

ich habe mich auch ne zeitlang ziemlich über den scheinbar faulen, schlafenden, nichtsnutzenden Makler in Berlin aufgeregt. Doch bevor mir der Kragen zu platzen drohte, hab ich da angerufen und wollte mich bitterlichst über den scheinbar faulen... Makler beschweren.

ABER:

Zu seiner Ehrenrettung kann ich über den fleißigen, arbeitswilligen, per Gesetz zurückgehaltenen Makler nur sagen:
Der würde gerne arbeiten, wenn er nur dürfte/könnte!

Damit ein Handel an deutschen Börsenplätzen (außer Xetra) zustande kommt, müssen die Volumina bei gleicher Taxe mindestens 1:3 stehen. Egal in welche Richtung.

Kleines Beispiel. Wenn im Ask 3 Mille zum Verkauf stehen, dann müssen mindestens 1 Mille im Bid stehen, damit der Makler was tun darf. Kommt nicht auf Einzelorder an, sondern nur Gesamt. Gibt dann Teilausführungen für jeden...

So, hoffe, jetzt ists ein bißchen klarer.

Dann ist die Kohle über Nacht weg, und zwar (fast) komplett.
Also Vorsicht mit Zockeraktien: Nur "Spielgeld" einsetzen, keinesfalls mehr.

@Slay: Du hast Recht, mein Freund! Leider habe ich nach deiner Empfehlung vom 26.09. zu lange gewartet, wohlwissend, dass deine Tipps für mich bislang immer erfolgversprechend waren. Habe also eine Order für 0,006 reingestellt, diese aber auf 0,007 erhöht. Der Auftrag wurde ausgeführt, so dass ich jetzt auch (zumindest) 500K halte. Wünsche uns allen viel Erfolg auf dem Weg gen Norden!

Slay wurde fuer etwas - kurzzeitig - aus dem Verkehr gezogen, wofuer andere nicht einmal die gelbe Karte erhalten. Wenn man sich andere Threads anschaut, in denen manche user bashen und "rein zufaellig" ihre eigenen shares anpreisen, so ist die Entscheidung keinesfalls zu verstehen. Im uebrigen ist Slay von seinen shares ueberzeugt, fordert aber niemals zum Kauf derselben auf!

Ausserdem finde ich es mittlerweile ziemlich langweilig ohne Slay. Hoffe, er kommt vorzeitig wieder frei!!!
Eines ist sicher. Slay haelt seine shares genauso wie ich. Es besteht fuer niemanden ein Grund, in Panik zu verfallen!

Stellt lieber mal alle Eure Shares zum Vielfachen ultimo in den VK!! ...damit sie nicht an Hedger/Shorties von Eurer Bank verliehen werden können!!!
Dann helfen wir aktiv mit, das das Ding ab geht, sag ich Euch!! Dann haben wir unsere Rakete!! Dann gibts nämlich weniger LEERVERKÄUFE!!!

Los auf geht`s, alle ne VK Order zum Vielfachen des jetzigen Kurses reinstellen - ultimo - versteht sich (also bis z.B. 31.12.2009), damit Ihr sie nicht die ganze Zeit erneuern müsst, die VK Orders!!! (Falls es bei Euch kostenlos ist gilt ultimo wahrscheinlich nur immer bis Monatsende, dann halt immer am 1. des Monats VK ORDER erneuern!!) Gebt am besten Eure Kursziele als Limit ein!!

Klar der Kurs wird früher oder später sowieso anfangen zu steigen (bzw. explodieren/ausbrechen), denke ich, aber somit können wir es beschleunigen, meine ich und viele andere die sich etwas auskennen im Geschehen!

Egal ob es 5 Piepen kostet oder so (bei mir kostet es nichts!!:cool, es lohnt sich seine Aktien LONG zu setzen, meiner Meinung nach, und nicht nur meiner Meinung nach, sondern es ist auch die aller anderen, die das Börsengeschehen einigermassen durchschaut haben, und über Hedge/Shortiemachenschaften bescheid wissen aber wollen das der Kurs steigt und nicht runtergeshortet wird sondern gen Norden marschiert! (das gilt natürlich auch für Zocker, denen ist vielleicht auch nen SL zu empfehlen, damit sie aus dem Markt sind die Shares aber besser drüber ne VK damit kein SL Fishing betrieben wird! Meine Meinung) Zocker können aber auch das gleiche machen, also oberhalb des Kurses ne VK Order reinstellen, man kann die VK Order doch jederzeit ändern, wenn man verkaufen will einfach rausnehmen und mit dem Limit raushauen das man sich halt setzt zu dem Zeitpunkt!

Ich stell meine Shares meistens zu 10 Euro oder 1 Euro bei manchen auch nur 10 Cent zum Verkauf rein!!

Sonst werden sie nämlich ohne das WIR gefragt werden an Shorties/Hedger von Euren Instituten verliehen!! Muss nicht sein, aber kann sein, die dürfen aber keine Aktien verleihen für die ne VK Order gesetzt wurde!!

Wenn Ihr das alle macht und das wären MULTIMILLIONEN Stücke, dann sind diese alle zum VK eingestellten Shares gesperrt also nicht mehr verleihbar!!!! und somit aus dem Markt raus!!!!

Das gleiche gilt für Stopp Loss Orders!! Aber nicht unbedingt zum Empfehlen, da oft SL Fishing betrieben wird!!
Zum Zocken ist es manchmal besser SL`s zu setzen, aber nicht für LONGIES die den GROSSEN AUSBRUCH und dies auch noch STEUERFREI mitmachen wollen! (So einer bin halt ich, micht interessieren Tagesschwankungen überhaupt nicht, ob Ihr mir das glaubt oder nicht!! Mit Schnuppe! Ich glaube dass diese Strategie nicht viel hilft.
Die Hedgefonds haben so große Bestände, sie werfen eine Portion ihrer Shares auf den Markt und dann machen die paar Aktien von Kleinanlegern den Kohl nicht mehr fett.
Ich mache das zwar auch häufig, dass ich meine Aktien
zum Verkauf stelle, aber ich bin mir meiner Genzen bewußt.
Man braucht gute Nerven, oder man darf an der Börse nicht spielen. Nachdem ich heute gesehen habe, wie die uns ausziehen, habe ich für ein paar Stunden im Garten gearbeitet.

Wenn erst einmal die Hurricanschäden in der Firma beseitigt sind, die ja ziemlich gering sein sollen und der große Auftrag von 9 Millionen USD (AUS MEXICO) anläuft, dann gehts wieder richtig los !!!
