Upgrade International Completes Private Placement of Common Stock, Raising $9.5 Million At $2.50 Per Share
SEATTLE--(BUSINESS WIRE)--Sept 27, 1999--Upgrade International Corp. (OTC BB:UPGD) is pleased to announce that it has completed its private placement of Common Stock at $2.50 per share pursuant to Rule 506 to accredited investors in the United States and pursuant to Regulation S to investors outside the United States who are not ``U.S. Persons.``

The placement resulted in a total of 3,806,281 shares being issued to a total of 179 investors. Gross proceeds were $9,515,670. U.S. investors purchased a total of 2,750,300 shares, and foreign investors purchased a total of 1,055,981 shares. All shares sold are currently restricted securities as defined by Rule 144 promulgated under the Securities Act of 1933, as amended. However, Upgrade has agreed to file a registration statement with the Securities and Exchange Commission within 90 day after closing of the placement covering the shares sold in the private placement.

Closing of the placement results in a total of 17,703,769 shares of Common Stock, par value $0.001 per share, of Upgrade International Corp. being issued and outstanding.

Upgrade has applied the proceeds of the placement to provide working capital in its affiliated companies, Centurion Technologies Inc., EforNet Inc., Global Cyber Systems SA and UltraCard Inc. The proceeds will allow Upgrade to complete its purchase of an undiluted 50% interest in UltraCard, as well as to make other investments.

Upgrade International Corp., through its ownership interest in UltraCard Inc., is engaged in the development and commercialization of a patented, revolutionary data storage technology. UltraCard applies conventional hard drive storage technology onto the surface of the standard magnetic stripe card and the integrated circuit chip card (smart card). This will provide numerous potential industrial users with a combination of high level security and up to 5 million bytes (5MB) of data storage at the lowest cost in the industry. By comparison existing magnetic stripe and smart card technologies have 256 bytes and 16k of storage capacity respectively.

Na wird aber auch mal langsam Zeit, daß auf der nachrichtenseite von UPGRADE was passiert!

Tja dann bin ich doch jetzt wirklich mal gespannt, wann die ersten Empfehlungen aus den USA kommen!

Also laßt uns hoffen. Ich glaube allerdings, daß die Technologie sich durchsetzen wird und dann können wir wahrlich nur noch lachen *ggg*.
