Troyden to Acquire Communicate.com, Inc.
TUESDAY, JULY 11, 2000 10:26 PM
- PRNewswire
RENO, Nev., Jul 11, 2000 /PRNewswire via COMTEX/ -- Troyden Corp. (OTCBulletinBoard:TRYD), today announced it has agreed to acquire Communicate.com, Inc., a company focused on developing an integrated network of complementary e-businesses. Under the agreement dated June 30, 2000, Troyden will cease current operations and change its name to Communicate.com, Inc. Certain officers and directors of Troyden have resigned their positions, and will be succeeded by the appointment of Communicate.com`s management team members.
The agreement is subject to approval by Communicate.com shareholders. Certain shareholders representing the majority of Communicate.com have agreed to tender their shares in favor of the agreement.
Background on Communicate.com
Founded in 1994, Communicate.com grew from a small multimedia development company to a large Internet consulting services business, representing blue chip clients including Hong Kong & Shanghai Banking Corp., Seagate Software and Computer Associates, in addition to a host of emerging Internet startups.
In 1995, Communicate.com began shifting its focus by acquiring generic Internet domain names, registering more than 400 domains, including Wrestling.com, Boxing.com, Hockey.com, Makeup.com, Perfume.com, Body.com, Exercise.com, Brazil.com, Indonesia.com and Automobile.com, with the vision of creating a network of intuitive e-businesses. Today, the company has offices in Seattle, Wash. and Vancouver, British Columbia, and more than 55 employees, each focused on building Communicate`s e-commerce network.
By implementing the latest technologies and services from software and technology providers including Sun Microsystems, Oracle Corporation, Critical Path and Interwoven, Inc., Communicate`s technology infrastructure and network creates significant economies of scale enabling strategic partners to quickly and easily participate in e-commerce much faster and more cost effectively. Communicate.com also has developed a business model that creates multiple revenue streams including e-commerce, data mining, infrastructure/shared services, and sponsorships/advertising, through key relationships with 24/7 Media and ValueClick.
Earlier this Spring, Communicate.com appointed an impressive advisory board including, in part, Yale Fisher, former head of Bank of America`s North American activities; and Jordan Levy, an entrepreneur and current managing partner at Seed Capital Partners, an early stage venture fund formed in partnership with SOFTBANK.
