OCEAN POWER CORPORATION AND SAIC SIGN LICENSING AGREEMENT FOR SOLAR DISH TECHNOLOGY
El Dorado Hills, CA, May 8, 2001: On April 23, 2001, Ocean power Corporation (OTC SYMBOL: PWRE) and Science Applications International Corporation (SAIC) entered into a technology license and consulting agreement. SAIC has granted to Ocean Power a non-exclusive license to all of SAIC`s current solar technology for the production of electric power and any improvements to that technology until the last SAIC patent expires, up to a maximum of 30 years, in the United States and Canada. Ocean Power plans to make use of SAIC’s technology for the manufacture and sale of solar dish concentrators or sale of the electricity produced by such units. The concentrators are planned for use in tandem with Stirling engines and other distributed power sources available, or to become available, to Ocean Power.
SAIC`s current technology consists of a 115 m2 parabolic dish concentrator, which focuses the sun light from 16 facets onto a solar to electric power conversion system, producing between 15 and 25 kW of electric Power. The SAIC dish has been under development since 1993, and represents “state of the art” of dish technology in the USA today.
Under the terms of the license, Ocean Power has agreed to make royalty payments, calculated on the net sales prices of equipment incorporating SAIC’s solar technology sold to Ocean Power. To further support the licensing of its technology, SAIC has committed to provide to Ocean Power consulting services concerning research, development and commercialization of the SAIC technology and licensed products. The extent and nature of the consulting services will be subject to further agreement. Ocean Power has committed to purchase not less than $4 million in services over the next two years.
Ocean Power also announced its intention to form a new subsidiary for the purpose of developing and selling solar conversion systems. The new subsidiary would hold all of Ocean Power’s assets directed to solar energy conversion (including Ocean Power’s license to all of SAIC’s current solar technology) or rights to use such assets. Ocean Power will hold a majority interest in the new subsidiary and SAIC will hold an ownership interest as well. It is expected that the shareholders of the new subsidiary will enter into a shareholder’s agreement providing for the governance of such subsidiary and for agreements among the shareholders relating to equity offerings by the subsidiary and certain restrictions on the transfer of their investment in the subsidiary.
Ocean Power’s license to use SAIC’s current solar technology is terminable by SAIC in the event that, among other things, Ocean Power fails to purchase $4 million in consulting services from SAIC over the next two years or to make certain minimum royalty payments under the license agreement or if Ocean Power fails to create the new subsidiary on the terms described above.
Joe Maceda, President of Ocean Power, commented that, "this development will lead to a near-term contribution to alleviating the current power crunch with commercially viable clean power sources."
Dr. Barry L. Butler of Science Applications International Corp. (SAIC) says “Ocean Power is a teammate who can take our solar dish from science to commercial application.”
