OpenTV and Motorola Broaden Relationship to Accelerate Adoption of Interactive Television Worldwide
MOUNTAIN VIEW, Calif.--(BUSINESS WIRE)--Nov. 14, 2000--OpenTV (Nasdaq:OPTV <http://finance.yahoo.com/q?s=optv&d=t> - news </n/o/optv.html>; AEX:OPTV), the world`s leading interactive television and media solutions company, today announced that it has entered into a multiple-year, strategic relationship with Motorola Inc.`s Broadband Communications Sector.
The two companies have signed a series of definitive agreements dedicated to accelerating interactive television (ITV) deployments worldwide.
OpenTV and Motorola have agreed to several business initiatives, including the formation of a new joint venture entity to assist digital ITV deployments. The new joint venture`s services will include cable and satellite integration, testing, and development.
In addition, Motorola has named OpenTV a preferred ITV software and development partner. As part of this relationship, OpenTV has licensed its Device Mosaic Web browser, the most widely deployed browser in the U.S. cable TV industry, for use on Motorola digital set-top terminals. OpenTV also will port to Motorola`s model DVi-4000, an advanced DVB-compliant interactive digital set-top targeted for the European market. Having already successfully ported to Motorola`s mass-market DCT-2000, the two companies will work together to port OpenTV`s software to the next-generation set-top terminal, the DCT-5000+.
Also as part of their new alliance, OpenTV and Motorola will reach out to cable and satellite operators through collaborative market efforts and by leveraging each other`s current industry relationships and networks. Specifically, Motorola has agreed to make referrals and recommend the services of the new joint venture, when appropriate, to Independent Software Vendors (ISVs) and broadband network operators considering interactive software deployments.
``Motorola`s commitment to OpenTV highlights our reputation as a leader in ITV that has and will continue to deliver,`` said James Ackerman, president and COO of OpenTV. ``These agreements combine the strengths of two ITV leaders: OpenTV ported to more than 11 million set-top terminals -- more than all of our competitors combined -- and Motorola, the leading provider of interactive digital cable technology. There`s no better combination to accelerate the deployment of ITV worldwide.``
``We look forward to building on our current relationship with OpenTV and establishing the new joint venture to streamline the ITV integration process for operators worldwide,`` said Dave Robinson, Sr. Vice President and General Manager of Motorola`s Digital Network Systems business unit. ``Motorola is committed to a strong, long-term relationship with OpenTV, one that delivers leading interactive television solutions to broadband operators and content providers.``
      OpenTV Acquires CableSoft
Under a separate agreement, OpenTV announces that it has acquired the business of CableSoft Corporation in a stock for stock transaction in exchange for 1,556,324 shares of OpenTV`s common stock. CableSoft is a leading provider of ``on-demand information`` software solutions for broadband network operators. Motorola was one of CableSoft`s primary shareholders.
OpenTV has future plans for its new acquisition of CableSoft, which currently provides applications for advanced analog platforms including community yellow pages and classified advertisements. Further penetrating the U.S. market, OpenTV expects to provide local content interactive services for cable and satellite television.
OpenTV and Motorola -- New Joint Venture
OpenTV and Motorola will join their worldwide leadership, knowledge and reputation in the ITV field by establishing a new joint venture entity that will begin offering its services at the beginning of 2001. The new entity fulfills the market demand of providing integration and testing services for cable and satellite operators to further the rollout of digital ITV services. The services will enable operators to integrate, test and develop software applications to different digital platforms and set-top terminals.
With more than 30,000,000 viewers in more than 50 countries, OpenTV`s leadership in the ITV industry deepens as a result of the joint venture with Motorola. OpenTV was the first company to develop interactive television solutions, has the most experienced experts in the digital communications arena, and is a recognized leader in Web browsing for interactive television with its recent acquisition of Spyglass.
Motorola to Acquire Acadia Application Integration Center from OpenTV
Under a separate agreement, Motorola has elected to purchase OpenTV`s equity interest in the Acadia Application Integration Center, taking Motorola`s ownership up to 100%. This transaction is anticipated to close in January 2001, subject to satisfaction of certain closing conditions. Acadia assists Motorola`s Horizon Developer Program ITV companies with technical support, training, testing, and deployment planning on the Motorola interactive digital system.

Motorola Provides Navigation and Image Precision for QuickBird 1
Advanced Communications Equipment to Supply Positioning Information to Satellite
SCOTTSDALE, Ariz.--(BUSINESS WIRE)--Nov. 14, 2000--Motorola Inc. (NYSE:MOT <http://finance.yahoo.com/q?s=mot&d=t> - news </n/m/mot.html>;) Tuesday announced the upcoming launch of its advanced communication equipment onboard the QuickBird 1 imaging satellite.
The launch is scheduled for Nov. 19, 2000, on a Russian Cosmos rocket from the Plesetsk Cosmodrome, according to the satellite`s owner, EarthWatch Inc., an imagery and information content provider.
QuickBird 1, manufactured by Ball Aerospace & Technologies Corp., is equipped with two Motorola Viceroy(TM) spaceborne Global Positioning System (GPS) user receivers designed and developed by Motorola`s Integrated Information Systems Group (IISG) in Scottsdale.
The advanced radio frequency equipment will aid in the collection of one-meter panchromatic (black and white) and four-meter multispectral (color) images of Earth.
Designed for the unique requirements of the space environment, the Viceroy GPS receivers detect, decode, and process the GPS satellite signals to provide position, time, and velocity information to the spacecraft. The relative position information will improve the accuracy of the spacecraft navigation and image processing.
Additionally, the ground contact time can be precisely predicted using the GPS position and time. The time information will be used to synchronize the instrumentation on the QuickBird 1 spacecraft to a universal GPS time.
``QuickBird 1 has very demanding positioning requirements for image processing. In order to get better than one-meter spacecraft positioning precision and accuracy, QuickBird 1 needs ground information to augment the information received in space,`` said Ken Crawford, a business unit manager in Motorola`s Space Systems and Services Division.
``The Motorola Viceroy receiver takes the error out of the post-processing measurement of data that will be applied to the images captured onboard.``
Motorola Inc. is a global leader in providing integrated communications solutions and embedded electronic solutions. These include software-enhanced wireless telephone, two-way radio, messaging and satellite communications products and systems, as well as networking and Internet-access products, for consumers, network operators, and commercial, government and industrial customers.

Xilinx to Collaborate With Motorola on RapidIO Interconnect Architecture
Companies Seek to Accelerate Product Development Based on Emerging Standard
SAN JOSE, Calif.--(BUSINESS WIRE)--Nov. 14, 2000--Xilinx, Inc. (Nasdaq:XLNX - news) today announced that it will be collaborating with Motorola, Inc. (NYSE:MOT - news) on product development involving the emerging RapidIO(TM) interconnect architecture.

Motorola plans to use Xilinx® FPGAs that incorporate RapidIO intellectual property, or cores, to validate future Motorola products that incorporate RapidIO technology. At the same time, Xilinx will use bus functional models developed by Motorola to validate the Xilinx RapidIO cores targeted for its Virtex®-II FPGAs. The bus functional models are software modules used to test the functionality of a RapidIO solution. The RapidIO architecture was initially developed by Motorola and Mercury Computer Systems, Inc. and announced in February.

``We are extremely happy to be working with Xilinx to create a strong force behind the RapidIO standard,`` said Sam Fuller, director of system architecture for Motorola. ``Support for RapidIO in Xilinx FPGAs is expected to play a key role in our future product development plans and in our customers systems.``

The RapidIO interconnect architecture is offered as an open standard through membership in the RapidIO Trade Association (www.rapidio.org). RapidIO technology is a next-generation, packet-based, switched-fabric interconnect architecture for embedded systems that is optimized for both high bandwidth and low latency. Initial implementations are expected to exceed 1.0 Gbyte per second throughput based on clock rates from 250 MHz and higher.

``Working with Motorola, we hope to accelerate market acceptance of RapidIO technology,`` said Babak Hedayati, marketing director for the Xilinx IP Solutions Division. ``Broadband interconnect technology is becoming increasingly important to manufacturers of Internet infrastructure equipment. We`re confident that our collaboration with Motorola will speed up our ability to deliver fully compliant RapidIO solutions to our customers who are building that new class of broadband equipment.``

Motorola to Continue Servicing Two-Way Radio Customers in Central Illinois With New Dealer Arrangements
Company Steps in When Area`s Authorized Service Center Closes Shops in Central Illinois
SCHAUMBURG, Ill., Nov. 16 /PRNewswire/ -- Motorola today announced it has reached agreements with several central Illinois two-way radio communications operations to fill the void caused by the closing of Segno Communications shops in Illinois. Segno Communications recently closed its facilities in Bloomington, Champaign, Danville, Decatur, Effingham, Jacksonville, Kankakee, Quincy, and Springfield.

``Motorola has enjoyed a longtime business relationship with the central Illinois service shops that were part of Segno Communications. They have provided sales and support to Motorola customers for more than 45 years,`` said Rich O`Herron, Motorola area service manager. ``Unfortunately, Segno recently chose to discontinue its operations in Illinois. Although it was unfortunate, Motorola was able to call on its extensive network of authorized service shops to step in and provide uninterrupted support.``

The operations that are now serving Motorola customers in the affected areas include: WirelessUSA, Inc. with locations in Springfield and Quincy; Barbeck Communications, Inc. serving the Danville, Decatur and Champaign areas; Roy Walker Communications, Inc. serving the Effingham area; Supreme Radio Communications, Inc. serving the Bloomington area; and Mobile Communications Corporation, located in Bourbonnais is now serving the Kankakee area. All of these operations are Motorola Authorized Dealers that are now authorized to provide service on Motorola two-way radio products.

``One of the major advantages of having companies that are Motorola Authorized Service Centers is Motorola`s ability to direct a large and diverse pool of technical resources to resolve customer problems. Whether it`s a natural disaster, unique customer needs or disruptions in the local marketplace, Motorola can draw on one of the world`s largest network of radio shops and Motorola technical resources to meet the need and guarantee high quality support to our customers`` said O`Herron.

The newly Authorized Service Centers have been supporting their market areas during the transition period and are authorized by Motorola for sales, installation, warranty and maintenance services on two-way radio communications systems for commercial and public safety users. Most of the Motorola factory-trained technicians previously employed by Segno Communications are now employed by the new Motorola Authorized Service Centers and continue to support their customers.

FORT WORTH, Texas, Nov. 17 /PRNewswire/ -- RadioShack Corporation (NYSE: RSH <http://finance.yahoo.com/q?s=rsh&d=t> - news </n/r/rsh.html>;) announced today that it has extended participation in the Wireless Foundation`s Donate a Phone program and will continue accepting used, inactive wireless phones through Dec. 31 at its 7,100 stores nationwide.
During the month of October, which was Domestic Violence Awareness Month, RadioShack stores collected more than 14,500 donated wireless phones. RadioShack field management and staff were instrumental in the decision to extend the company`s involvement as the program`s first national collection site.
``This program provides our customers with an easy and convenient way to support the Donate a Phone efforts by dropping off their used wireless phones at our stores,`` said Laura Moore, senior vice president of public relations and corporate communications. ``Our sales associates and field management saw this program as a great opportunity for their local communities to help victims of domestic violence. So with their backing, we decided to extend the program until the end of the year.``
Sponsored by the Wireless Foundation, Motorola and the National Coalition Against Domestic Violence, the Donate a Phone campaign was launched in September 1999 to collect and refurbish a portion of an estimated 24 million wireless phones that are no longer being used. During the last year, businesses, civic groups and grass roots organizations have donated more than 100,000 phones to the program.
The Donate a Phone campaign provides domestic violence shelters, law enforcement agencies and other organizations working to fight domestic violence with refurbished wireless phones. The phones are preprogrammed with 911 and other emergency numbers so that domestic violence victims can access local emergency services and domestic violence hotline numbers at the touch of a button. Motorola to Demonstrate Its New DBM-2000 Distributed Broadband (Interface) Module at the Western Cable Show 2000
Motorola`s New Node-Hosted CMTS Technology Allows Operators to Expand Their Existing HFC Networks to Meet the Requirements for IP Telephony and Provides Potential for Greater Bandwidth Per Subscriber
HORSHAM, Pa., Nov. 20 /PRNewswire/ -- Motorola, Inc. (NYSE: MOT <http://finance.yahoo.com/q?s=mot&d=t> - news </n/m/mot.html>;) Broadband Communications Sector announced today that it is introducing and demonstrating its new node-hosted DBM-2000 distributed broadband (interface) module at the Western Cable Show 2000, Los Angeles, Booth #1401.
The new node-hosted DBM-2000 distributed broadband (interface) module pushes CMTS functionality from the headend deeper into the network and closer to the home/office, helping operators more easily upgrade their networks to meet the rapidly expanding requirements for IP data delivery. This new distributed CMTS approach works by building a Layer 2 bridge with Ethernet- type baseband data network transmissions between node and headend, and RF transmission between node and the subscriber`s cable modem over existing HFC plants. The new DBM-2000 also provides the potential for greater bandwidth per subscriber and more robust optical transport.
These capabilities build upon Motorola`s proven track record of delivering advanced, cost-effective, state-of-the-art HFC transmission network and cable modem equipment. The DBM-2000 modules can be factory configured or field installed in Motorola`s STARLINE® SG2000 node platform.
The DBM-2000 supports both the Physical Layer (PHY) and the Media Access Layer (MAC) functions of a Layer 2 bridge in addition to the routing functionality of other Motorola CMTS products. PHY functions include QAM modulator, RF upconversion, RF tuner/downconversion, QPSK/QAM burst demodulation, and optical/electrical baseband media conversion. The MAC functions control the flow and routing of data traffic to multiple subscribers.
In the forward path, optical data traffic is received, converted to baseband digital signals, processed, modulated to a forward path carrier frequency, amplified, and distributed via coax cable to subscribers; in the reverse path, multiple RF signals from subscribers are tuned, demodulated to recover subscriber data traffic, time-division multiplexed, and converted to an optical signal for transport to the headend. At the headend, only a conventional Layer 3 router and electrical/optical transceiver are required.
``We are pleased to introduce and demonstrate the node-hosted DBM-2000,`` said Bick Remmey, General Manager and Vice President of Motorola`s Transmission Network Systems business unit. ``This advanced solution further enables operators to remain competitive in this rapidly changing marketplace, without the added cost of switching to an entirely new network.``
The live booth demonstrations will feature optical transport to/from the headend router, node platform capabilities with CMTS hardware modules, RF transport to/from a DOCSIS-compliant cable modem, and transfer of IP data via a PC.

      Hi Motorolans,

Bezeq to buy Motorola`s Pelephone stake via third party
TEL AVIV, Nov 23 (Reuters) - State-run Bezeq Israel Telecom said on Thursday it had chosen U.S.-based Shamrock Holdings as a third party to buy Motorola Inc`s (NYSE:MOT - news) 50 percent stake in mobile phone operator Pelephone.

Bezeq, which already owns 50 percent of Pelephone, has first right of refusal on Motorola`s stake. It said it had decided to buy Motorola`s stake through a third party to avoid government intervention.

As a government-controlled company, Bezeq is subject to government regulations and had expressed concern that restrictions would be imposed on Pelephone, putting it at a competitive disadvantage should Bezeq own 100 percent.

The Government Companies Authority has said Bezeq would not be subject to restrictions imposed on other government companies.

``The board of directors reached the conclusion that despite all the intentions of the Government Companies Authority to free Pelephone from certain restrictions that would apply to it (if it were government run), these easier terms were not sufficient,`` Bezeq said in a statement.

The government aims to privatise Bezeq, which plans to buy the other half of Pelephone from Shamrock once it is freed from government control.

Shamrock is an investment company controlled by the Disney family with holdings in several Israeli companies.

Bezeq said it would sign an agreement with Shamrock stipulating that Shamrock would buy the stake from Motorola for $595 million through a company to be set up for this purpose.

The acquisition would be financed by at least $60 million in equity capital and $240 million in bonds convertible into 80 percent of the share capital in the new company. These bonds would be issued to Bezeq.

Bezeq would also receive an option to buy the remaining 20 percent in the newly created company.

The options and bonds can be exercised in six months or between two and four years after the stake is acquired.

If the options are exercised within six months Bezeq would pay Shamrock the amount invested plus $8 million. If the longer- term option was exercised, Bezeq would pay Shamrock the higher of two valuations to be made for Pelephone or the nominal investment made by Shamrock.

Pelephone competes with Cellcom and Partner (NasdaqNM:PTNR - news) in the growing market for mobile phones in Israel.

Spanish firm Telefonica had also expressed an interest in buying Motorola`s Pelephone stake.

Nochmals in Deutscher Sprache.

US-Dollar.
      :D::D::D:
