WILMINGTON, Del., Feb 19 (Reuters) - Instrument maker PerkinElmer Inc. <PKI.N> has alleged in a lawsuit that Genomic Solutions Inc.`s <GNSL.O> proposed merger with an unnamed third party was a "sham" intended to impede PerkinElmer`s exercise of call rights that could make it Genomic`s sole equity owner.
PerkinElmer, based in Wellesley, Mass., develops and makes products ranging from weapons detection systems for airports to fiber-optics used in medical devices, stage lighting and a wide range of equipment.
Genomic, of Ann Arbor, Mich., makes instruments and software for identifying proteins and measuring the activity level of genes.
The complaint, filed last week in the Delaware Court of Chancery, was released from under seal on Monday to Reuters.
In the lawsuit, PerkinElmer said it was the sole holder of Genomic common stock and had an agreement under which Genomic can be caused to redeem all callable stock. PerkinElmer`s purchase of the stock would make it "the sole owner of all equity securities of GSI."
The call rights terminate, however, if PerkinElmer fails to exercise them within five days after being notified that Genomic has a bona fide acquisition offer. Two such proposals have emerged since December; neither company is identified. However, one company is listed as a defendant in the lawsuit under the pseudonym "EXI Inc."
PerkinElmer has alleged that both deals failed to meet notification guidelines of the agreement and were a "contrivance for the sole, express and admitted purpose of attempting to prevent PerkinElmer from having the full benefit" of its rights.
In May, Genomic`s initial public offering (IPO) converted Boston-based PerkinElmer`s $5 million stake in Genomic preferred stock to common, and all equity securities not owned by PerkinElmer to callable common stock.
The six Genomic directors, who include Chief Executive Jeffrey Williams, named as defendants in the lawsuit, own a total of 10.8 million callable common shares. According to a formula in the agreement, PerkinElmer would have to pay at least $7.00 a share if it exercised its call rights in the next few months, the court papers said.
On Friday, Genomic closed at $7-1/2, down 7/16, in trading on Nasdaq.
Among the charges that PerkinElmer makes in the lawsuit is that Genomic`s board is trying to coerce "PerkinElmer to agree to terms more favorable to them" than those in the current agreement. PerkinElmer wants a court order blocking Genomic from closing any acquisition deals until a judge can resolve the dispute.
In a statement last week, Genomic`s CEO Williams said the lawsuit was "without merit and ... misinterprets" PerkinElmer`s rights. But he added that he hoped for a fair and speedy resolution. Williams also said the suit would not affect PerkinElmer`s distribution rights to sell Genomic`s products outside of the United States, Japan and the United Kingdom.
No one at Genomic`s offices could be reached for comment on Monday, when many U.S. business offices, government offices, and the U.S. financial markets were closed in observance of the Presidents Day holiday.

Das mit dem Einspruch von PerkinElmer scheint so schlimm nicht zu sein.
Beide Firmen arbeiten ja eng zusammen und sind miteinander verflochten. Man geht davon aus,
daß sich mit einer Klarstellung, wie von GNSL beim Gericht in Delaware eingereicht, die Sache im guten Einvernehmen
aus der Welt schaffen läßt. Jeffrey Williams, der CEO von GNSL, ist da sehr cool und zuversichtlich.
Inzwischen tourt die Firma sehr erfolgreich durch USA und veranstaltet mit zwei anderen Firmen aus der
Branche Seminare über Produkte und Anwendungen.
