MB Tech Provides Project Status Update for Q3 Goals

Manufacturing tooling has been completed for production of the Faserwave Flat Antenna, with the exception of the cover case, being decided by the customer. There is an intense advertising campaign being finalized to attract the North American DBS carriers. Hanwook Bae, CEO of MB Tech, stated, ``We are capable of demonstrating the product`s operation in North America, and now are working to create the `break-through` opportunity with North American DBS market.``

The Faserwave marine antenna should be completed in 60 days, with the only part remaining being the tracking board. The other mechanical, housing, antenna and LNB components are complete. ``This platform is a critical step in adaptations for future mobile antenna types,`` said Mr. Bae.

The Cell Phone Detector has finished and a local distributor is working with the Education Authority in Korea. There was a meeting in Los Angeles to show and promote the features of this product, attended by Invizeon and other parties interested in the potential of the technology. Of the Cell Phone Detector, Hanwook Bae added, ``We are looking forward to expanding this product design with Invizeon and others.``

MB Tech, Inc. also exhibited the Auto Positioning Flat Antenna at the 8th World Chinese Entrepreneur Convention in Seoul from October 10 and October 12. MB Tech introduced the Auto Positioning Flat Antenna to many Chinese business representatives as business operators and as individual consumers. The demonstrations spurred interest and opened discussion for business opportunities in China and South-East Asia.

1) The Japanese importer has accepted the antenna in their own testing and is negotiating price, more confirmation.
2) The antenna`s performance was improved, something MBTT had discussed earlier (faster tracking speed).
3) They are waiting for the final branding requirements from AT&T....... (ok, I added that last part)
4) The Marine antenna hardware for Korean version is complete, software to be completed this year.
5) The CATV amp for Korea is being tooled for Production. Still needs to pass government certification testing.
6) The cell phone detector is apparently ready and MBTT is working with a middle-man distributor to the Korean government to sell this product to the Korean Dept. of Education.
7) No new debt equity mentioned, just the standard statement.

#1 and #2 are our best chance for near term revenue generation. Nothing negative here, just the expected delays. However, progress has occurred with the Japanese importer... they have accepted the Faserwave and are ready to buy. I`m not clear as to whether the "Importer" is the final customer or a middle-man. This would be a great question for Sean or Jody. We are still waiting on branding specs from the North American buyer, however the tracking performance mentioned in an earlier communication was apparently improved. Who this branding requirement will be from is still a mystery and a possible scenario has been mentioned here.... we will just have to wait and see.

So let`s hope this Faserwave gets to market soon so that we can all make a lot of money.

Hanwook Bae, chief executive officer of MB Tech (OTCBB:MBTT), announced today that MB Tech has closed the share exchange agreement with Metaware Co. Ltd., as he signed the revised share exchange agreement on Feb. 28, 2006, to acquire 51% of Metaware Co. Ltd. in exchange for 62,400,137 shares of MB Tech, and he completed the closing conditions of the agreement. By the same transaction, the shareholders of Metaware shall have 43.34% of the post-merger consolidated capitalization of MB Tech, approximately 143,968,943 shares.

Metaware provided their shareholder list and their stock certificates to MB Tech on March 3, 2006. The board of directors of MB Tech resolved and directed to cause the transfer agent to issue new stock for the shareholders of Metaware.

All the directors of MB Tech resigned pursuant to the share exchange agreement. However, in the interim, Bae and Sangeon Park will act as directors until the shareholders of Metaware elect a new board of directors.

Both Metaware and MB Tech will then try to complete the acquisition of the balance 49% held by a company on KOSDAQ, the Korean Stock Exchange, by the end of 2006.

"Even though the closing was delayed due to the internal process of Metaware and its shareholders, we are trying to our best to activate the business combination between companies. Two subsidiaries, Faserwave and Metaware, already have begun to develop the products for the European market. If we didn’t disappear from your mind and if you respect us, you can issue a PR-letter addressed to MB Tech’s common shareholders trying to explain (MAKE CLEAR) what are you doing with their investment and somehow to assure them that you are taking care of their interest. Then if you need, you can ask from them to be more patient, but you have to say exactly for what they shall wait.

You can see other honest managers of other listed companies doing the same.

Ltd., a Republic of Korea corporation, and acquired 51% of Metaware in exchange for 62,400,137 restricted shares of MB Tech common stock. Both MB Tech and Metaware will then try to complete the acquisition of the remaining 49% balance of Metaware held by a company on KOSDAQ, the Korean Stock Exchange.


Item 3.02 Unregistered Sales of Equity Securities.


Pursuant to the share exchange agreement referred to in Item 2.01 above, MB Tech issued 62,400,137 restricted shares to the ten shareholders of Metaware. There were no underwriters. The shares were not registered under the Securities Act of 1933 in reliance upon the exemption afforded by Section 4(2) thereof.

Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.


In connection with the share exchange agreement with Metaware referred to in Item 2.01 above, Kangra Jo and Harry Kay resigned as directors of MB Tech. Hanwook Bae and Sangeon Park will continue to act as directors of MB Tech and to serve as officers.


New officers and directors appointed by Metaware are:


Ducksoo Kim, Chief Excecutive Officer and President, has served as Chief Executive Officer and President of Metaware since 1996. Mr. Kim received MBAs from Yondei University and from Kaist.


Chanmyun Han, Chief Operating Officer and Treasurer, has been Vice President of Metaware since 2006. From 2002 to 2004, he was Chief Operating Officer of Eastern Telecom, Korea. He was Manager of LG Electronics USA. Marketing, from 1986 to 1994.

Youngmo Cho, Chief Marketing Officer, has been Chief Marketing Officer of Metaware since 2005. He was general manager in the head office and the European office of Samsung Electronics from 1979 - 2001.


Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.


Effective February 28, 2006, Article IV of the articles of incorporation was amended to increase the number of shares the corporation shall have authority to issue to four hundred million (400,000,000); with three hundred ninety-five million (395,000,000) of such shares common shares with par value of $.001 and five million (5,000,000) of such shares preferred shares, with the voting power, designations, preferences and other rights to be fixed by resolution of the board of directors.

Bis zum 23. Juni müssen Zahlen vorgelegt werden, ansonsten droht der Abstieg in die Pink Sheets.

After the 23rd the SEC will hault trading if they have not filed and delist them from the otcbb. Mbtt would still trade on the pinks as long as they have MMs quating the stock.


Zum Kotzen, insbesondere wenn ich an die hohen Erwartungen ( Versprechen ) denke.

ITEM 2. MANAGEMENT'S DISCUSSION AND ANALYSIS OR PLAN OF OPERATION.
Shareholders and prospective investors should carefully consider the information in this discussion that makes owning or buying shares of the Company's common stock speculative and risky.

The Company has not had revenues from operations in each of the last two fiscal years ended December 31, 2005 and the interim period ended March 31, 2006 for which financial statements are furnished in this Form 10-QSB.

The Company's consolidated financial statements are presented on a going concern basis, which contemplates the realization of assets and satisfaction of liabilities in the normal course of business. The Company has experienced recurring losses since inception and has negative cash flows from operations that raise substantial doubt as to its ability to continue as a going concern. For the years ended March 31, 2006 and 2005, the Company experienced net losses of $230,487 and $116,208 respectively.

MB Tech doesn't have any money.
But Kim has 30+ Million shares of MBTT , which he cant sell yet. And it's in his interest to raise the stock , so he can sell some of his shares at a higher price in the future.

However I admit I am disappointed like everyone else.

I rang Kim on his cell phone on Friday. He couldn't speak long because he was at lunch and it was noisy. I'll try to ring him again on Monday.
