Balsam Ventures Inc. Stock Option Plan

BLAINE, WASHINGTON, Aug 9, 2002 (CCNMatthews via COMTEX) -- Balsam Ventures, Inc. (OTCBB: BLSV) / (Berlin BB: BV7) (the "Company") announces that the board of directors of the Company has approved the Company`s 2002 Stock Option Plan. The Stock Option Plan provides for the grant of options to purchase up to 15% of the number of shares of the Company outstanding to the Company`s directors, officers, employees and eligible consultants. The principle purpose of the Option Plan is to enhance the Company`s ability to attract directors, management and eligible consultants who will assist the Company to achieve its growth objectives. The purchase price for shares subject to any option shall be determined by the Board of Directors or Plan Administrator appointed under the Plan at the time of the grant, but in any event, will not be less than 85% of the fair market value of the Company`s shares. In the case of shares that qualify for treatment as incentive stock options under the Internal Revenue Code, the option price shall not be less than 100% of the fair market value or 110% of the fair market value if granted to employees holding more than 10% of the Company`s shares. The exercise term of the Options and vesting formulas shall be established by the Board of Directors or the Plan Administrator at the time of grant.
