Biokeys Pharmaceuticals Inc. (OTCBB: BKYS) issued a press release yesterday, announcing that, on October 3 and 4, 2002, it consummated the sale of a total of 61,300 shares of its Series C Convertible Preferred Stock to 17 investors for aggregate gross proceeds of $393,000 in cash and cancellation of $210,000 of outstanding debt. The shares of Series C Convertible Preferred Stock are convertible at any time after 3/1/03 into shares of common stock at the initial conversion rate of 200 shares of common stock. All outstanding shares of Series C Convertible Preferred Stock will automatically convert into shares of common stock on 6/30/03 at the then-current conversion rate.
BKYS also announced that, in connection with this financing, M. Ross Johnson, Ph.D., former CEO and Director of Trimeris Inc. (Nasdaq:TRMS); Nicholas Jon Virca, CEO of Biokeys Inc., and Evan M. Levine, Managing Member of Mark Capital, LLC, joined its Board of Directors and that Dr. Johnson will serve as Chairman of the Board. In addition, Mr. Virca has been appointed CEO of BKYS, and Mr. Levine has been appointed Interim COO of BKYS. Robert Whitworth resigned from the Board of Directors effective 10/7/02.

SAN DIEGO, Oct 17, 2002 (BUSINESS WIRE) -- On Oct. 3 and 4, 2002, Biokeys Pharmaceuticals Inc. (OTCBB:BKYS) consummated the sale of a total of 61,300 shares of its Series C Convertible Preferred Stock to 17 investors for aggregate gross proceeds of $393,000 in cash and cancellation of $210,000 of outstanding debt. The shares of Series C Convertible Preferred Stock are convertible at any time after March 1, 2003 by the holders thereof into shares of Common Stock of Biokeys Pharmaceuticals at the initial conversion rate of 200 shares of Common Stock per share of Series C Convertible Preferred Stock. All outstanding shares of Series C Convertible Preferred Stock will automatically convert into shares of Common Stock on June 30, 2003 at the then-current conversion rate.
In connection with the Series C financing, Biokeys Pharmaceuticals and five of the purchasers of Series C Convertible Preferred Stock executed amendments to warrants to purchase a total of 375,000 shares of Common Stock held by such purchasers. Pursuant to the amendments, the per share exercise price of each warrant was reduced to $0.50. Prior to the execution of the amendments, each of these warrants had a per share exercise price of $4.00 through Dec. 31, 2002, and thereafter a per share exercise price equal to the higher of $2.50 or the average closing price of the Common Stock during the 20 trading days prior to Dec. 31, 2002, not to exceed $4.00.

Die internationalen Wissenschaften BioDelivery hat nationale Institute ein 2jährige USS600,000 der Bewilligung der Gesundheit SBIR empfangen, um eine Mundform eines Impfstoffs HIV prophylactic/therapeutic mit seiner patentierten Droge-Anlieferungsplattform Bioral zu entwickeln, die billig beständig ist, bei der Raumtemperatur und schützende, Körper- und Schleimhaut- zellvermittelte Immunität verursachen soll.
Die Entwicklung wird gemeinsam mit pharmazeutischen Produkten Biokeys, eine angeschlossene Firma, unter einer pre-existing Forschungsvereinbarung geleitet. Die Mannschaft BioDelivery arbeitet mit Biokeys, um Impfstoff HIV prophylactic/therapeutic EradicAide Biokeys` zu entwickeln (6 Peptide). BioDelivery fängt an, die Bewilligung im 4. Viertel in den periodischen Ratenzahlungen zu empfangen, die USS300,000 pro Jahr zusammenzählen, wie Arbeit weiterkommt.

SAN DIEGO--(BW HealthWire)--June 19, 2002--Biokeys Pharmaceuticals Inc. (OTCBB:BKYS) announced today that the Company has completed its clinical trial design for testing its biomodulator, CoFactor™, for use with 5-FU (5-Fluorouracil) in the United States during the second half of 2002.
According to Biokeys Pharmaceuticals` Medical Director, Dr. Chris Chapman, M.D., "The clinical trial plan is based upon our open label first-line Phase II IND approval by the US FDA. We look forward to beginning treatment of metastatic colorectal cancer patients in this Phase II trial with CoFactor and 5-FU." To the best of the Company`s knowledge, this IND is one of few Phase II trials approved for first-line therapy in the U.S. for metastatic colorectal cancer in the past several years.
CoFactor will be administered at a 100 mg. IV dose in conjunction with IV 5-FU. This dose level was associated in a previous Phase II trial conducted in Sweden with a median time to tumor progression (TTP) of 16.5 months in CoFactor treated patients. In currently available therapies, median TTP is less than 8 months.
CoFactor (5, 10- methylenetetrahydrofolate) is a patented drug that has been shown to enhance the performance of 5-FU so that it inhibits TS (thymidylate synthase), a key enzyme necessary for cancer cell growth. Biokeys Pharmaceuticals is the exclusive licensee of this compound, which has already been tested in the above mentioned Swedish Phase II human trial in patients with gastrointestinal and breast cancers. This testing involved patients who were both naive to chemotherapy and patients who had progressed on chemotherapy with 5-FU and leucovorin, with statistically significant results in both patient populations.
