Company Announcement: Algo Vision Plc Placing of New
Ordinary Shares to Fund Proposed Acquisition

For immediate release 23 February 2000






Algo Vision announces a placing of new Ordinary Shares to fund
a proposed acquisition. The placing is conditional on the
approval of EASDAQ and a derogation by the Belgium Banking and
Finance Commission for the need to publish a prospectus in
Belgium. The acquisition, which should be announced shortly, is
being funded by a combination of debt and a placing of
1,196,814 new Ordinary Shares at a placing price of $6.78,
being the average closing price of an existing Ordinary Share
listed on EASDAQ on the 21 days prior to 14 February 2000, the
date on which the conditional placing agreement was signed,
less 12.5 per cent.

The Company anticipates that the conditions for the placing
will be satisfied imminently.

The terms of the placing were negotiated during a period when
the price of the Company`s shares was significantly lower than
its current price and the terms of the placing agreement were
finalised and legally agreed prior to the recent increased
interest in the Company`s shares.

The acquisition is of a service company which provides
integrated systems solutions in the areas of information and
communication technology. The acquisition, which has 500
employees based in 14 locations around Germany last year
reported a turnover of approximately DM100m. The acquisition is
profitable. The markets in which the acquisition operates lead
the Directors of Algo Vision to believe that the two companies
would be highly synergistic with strong cross-selling
opportunities.


Oh, jetzt wirds aber heiss, die geben doch tatsächlich neue Aktien für US $6,78 raus. Sollten die Altaktionäre bevorzugt werden, wäre das sehr positiv.
