Rambus erwartet hohe Belastungen durch umdatierte Aktienoptionen
Der Speicher-Lizenzhändler Rambus hat ein Zwischenergebnis der internen Untersuchung seines Aktienoptionsprogramms mitgeteilt. Danach sei eine signifikante Anzahl der gewährten Optionen nicht korrekt datiert oder verbucht worden. Die Mehrheit der betroffenen Optionen sei zwischen 1998 und 2001 ausgegeben worden. Das mit der Überprüfung betraute Gremium schätzt, dass dadurch vorsteuerliche Belastungen von über 200 Millionen US-Dollar auf das Unternehmen zukommen.
Das Rambus-Management will weiter untersuchen, welche exakten Auswirkungen die gewonnenen Erkenntnisse für die Bilanzen der vergangenen Jahre haben und seine Finanzberichte entsprechend neu formulieren. Wegen der laufenden Untersuchung verzichtet das Unternehmen auf die Veröffentlichung eines vollständigen Berichts für das dritte Quartal des laufenden Geschäftsjahrs und teilte lediglich Umsatzzahlen mit.
Danach hat Rambus in den vergangenen drei Monaten 45,9 Millionen US-Dollar umgesetzt, eine Steigerung von 28 Prozent gegenüber dem Vergleichszeitraum des Vorjahres. Das Unternehmen gibt gestiegene Umsätze im Lizenzgeschäft als Grund für den Zuwachs an. Verglichen mit dem zweiten Quartal 2006, für das Rambus auch keine genauen Zahlen veröffentlichte, sei der Umsatz allerdings um 6 Prozent zurückgegangen.
Rambus ist wegen seiner Lizenzpolitik ins Visier der Handelsaufsicht sowie der Kartellbehörden geraten. Jetzt interessiert sich auch die Börsenaufsicht SEC im Rahmen einer Untersuchung der Optionsprogramme zahlreicher US-Unternehmen für Rambus. Um etwaigen Interessenskonflikten bei der Aufklärung der Angelegenheit vorzubeugen, war zuletzt der ehemlige CEO Geoff Tate aus dem Vorstand des Unternehmens ausgeschieden. Als alleiniges Mitglied des Aktienoptionskomitees liegt die Verantwortung für das Optionsprogramm bei ihm.

Rambus Reports Third Quarter Revenue

Revenue of $45.9 Million, Up 28% From the Third Quarter Last Year
LOS ALTOS, Calif.--(BUSINESS WIRE)--Rambus Inc. (Nasdaq:RMBS - News), one of the world's premier technology licensing companies specializing in high-speed chip interfaces, today reported revenue results for the third quarter of 2006.
Revenue for the third quarter was $45.9 million, up 28% over the third quarter last year and down 6% from the previous quarter. This increase over the third quarter last year was driven by new product licensing revenues and patent licensing revenues from agreements announced earlier this year.
Cash, cash equivalents and marketable securities increased by $5.3 million in the third quarter to an ending balance of $421.2 million as of September 30, 2006.
"We delivered a strong quarter with year-over-year revenue growth," said Harold Hughes, president and chief executive officer at Rambus. "The key, as always, is signing important licensing deals like our latest agreement with Toshiba. Toshiba's licensing of the XDR memory architecture demonstrates our momentum in helping customers bring great products to market through our leadership solutions."
Due to the continuing internal investigation of past stock option granting practices, Rambus will not be releasing third quarter earnings today.
