Infomatec präsentiert einen Sanierungsplan. Demnach will Infomatec 20 Mio USD investieren. 5 Mio USD sind durch die bereits aufgelegte Wandelanleihe der IPC bereits zugeflossen (Bezugspreis 0,25 S$ je Aktie), die restlichen 15 Mio USD sollen CASH in den nächsten 3 Jahren der IPC durch ein Kapitalerhöhung zufließen, wobei die Infomatec 0,40 S$ je Aktie bezahlen wird. Infomatec und IPC vereinbaren weltweite Partnerschaft vom 27.1.2000

Repräsentaten von Infomatec haben in den letzten Tagen die Glaubiger der IPC von den Zukunftsplänen der Infomatec mit der IPC unterrichtet. Infomatec will mit IPC gemeinsam führender Anbieter von e-services und e-commerce für B2B Transaktionen übers Internet werden. Eine großes amerikanische e-business Unternehmen sollen eingeladen werden, sich an dieser "Global Partnership" zu beteiligen.
Weiters ist innerhalb der nächsten 18 Monate geplant, die IPC oder ihre Kerngeschäftsfelder (core business units) getrennt an der NASDAQ zu listen. Dadurch soll Kapital für die weitere Expansion geholt werden.
Kerngeschäftsfelder diesr Global Partnership sollen Thin Computing und e-services/e-commerce sein. Die Privat-Plazierung der Thin Computing business unit durch W.R. Hambrecht für 25 Mio USD soll im ersten Quartl abgeschlossen sein. Danach ist der Börsegang an der NASDAQ für das 1. Quartal 2001 geplant.

Weitere Nachrichten über das Unternehmen kommen ebenfalls aus Asien. Die umtriebigen Augsburger wehren sich gegen das
hartnäckige Gerücht, sie hätten sich an der IPC Corporation Ltd. beteiligt. IPC war in Deutschland als ehemaliger
Mehrheitsgesellschafter des Technologie-Herstellers Hagenuk ins Gerede gekommen.

Mittlerweile ist das Singapur-Unternehmen mit 291,5 Millionen Singapur Dollar verschuldet, schreibt aber nach einem
Schrumpfungsprozess schwarze Zahlen: Im letzten Jahr hat IPC eine Million DM erwirtschaftet. Die Verhandlungen über die
Entschuldung laufen.

Grundsätzlich ist die IPC jetzt ein solides und gesundes Unternehmen mit ebenfalls gutem Marktauftritt in China und ganz
Asien, von dem Marktteilnehmer der Singapore Stock Exchange sagen: "Der Chinafaktor ist die Trumpfkarte für IPC". So
betreut IPC die Webseiten der China Eastern Airline, für die das Software Unternehmen das Internet Payment Gateway für
die elektronischen Tickets betreut.

Ein Investment der Infomatec ist also grundsätzlich sehr sinnvoll, denn von der Ausrichtung und den Geschäftsfeldern passen
die beiden Unternehmen gut zusammen: Bereits jetzt werden Infomatec-Entwicklungen asienweit von der IPC verbreitet.
Zunächst aber, ist die Ansicht der Vorstände Gerhard Harlos und Alexander Häfele, muss die Gesellschaft erst entschuldet
werden. Um sich bei diesen Verhandlungen zu profilieren und "einen Fuß in der Tür" zu haben, wenn IPC wieder ein wirklich
lohnendes Investment ist, hat die Infomatec eine Wandelanleihe von 5 Mio. US-Dollar zur Verfügung gestellt: Drei Jahre
Laufzeit und drei Prozent Zinsen mit der Nebenkondition, dass IPC CEO Patrick Ngiam nur mit Einverständnis der Infomatec
über das Geld verfügen kann. Vom immer wieder aufkeimenden Gerüchten, die Infomatec habe sich beteiligt, also zur Zeit
keine Spur. Sollte die Entschuldung allerdings gelingen, so ist die Infomatec eine erste Adresse für die dann wieder sehr
gefragte Beteiligung.

Ein fünf Milliarden Projekt mit einem amerikanischen Partner?

Aber die JNT-Spezialisten planen schon weiter: Sollte der IPC-Handel funktionieren will man im Zeitraum von 18 Monaten
die IPC oder gegebenenfalls auch Tochtergesellschaften an die Nasdaq bringen. Damit nicht genug: Auf einer
Pressekonferenz in Singapur hat der CEO der Infomatec International, Eduard Will, eine Zusammenarbeit mit der IPC, sowie
einem amerikanischen Partner angekündigt, die letztendlich eine Marktkapitalisierung von 5 Mrd. US-Dollar erreichen soll.
Man würde mit mehreren Unternehmen des US Fortune 500 Technologie Index sprechen.

Gute Perspektiven für den Wert, der der einst Börsenliebling war und im Jahr 1998 zur besten Neuemission gewählt wurde.

29Feb2000 SINGAPORE: IPC says to buy US firm in S$84 mln deal.
SINGAPORE, Feb 29 (Reuters) - Singapore-based computer maker IPC Corporation Ltd said on Tuesday it had signed a memorandum of understanding to buy a U.S. Internet infrastructure services firm in a S$84 million deal.
IPC said in a statement it would pay for the acquisition of brokerserver.com Inc by issuing 140 million new IPC shares at S$0.60 each.
"The purchase consideration will be based on an agreed valuation of brokerserver.com at S$84,000,000, which will be subject to independent valuation by an independent valuer mutually agreed between the parties for a value of not less than S$120,000,000," IPC said.
IPC, which asked for a suspension in trading of its shares on Tuesday morning, requested the Singapore Exchange to lift the suspension for the afternoon session.
IPC, with debt of some S$281 million, said last month German-based Infomatec AG and other investors planned to inject US$20 million into the company by subscribing to new shares as part of a debt-restructuring scheme.

29Feb2000 SINGAPORE: IPC may suspend share trading.
DEBT-RIDDEN electronics company IPC Corp said yesterday that it was seeking a suspension in trading of its shares today, pending an announcement.
No details were given in the statement to the stock exchange.
Market speculation yesterday centred on the fact that it may announce a merger and listing on the US Nasdaq market.
The company owes creditors a total of $291.5 million.
Under a repayment plan worked out by judicial managers Arthur Andersen, 20 per cent is to be repaid in cash and 80 per cent in new IPC shares priced at 40 cents each.
The Straits Times had reported last month that IPC could join software giants from Germany and US in creating an $8.5 billion e-services company.
An e-services company creates the software which facilitates e-commerce to take place.
The German partner is Infomatec while the American software company, which is as yet unnamed, is believed to be a Fortune 500 company.
The merger, if successful, would give IPC`s founders - the Ngiam family - a stake of about 10 per cent in the enlarged entity.
Infomatec would probably hold a 40 per cent stake while the American partner would have a 20 per cent stake.
When formed, the Internet powerhouse will be listed on Nasdaq by the end of this year
The shares were the most actively traded on the Singapore Exchange yesterday with 136.6 million shares changing hands.
It rose six cents to close at an eight-month high of $0.46 yesterday after rising 4-1/2 cents last Friday.
Company officials were not available to comment on the market speculation.

26Feb2000 SINGAPORE: IPC Corp shares surge 12%.
SHARES of IPC Corp Ltd surged in heavy trading volume yesterday to lead a rally in technology shares after the Nasdaq market rose to a record high.
The stock surged 4.5 cents or 12 per cent to close at 40 cents on a heavy volume of 116 million shares.
IPC is scheduled to hold a meeting with its creditors on March 15. For the whole of this week, the computer maker has seen very active daily trade.
IPC and its German white knight, Infomatec AG, have been reported to be in an "advanced stage" of talks to "forge a global partnership", which sources said may take the form of a full merger of the two companies.
The two parties also plan to rope in a US Fortune 500 technology company to take a minority equity stake in this global partnership.
Talks with several such corporations have begun, Infomatec chairman Eduard Will said recently.

26Feb2000 SINGAPORE: Mixed technical readings for IPC.

THE shares of electronics company IPC Corp dominated trading yesterday, finishing as the session`s most active stock.
The shares closed up 4.5 cents or 13 per cent at 40 cents. It opened at 36 cents and hit a day high of 41 cents and a day low of 35.5 cents. Volume increased sharply to 116.5 million shares from the 10-day traded average of 24.3 million units.
The technical readings are mixed at this point.
The daily RSI, Stochastics and MACD charts suggest that some consolidation may be in order, but the weekly charts suggest that the stock may still climb some more in the near term.
There is support at around 36 cents, and its ability to hold on to the 40-cent mark will be important for further upside. The 52-week high is 56.5 cents, with the 52-week low at 7 cents.
IPC had good news to announce recently on its restructuring. It said this month the High Court had ordered it to hold a meeting with its creditors on March 15.
Earlier, IPC`s white knight, Infomatec AG, had presented a comprehensive debt restructuring plan to the company`s creditors, who will get back 20 per cent of their loans in cash and the balance in new IPC shares. IPC owes about S$291.5 million to its bank and trade creditors, as well as staff.
Infomatec will also be given some 330 million shares in return for a S$130 million cash injection.

21Feb2000 PHILIPPINES: Philweb.com says in talks with Yahoo.
MANILA, Feb 21 (Reuters) - Philweb.com said on Monday it was in talks with global Internet portal company Yahoo for a possible investment in the firm but nothing had been finalised.
Philweb.com issued the statement to the Philippine Stock Exchange in response to newspaper reports on the possible investment by Yahoo.
"While there have been discussions between Web and Yahoo, no agreement has been reached as of today," it said.
The firm also said discussions were ongoing with Infomatec AG regarding a mutual investment by Infomatech into Philweb and by Philweb into Infomatec.
Earlier this month, South Seas Natural Resources Inc, which has now been renamed to Philweb.com, said it signed a memorandum of understanding with Infomatec to form a joint venture company.
The joint venture, to be named Philweb Infomatec Inc, will develop software and distribute and market Infomatec`s software in the Philippines.
Infomatec manufactures software for high-end Internet systems and also provides IT solutions to large web sites.
Philweb.com ended 10 percent or three centavos higher at 33 centavos on Monday.

In the race towards providing high-speed Internet access and software solutions in the very competitive Internet service provider market, PhilWeb.com this week inked a memorandum of understanding with Infomatec AG of Germany to form a joint-venture company to be named PhilWeb Infomatec, Inc.
PhilWeb.com claims to be the first listed integrated Internet company in the country that offers Internet access, electronic commerce, business and software solutions, and Internet appliance distribution.
BusinessWorld Online learned that under the joint venture, PhilWeb Infomatec, Inc. will undertake distribution, marketing and management of Infomatec software in the country; software application hosting services; and Philippines-based software development for Infomatec.
Infomatec AG is Europe`s leading manufacturer of software for high-end Internet systems for trade, industry, finance, media and telecommunications. The German-based solutions provider`s product portfolio includes the business platform High Performance Extranets (HiPEx) which allow enterprises to organize data and communications processes; and Java Network Technology (JNT), a universal platform for Internet end-devices such as the Surfstation.
The vision of the company is to be the leading software provider for any device that connects to the Internet. Infomatec AG is a publicly listed company in Germany with a market capitalization of over $1 billion.
Executives of PhilWeb.com - which recently bought into dormant mining firm South Seas Natural Resources, Inc., said the two partners recenty form - a working group "to finalize the business plan designed to fully leverage their strength in an integrated Internet value chain."
In a related development, the Securities and Exchange Commission yesterday approved the change in name of Philippine Stock Exchange listed South Seas Natural Resources, Inc. to PhilWeb.com, Inc.
PhilWeb.com executives also said the SEC approved the "change in primary purpose" of the company from mining to the Internet business while expanding the number of directors in its board from three to 15.
They said: "The company is gearing for the expected explosion in Internet services and applications in the country."

10Feb2000 PHILIPPINES: PhilWeb forms joint-venture company with German firm.
Listed Internet firm PhilWeb.Com, Inc. - formerly dormant mining firm South Seas Natural Resources, Inc. (SSO) - yesterday said it has formed a joint venture company with Informatec AG of Germany to handle the distribution of the latter`s software products in the country.
Earlier, BusinessWorld reported the country`s first listed Internet firm is in talks with several foreign companies for possible joint ventures in the information technology business. SSO has programmed a P1-billion capital expenditure budget over a three-year period.
"The parties have agreed that a business plan shall be completed for the joint venture within 90 days, which will define the details of the joint venture, including capital and ownership structure of the proposed PhilWeb Infomatec, Inc.," PhilWeb corporate information officer Roberto V. San Jose said.
Aside from distributing the German firm`s software program, PhilWeb will also serve as the software programming arm considering that development cost in Germany is 30 times more expensive than in the Philippines.
The local Internet firm is also reportedly exploring other foreign partnerships such as a tie-up with MediaRing.com, a Singaporean-based company that offers voice communication services for the Internet to give PhilWeb added Internet application services.

ich werte es positiv daß infomatec eine besser erkennbare struktur schaffen will und bereit ist eine stellungnahme darüber abzugeben.

über IPC erwarte ich am 9.märz noch keine nachrichten da sich solche entschuldungs-verhandlungen mit banken sehr lange hinziehen können und banken erst dann bereit sind kredite abzuschreiben wenn sie erkennen, daß sie sonst noch mehr verlieren würden. (ist aber nur eine vermutung).

Infomatec und Intellivision wollen gemeinsam TV-Sendungen aufs Handy bringen. Der Augsburger Software-Konzern teilte mit, dass
Übertragungen von Videos auf WAP-fähige Endgeräte "schon innerhalb weniger Monate" möglich sein wird.

Das Tochterunternehmen Infomatec-PWI soll mit seiner Software "Waparameter" für das interaktive Serviceangebot "Wapme.net"
(www.wapme.net). die technische Grundlage bereit stellen, Intellivision wird laut der Vereinbarung die entsprechenden Inhalte liefern.

Profitieren sollen von der Partnerschaft die Mitglieder der "interaktiven Freizeitbörse" von Wapme.net. Sie können dann zum Beispiel
Termine, Grüße oder andere Meldungen als Video verschicken sowie online Filme oder Nachrichten verfolgen.

Das Sendeportfolio von Intellivision reicht von Wirtschaftsnachrichten über Sport bis hin zu aktuellen IPO-News. Weitere Dienste wie
Online-Banking mit dem WAP-Handy oder das Bezahlen im Supermarkt via tragbarem Telefon werden von Infomatec derzeit entwickelt.

Das Übertragen von Videos kann aber erst mit dem Start des schnelleren GPRS-Übertragungsstandards erfolgen. Die theoretische
Übertragungsrate von GPRS ist in der Endausbaustufe mit 115 KBit/s zehnmal schneller als die der herkömmlichen GSM-Norm. Im
Gegensatz zum bisherigen Standard nutzt GPRS mehrere Funkzeitschlitze gleichzeitig (Multislot-Technik). Ein und derselbe Zeitschlitz
kann von mehreren Benutzern in Anspruch genommen werden. GPRS basiert ähnlich wie das Internet-Protokoll TCP/IP auf der Vermittlung
einzelner Datenpakete und sendet nicht auf einem kontinuierlichen Datenstrom.
