Merrill Lynch:
"It`s extremely positive for both companies,"
OpenTV, a Software Provider, to Buy Spyglass for $2.5 Billion
By CLAUDIA H. DEUTSCH
penTV, the largest provider of interactive television software, said Sunday that it would buy Spyglass Inc., which licenses Internet-access software and offers consulting services on Internet applications, in a stock deal valued at $2.5 billion.
OpenTV`s software, which is used in 6.1 million set-top boxes -- primarily in Europe and Asia -- enables viewers watching, say, a golf tournament to, with a click of the remote, call up more information about the clubs the players are using or the clothing they are wearing. But it does not provide the ability to browse the Web, and it has been slow to catch on in the United States. Spyglass, in contrast, has a large customer base in the United States.
"It`s extremely positive for both companies," said Coleen Kaiser, an analyst who follows OpenTV for Merrill Lynch in London. "OpenTV needed the Internet technology, and Spyglass needed the name brand and relationship with network operators."
The acquisition gives OpenTV access to Spyglass` technology for delivering Web information not only to set-top boxes but to mobile phones and other wireless devices. Thus, it will enable OpenTV to offer Web-browsing capability on set-top boxes and will give it a toehold in the growing wireless communications market, both domestically and overseas.
"We can expand the services we offer and our customer base without forgoing any of the services we offer now," said Jan W. Steenkamp, OpenTV`s chief executive.
The whole concept of interactive television has excited shareholders. Spyglass lost $1.9 million on $29.6 million in revenue last year, yet its stock closed at $69.875 on Friday, giving it a market value of $1.28 billion. Similarly, OpenTV lost $9 million on revenue of about $26 million, yet its shares closed at $169 on Friday, giving it a market value of about $10 billion.
Last week, OpenTV, which just went public in November, announced an alliance with Health Hero Network Inc. a privately held company, to create an interactive health channel on which doctors can communicate with patients through their set-top boxes.

Hallo lOppy, hallo O.S.,

THE DAY AHEAD: Web pioneer Spyglass dies happy
By Larry DignanTDAIN ZDII
When Web pioneers die, they often die smiling. OpenTV (Nasdaq: OPTV) paid a hefty premium for Spyglass (Nasdaq: SPYG), the company that helped create the Web browser, in a stock deal valued at $2.5 billion.
OpenTV, which makes interactive television software, valued Spyglass at $122.28 a share, nearly double Friday`s close of 69 7/8.
Congratulations Spyglass shareholders, you`ve just hit the lotto.
Spyglass: Worth the premium?
Add your comments to the bottom of this page.
If all this sounds slightly familiar, it should. America Online (NYSE: AOL) paid a hefty price for Netscape Communications Corp., another Web pioneer that was trampled by Microsoft (Nasdaq: MSFT). AOL walked away with a browser that lost its dominant market share and a second-rate Netcenter portal.
Netscape execs -- and shareholders -- just walked away with big gains.
And now Spyglass shareholders are laughing.
If you`ve been a Spyglass shareholder since the company`s 1995 IPO, you deserve the premium. Spyglass last issued a stock split in late 1995, and, like Netscape, was walloped by Microsoft, which licensed Spyglass software to create its Internet Explorer browser.
But give Spyglass credit. It was always ahead of its time. After shares hit a January 1998 low point, Spyglass reinvented itself to focus its software on Internet devices and interactive television. Those trendy Internet gadgets are all the rage now, but some folks thought Spyglass was a bit wacky back in 1998.
A series of key partnerships paid off nicely for Spyglass, which sometimes failed to impress Wall Street with its quarterly results. Pacts with Sony, IBM (NYSE: IBM), Motorola (NYSE: MOT) and Nokia (NYSE: NOK) were crucial when it came to wooing a potential buyer.
And Spyglass needed a buyer. Why? In the new economy, new companies always look better than older ones. Spyglass closed Friday with a market capitalization of roughly $1.2 billion. The young and profitless OpenTV and competitor Liberate Technologies (Nasdaq: LBRT) both tipped the scales with market caps topping $7 billion.
Liberate and OpenTV, which both went public last year, were going to face Spyglass in the set-top box market because Spyglass was hooked up with General Instrument Corp., a set-top box maker acquired by Motorola. But Spyglass, which actually knew what a profit looked like, was never going to catch OpenTV and Liberate in terms of market cap.
Simply put, new and unproven is usually better than having a track record.
So Spyglass sold out.
According to press statements -- there`s an analyst call at 10:30 a.m. ET -- the combination of OpenTV and Spyglass will mesh leading interactive television software with wireless Internet products and services.
Like most mergers, it`ll be a synergy fest. "We will drive the future development of the digital interactive television and wireless communications markets," said Jan Steenkamp, CEO of OpenTV, in a statement. "With the combination of Spyglass` cutting-edge Device Mosaic technology and the broadband market coming of age, we will expand our offering."
The companies will leverage a bunch of key partnerships. OpenTV recently inked a deal with Echostar (Nasdaq: DISH), and is supported by AOL, Liberty Digital (Nasdaq: LDIG), News Corporation (NYSE: NWS), Time Warner (NYSE: TWX) and Sun Microsystems (Nasdaq: SUNW).
The merger looks good on paper, until you get to the price tag. Although OpenTV is playing with funny money (inflated stock), Steenkamp will most likely have to defend the premium. Spyglass stockholders will receive 0.7236 OpenTV Series A ordinary shares in exchange for each share of Spyglass common stock. That means Spyglass shareholders will get 18 percent of OpenTV.
Not a bad deal for a fading Web pioneer.
