Wir kennen noch nicht alle Details. Kommt nichts nach haben wir 100% von Simkar, aber dafür nur noch mit 3-4 cent Bewertung und der Erfolgsweg verzögert sich meiner Meinung nach enorm. Da muss mal wieder über Wochen mehr Volumen rein. Überlege schon mal zu 4 cent eine Order rein zustellen. Aber irgendwie kann das alles gaanz schön lange dauern.

Konsolidierung des 100-%-Anteils im Simkar-Goldprojekt, Val-dOr (Quebec)
Toronto, Kanada. 30. August 2010. Eloro Resources Ltd. (TSX-V: ELQ; FSE: P2Q) (Eloro oder das Unternehmen) und Megastar Development Corporation ( WKN: A0JL3K MEGASTAR DEVELOPMENT CORP ; TSX-V: MDV) geben bekannt, dass sie hinsichtlich eines geplanten Geschäftszusammenschlusses einen Grundvertrag abgeschlossen haben. Eloro und Megastar planen, einen Geschäftszusammenschluss durchzuführen, der vorsieht, dass die Aktionäre von Megastar 70 Millionen Stammaktien von Eloro im Tausch gegen alle Besitzansprüche und Anteile Megastars an der Simkar-Liegenschaft im Abitibi-Grünsteingürtel, 20 km östlich von Val-dOr (Quebec), erhalten. Die Stammaktien von Eloro, die an Megastars Aktionäre ausgegeben werden, werden zum Handel an der TSX Venture Exchange (TSXV) zugelassen. Die Stammaktien von Megastar werden weiterhin an der TSXV gehandelt werden.
Während die endgültige Form des Geschäftszusammenschlusses von beiden Parteien mit Hilfe von Beratern festgelegt wird, so wird erwartet, dass der Geschäftszusammenschluss die Form einer gesetzlich verankerten Vereinbarung oder eines anderen Vertragswerkes annehmen könnte. Folglich wird Megastar alle ihre Besitzrechte und Anteile an der Simkar-Liegenschaft im Tausch gegen Eloro- Aktien an Eloro übertragen. Diese Eloro-Aktien werden dann von Megastar an ihre Aktionäre ausgegeben, jeweils mit einer entsprechenden Ausnahme von den Auflagen des Emissionsprospekts der kanadischen Wertpapiergesetze. Die Parteien werden gemeinsam die optimale Struktur des Geschäftszusammenschlusses bestimmen, um die Steuerplanung, gesetzliche und andere Gesichtspunkte am besten zu erfüllen, insbesondere hinsichtlich der Verringerung etwaiger Steuerfolgen für Megastar und/oder ihrer Aktionäre.
Ferner wurde vereinbart, dass sich Eloro die größte Mühe gibt, gleichzeitig eine Finanzierungsrunde über bis zu 3.500.000 CAD innerhalb von 60 Tagen nach Abschluss des Geschäftszusammenschlusses abzuschließen; vorausgesetzt, dass von Eloro verlangt wird, als aufschiebbare Bedingung für den Abschluss der Geschäftszusammenlegung, eine Finanzierungsrunde in Höhe von nicht weniger als 1.500.000 CAD vor oder gleichzeitig mit dem Geschäftszusammenschluss (die Finanzierung) durchzuführen.
Gegenwärtig hat Eloro 76.226.903 Stammaktien ausgegeben und ausstehend, während Megastar bis dato 39.487.233 Stammaktien ausgegeben und ausstehend hat, geeignet und vorbehaltlich des geplanten Geschäftszusammenschlusses. Laut Konditionen des geplanten Geschäftszusammenschlusses würden die Aktionäre Megastars vor Abschluss der Finanzierung ca. 48 % der ausstehenden Aktien Eloros bei Abschluss der Transaktion besitzen.
Der Board of Directors von Eloro wird sich nach dem Geschäftszusammenschluss aus vier Kandidaten von Eloro und drei Kandidaten von Megastar zusammensetzen. Thomas Larsen, gegenwärtig Chairman, President und CEO von Eloro, wird Chairman und Dusan Berka, gegenwärtig President und CEO von Megastar wird Vice Chairman werden. Thomas Larsen wird weiterhin Eloros President und CEO sein.
Der Abschluss der Transaktion unterliegt den herkömmlichen Konditionen für solch eine Transaktion, einschließlich, aber nicht beschränkt auf den Abschluss von Due Diligence (Prüfung mit gebührender Sorgfalt), Abschluss und Ausführung der endgültigen Dokumentation des Geschäftszusammenschlusses, Erhalt aller erforderlichen behördlichen Genehmigungen und der Zustimmung der Aktionäre sowie keiner wesentlichen negativen Veränderungen der Finanzlage bei beiden Unternehmen.
Wir sehen diesen Zusammenschluss als eine logische Entwicklung in unserer Wachstumsstrategie. Das Simkar-Goldprojekt
Das Vererzungsmodell von Simkar wurde mit Hilfe eines umfassenden 3D-Modells und der Darstellung der historischen Abbau- und Bohrlochdaten erstellt, die die Zonen A, B, C, Montana, East und South einschließen. Aus diesen Zonen wurde in der Vergangenheit das Gold gefördert. Die im Rahmen dieser Bohrkampagne erbohrten Lithologien bekräftigen das geologische 3D-Modell, das für die Liegenschaft zur Abgrenzung der Bohrziele entwickelt wurde.
Die Simkar-Liegenschaft beherbergt eine mächtige Abfolge an von Ost nach West streichenden, fast vertikal einfallenden Rhyoliten, pyroklastischen Gesteinen und porhyrischen Quarz-Feldspat-Quer- und Lagergängen, die eng mit den Goldgangvererzungen verbunden sind sowie mit den massigen vulkanischen Sulfidvorkommen (oder VMS Volcanogenic Massive Sulphide) des Louvicourt-Typs. Der höhere Goldgehalt der Gangvererzung ist ähnlich der Sigma-Lamaque-Goldlagerstätte in Val-dOr, die über 9 Mio. Unzen beherbergt. Die historische Produktion von 30.500 Unzen Gold (1946 bis 1949) stammte aus dem umfangreichen Untertageabbau entlang der Zonen A, B und C. Von 1987 bis 1993 grenzten die Explorationsarbeiten an der Oberfläche und die Entwicklungsarbeiten unter Tage erfolgreich eine zusätzliche Goldvererzung in der unmittelbaren Umgebung der früher abgebauten Zonen ab. Die Arbeiten waren ebenfalls erfolgreich, neue Goldzonen in drei neuen goldführenden Strukturen, die Zonen East, F und Pillar, zu umreißen. Anschließend wurde die bestehende Mine entwässert und es wurden unter Tage neue Entwicklungsarbeiten durchgeführt, um die East-Zone zu erreichen. Diese untertägigen Entwicklungsarbeiten führten zur Gewinnung von 20.000 Unzen Gold.
Die Simkar-Liegenschaft setzt sich aus zwei zusammenhängenden, insgesamt 226 Hektar großen Bergbaukonzessionen, zusammen. Das Projekt befindet sich gegenwärtig zu 100 % im Besitz von Megastar, wobei Eloro ein Optionsrecht auf das Projekt hat. Megastar erwarb im Jahr 1996 sämtliche Rechte, Besitzansprüche und Beteiligungen am Projekt. Seit diesem Zeitpunkt führte Megastar geophysikalische Bodenuntersuchungen sowie Kernbohrungen an der Oberfläche durch und und integrierte die ehemaligen Untertageanlagen der Goldmine Simkar in ein 3D-Minenmodell. Diese Arbeiten führten zu zwei mit National Instrument (NI) 43-101 konformen technischen Berichten. Ein Bericht erschien im Jahre 2004 der zweite im Jahre 2008 (abrufbar bei SEDAR www.sedar.com unter Megastar Development Corp.). Der technische Bericht aus dem Jahre 2008 grenzt bis in eine vertikale Tiefe von 200 m geschätzte Mineralressourcen von 1.482.000 Tonnen Erz mit 3,01 g/t Gold ab, die 143.160 Unzen Gold enthalten. Dies basiert auf Parametern, die für einen angemessenen Untertageabbau geeignet sind.
Eloro und Megastar befinden sich im zweiten Jahr eines Options- und Joint-Venture-Abkommens, das Eloro die Option einräumt, einen 50-%-Anteil an Simkar zu erwerben. Eloro muss dafür in einem Zeitraum von drei Jahren Explorationsarbeiten im Umfang von 4 Mio. CAD durchführen, 350.000 CAD an Megastar zahlen und 4,5 Mio. Aktien von Eloro an Megastar ausgeben. Eloro hat laut Optionsabkommen mit Megastar ihre Arbeitsverpflichtung in Höhe von 750.000 CAD für das erste Jahr erfüllt, einschließlich der Übernahme der Explorationsaufwendungen von mindestens 750.000 CAD laut Optionsabkommen mit Megastar.

Eloro and Megastar Announce Business Combination
Consolidation of 100% Interest in the Simkar Gold Project, Val-d’Or
(Quebec)
Toronto and Vancouver (Canada), August 30, 2010 – Eloro Resources Ltd.
(TSX-V: ELO; FSE: P2Q) (“Eloro” or the “Company”) and Megastar
Development Corp. (TSX-V: MDV; FSE: M5Q) (“Megastar”) are pleased to
announce that they have reached an agreement in principle regarding a
proposed business combination (the “Business Combination”). Eloro and
Megastar propose to complete a Business Combination that will provide
that shareholders of Megastar will receive seventy million (70,000,000)
common shares of Eloro in exchange for all of Megastar’s right, title
and interest in and to the Simkar Property, hosted in the Abitibi
Greenstone Belt, 20 km east of Val-d’Or (Quebec). The common shares of
Eloro to be distributed to shareholders of Megastar will be listed for
trading on the TSX Venture Exchange (“TSXV”). The common shares of
Megastar will continue to be listed for trading on the TSXV.
While the definitive form of the Business Combination will be determined
by both parties acting with the advice of counsel, it is anticipated
that the Business Combination may take the form of a court-sanctioned
statutory arrangement or other mechanism, involving Megastar
transferring all of its right, title and interest in and to the Simkar
Property to Eloro in exchange for Eloro shares, which Eloro shares will
then be distributed by Megastar to its shareholders, in each case with
an applicable exemption from the prospectus requirements of Canadian
securities legislation. The parties will jointly determine the optimum
structure for the Business Combination in order to best satisfy tax
planning, regulatory and other considerations, specifically in regards
to the mitigation of any tax consequences to Megastar and/or its
shareholders.
It was further agreed that Eloro will use its reasonable best efforts to
complete an equity financing of up to $3,500,000 concurrently with or
within 60 days following the completion of the Business Combination;
provided that Eloro shall be required, as a condition precedent to
completion of the Business Combination, to complete an equity financing
of not less than $1,500,000 prior to or concurrently with the closing of
the Business Combination (the “Financing”).
Currently, Eloro has 76,226,903 common shares issued and outstanding
while Megastar has 39,487,233 common shares issued and outstanding as of
the date hereof, eligible and subject to the proposed Business
Combination. Under the terms of the proposed Business Combination,
Megastar shareholders would own approximately 48% of the Eloro shares
outstanding on completion of the transaction, prior to the completion of
the Financing.
The board of directors of Eloro resulting from the Business Combination
will consist of four nominees from Eloro and three nominees from
Megastar. Thomas Larsen, currently Chairman, President and CEO of Eloro,
will become Chairman and Dusan Berka, currently President and CEO of
Megastar, will become Vice Chairman. Thomas Larsen would continue in his
role as Eloro’s President and CEO.
Completion of the transaction is subject to usual terms and conditions
for such a transaction, including but not limited to the completion of
due diligence, completion and execution of definitive Business
Combination documentation, receipt of all required regulatory and
shareholder approvals and no material adverse changes occurring in the
financial condition of either company.

With consolidated ownership of the Simkar Gold project, Eloro and its shareholders will benefit from increased flexibility in how it proceeds with the continued exploration and development required to exploit the significant upside potential which the property holds. The Simkar Gold Project
The Simkar mineralization model was generated from a comprehensive 3D
compilation and synthesis of historic mine and drill hole data that
included the “A”, “B”, “C”, “Montana”, “East” and “South” zones from
which there is historic gold production. The intersected lithologies in
this drill campaign corroborate the 3D geological model developed for
the Property to delineate drill targets.
The Simkar Property hosts a thick sequence of east-west trending, near
vertical dipping rhyolites, pyroclastics and quartz-feldspar porphyry
dykes and sills closely associated with the lode gold vein
mineralization and the Louvicourt-type volcanogenic massive sulphide (or
“VMS”) mineralization. The higher gold grade vein mineralization is
similar to the more than 9 million ounces Sigma-Lamaque Gold Deposit in
Val-d’Or. The historic production of 30,500 ounces of gold (1946-1949)
came from extensive underground workings along the A, B and C Zones.
From 1987 to 1993, surface exploration and underground development work
successfully outlined additional gold mineralization in the immediate
extensions of the previously mined zones, as well as defining new gold
resources in three new gold bearing structures, the East, F, and Pillar
Zones. Subsequently, the existing underground workings were dewatered
and new underground development was completed to access the East Zone.
This underground development work led to the extraction of 20,000 ounces
of gold.
The Simkar Property consists of two contiguous mining concessions
totaling 226 hectares, and is currently wholly-owned by Megastar, under
option to Eloro. Megastar acquired all rights, titles and interests of
the Project in 1996. Since then, Megastar completed ground geophysics;
surface diamond drilling, and integrated the former Simkar Gold Mine
underground workings into a 3-D mine model. This work led to two
National Instrument (“NI”) 43-101 compliant technical reports, one in
2004 and a second in 2008 (available on SEDAR at www.sedar.com under
Megastar Development Corp). The 2008 technical report outlines Mineral
Resource estimates of 1,482,000 tonnes grading 3.01 g/t gold containing
143,160 ounces of gold to vertical depth of -200 m, based on parameters
appropriate for a reasonable underground mining scenario.
Eloro and Megastar are in the second year of an Option and Joint Venture
Agreement that provides Eloro with the option to earn a 50% interest in
Simkar by completing $4 million in exploration work, paying Megastar
$350,000 and issuing 4.5 million shares of Eloro to Megastar over 3
years. Eloro has met its Year 1 commitments, including incurring
exploration costs of minimally C$750,000 pursuant to the Option
Agreement with Megastar.
