      Orascom Telecom Holding S.A.E. ("Orascom Telecom") or ("OTH") was established in 1998 and has grown to become a major player in the telecommunication market in the world.

      OTH is considered among the largest and most diversified network operators in the Middle East, Africa and Pakistan. It is a leading mobile telecommunications company operating in seven emerging markets in the Middle East, Africa and South Asia having a population under license of 460 million in total population with an average penetration of mobile telephony rate across all markets of 19%.

      Orascom Telecom operates GSM networks in Algeria ("Djezzy"), Egypt ("Mobinil"), Pakistan ("Mobilink"), Iraq ("IraQna"), Bangladesh ("Banglalink"), Tunisia ("Tunisiana") and Zimbabwe ("Telecel Zimbabwe"). Orascom Telecom subscriber number reached over 40 million subscribers as of June, 2006.

      OTH continuing growth established a strong presence in the GSM Association (the world's leading wireless industry representative body), only four years after its inception.
      OTH's Chairman and CEO Mr. Naguib Sawiris was selected to join the GSM Association’s CEO Board in 2002. This association's members help in promoting and planning the future of the GSM industry. OTH stocks are traded on the Cairo and Alexandria Stock Exchange (CASE), (under the symbol ORTE.CA, ORAT EY) and London Stock Exchange (where its GDR is traded under the symbol ORTEq.L, OTLD LI). Orascom Telecom is the largest capitalized company on the Cairo and Alexandria Stock Exchange (CASE).

      Mobinil, in Egypt was Orascom Telecom’s first operation. The Egyptian Company for Mobile Services (ECMS) was granted a GSM license in 1998 and launched the same year. Mobinil is among Egypt’s five largest companies by market capitalization. It is also among Egypt’s five most heavily traded companies by value. Mobinil’s network covered approximately 91% of the total population of Egypt as of March, 2005. "Mobinil Life" was launched in September 2003 in partnership with sister companies ARPU+ and LINKdotNET which cater to value added services and internet respectively. Mobinil offers both prepaid and postpaid packages and as of September 2005, prepaid subscribers represented approximately 85% of Mobinil's total subscribers. Mobinil served over 7 million subscribers as of June, 2006, representing a market share of approximately 51.3% of the Egyptian mobile market.

      Orascom Telecom’s operation in Pakistan, Mobilink, started its operations in 1994, and until early 2001, had a market share of 40%. In April 2001, OTH took over management control of the company and as of June, 2006; Mobilink served more than 17 million subscribers, representing a market share of approximately 55.4% of total mobile subscribers in Pakistan.

      Orascom Telecom’s North African success continued in Algeria and Tunisia as well. Djezzy, OTH’s network in Algeria, was granted a license in July 2001 to operate a nationwide GSM telecommunications network, to provide a range of mobile services in Algeria. Djezzy’s network serves approximately 9.5 million subscribers, as of June, 2006 representing a market share of 65% of total mobile subscribers in Algeria. Orascom Telecom’s Algerian operation was the second GSM telecommunication network to operate in Algeria. It grew to become the market leader in terms of both subscriber number as well as the quality of telecommunications services provided.

      Our newest operator is Lacom in Algeria that OTH and Telecom Egypt launched. We wanted to explore the great potential of the Algerian fixed line market that is characterized with low fixed line teledensity and a fast growing economy.

      Orascom Telecom Tunisie - Limited Company Tunisiana was granted a license in May 2002. Tunisiana exceeded the 2.5 million subscribers, representing a market share of approximately 44.8% of total mobile subscribers in Tunisia, as of June, 2006.

      In January 2004, Orascom Telecom Iraq (OTI) launched its initial phase of the network IraQna after being awarded the first license for the Central Region in Iraq. OTI is now serving over 2 million subscriberswith a market share of 34.8% on its network and is providing state of the art mobile technology. Pursuing its success OTI expanded its services to the Southern region of Iraq in November 2004 to become the first operator to deploy its services nationally in the whole country. As of September, 2005, the central region contains over 35% of Iraq’s population, or approximately 9.3 million inhabitants.

      Banglalink was the last addition to the GSM companies when, Orascom Telecom (OTH) purchased 100% of the shares of Sheba Telecom in Bangladesh last September. Orascom Telecom re-branded and launched its services under "Banglalink" in February 2005. Immediately after the launch, OTH started its aggressive plans to develop it into a leader in the mobile sector. It rapidly expanded its GSM network to provide high quality communications services at affordable prices. Banglalink has 14.6% market share of total mobile subscribers in Bangladesh with more than 2 million subscribers as of June, 2006.

      Orascom Telecom has positioned itself as a leader in the region for its diverse GSM operations, with various GSM support and Internet operations. One of Orascom Telecom’s main strategies is to create its own non-GSM subsidiaries to act as a support for its regional GSM operations. OTH has achieved this by dedicating financial, technical, and management resources for its subsidiaries. This includes network support and installation of GSM operations, equipment procurement, handset procurement and distribution companies, value Added Services, and Internet operations.

      ORASCOM Telecom Holding SAE, the largest mobile-phone company in the Middle East and North Africa, wants to acquire Hutchison Telecommunications International Ltd, Chief Executive Officer Naguib Sawiris said.

      Orascom is Hutchison Telecom's biggest shareholder with a 19.3 percent stake. Hutchison Telecom is a unit of Hutchison Whampoa, owned by Hong Kong billionaire Li Ka-Shing.

      Orascom Telecom’s Iraqi Mobile Operation
      Gets an Extension of its License


      Cairo, September 14th, 2006: Orascom Telecom Holding S.A.E. (“Orascom Telecom”) announced today that its 100% owned Iraqi GSM operation which uses the trade name Iraqna has been granted a further three month extension to its current interim License to end in December 31, 2006. Iraqna is the leading telecommunications operator in Iraq in terms of subscribers, revenue, and network coverage and has been the leading force in the development of Iraq’s telecommunications market since its commercial launch in December 2003.

      Orascom Telecom was first awarded the license to build and operate central Iraq’s first commercial mobile telecommunications network in October 2003. In December 2003, Iraqna agreed and signed this first license which had a term of two years and granted Iraqna the exclusive right to build and operate a mobile telecommunications network in Iraq’s central region. Roughly a year later, Iraqna’s license became a nationwide license and the company has since expanded its network to offer services through out Iraq.

      Iraqna has invested over US$ 270 million in its GSM mobile network since its inception and the company served more than 2.3 million active subscribers as at June 30, 2006.

      The new agreement to extend Iraqna’s License for a three-month period from the end of September until December 31, 2006 does not change the other terms of the interim License. During this period, Iraqna will continue to pay a “Revenue Sharing” fee of 13% of gross revenues less amounts paid to the Iraqi Telephone & Post Company and other licensed mobile operators for interconnection and access services.

      Hutchison Whampoa has no intention of selling majority equity stake to Orascom in Hong Kong-based Hutchison Telecommunications International Ltd.

      Orascom has already bought 19.3 per cent equity in HTIL - the company through which Hutchison controls 67 per cent equity in its Indian joint venture, Hutchison-Essar Ltd.

      Hutchison sources said there was no question of the group giving majority stake to the Egyptian giant, though it could raise its holding to about 23 per cent. Orascom, which holds about 10 per cent in the Indian operations indirectly through its holdings in HTIL, has come under scrutiny in India.

      The Ruias, who are the joint venture partners of Hutchison in India, have opposed any such move as this would mean getting a new partner without their approval. The Ruias have told the Government that they had the first right of refusal in buying Hutchison's stake in the joint venture.

      They have been peeved at the 'backdoor entry' of Orascom into the joint venture though HTIL. Under the deal between Hutchison Whampoa and the Ruias, the Hong Kong-based company has to first offer stakes to its Indian partner before soliciting other bidders in the Indian joint venture.

      Hutchison Essar had raised this issue years ago when Hutchison Whampoa had sold 19.3 per cent equity to Orasom in 2005, allegedly without giving the Indian partner the first refusal right.

      A section of the government has already raised the flag of national security as Orascom operates GSM networks in Pakistan and Bangladesh.

      Orascom Telecom Acquires Minority Stake
      in its Algerian GSM Operation

      Cairo, October 27th 2006: Orascom Telecom Holding S.A.E. (“OTH”) has signed an agreement to purchase a 7.91% stake in its Algerian GSM operation, Orascom Telecom Algeria (“OTA”), for cash consideration of US$ 399 million from Emirates International Investment Company (“EIIC”).

      Pro forma for this transaction, Orascom Telecom will directly and indirectly own 95.6% of OTA. The purchase agreement replaces the put and call option agreement that existed between OTH and EIIC, for which OTH had previously recognized a liability of US$ 290 million as of June 2006. The increased price notably reflects the increase in OTH’s share price and the strong performance of OTA since then.

      Orascom Telecom consideration will be funded by internal cashflow and by drawing from its US$ 2.5 billion corporate facility put in place in early 2006.

      OTA is the leading telecommunications operator in Algeria in terms of subscribers, revenue, and network coverage and served over nine million subscribers as at June 30th 2006 representing 65% share of mobile market subscribers.

      Orascom Telecom entered the Algerian market after winning the second GSM license in July 2001. OTA launched its network and commenced commercial operations on the 15th of February 2002. OTA provides a range of prepaid and postpaid voice, data and multimedia telecommunications services. In 2005, through a series of transactions, OTH acquired additional equity stakes in OTA which raised its shareholding to the current level of 87.7% from 58.4%. OTA accounted for 35% of OTH’s consolidated revenues and 49% of OTH’s consolidated EBITDA in the first half of 2006.

      OTA has established a clear leadership position by covering over 90% of the population, spreading its coverage over all 48 Wilayas (provinces) in the country and providing on-road coverage along major national highways. OTA’s growth is also sustained by an aggressive network rollout which reached over 3,800 base stations. OTA has invested considerably in its network, and has rolled out a range of value added services based on GPRS and EDGE technologies.

      Naguib Sawiris commented, “This transaction is a continuation of our strategy to consolidate our ownership in our strongest markets by buying out the minority shareholders, to increase growth, profitability and shareholders value.”

      Orascom Telecom denied 100 pct stake in Hutchison Telecom - report

      MUMBAI (AFX) - Egypt-based Orascom Telecom Holdings (Nachrichten) ' intention to acquire 100 pct stake in Hongkong-based Hutchison Telecom (Nachrichten) has not been agreed to by Hutchison officials, said the Indian daily Business Line, without naming its source.

      Negotiations between the two companies have now ended, the report said.

      Orascom told the newspaper that it had been looking at this acquisition to up its stake in the Indian cellular venture Essar Hutchison enabling it to increase its presence in the Indian market.

      Orascom currently holds a 10 pct stake in Essar Hutchison - which trades in India under the Hutch brand - through an earlier acquired 23 pct stake in Hutchison Telecom.

      The level of foreign direct investment (FDI) in Essar Hutchison is currently at 74 pct, said the report, which rules out any fresh FDI unless an existing foreign equity holding firm decides to dilute its shares.

      The Essar Group had objected to Orascom's entry into the Essar-Hutchison venture as it said that such international deals could bring in investments from companies in unfriendly countries. Some security agencies had also expressed similar concerns, the report said.

      ("Orascom Telecom” or “OTH”) has signed an agreement to purchase an additional 1.21% indirect stake in its Algerian GSM operation, Orascom Telecom Algeria (“OTA”), from financial investors for a cash consideration of US$ 61 million. These terms are identical to the one announced on 27th October 2006, for the recent purchase of 7.91% of OTA from EIIC.

      Pro forma for this transaction, Orascom Telecom will directly and indirectly own 96.81% of OTA. The consideration will be funded by internal cash flow.

      OTA is the leading telecommunications operator in Algeria in terms of subscribers, revenue and network coverage and served over 9.5 million subscribers as at September 30th, 2006, representing a 65% market share in term of subscribers.

      The Sawiris Family increases its stake in Weather to 97%


      Cairo, December 4th, 2006, Orascom Telecom Holding S.A.E. (“Orascom Telecom” or “OTH”) has been notified by Mr. Naguib Sawiris that Weather Investments II S.a.r.l. (“Weather II”), fully owned by the Sawiris Family and controlled by Mr. Naguib Sawiris, has increased its stake in Weather Investments S.P.A. (“Weather SPA”) to 97%. The deal entails Enel selling its entire 26.1% stake. Weather SPA owns and controls 100% of Wind Telecomunicazioni S.P.A. (“Wind”) and 50% plus 1 share of Orascom Telecom.

      Mr. Naguib Sawiris stated "I am very excited to increase our investment in Wind and our exposure to Orascom Telecom where I see particular long term value potential in continuing our strategy of development of emerging market opportunities.”

      Orascom Telecom is not a party to, and is not affected in any way by the Weather transaction. There is no additional debt of any kind raised by, guaranteed by, or funded by OTH. The purchase of Enel is a combination of share buyback by Weather SPA and direct purchase by Weather II. Any debt raised by either Weather II or Weather SPA, will be serviced internally through generated cash flow and a new Payment In Kind loan which is raised with no recourse on OTH.

      Orascom Telecom Subscriber Base Exceeds 50 Million


      Cairo, December 7th, 2006: Orascom Telecom Holding S. A. E. ("Orascom Telecom” or “OTH”) today announced its subscriber base exceeded the 50 million benchmark.

      OTH recorded over 50 million total subscribes on its networks, growing from 30 million to 50 million in 12 months or a 67% increase.       Announcement Relating to Calculation of Key Performance Indicators

      Cairo, January 22nd, 2007: Orascom Telecom Holding S.A.E. (“OTH” or “Orascom Telecom”) announced today additional information to assist investors and analysts in their understanding of certain of Orascom Telecom’s main key performance indicators.

      In the context of the changing landscape in its markets. Orascom Telecom will start to use subscriber data of its competitors in various markets that is announced by the relevant regulator or by the industry to calculate its market share. In Egypt data is provided by the Regulator, in Iraq, Bangladesh & Zimbabwe OTH relies on industry data, while in Algeria & Tunisia, OTH will continue to use its own reporting database for calculating its market share as there is no consistent data reported by either the regulator or the industry. Based on this new methodology Pakistan market share will change from the previously announced 54.5% to 48.9% according to the Regulator figures as at September 2006.

      OTH confirms that it continues to use the “3 month churn rule” in calculating its own subscriber base, although not all of its competitors use this same method. Orascom Telecom has chosen to take this more conservative approach which is mostly caused by the dual SIM phenomenon and confirms that its previously reported subscriber and revenue figures for OTH subsidiaries remain unchanged.

      Orascom Telecom Holding Completes US$750 million Bond Offering


      Cairo, February 4th, 2007: Orascom Telecom Holding S.A.E. (“OTH” or “Orascom Telecom”) today announced that it has successfully priced and placed US$750 million of Senior Notes due 2014 (the “Notes”). The transaction was increased from US$500 million due to favorable pricing and very strong investor demand. The offering is a milestone for Orascom Telecom, for Egyptian corporate issuers and for emerging markets in Europe, the Middle East, Africa and Asia.

      The placement of the Notes is one of the most successful debt capital markets transactions of its kind and sets a benchmark in the market in several respects:

      - First international corporate bond issuance by an Egyptian corporate since 1999

      - Largest ever debut bond for sub-investment grade issuer in Eastern Europe, the Middle East and Africa

      - Largest ever sub-investment grade corporate bond in the Middle East and Africa to date.

      The Notes, which mature on February 8, 2014 and bear an interest rate of 7.875% per annum, are callable in the beginning of February 2010 and includes typical high yield bond covenants. The Notes are issued by Orascom Telecom Finance S.C.A., a Luxembourg finance subsidiary of Orascom Telecom, and are backed by a senior guarantee of Orascom Telecom, and are pari passu with Orascom Telecom’s US$2.5 billion senior secured bank facility. The issuer will then on-lend the proceeds to Orascom Telecom. The proceeds of the bond issue will be used by Orascom Telecom for general corporate purposes which may include investments in new and existing operations and purchases of Orascom Telecom GDRs. Bloomberg provides information on the Notes under the ticker ORAT EY.

      Aldo Mareuse, Group Chief Financial Officer of Orascom Telecom, commented: “We are very pleased with the deal both as a benchmark bond for us and as a means of diversification of our sources of finance.       Orascom Telecom was rated Ba3 and B+ and the Notes were rated B2 and B- by Moody’s and Standard and Poor’s, respectively.       Iraq's telecom market joins the regional pioneers as it awaits full effective liberalization in 2007

      The Iraqi communications market enters a whole new competitive era in 2007, with the expected launch of multiple wireless fixed service providers. The country also has competition between three national cellular operators and two regional ones

      On September 6, 2006, the Iraqi Communications & Media Commission (CMC) announced the successful conclusion of its fixed licenses tender. Hitherto, the state-owned Iraqi Telecommunications and Posts Company (ITPC) was the sole provider of telephone and postal services in Iraq. The CMC awarded licenses for the provision of local telecommunications services through the deployment of wireless local loop (WLL) technologies. The new operators are expected to launch their services during 2007.

      On the cellular front, there are currently three national operators and two provincial operators (in the Kurdistan region). The CMC tender for long-term licenses, to provide mobile telecommunications services in Iraq, has experienced delays. The delays came mainly as a result of the deteriorating political and security situation in the country, which precluded the government from tendering the permanent cellular licenses in the country.

      Refinancing of US$ 1.2 Billion Vendor Note

      In March 2006, OTH announced that it extinguished a US$ 1.2 billion vendor note issued by Hutchison Whampoa Limited in connection with OTH’s acquisition of a 19.3% stake in Hutchison Telecom International Limited. The note was paid by drawing on a US$ 2 billion senior secured facility.



      Treasury Shares

      In March 2006, OTH announced that it will start buying treasury shares with the potential of reaching two million shares. On April 2006, OTH completed the purchase of the two million Treasury Shares.



      Dividend Payment

      In June 2006, OTH announced a dividend payment of LE 3.75 per share.



      Orascom Telecom Algeria Secures Additional Financing

      In June 2006, OTH announced that Orascom Telecom Algeria (“OTA”) secured US$ 307 million of additional long term financing on May 30th, 2006. The facilities have a five year maturity. They comprise an Algerian Dinar (“DZD”) denominated tranche for the equivalent of US$ 103 million; Coface and Hermes-Euler, the French and German export credit agencies, guarantee two additional US$ denominated tranches for US$ 137 million and US$ 67 million respectively. The proceeds will be used to finance additional investments driven by OTA’s continuing expansion, and to partially prepay OTA’s existing indebtedness denominated in Euro in the first half of 2007. The refinancing of part of OTA’s existing debt by DZD and US$ denominated facilities will notably reduce OTA’s exposure to foreign exchange risk, as the Algerian Dinar is relatively more stable against the US$ than against the Euro.



      Orascom Telecom Considering Increase in Public Stake in Mobinil

      In June 2006, OTH announced its interest in buying up to 3.5% of the shares of the Egyptian Company for Mobile Services ("ECMS"). The possible purchase of the ECMS shares will be dependant on prevailing market conditions.



      Orascom Telecom Acquires Minority Stake in its Algerian GSM Operation

      In October and November 2006, OTH signed an agreement to purchase a 7.91% and 1.21% respectively in its Algerian GSM Operation, Orascom Telecom Algeria (“OTA”), OTH directly and indirectly owns 96.81% of OTA.



      Orascom Telecom’s Pakistani Mobile Operator Completes US$ 250 million Bond Offering

      In November 2006, OTH announced that its GSM mobile services operation in Pakistan (“Mobilink”), has successfully priced and placed US$250 million of Senior Notes due 2013 (the “Notes”). Mobilink was rated B1 and B+ and the Notes were rated B3 and B+ by Moody’s and Standard & Poor’s respectively. Mobilink’s credit rating is one notch better than Moody’s rating of the Pakistani sovereign (B2) and at the same level as Standard & Poor’s rating of the Pakistani sovereign (B+). The offering is a benchmark transaction for Mobilink and for





      Pakistan. It is the first ever international Rule 144A/Regulation S high yield bond offering by a Pakistani corporate issuer and is also the first international corporate bond issuance by a Pakistani corporate issuer in 12 years. The Notes, which mature on November 13, 2013 and bear interest at a rate of 8.625% per annum, will be callable beginning in November 2010 and include typical high yield covenants. The proceeds of the issue will be used to fund ongoing capital expenditure for Mobilink’s network expansion and to repay a US$100 million bridge facility drawn during the third quarter



      The Sawiris Family increases its stake in Weather to 97%

      In December 2006, OTH has been notified by Mr. Naguib Sawiris that Weather Investments II S.a.r.l. (“Weather II”), fully owned by the Sawiris Family and controlled by Mr. Naguib Sawiris, has increased its stake in Weather Investments S.P.A. (“Weather SPA”) to 97%. The deal entails Enel selling its entire 26.1% stake. Weather SPA owns and controls 100% of Wind Telecomunicazioni S.P.A. (“Wind”) in Italy, 100% of TIM Hellas in Greece, and 50% plus 1 share of OTH.



      Orascom Telecom Subscriber Base Exceeds 50 Million

      In December 2006, OTH announced its subscriber base exceeded the 50 million benchmark.



      Orascom Telecom Potential Buy Back of GDRs

      In January 2007, OTH announced that it will continue to evaluate a number of investment opportunities, including acquisitions of new licenses and established operators, as well as repurchases of minority stakes in existing Orascom Telecom operations. In addition, OTH continues to evaluate opportunistic repurchases of its GDRs in light of favorable relative market valuations. In order to provide the flexibility to repurchase GDRs in the future as suitable conditions prevail, Orascom Telecom announced a potential on-market GDR repurchase plan of up to the GDR equivalent of 5% of the outstanding shares (approximately 11 million shares) over the next 12 months.



      Orascom Telecom’s Iraqi Mobile Operation License Extension

      In January 2007, OTH announced that Iraqna has been granted a further three month extension to its current interim license which will end in March 31, 2007. The license in Iraq has been extended several times since it expired back in December 2005.



      Orascom Telecom Holding Completes US$750 million Bond Offering

      In February 2007, OTH announced that it has successfully priced and placed US$750 million of Senior Notes due 2014.The transaction was increased from US$500 million due to favorable pricing and very strong investor demand.       Treasury Shares Update


      Cairo, April 2nd, 2007: Orascom Telecom Holding S.A.E. (“OTH”) announced on April 16th, 2006, that it has completed the purchase of 1,815,000 Global Depositary Receipts (GDRs) on the London Stock Exchange (LSE), and 185,000 local shares on the Cairo & Alexandria Stock Exchange (CASE), the average price of that purchase was US$ 55.3. During the last Board meeting, OTH Board recommended the cancellation of those shares an agenda item which will be voted on in the next Extraordinary General Assembly Meeting on April 18th, 2007.

      On January 22nd, 2007, OTH announced a potential repurchase plan of up to 5% of the outstanding shares (approximately 11 million shares) over the next 12 months. OTH completed the purchase of 2,652,196 GDRs on the LSE and 254,707 local shares on CASE. In total, OTH has purchased 2,906,903 both local shares and GDRs, at an average price of US$ 71.85. OTH will continue to evaluate opportunistic repurchase of its shares in light of favorable relative market valuations.       Stock Split Announcement Date On CASE


      Cairo, April 10th, 2007: Orascom Telecom Holding S.A.E. (“OTH”) today announced the effective date of the OTH stock split.

      The five-for-one split of OTH’s common stock (traded on the Cairo & Alexandria Stock Exchange (“CASE”)) decided by the Extraordinary General Assembly of OTH held on January 25th, 2007 will be effected on April 12th, 2007. This split will not apply on the Global Depositary Receipts (“GDRs”) traded on the London Stock Exchange. After the split, the nominal value of the local shares listed on CASE would become LE 1 instead of LE 5.

      Prior to the split, the ratio between OTH’s common stock and the GDRs was one-to-one, following the split it would become five-to-one.

      Orascom shares upgraded on acquisition news


      Dubai: Analysts upgraded Egypt's Orascom Telecom Holdings to "strong buy" after predicting the regional telecom's share price will rise over 30 per cent from $69 to $89.40.:eek:

      Cairo-based HC Securities & Investment said Orascom increased its subscriber base by 70.4 per cent in 2006 and that the operator could be considering additional purchases in the Middle East and South America - while warning that growth plans could put pressure on margins.

      "Possible targets are acquiring Brazil Telecom (a subsidiary of Telecom Italia) and the acquisition of a licence in Lebanon following the political stability there," said Walaa Hazem, telecom analyst at HC S&I.

      Orascom, the eighth larg-est telecom provider in the world according to number of subscribers, has mobile operations in Algeria, Pakistan, Egypt, Iraq, Tunisia and Bangladesh serving a total population of 443 million with a relatively low penetration rate of 26.6 per cent. Orascom is traded in the Egyptian market and on the London Stock Exchange.

      The Cairo brokerage's latest report in March said that Orascom's attractiveness lay in the growth opportunities existing in its current markets in addition to expansion opportunities in emerging markets.

      "Orascom Telecom's strategy is to target acquisitions in emerging markets with high populations and relatively low penetration rates," Hazem said. The analyst said the telecom experienced double digit sales growth over the last four years and this should continue for at least two more years.

      The company's subscriber base grew from 30.3 million in 2005 to 51.5 million in 2006, leading to a 36.4 per cent growth in operating revenue from $3.23 billion in 2005 to $4.4 billion last year. Going forward, HC S&I forecast Orascom revenues to grow to $6.88 billion in 2009.

      Planned growth could lower future profits

      Orascom's total assets increased by 202 per cent in the last three years, from $2.87 billion in 2004 to $8.67 billion in 2006.

      However, the telecom provider's growth plans could lower profit margins in the future, the report said. In addition, it said the company has a weak debt to equity ratio, and political instability in the countries it serves is a risk. Also, its operations are concentrated in poor countries, where its volume of services is dependent on the economic conditions of the population.

      Orascom Telecom Acquires Remaining Minority Stake in Pakistani GSM Operation

      Cairo, June 24th, 2007: Orascom Telecom Holding S.A.E. (“OTH”) announced today that it has purchased a 11.3% indirect stake in its Pakistani GSM operation, Pakistan Telecommunications Company Limited (“Mobilink”), for cash consideration of US$ 290 million. As a result, OTH indirectly owns 100% of the share capital of Mobilink through direct stakes held by wholly owned subsidiaries of OTH.

      Orascom Telecom will fund the acquisition with proceeds from the US$ 750 million Senior Notes issuance closed in February. Following the transaction, OTH will receive 100% of the after tax proceeds from management fees and dividends paid by PMCL.

      Mobilink is the leading telecommunications operator in Pakistan in terms of subscribers, revenue, and network coverage. Mobilink had 24.6 million subscribers at March 31, 2007. The nearest mobile services competitor had less than half that number. Mobilink’s contribution to OTH’s consolidated revenues and consolidated EBITDA was 23.1% and 20.8% respectively for the year ended December 31, 2006.

      Mobilink’s has a leadership position not only in terms of market share but also in terms of network reach. The company’s network covers over 55% of the population of Pakistan.       ICC Arbitration Award in Favor of Orascom Telecom for Chad Operation Claims


      Cairo, June 24th, 2007: Orascom Telecom Holding SAE (“OTH”) announced today that an International Chamber of Commerce (ICC) panel recently issued a final decision in its favor, with financial compensation, in the arbitration action brought by OTH against Sotel Tchad, the Chadian fixed telecommunication line operator, and the Republic of Chad.

      The dispute arose from a decision by the Chadian Ministry of Telecommunications to invalidate the transfer of 51% of the shares of TchadMobile to OTH despite the fact that a valid agreement was entered into in late 2002 between OTH and Sotel Tchad. As a result, OTH suspended its operation of TchadMobile in July 2004.

      After its repeated efforts to resolve the matter amicably with representatives of Sotel Tchad and the Government, and as a last resort for the enforcement of its rights, OTH proceeded with the ICC arbitration.

      Orascom Telecom Receives US$ 793 Million Dividends from Hutchison Telecom


      Cairo, July 2nd, 2007: Orascom Telecom Holding S.A.E. (“OTH” or “Orascom Telecom”) has announced today the receipt of US$ 793 million in cash as dividends from Hutchison Telecommunications International Limited (“HTIL”).

      The special cash dividend was distributed from the proceeds of HTIL’s divestment of CGP Investment (Holdings) Limited, a company that held all its interests in its Indian subsidiary, Hutch Essar, which was completed on May 8th, 2007. HTIL has announced that it retains approximately US$4.5 billion in proceeds from the divestment.

      On December 21, 2005, OTH acquired a 19.3% interest in HTIL from Hutchison Whampoa Limited (“HWL”), for a total purchase price of US$1.3 billion or the equivalent of HK$11 per HTIL share. The closing share price of HTIL on June 29th 2007, after the disbursements of HK$6.75 per share in dividends, was HK$ 10.08, valuing OTH’s stake at US$1.184 billion which is equivalent to a 33.5% net return (after cost of debt) on the investment.

      Orascom Telecom reports its investment in HTIL, in its consolidated financials, through the equity method, and will report 19.26% of HTIL’s reported net profit in June 30, 2007.

      Orascom Telecom will continue its disciplined approach in the use of its proceeds to evaluate investment opportunities including acquisitions of new licenses and established operators, as well as repurchases of minority stakes in existing Orascom Telecom operations. In addition, Orascom Telecom will continue to evaluate opportunistic repurchases of its GDRs in light of favorable relative market valuations.

(“OTH”) announced today that it has submitted an application to the Egyptian Capital Market Authority (“CMA”) to bid for all the issued share capital of Raya Holding Technology and Telecommunications, an Egyptian joint stock company, traded on the Cairo & Alexandria Stock Exchange under the symbol "RAYA.CA" with a market capitalization of EGP 652 million (US$ 114 million). OTH’s bid amounts to approximately EGP 684 million; which equates to EGP 12 per share. Raya has three main lines of business: (i) retail and distribution for mobile operators, (ii) Information Technology and (iii) Call Centers. The CMA has announced yesterday the filing of the application and is expected to respond in two working days (i.e. end of trading day: July 19th). Further disclosures shall be made in due course.

      Naguib Sawiris, Chairman and CEO of OTH commented: “This acquisition will strengthen our retail and distribution business in two of our key markets (Egypt and Algeria). We also expect to achieve better economies of scale with our main handset suppliers.”

      OTH Completes Share Buyback & Cancels Treasury Shares


      Cairo, August 1st, 2007: Orascom Telecom Holding S.A.E. (“OTH”) announced today that it has cancelled 10 million shares (equivalent to 2 million GDRs). In March 2006, OTH announced that it will purchase 2 million Treasury Shares, on April 18th, 2007 the cancellation was voted upon in the Extraordinary General Assembly Meeting and during the last three months, the cancellation procedures required under Egyptian law were carried out. After the cancellation, OTH’s issued share capital will consist of 1,090,000,000 shares (equivalent to 218 million GDRs).

      On January 22nd, 2007, OTH announced a potential repurchase plan of up to 5% of the outstanding shares over a 12 month period. OTH completed this announced buyback by purchasing 10,227,764 GDRs on the LSE and 3,861,180 local shares on CASE. In total, OTH has purchased on both the Cairo & London stock exchanges 11,000,000 in equivalent GDRs OTH will continue to evaluate opportunistic repurchase of its shares in light of favourable relative market valuations.

      Cairo, August 19th, 2007: Orascom Telecom Holding S.A.E. (“OTH”) announced that it has dropped out of the auction process for Iraq’s Mobile license, the license price reached US$1.25 billion in addition to a revenue sharing agreement of 18%. At this price OTH considered that this opportunity would not meet its targeted equity rate of return in Iraq. OTH is currently evaluating alternatives to monetize the assets of Iraqna including sale or joint venture.

      Korek in talks to buy Orascom's Iraq assets

      Dubai: Kurdish operator Korek Telecom said on Sunday it was in talks to buy the Iraqi assets of Egypt's Orascom Telecom Holding and planned to invest $1 billion to expand its network across the war-torn country.

      Korek paid $1.25 billion for one of three Iraqi mobile licences sold earlier this month at an auction in Jordan, replacing those awarded after the US-led invasion that toppled Saddam Hussain's regime in 2003.

      Orascom, which set up a network under a licence bought in 2003, pulled out of the auction in Jordan at the eleventh hour and said it could consider selling its operation. Orascom's stock tumbled on the news and hit an eight-week low on August 20.

      "We are in negotiations with Orascom," Korek's deputy chief executive Hameed Akrawi told Reuters in a telephone interview from Iraq.

      "We are interested in buying the assets and the customer base, but this will depend on the price," he said.

      Credit Suisse estimated in a note last week that Orascom's Iraq network, operated under the Iraqna brand, could be worth as much as $1 billion. Iraqna had around 3 million subscribers, according to its website.

      Subscriber base

      The country of 26 million had around 8 million mobile phone users at the end of 2006, according to Iraq's telecom's regulator, and most people rely on cellphone because decades of war and sanctions have destroyed much of the fixed-line network.

      Iraq had virtually no mobile phones before the invasion.

      The interim administration set up by US-led forces also sold licences in 2003 to Kuwait's Mobile Telecommunications (MTC) and Asiacell, an affiliate of Kuwait's National Mobile Telecommunications.

      MTC and Asiacell, now an affiliate of Qatar Telecommunications, won the other 15-year licences, leaving Korek as the only winner without a national network.

      Korek, which runs a network in Iraq's Kurdish northern region, is taking over Orascom's assets until the end of the year, Akrawi said.

      Its rivals would be allowed to bid for Iraqna if a sale could not be agreed by then. Asiacell would consider a bid for Iraqna, a shareholder of the company said last week.

      Korek plans to add 4.8 million customers to its network in the next five years, Akrawi said.

      The operator has 1.2 million customers, based mainly in the Kurdish region.

      Cairo, September 3rd, 2007: Orascom Telecom Holding S.A.E. ("OTH" or “Orascom Telecom”) announced today that it has entered into a binding agreement to form a joint venture ("JV") with Korek Telecom; the incumbent Kurdish operator which was granted one of the three long term licenses in Iraq.

      Under the agreement, OTH and Korek shall contribute the assets of Iraqna and Korek respectively into the JV where OTH shall hold an equity interest of 70% and Korek shall hold the remaining 30%. Moreover, under the agreement, OTH shall not be obliged to go below 51% of equity at any point in time. Whereas, Korek Telecom will have a call option on 18% of OTH's equity interest to be executed on or before November 2nd, 2007.

      For the purpose of the valuation of OTH's equity interest in the JV, the combined entity was valued at US$ 2.2 billion. The finalization of the transactions contemplated under the JV Agreement will be subject to the approval of the Communications and Media Commission of Iraq and the conclusion of a shareholders agreement.

      OTH announced earlier that it has dropped out of the auction process for Iraq's mobile license. At US$ 1.25 billion; OTH considered that this opportunity would not meet its targeted equity rate of return in Iraq, and announced that it will be evaluating offers to join one of the license parties, the combined equity return of this venture would be considerably higher than the standalone model.

      The combined assets shall have immediate access to the Northern region of Iraq; a region which has not been explored fully by other mobile operators due to the lack of licenses in Kurdistan. The combined assets shall have 4 million subscribers; 2.8 million IraQna subscribers and 1.2 million Korek Telecom’s subscribers. As a result, the combined assets will have a market share of over 40% and therefore will be expected to be the market leader.

      There will be strong synergies derived out of the combination of assets; namely CAPEX reduction through OTH’s frame agreements, reduction on security overhead and recruitment of needed resources for the operation while maintaining its existing presence in the central and Southern regions of Iraq.

Der größere Anteil des Gewinns (M$713) stammte aber aus einer Sonderdividendenzahlung der Hutchinson Beteiligung. Dann wäre der Q2 Profit deutlich unter dem Q1 gelegen.

      Banglalink to Compensate Bangladesh Telecommunication Regulatory Commission

      Cairo, October 11th, 2007: Orascom Telecom Holding S.A.E., announced today that its subsidiary in Bangladesh, operating under the brand name “Banglalink”, has agreed to make a payment of a fixed amount to the Bangladesh Telecommunication Regulatory Commission (“BTRC”) as part of its corporate responsibility to compensate the government for any revenue loss due to the misuse of its services by some of its subscribers.

      BTRC conducted investigations of almost all telecom operators. After a thorough investigation, it was found that some of Banglalink’s subscribers misused its services and indulged in VoIP business, without Banglalink’s knowledge. Banglalink has agreed to make a one time fixed payment of Tk.1,250 million equivalent to US$ 17.9 million as a compensation to the national exchequer.

      Banglalink has been conducting its business by following guidelines from the BTRC, and will continue to do so, upholding its continuing efforts to maintain the highest professional and ethical standards.

      Orascom says talks underway to sell Algerian unit

      CAIRO (Reuters) - Orascom Telecom, the fourth-largest Arab mobile operator by market value, said negotiations about a possible sale of its Algerian fixed-line joint venture were underway.

      But Orascom Chairman Nagiub Sawiris told reporters late on Monday that a deal to sell the Consortium Algerien de Telecommunication (Lacom), a joint venture with Telecom Egypt may not go through because of the Algerian regulator's preferential attitude towards the country's state-owned operator, Algerie Telecom.

      "There is a company that is negotiating to buy the firm from us," Sawiris told reporters late on Monday. "But I am not sure this will succeed."

      Sawiris did not name the potential buyer, who he said could face problems with the north African country's regulator.

      "They supported the state-owned firm to the extent that they killed us," he said. "Once we started, it (Algerie Telecom) slashed prices to below cost. We complained that this would bring monopoly back, to no avail."

      Telecom Egypt blamed a 4 percent fall in first-half profits this year on problems with Lacom, which it said it was trying to exit. Sawiris said Telecom Egypt rather than Orascom would negotiate with the potential buyer.

      Lacom, 50 percent owned by each of the Egyptian companies, acquired a licence from the Algerian government in 2005 to be the country's first private fixed-line providor, according to Orascom's Web site.

      Orascom, which has operations in countries including Iraq, Egypt, and Pakistan, also has a mobile phone subsidiary in Algeria, Orascom Telecom Algeria.

      Orascom Telecom Completes the Sale of a further 2% Stake in HTIL

      Cairo, November 13th, 2007: Orascom Telecom Holding S.A.E. (“OTH”) has sold an additional 94,193,000 Hutchison Telecommunications International Ltd (“HTIL”) shares, representing approximately 2% of HTIL’s outstanding shares, at a price of HK$10.70 per share. Total proceeds from the sale are HK$1.0 billion (US$129.4 million).

      Together with the previous transaction announced on October 26th, OTH’s ownership in HTIL has been reduced to approximately 14.2%, which is in line with its strategy to monetize part of its stake in HTIL while retaining its governance rights and board seats (i.e. OTH to maintain a minimum 12% stake into HTIL).

      Orascom Telecom Announces the ICC’s Decision on Tunisiana

      Cairo, November 26th, 2007: Orascom Telecom Holding S.A.E. (“OTH”) announced today that the International Court of Arbitration of the International Chamber of Commerce (the “ICC”) has issued its decision in the dispute between OTH and National Mobile Telecommunications Company K.S.C. ("Wataniya") arising out of the shareholders agreement, which governs their relationship in Orascom Telecom Tunisie S.A. ("Tunisiana"), the Tunisian telecoms operator.

      The arbitration Tribunal has declared that Wataniya was in breach of a material obligation under the Shareholders Agreement in failing to respect OTH's right to propose a new Chairman of Tunisiana in October 2005. The Tribunal found that the appointment of Mr. Houidi as Chairman of Tunisiana was null and void, and that OTH was correct to assert its right to replace Mr Houidi back in 2005. The Tribunal did not order Wataniya to transfer its shares in Tunisiana as a result of this breach.

      Orascom Telecom Completes the Sale of the Remaining 14.2% Stake in HTIL

      Cairo, December 5th, 2007: Orascom Telecom Holding S.A.E. (“OTH”) has reached an agreement to sell its remaining shareholding in Hutchison Telecommunications International Ltd (“HTIL”), representing approximately 14.2% of HTIL’s outstanding share capital, at a price of HK$11 per share. The shares are being sold to Hutchison Whampoa Limited (“HWL”) and Yuda Limited (“Yuda”), an entity owned and controlled by Mr. Li Ka-shing. HWL will acquire 441 million shares and Yuda will acquire 239 million shares, representing approximately 9.2% and 5% of HTIL’s share capital, respectively. Total proceeds from the sale are HK$ 7.5 bn (US$ 960 million).

      On December 21st, 2005, OTH acquired a 19.3% interest in HTIL from HWL for a total purchase price of US$1.3 billion or the equivalent of HK$11 per HTIL share. On July 2nd, 2007, OTH has received a special cash dividend of US$ 793 million which was distributed from the proceeds of HTIL’s divestment of its Indian subsidiary, Hutch Essar. On October 26th and November 13th OTH announced the sale of a 5% stake in HTIL at HK$10.70 per share for US$ 327 million. Overall OTH generated approximately US$600 million of cash profit (after interest charges) in a transaction which was 100% debt financed.

      Upon completion of the transaction with HWL and Yuda, OTH will have completed the sale of all HTIL shares it had purchased.

      Naguib Sawiris Chairman & CEO of OTH said “This sale proves Orascom Telecom’s ability to achieve high returns for its shareholders. OTH’s initial acquisition of HTIL shares was to gain exposure to the Indian market, however, after the sale of the Indian asset, the investment in HTIL became of less strategic value to OTH. With the proceeds of the sale, OTH will evaluate investment opportunities including acquisitions of new licenses and established operators of substantial size, as well as evaluating opportunistic repurchases of its GDRs in light of favorable relative market valuations.”

      Zain's $1.2 bln deal lets Orascom Telecom quit Iraq

      Orascom Telecom ORTE.CA has agreed to sell its Iraqi mobile phone unit for $1.2 billion to Kuwait's Mobile Telecommunications Co (Zain), allowing the Egyptian operator to quit the strife-torn country.

      Orascom, the fourth largest Arab telecom firm by market value, was forced to tie up with Iraqi Kurdish operator Korek Telecom after failing this year to win a license to continue operations started after the U.S.-led invasion in 2003.

      That partnership had run into trouble, Naguib Sawiris, Orascom's billionaire chairman told Dubai-based Al Arabiya television on Saturday.

      "Our alliance with Korek did not work and the only alternative we had was to sell," Sawiris said in an interview.

      Asked why, he said: "For reasons that are not known to us."

      Zain, which runs an Iraq network through its MTC-Atheer unit, will have a total of 7 million customers in the country, the Kuwaiti firm said in a statement. Zain will own all of Orascom's subsidiary Iraqna and combine the two units, it said.

      "Korek is not part of this deal," Zain spokesman Ibrahim Adel said, when asked whether his company intended to continue Orascom's alliance with the Kurdish operator.

      Korek could not be reached for comment.

      THREE LICENCES

      Zain, Kuwaiti rival National Mobile Telecommunications Co (NMTC.KW: Quote, Profile, Research), and Orascom set up mobile phone networks in Iraq under licences sold by the U.S.-led interim administration that ran the country after Saddam Hussein's ouster in 2003.

      Only MTC-Atheer retained the right to operate its network at an August auction of licenses conducted by the Iraqi government.

      National Mobile did not bid and its license went to a group including its new parent Qatar Telecommunications Co QTEL.QA.

      Orascom pulled out of the bidding and Korek paid $1.25 billion for the third of the 15-year licenses on offer.

      Orascom and Korek then agreed to set up a $2.2 billion joint venture, allowing the Kurdish operator use of Orascom's infrastructure.

      Orascom would hold 70 percent of the venture and Korek 30 percent, Orascom said on Sept 3. Korek had an option to buy 18 percent of Orascom's stake in the venture by November 2, Orascom said. Neither company has said whether that option was exercised.
