UPDATE 2-QXL Ricardo shares jump after approach
Wed Nov 7, 2007 1:57 PM GMT
By John Bowker
LONDON, Nov 7 (Reuters) - British-based Internet auction company QXL Ricardo Plc (QXL.L: Quote, Profile , Research) said it had received a preliminary approach which could lead to an offer, boosting its shares more than 10 percent on Wednesday.
QXL shares were up 10 percent at 16.62 pounds at 1350 GMT, valuing the company at around 767 million pounds ($1.6 billion), having earlier touched a seven-year high of 17.85 pounds.
The company declined to comment on the identity of the suitor, but analysts and press reports have previously said U.S. giant eBay Inc (EBAY.O: Quote, Profile , Research) could be mulling an approach.
"You've got to fancy eBay," a trader said. "They've waited for QXL to sort out its legal wranglings in Poland and there are not too many other problems."
Further analyst and retail investor speculation focused on Chinese Internet company Alibaba.com (1688.HK: Quote, Profile , Research), which tripled in value on its trading debut in Hong Kong on Tuesday.
"eBay has a long track record for making acquisitions, however there are other internet companies who we believe could also be interested such as Alibaba, MecardoLibre and even Google (GOOG.O: Quote, Profile , Research)," Numis analyst Jose Marco said in a note.

1. Alibaba und ebay dürften ein natürliches Interesse an QXL haben;

QXL will einfach nach oben.....

I have been told by a trader friend that it is in fact EBAY that has approached QXL.
I know there has been some speculation over who may have been appraoching QXL, but lets just now wait for the confirmation.
I think we are in for the ride of our life.
Good luck everyone and dont sell out too low!!

eBay fingered for QXL bidBid received for online auctioneer
By John Oates → More by this author
Published Thursday 8th November 2007 11:10 GMT
Online auctioneer QXL confirmed yesterday that it has received an offer for its business, but refused to name the suitor.
The statement said: "The company notes the recent movement in the company's share price and confirms that it has received a preliminary approach which may or may not lead to an offer being made for the company."
Several analysts named eBay as the obvious choice. QXL's best performing markets - like Poland and eastern Europe - are areas where eBay is not strongest. The two businesses are broadly similar and would make an obvious match.
QXL was launched by ex-journalist Tim Jackson in 1997 but struggled in the aftermath of the dot-com crash in 2001. It subsequently refocused its business on eastern Europe, Russia, Denmark, and Norway, and has seen its share price recover. Since November 2006 shares have more than tripled, although today they have fallen back slightly on yesterday's gains.
Yesterday also saw eBay post its results for the third quarter ended 30 September 2007. Revenues were $1.89bn, year-on-year growth of 30 per cent. eBay made a loss for the three months of $935.6m - mostly blamed on writing off $1.39bn in costs relating to Skype.

Hj keine neuen Investments anfallen.

WARSAW (Thomson Financial) - Online auction and trading platform eBay is buying London-listed peer QXL Ricardo, with an eye for lucrative operations in former communist Eastern Europe, Polish daily Polska reported today.
The paper said the US-based company had begun buying QXL shares in London. It gave no indication of the value of the investment.
QXL Ricardo owns Poland's largest auction site Allegro as well as similar operations in Hungary, Ukraine and Russia, as well as in Norway, Denmark and Switzerland.
The companies were not immediately available for comment. patrick.graham@thomson.com *48 22 447 2430 pjg/lam

Kauft eBay QXL Ricardo?

QXL non-exec cashes in
Thu 08 Nov 2007
LONDON (SHARECAST) - Internet auction group and bid target QXL Ricardo has seen its shares surge more than 70% in little over a month, prompting non-executive director Dan Barnea to trouser profits.
Barnea, who joined the QXL board in May 2005, sold 45,000 shares at between £13.47 and £16.55, which would have bagged him well over £600,000.
The deal leaves the senior vice president of research and development at US enterprise management software provider BMC Software, with 135,000 QXL shares, or 0.3% of the company.
On Wednesday, the company confirmed it has received a preliminary bid approach, sending its shares to 1,740p, their highest since the end of the tech boom in 2000.
Last month, the firm reported second quarter profit before tax rose 165% to £3.68m, driven by the company’s expansion into eastern Europe.
Revenue received a boost from the consolidation of QXL Poland and its related Eastern European businesses totalled £15.47m in the quarter, up from £9.49m, with QXL Poland included, or £6.90m without it.
The company is proposing to change its name to Tradus.

Stop Loss abgefischt???
Going, going...
QXL Ricardo, the Eastern Europe-focused online auctioneer, jumped 230p to a new high of £17.40 after receiving a preliminary takeover proposal from an unnamed suitor. Analysts suggested that eBay, the US internet auction giant, could be behind the approach.
Jose Marco of Numis believes that, given QXL's exposure to lucrative emerging markets in Eastern Europe, the company could be worth as much as £21.62 per share.
QXL was a darling of the dot.com era before losing 99pc of its value in the ensuing crash. Its prospects have since been turned around by concentrating on Eastern Europe.
Analysts said that QXL has managed to trump eBay in all the markets it operates in, including Poland, the Czech Republic and Switzerland. The online auction industry is driven by momentum and as QXL was first into many of the developing Eastern European markets, the only way that eBay - or any other competitor - can build its business in these areas is by buying QXL.
Other potential trade buyers include Alibaba, the Chinese online auctioneer whose shares tripled in value when it floated in Hong Kong this week, and Latin American's MercadoLibre.

was wäre denn wenn yahoo einspringt?

QXL set for bid approach
By Maija Palmer, Technology Correspondent
QXL Ricardo (LSE: QXL.L - news) , the former dotcom star that has recovered some of its lustre recently, has received a possible bid approach.
Shares (Advertisement)
in the online auction company, which have nearly tripled in value during the past year, rose 175p to £16.85 after the news, valuing the company at £778m.
QXL did not disclose the identity of the bidder but analysts believe it could be Ebay (NASDAQ: EBAY - news) , the US-based online auction company, or Alibaba.com, the Chinese internet company that floated in Hong Kong this week, tripling its market value.
Neither Ebay nor Alibaba would comment on a possible bid, although Alibaba said "growth through mergers and acquisitions is an important part of our global expansion plans".
QXL, which is planning to change its name to Tradus, runs auction sites in Denmark, Norway, Switzerland and Poland.
It has had success in regions where it has managed to establish a presence ahead of its larger rival Ebay, particularly Poland, which accounts for three-quarters of revenues.
The company has recently expanded further into eastern Europe, including into Hungary, Czech Republic, Bulgaria, Romania and the Ukraine.
It also has a stake of about 30 per cent in Molotok, the leading Russian online auction site.
Ebay has been operating in Poland for the past two years but QXL has so far managed to keep the lead.
Analysts at Citigroup (NYSE: C - news) said QXL's "exposure to emerging markets with rapid online consumer growth - such as Poland, Czech Republic, Russia, Ukraine, Hungary and Romania - is attractive to trade buyers".
Last year Ebay bought Tradera, the leading Swedish auction site for $48m. If a similar valuation is applied to QXL, a bid of £20 or more is possible, analysts said.
QXL was founded in 1997 by Tim Jackson, a former Financial Times journalist, and floated in 1999 with a £250m value.
At the height of the dotcom boom it was briefly valued at more than £2bn, but spent many years as a penny stock after the market crash.
In 2003, just as it began to clarify its strategy and rebuild its business, the company became mired in a bitter, three-year legal dispute over its Polish operations.
The dispute was settled last year, and since then QXL has returned to profit. Its latest figures, for the six months to the end of September, showed a 56 per cent increase in revenues to £30.6m and an almost four-fold increase in pre-tax profits to £6.8m.

QXL is living proof: If you got 'em, hold 'em
By Efrat Neuman
tags: eBay, Google, QXL, Yahoo
One of the most difficult things to decide in a stock investment is when to cash out profits - or losses. But it's safe to say that nine times out of ten, you would be making a good move by selling a stock after a gain of 500 percent in one year.
Or - could there be more gold in them thar hi-tech hills? Perhaps that 500 percent is a measly return for the potential of your beloved brainchild? Perhaps you'd be a fool to sell at that price?
The case of London-traded online auction company QXL Ricardo presents such such a conundrum. In early 2005, in a struggle over control of the firm, an Israeli group headed by Ron Izaki took a stake. At the time it was still a company worth a few tens of millions of dollars, and it had its share of lawsuits.
After TheMarker wrote about the firm, and because of its links with celebrities of the business and academic world such as Tel Aviv investor Shimon Weintraub, venture capitalist and hi-tech personality Zohar Gilon, Prof. Yair Tauman of the Hebrew University of Jerusalem's Economics Department, and the Richter family - Judith and Kobi of Medinol fame, other Israelis invested as well.
One year later, with the company worth six times more, investors wouldn't have been irrational to cash out. That's in theory. But in hindsight, holding off was worth it.
The Izaki Group has made a 2,000 percent profit on its investment so far. It is also represented on the QXL board of directors.
The big exit may be on the horizon. After its stock climbed 60 percent since early September and amid sharp spikes this week, QXL announced yesterday it had received an offer to be bought out. The question on everybody's lips is, by who.
Sector sources speculate that the offer for the company, which operates its online auctions in Europe, came from the group's biggest competitor, eBay. This seems quite reasonable because QXL has a dominant position in a number of countries in eastern Europe, where eBay is a second-string player. The other name that has been raised is the search engine website Alibaba.com, which was recently floated in Hong Kong. One analyst has mentioned a possible price of 20 pounds sterling per share (25 percent above the market price), reflecting a value of $2 billion for QXL.
As the news leaked out, QXL shares surged 10 percent yesterday, for a total gain of 170 percent since the beginning of the year. This raised the company's market value to $1.6 billion.
Tauman believes the price still doesn't reflect the company's true value. "If Alibaba.com is traded at prices reflecting a company worth $22 billion, and the Mercado Libre, our Latin American equivalent, is traded on a value of $2 billion, QXL's price now is very cheap," Tauman said.
"It's a company with an annual growth rate of 60 percent. The moment the company gains a central presence in any particular country, it's impossible to take it out," Tauman says.
He gives the example of the growing Polish market: "We have more than 90 percent of the market, and in Russia and Romania we have become central players. (Business in) the Czech Republic is growing very quickly as well. Once there were dot-com dreams; this time the share price really is cheap compared with the market," Tauman adds.
Tauman notes that he is not involved in the move, and doesn't know who made the offer. "It could be eBay, but I so no reason why it couldn't be Google or Yahoo. There are many possibilities. eBay is the main possibility, but not the only one."
The professor added that if he were asked, he would not recommend selling at the current price.
Meanwhile, back at the Izaki Group, some of the QXL shareholders opted to sell off some or part of their holdings in the auctions website last June. The ones who cashed out took home a total of $50 million, earning a tidy 1,400 percent on their investment.
Tauman and Gilon say they are still shareholders, and as far as they know, so is Izaki. The QXL shares were sold at 10.3 pounds each, and by yesterday, the stock had jumped to 16 pounds. The company reported in October that its first-half revenues were up 56 percent to 31 billion pounds, with net profit at 4.75 billion pounds compared with 1.3 billion pounds a year earlier.
QXL's results received a big push after the company added on the Polish and eastern European Web sites. Most of its revenues during the first half of this year came from eastern Europe, and a spokesman said the firm is particularly pleased with the quick developments in the Czech Republic and Hungary.
During this period, the company also completed the acquisition of 30 percent of a Russian Web site, and the launch of its Romanian and Bulgarian operations.
In addition to the Izaki Group, the firm's other large shareholder is Dutch fund Florissant NV, which owns 25 percent. Other shareholders include Novator One (14 percent), ING (7 percent) ABN Amro (4 percent) and many financial companies including even Bank Mizrahi Tefahot (0.17 percent). According to Bloomberg News, Mizrahi recently sold 73,000 shares at about NIS 2 million.

Auszug:
eBay Building Stake in QXL Ricardo
Following last week's speculation over a full takeover of QXL Ricardo, it has been reported by Polish daily Polska, that eBay has started buying a stake on the open-market. Polska cites traders involved in executing the purchase as the source of this claim. The article gave no indication of the value of the investment.
For eBay, an acquisition of QXL would not only represent the opportunity to further penetrate high-growth Eastern European markets, it would also prevent QXL from falling into the hands of a competitor trying to penetrate Europe (i.e. Alibaba). QXL Ricardo owns Poland's largest auction site Allegro and similar operations in Hungary, Ukraine and Russia, as well as in Norway, Denmark and Switzerland.
While the non-organic growth in GMV is important to the eBay Marketplaces franchise, the real winner (again) would be PayPal who would suddenly becomes the fully integrated preferred solution for all QXL Ricardo sites.

Is MercadoLibre the Next eBay?

Let me see how well I can read you. You're a fan of eBay (Nasdaq: EBAY), but after watching auction listings slip in recent quarters, you're concerned that the company's run as a growth stock is peaking. You thought you'd found a sizzling substitute in South Korea's Gmarket (Nasdaq: GMKT), but last week's disappointing report still has you smarting. 7% profit growth? You've got to be kidding me, Gmarket.
Baidu.com (Nasdaq: BIDU) has plans to launch an auction site in China next year. But Taobao is so entrenched in that market that even eBay bowed out humbled, its tail between its legs.
Where in the world is Carmen San Diegrowth? South America, my friend. MercadoLibre (Nasdaq: MELI) achieved the kind of marketplace mojo that eBay and Gmarket last saw years ago.
Third-quarter revenue soared 72% to $22.8 million. Earnings of $0.07 a share reversed a small loss a year earlier. Analysts were taking a siesta, expecting a profit of $0.06 a share on just $20.7 million in revenue.
Like eBay, MercadoLibre's growing more quickly on its payment-processing side than on its flagship auction business. But eBay is really MercadoLibre in slow motion there. During the quarter, MercadoLibre's marketplace revenue rose by 61%, as its MercadoPago arm surged 142%.
This doesn't mean that eBay isn't benefiting from MercadoLibre's growth. It's a partner, just as Yahoo! (Nasdaq: YHOO) has snapped up interests in Taobao and Gmarket. However, eBay still has to be a little jealous.
It's ultimately vindication for MercadoLibre's early believers. And you don't have to go too far back to get that reunion going. The company went public just three months ago at $18 a share. It wasn't necessarily a scorcher out of the gate, with the first trade coming through at $22. The stock has gone on to nearly double since then.
Sure, MercadoLibre isn't exactly cheap. It's fetching 216 times this year's profit target and 87 times next year's bottom-line projection. However, the disparity between the two numbers tells you all you need to know about the company's torrid growth. With earnings poised to soar by 147% next year, 87 times forward profitability isn't an outlandish sum for a company that's just starting to grow in its core Argentinean and Brazilian markets, even as it expands into neighboring countries.
A growth stock? The antidote to the auction-marketplace doldrums? It's not always easy to find on the map, but it's there in abundance at MercadoLibre.

Was soll der Scheiß???

http://www.sharesmagazine.co.uk/node/602
So in spite of QXL’s planned spending on sales, marketing and revamping some of its technology, it will surprise few that Cazenove recently upped its 2007/8 forecast. It is now expecting taxable profits of around £18.7 million, up from £15.5 million last year. More importantly, the broker believes that profits should then grow to £30.3 million next year, implying EPS going from 24p last year, to 28.7p this year and on to 46.2p next, which would be an impressive haul. Of course, investors must pay the price for such growth potential and the 2007/8 PE sits at 37.2, falling to just over 23 next year. That might seem pricey if QXL’s profitability were to plateau beyond that but it isn’t predicted to and Cazenove remains convined that the firm’s profits and earnings will continue to rise rapidly beyond the near-term. This confidence, coupled with the obvious growth potential inherent in QXL’s business, justifies a premium rating. Add in the pretty decent chance of it being targeted for takeover by eBay and it could well be that 12 months from now, we all look back and realise what a good buying opportunity this was.

QXL shares soar with eBay tipped as secret suitor
QXL Ricardo shares rose 10.6 per cent after the announcement, giving the online auctioneer a capitalisation of £771 million
Dearbail Jordan
EBay, the American online auction group, may be the mystery bidder behind a possible takeover of its smaller UK rival and dot-com survivor QXL Ricardo, which yesterday confirmed it had received a bid approach.
Shares in QXL Ricardo rose 10.6 per cent to £16.70 after the announcement, giving the online auctioneer a capitalisation of £771 million. That is still less than half its £1.7 billion value at the height of the dot-com boom in 2000, when its shares reached £37.
The FTSE 250-listed business said: “The company notes the recent movement in the company’s share price and confirms that it has received a preliminary approach which may or may not lead to an offer being made for the company.”
It is understood eBay, which generated full-year sales of $6 billion (£2.9 billion) and $1.1 billion in profits, would be interested in QXL Ricardo’s Eastern European business. Of particular interest would be its lucrative Polish division, which, until June last year, was the subject of a three-year legal dispute between management.

QXL agreed to pay the Polish division’s management £56 million in shares to buy back the group, which subsequently helped to lift the UK auctioneer’s profits for the year to March 31 by 222 per cent to £9.75 million and sales by 53 per cent to £45.8 million.
In Eastern Europe, QXL’s sales rose by 77 per cent to £32.7 million, and in Western Europe revenue increased by 15 per cent to £13 million.
Yesterday’s announcement of a bid approach is the second time in two years that QXL has been the subject of a possible deal. In 2005, Florissant, the Dutch venture capital group and a QXL shareholder, made a hostile bid for the company. Although the bid did not succeed, Florissant retained a stake in the business.
In June, Florissant and Izaki, a consortium of Israeli investors, sold down their stakes in QXL Ricardo, but Florissant still holds 16.2 per cent of the UK company and the consortium owns 14.47 per cent.
Adrian Kearsey, an analyst for Evolution Securities, said: “EBay is the obvious choice and buying QXL Ricardo would be a strategically important move.”
QXL Ricardo has been building its presence in Eastern Europe, from which it derives three quarters of its revenue, and recently entered into a joint venture to gain access to the Russian market.
It also has market-leading positions in other regions, such as Switzerland, ahead of eBay, which, according to Mr Kearsey, is the second most popular online auction site in the country.
EBay has proved to be willing to make bolt-on acquisitions in Europe to strengthen its market position. It has acquired Marktplaats, the leading classified site in the Netherlands.
QXL Ricardo, which is chaired by Simon Duffy, the former head of NTL, is one of a very few dot-com businesses to have survived the dot-com explosion in the late 1990s and 2000 when online businesses were bought, sold and valued at vast sums despite many having little asset value.
Lastminute.com, another survivor after the internet bubble burst, was sold to Sabre Holdings, which also owns Travelocity.com, for £577 million in May 2005.
EBay declined to comment.

Bist Du neu hier?

Sunday's tips round-up: QXL, Unilever, Johnson Service
LONDON (ShareCast) - QXL 's valuation is undoubtedly high. But Google and Microsoft (NASDAQ: MSFT - news) are paying astronomical prices for bolt-on acquisitions in their battle for digital dominance, and publicly traded companies have some way to go before they catch up. Until one of the new media giants blinks, prices should go on rising. An approach for QXL by eBay or its Chinese rival Alibaba looks plausible. Worth a look, says the Sunday Times.

Neuer Bereichschef will Wende oder Verkauf
(as)

Keine Nachfrage Angebotssystematik
