Ich möchte hier mal eine Diskussion über Spyglass anregen.
Die Entwicklung des Aktienkurses ist ja echt haarsträubend.
1. Was macht Spyglass: Software zur Ermöglichung eines Internetzuganges
für Set Top Boxes und Software die die Darstellung von Internetinhalten
auf mobilen Endgeräten ermöglicht.
2. Aussichten: Bis vor kurzem GLÄNZEND!!! Kursziel war von einem bekannten
US Broker (Zacks) auf über 120 $ gesetzt. Vereinbarungen mit Big Playern
wie Sony und Inktomi konnten abgeschlossen werden.
3. Schwächen: alter Net Pionier (entwickelte den Mosaic Browser und wurde dann
von Microsoft fallen gelassen, da die ihren Iexplorer benutzten --> Kurs stürzte
ins Bodenlose, nach Neuorientierung und intensiver Forschung rappelte sich der
Kurs von 7 $ auf in der Spitze über 90 $ hoch).
Das Problem war das Spyg nur bei der Lizensierung verdiente und sonst nicht.
Wenn die Leute dann über den INet Anschluß (bspw. vom Fernseher) einkauften, konnte
Spyglass nicht partizipieren. Außerdem hatte Spyglass dieses alte Image vom Looser.
4. Jetzt kommt Open TV ins Spiel. Zahlenmäßig größter Hersteller für Software von interaktiven
Set Top Boxen. Interaktives Fernsehen (ITV) ist der Trend der kommenden Jahre. Mit ITV können
mehr Leute als mit dem Internet erreicht werden! Für 2003 werden ca. 17 Mrd Umsatz erwartet.
Das könnte so aussehen: Sie sehen ein Fußballspiel und können sich die Statistiken der Vereine, die
Stärken und Schwächen der Fußballer abrufen, oder die Fußballshirts etc. online kaufen.
5. Open TV hatte aber ein Internet Problem. Ihre Software was nicht Internet fähig, daher der Spyglass
Kauf. Logisch, oder? Vereinbarung: 0,7236 Aktien von OPTV für eine SPYG. Kurs von Spyglass schoß bei uns
bis auf 102 Euro!
Jetzt kommt meine Frage an alle: Warum brach der Kurs bis auf 54 $ !!!! (Schlußkurs Nasdaq 3.4.00) ein?
Das ist für mich nicht nachvollziehbar.
Meine Vermutung ist, dass hier großer Player den Kurs manipulieren. Warum auch immer!
Also entweder liegt hier eine fette Chance drin oder ich hab einen Denkfehler.
Ich hoffe, dass jemand die Aktien gut genug kennt, um mal ein paar Gedanken zu ihr hier darzulegen.

A U.S. cable company could announce it will use OpenTV at the

Orleans next month, said OpenTV President and Chief Executive Jan
Steenkamp, who declined to name the company.
The shares of Mountain View, California-based OpenTV fell
36 5/16 to 82 1/16 on the Nasdaq Stock Market. They`ve fallen
51 percent in the past six trading days on investor concern about
the company`s planned $1.93 billion purchase of Spyglass Inc.,
which makes Internet software for cell phones.
OpenTV is talking with all of the top 7 U.S. cable-TV
operators about using the service, which lets regular TV sets
provide viewers with Internet service, traffic and weather
reports, and the ability to play along with broadcast game shows,
he said. The service reaches 6.1 million homes, all outside the
U.S., which has 70 million households with cable.
Any distribution agreement would boost sales for the company,
which lost $4 million in the fourth quarter on sales of
$8.4 million, and encourage other cable companies to use OpenTV.
The top seven U.S. cable companies are AT&T Corp., Time Warner
Inc., Comcast Corp., Charter Communications Inc., Cox
Communications Inc., Adelphia Communications Corp. and Cablevision

Ob in dieser Zeit SPYG besser läuft und das Angebot nachgebessert werden muß, wird sich dann auch erweisen. Sollte OpenTV bessere Umsätze und Earnings haben, läuft es umgekehrt, dann wäre ein Tausch nicht verkehrt.

jetzt werde ich Euch mal erzählen, wie das aussieht mit dem Deal zwischen Spyglass und OpenTV:
es gibt 0,7236 Aktien von OPTV für eine SPYG-Aktie, also ein festes Umtauschverhältnis. Nix mit Cash. Spyglass ist auf Gedeih und Verderb der Kursentwicklung von OpenTV ausgeliefert. Fällt OpenTV, fällt auch Spyglass und das wahrscheinlich noch stärker als OpenTV, weil die übernommene Company immer mit Abschlage getradet wird. Der wird sich aber, je näher der Abschluß des Deals rückt, immer weiter verringern.
Daß irgendwann mal eine Zahl von 122 $ pro Spyglass-Aktie in den Raum geworfen wurde, ist leider irreführend, genauso wie die Zahl von 2,5 Mrd. $, die diese Übernahme kosten solle. Das stimmte nur an dem Tag, an dem die Übernahme bekanntgegeben wurde. Da war OpenTV nämlich 169 $ wert, x 0,7236 macht das 122 $ pro Spyglass-Aktie und bei fast 16 Mio. ausstehenden Aktien von Spyglass eben diese 2,5 Mrd. $.
Viele dachten, sie bekämen das alles in Cash, aber IRRTUM: festes Bezugsverhältnis. OPTV fällt und Spyglass eben auch. Steigt OPTV, dann auch SPYG.
Schade, denn Spyglass war gerade auf dem Weg nach ganz oben. Ich werde jetzt keine Diskussion anstreben, wie sinnvoll dieser Merger war, das dauert zu lange, ich kann es Euch nicht verläßlich genug sagen und es sind die Meinungen zu widersprüchlich.
Was ich Euch aber sagen kann, ist Folgendes:
unter www.edgaronline.com kann sich jeder mal unter SPYG diedas letzte 6-k-filing ansehen. Darin sind die Details des Mergers bekanntgegeben. Knapp 50 Seiten lang das Ganze. Nur soviel: sollte Spyglass den Deal abbrechen oder sich nach anderen Aufkäufern umschauen, müssen sie 74 Mio. $ Strafe zahlen. Hier hilft also nur ein "weißer Ritter", der einen deutlichen höheren Kaufpreis für Spyglass bietet und zusätzlich diese 74 Mio. $ zahlt. Außerdem wird das Bezugsverhältnis wohl nicht angepaßt, das würde OPTV sowieso nur zusätzlich unter Druck setzen, weil viele der (meiner Meinung nach ungerechtfertigten) Meinung sind, OPTV habe für SPYG zuviel bezahlt und der Kurs weiter unter Druck geraten würde. Spyglass sitzt also in der Zwickmühle und wird sich wohl nicht von OPTV lösen können. Schön dumm eigentlich vom Management, aber die bei Spyglass waren ohnehin schon immer recht unfähig und verrucht (wer die Aktie länger kennt, weiß, was ich meine ...).
Langer Rede, kurzer Sinn: ich sehe die einzige Chance in deutlich verbesserten Unternehmensergebnissen Ende April. DIe dürften den Aktienkurs nach oben bringen. Und: weitere signifikante Deals müssen folgen und zwar schnell !
Das soll es dazu erstmal gewesen sein.

jetzt werde ich Euch mal erzählen, wie das aussieht mit dem Deal zwischen Spyglass und OpenTV:
es gibt 0,7236 Aktien von OPTV für eine SPYG-Aktie, also ein festes Umtauschverhältnis. Nix mit Cash. Spyglass ist auf Gedeih und Verderb der Kursentwicklung von OpenTV ausgeliefert. Fällt OpenTV, fällt auch Spyglass und das wahrscheinlich noch stärker als OpenTV, weil die übernommene Company immer mit Abschlage getradet wird. Der wird sich aber, je näher der Abschluß des Deals rückt, immer weiter verringern.
Daß irgendwann mal eine Zahl von 122 $ pro Spyglass-Aktie in den Raum geworfen wurde, ist leider irreführend, genauso wie die Zahl von 2,5 Mrd. $, die diese Übernahme kosten solle. Das stimmte nur an dem Tag, an dem die Übernahme bekanntgegeben wurde. Da war OpenTV nämlich 169 $ wert, x 0,7236 macht das 122 $ pro Spyglass-Aktie und bei fast 16 Mio. ausstehenden Aktien von Spyglass eben diese 2,5 Mrd. $.
Viele dachten, sie bekämen das alles in Cash, aber IRRTUM: festes Bezugsverhältnis. OPTV fällt und Spyglass eben auch. Steigt OPTV, dann auch SPYG.
Schade, denn Spyglass war gerade auf dem Weg nach ganz oben. Ich werde jetzt keine Diskussion anstreben, wie sinnvoll dieser Merger war, das dauert zu lange, ich kann es Euch nicht verläßlich genug sagen und es sind die Meinungen zu widersprüchlich.
Was ich Euch aber sagen kann, ist Folgendes:
unter www.edgaronline.com kann sich jeder mal unter SPYG diedas letzte 6-k-filing ansehen. Darin sind die Details des Mergers bekanntgegeben. Knapp 50 Seiten lang das Ganze. Nur soviel: sollte Spyglass den Deal abbrechen oder sich nach anderen Aufkäufern umschauen, müssen sie 74 Mio. $ Strafe zahlen. Hier hilft also nur ein "weißer Ritter", der einen deutlichen höheren Kaufpreis für Spyglass bietet und zusätzlich diese 74 Mio. $ zahlt. Außerdem wird das Bezugsverhältnis wohl nicht angepaßt, das würde OPTV sowieso nur zusätzlich unter Druck setzen, weil viele der (meiner Meinung nach ungerechtfertigten) Meinung sind, OPTV habe für SPYG zuviel bezahlt und der Kurs weiter unter Druck geraten würde. Spyglass sitzt also in der Zwickmühle und wird sich wohl nicht von OPTV lösen können. Schön dumm eigentlich vom Management, aber die bei Spyglass waren ohnehin schon immer recht unfähig und verrucht (wer die Aktie länger kennt, weiß, was ich meine ...).

Ich seh Spyglass weiter positiv. Vereinbarung mit OPEN TV hin oder her -
sie war nötig, da Spyglass ein schlechtes Image und keinen Zugang
zu den Endkunden hatte.
Außerdem gibt es zur Zeit nur positive Meldungen:
1. 122 $ Kursziel wurde von ZACKS bestätigt.
2. Der Kauf von Spyglass zahlt sich für Opten TV schon aus:

Der Kursrutsch von Spyglass ist meiner Meinung nach auf die jetzige
Stimmung an der Börse zurückzuführen. Auf Jahresicht bleibt Spyglass
ein absoluter Topwert - da kann Mrs.Cohen ihr Portfolio sonstwie
umstrukturieren ;-) .

selbstverständlich ist es günstiger für OPTV, seine Aktien im genannten Verhältnis zu tauschen. Aber der Deal wird durch sinkende Aktienkurse nicht billiger !

Habe mit Bruce Beerbower von der PR gesprochen. Es gibt keine Möglichkeit für Spyglass, aus eigener Kraft den Deal zu stoppen. Würde 74 Mio. $ Strafe kosten. Nur die Aktionäre können den Deal platzen lassen, wenn sie den merger nicht absegnen.
Spyglass ist absolut überverkauft, rational nicht mehr zu erklären. Die Firma hat knapp 100 Mio. $ in cash, Wahnsinnsverträge und ist profitabel in einem absoluten Zukunftsmarkt und nur 600 Mio. $ wert, ein Witz.
Über Kaufgebote von MSFT würde ich mir keine Hoffnung machen, im Moment ...

es hilft alles nichts, der schöne Aufwärtstrend ist erst einmal vorbei. Ich habe vor einpaar Wochen nach dem Barrons Artikel, in dem auch SPYG aufgeführt wurde, schweren Herzens zu 73 Dollar verkauft. Danach habe ich mich zunächst schwarz geärgert als der Kurs bis über 100 Euro stieg, durch die Übernahmegerüchte. Immerhin sollten rd 120 Dollar pro Aktie erreicht werden. Dies hätte sich auch mit dem Kursziel von Frost Securties (Investmentbank) gedeckt. Nun denke ich, daß die 30 Dollar Widerstandszone halten sollte. Da sollte man eine Bodenbildung abwarten. Aber es hilft alles nichts, die Aktie hat einen deutlichen Knacks bekommen. Viele Grüße PBR
