Aerowatt strengthens its presence in solar energy with Heliowatt (2008/05/26 4:00 PM)

Ingré, May 21st 2008 –In order to reinforce its positions in the solar energy sector, Aerowatt participated in the recent creation of Heliowatt, based in Tavel, in the Languedoc-Roussillon region. The goal of this department, 48%-owned by Aerowatt and 52% by individual entities, is to contribute to the development of Aerowatt's solar activity in mainland France, through the installation of standalone power stations or facilities integrated into existing buildings. Aerowatt will be both investor in and operator of the future solar power stations developed by this department, with an estimated power output over the next two years of around 10 MWp.

With the support of teams from Orleans dedicated to the development of solar activity, Heliowatt represents a major boost to Aerowatt's presence in the two sunniest regions of continental France: Provence-Alpes-Côte d’Azur and Languedoc-Roussillon.

At present, activity in the field of solar-powered electricity generation is still in its early stage in France. Whereas over 3,800 MWp are already operational in Germany, a mere 46.6 MWp are currently installed in France, with 40% in the overseasregions. This is despite an attractive purchase rate of €0.55 per kWh provided for in the law of July 10th 2006 relating to installations integrated into buildings.
To meet the Grenelle environmental objectives, 7,000 MWp need to be installed by 2020, an imperative which will result in substantial development in the sector.

This was underlined by Jérôme Billerey, Chairman of the Board: "we are very satisfied with this initial collaboration with the Heliowatt team whose know how is widely recognised. This new involvement will make a significant contribution to the group's solar development in mainland France, alongside our other subsidiary Solar Energies, which is focused on France's overseas departments".

Aérowatt making significant progress in built-in solar power projects (2008/10/08 10:50 AM)

Saran, 7 October 2008 – Aérowatt, a green electricity generator overseas and in metropolitan France, is continuing to grow in the solar power sector, the Group's second area of development. The production of photovoltaic energy has many advantages in a market which is expected to see rapid growth.

According to Jérôme Billerey, Aérowatt's Chairman, "the introduction of a regulated price structure guaranteed over 20 years paves the way for long-term investments in this up and coming sector. To complement our overseas presence, we made the decision to break into continental France, mainly for fitting solar power generators into roofs, by working in direct collaboration with industrial and commercial building contractors. Overseas, we are also involved in retrofit and ground installations, particularly at our wind energy sites to create combined wind / solar energy plants."

Aérowatt is planning to begin work soon on four solar power plants built into large-scale constructions with a total own-account capacity of around 5.4 MWc. These new sites, which should reach completion in the third quarter of 2009, will add to Aérowatt's solar power generation capacity and contribute towards achieving the 50 MWc own-account target set by the group for the end of 2013. Furthermore, supply of crystalline silicon modules has been secured from manufacturers.

* The first project, planned to be carried out in partnership with a key player in real estate development, is the construction of an integrated roof on a 30,000 m² shopping centre in Orange, Vaucluse. The plant will have a power of 2,500 kWc and will generate 2.7 GWh, which is the equivalent of the electricity required for 3,000 inhabitants.

* The transport group Alloin has appointed Aérowatt to conduct a study, in preparation for installation of two roof-based plants at sites in Bourges and Saint-Etienne, with a total capacity of 1,000 kWc, on construction of two loading docks. These buildings involve an original architectural design to optimise installation of solar power modules and their energy production without affecting the site's industrial operations.

* The Vinipolis cooperative in Florensac, Hérault has signed a deal with Aérowatt within the context of roof renovation for incorporation of a 4,000 m² solar power plant with a power of 400 kWc.

* And finally, in Réunion, a canopy is to be built in the Sainte Anne go-karting complex (car park, track, stands, etc.); this plant, with a power of 1,500 kWc, will be adapted to the many constraints of the site.

Acting as the main contractor in the construction of roofs and hence as a global operator for owners and developers, Aérowatt has negotiated a partnership allowing it to benefit from a ten-year warranty and constructor's public liability insurance for all its built-in installations. This original approach gives security to contractors with a strategy that is still highly innovative in France.

Saran, 8 January 2009 - Last July, Aérowatt acquired a 66% share in a 12 MW wind power station under construction in Haute-Loire (see press release dated 7 July 2008), which began producing its first kilowatt-hours in December 2008 within the time limit set by Aérowatt. The energy sale price will be 8.2 centimes per kWh, a rate laid down by the decree dated 17 November 2008.

According to Jérôme Billerey, Chairman of the Aérowatt board, "this new plant brings our installed wind power capacity to almost 70 MW and is another step towards reaching our targets of 350 MW for wind energy and 50 MWc for solar energy by the end of 2013. We are confident in continuing our activity and in the progress of our development plan."

Use of a significant wind resource
The wind farm, with a total capacity of 12 MW, comprises 6 Enercon E70 three-blade turbines with a power per unit of 2 MW and represents a total investment of €15 million. The plant, which is in a particularly windy location, will generate the equivalent of the electricity consumption (domestic and heating) of more than 15,000 inhabitants, which corresponds to an estimated annual turnover of €2 million.
A 12-year maintenance contact has been signed with Enercon, who have set up an onsite service centre to which two people have already been assigned, ready to carry out work on the turbines at any time.

Local support for the project
After a concerted effort, this project received overwhelming support from residents and local representatives. In fact, with the wind farms located on land belonging to all inhabitants and managed by the municipality, close dialogue was essential for the success of the project.
"In our line of work, a visible presence makes dialogue easier and allows projects to be implemented in favourable conditions. Our philosophy is to take the time needed and to prioritise communication so that our projects are accepted",emphasises Jérôme Billerey.

Paris, France: Aérowatt Signs Supply Agreement with Schüco

Aérowatt, an independent and integrated producer of wind-generated and photovoltaic electricity, and Schüco have entered in to a commercial partnership. The agreement relates to the supply by Schüco of photovoltaic solar systems (Schüco modules, structures and inverters) to Aérowatt representing a total installed capacity of 6.8 MWc.

The partnership will cover the requirements of four projects developed by Aérowatt in mainland France for a total power of 4 MWc, of which 2.2 MWc are intended for incorporation into the roof of a commercial building in the Vaucluse. These modules will be integrated using the PV XLight system, which has just obtained technical approval from the CSTB. These are structures developed by Schüco France to respond to the specific requirements of the French market for integration of industrial and agricultural roofs. The other mainland photovoltaic installations will be carried out on three other sites.

Finally, 2.8 MWc will be installed on the ground in Réunion, in the hills above Sainte Suzanne, a site where Aérowatt already has an installed wind power of 10 MW. The Schüco systems will be installed from the second quarter of 2009.

On the occasion of the signature of this agreement, Jérôme Billerey, Chairman of the Aérowatt board said he was " very happy with this partnership with a well-known player in the field of photovoltaic equipment, securing the Group’s supply of high-quality products. Saran, 23 March 2009 – 2008 saw many accomplishments, as Aérowatt, the French
producer of renewable energy, accelerated its development in solar power all while continuing
to build up its historic wind power segment. At the end of December, the company's total
installed capacity (wind + solar), reached 72 MW, of which 64 MW on its own account, rising
22% in one year.

In solar power, Aérowatt has organized a department with 5 additional collaborators all while
developing a network of partners (research departments, business development agents, etc.)
The company has also secured its supply in photovoltaic panels for 2009 with two key
partners, Apex BP Solar and Schüco. Over the course of 2008, installed capacity was doubled
in size and reached, at the end of December, a total solar power of 2.8 MWp, of which 1MWp
for its own account, across 17 sites.

At the same time, Aérowatt has continued its development of wind power by commencing
operations at its Mont Mau (4.1 MW in New Caledonia) and La Perrière 3 (3.3 MW in Réunion)
sites, which were installed in 2007, and by commissioning, at the end of 2008, the Saint Jean
Lachalm site (12 MW in Haute-Loire), in which it holds a 66% share. At the end of 2008 the
company had an available installed wind capacity of 69 MW, of which 63 MW on its own
account.

2008 was also intensive in terms of new projects going into the concept or construction phase.
Currently, with a secured portfolio of 424 MW on its own account in wind and 56.2 MWp in
solar, Aérowatt has already reached 120% of its objective of 400 MW installed and held on its
own account by the end of 2013, of which 350 MW in wind and 50 MWp in solar.

2008 results

In 2008, Aérowatt achieved a consolidated turnover of €7.6 million, made up of €7 million
in energy sales and €0.6 million in service offerings, rising by 7.8%. The increased power in
several power stations was partly counterbalanced by unfavorable exogenous elements
(abnormal meteorological conditions in New Caledonia and delays in linking solar installations).

Inventory change and own work capitalized reached €5.5 million, rising by 80% over
one year. It shows Aérowatt's strong acceleration in development and the rising power of solar
which represented 30% of current production at the end of 2008.

The company's EBITDA(1) was €4.2 million (+12.5%) in keeping with the objective
set in September 2008. Aérowatt thus proves its capacity to produce high margins while
strongly investing in project development.

Net losses after minority interests were €1.5 million in 2008. This includes, aside from
the financial result of -€2.0 million, the share in net income of equity affiliates of -€0.6 million
and net write-back on amortization of goodwill of €0.2 million.

In 2008, Aérowatt generated an operating cash flow, net of WCR variation, of €2.2
million, positive for the second consecutive year and covering financing costs. This additional
cash, as well as the net income from capital increase in September 2008 (€6.7 million) and
subsidies received (€8.2 million), covered half of the large investment cash flows (€33.2
million).

At the end of December, Aérowatt's net indebtedness reached €37.1 million, of which
€8.5 million in project debt without recourse on the parent company, for stockholders' equity
of €25.6 million. The ratio of net debt with recourse on Aérowatt / stockholders' equity and
definitively acquired subsides (2) comes to 32%.

Strategy and perspectives

In difficult economic circumstances that translate into tightened financing conditions on certain
projects, Aérowatt has some key advantages. Thanks to its ability to present quality projects
that are clearly defined and reasonably sized, the group has not had, as of yet, any particular
difficulties in accessing the credit market.

Concerning strengthening of its own funds, given the current state of the stock market,
Aérowatt has decided, in the short term and in order to avoid slowing the rhythm of
commissioning, to actively study alternative solutions. These are based on the entrance of
minority partners to the capital of the power stations, with Aérowatt keeping financial and
operational control of the projects. The Group has received signs of interest from investors to
participate in its infrastructure.

This capacity to adapt to the financial context allows Aérowatt to confirm its strategy, based
on developing and operating wind and solar power stations, and its operational and financial
objectives on the short and medium term.

For the fiscal year 2009, Aérowatt is banking on an additional commissioned capacity of 38
MW, of which 21 MW on its own account, and on an EBITDA (1) of between €7 million and €9
million.

Jérôme Billerey, Chairman of the Management Board, says "I am very proud of the work that

Au 1er trimestre 2009, Aérowatt a réalisé un chiffre d’affaires* de 2,6 M€, en progression de
31% sur un an. La hausse provient d’une bonne production des installations existantes et de
l’augmentation de la puissance du parc installé. Au 31 mars 2009, Aérowatt exploite un parc
de 69 MW en éolien et de 2,8 MWc en solaire.

Activité tirée par le développement en Métropole

Le chiffre d’affaires* généré en France métropolitaine a été multiplié par 5,5 en un an grâce
à la mise en service, fin 2008, du site de Saint-Jean-Lachalm (12 MW) en Haute-Loire.
Aérowatt poursuit ainsi le rééquilibrage de son activité, 18% du chiffre d’affaires* étant
désormais réalisé en France métropolitaine (4% au premier trimestre 2008) et 82% en Outre-
Mer. Cette tendance va se poursuivre avec la montée en charge du site de Saint-Jean-Lachalm
et des nouvelles installations programmées.

En Outre-Mer, le chiffre d’affaires* a crû de 12%. L’activité des centrales en Nouvelle-
Calédonie a fortement progressé après une année 2008 exceptionnellement peu ventée.

En marge de cette publication, Jérôme Billerey, Président du Directoire, déclare : « la
croissance de notre chiffre d’affaires traduit notre montée en puissance. Nous poursuivons
notre développement conformément à notre plan de marche et aux objectifs fixés à court et
moyen terme. »

Saran, France: Aérowatt Start Work on Photovoltaic System in Orange Porte Sud

Aérowatt, a green electricity producer in France, has announced the start of work to build a photovoltaic station in Orange Porte Sud. Set in 10 ha of land, the Porte Sud retail park in Orange (Vaucluse), which has a total surface area of 30,000 m², is scheduled to open in March 2010.

A partner of Bouygues Immobilier, the developer of Orange Porte Sud, Aérowatt is to integrate a photovoltaic station into the building's roof. The station will produce a total of 2.2 MWc, which is equivalent to the annual domestic consumption of a town of 3,500 inhabitants.

This station, which is owned by Aérowatt and which is to be put into service in the winter of 2009, currently constitutes the biggest PV roof project for a building which will receive members of the public in Europe. The 12,000 PV panels will be supplied by Schüco as part of its procurement contract signed with Aérowatt in February 2009.

Today, the retail park's first brick was laid by Eric Mazoyer, Bouygues Immobilier Managing Director, in the presence of the project's key players: François Mariani, Vaucluse Chamber of Commerce and Industry Chairman, Jacques Bompard, Orange mayor and County councillor, and Jérôme Billerey, Chairman of the Board at Aérowatt.

During the event, Jérôme Billerey said that he was ‘very happy with the cooperation between Aérowatt, Bouygues Immobilier and Orange 's public partners. This project, of an unprecedented size in Europe , confirms Aérowatt's position as a leading player in the field of photovoltaic energy.'

chiffre d’affaires consolidé* du 1er semestre 2009.

A l’issue du 1er semestre 2009, le chiffre d’affaires* d’Aérowatt atteint 4,7 M€ contre 3,5 M€
un an plus tôt, soit une hausse de 36%. La croissance provient de l’élargissement du parc
installé et de la montée en puissance des centrales.

Au 30 juin 2009, Aérowatt exploite un parc de 69 MW en éolien et de 2,8 MWc en solaire
contre 57 MW en éolien et 1,5 MWc en solaire un an plus tôt.

L’augmentation progressive du niveau de production du site de Saint-Jean-Lachalm (12 MW),
mis en service fin 2008 en Haute-Loire, se déroule conformément aux objectifs du Groupe et
permet la poursuite du rééquilibrage de l’activité entre la France Métropolitaine (20% du
chiffre d’affaires semestriel contre 5% au 1er semestre 2008) et l’Outre-Mer (80%).

Poursuite du développement industriel

En éolien, le Groupe achève actuellement la construction de la centrale de Mont Dore (5 MW)
en Nouvelle-Calédonie. Le raccordement et la mise en service progressive devraient intervenir
à partir de la fin de l’été.

Dans le solaire, Aérowatt termine actuellement l’installation de la centrale de Florensac
(0,3 MWc) dans l’Hérault dont le raccordement est prévu au cous du troisième trimestre 2009.
Le Groupe a également étendu, au cours du 1er semestre, son accord avec le Groupe Alloin
pour l’installation de panneaux photovoltaïques sur 3 bâtiments (puissance cumulée totale de
2,3 MWc). Enfin, Aérowatt va prochainement débuter les travaux à Orange (Vaucluse) de la
plus grande toiture photovoltaïque intégrée à un bâtiment commercial en Europe. Cette
centrale, d’une puissance totale de 2,2 MWc, devrait être mise en service au cours de l’hiver
2009.

A mi-exercice, le développement et la construction des projets sont conformes au plan de
marche. La mise en production des centrales solaires reste retardée par les délais de
raccordement au réseau électrique.

In the 1st quarter of 2009, Aérowatt achieved a turnover* of €2.6M, an increase of 31% in one year. The increase is the result of the efficiency of its existing facilities and the increased capacity of its installations. As of 31st March 2009, Aérowatt operates a capacity of 69MW wind energy and 2.8MWc solar energy.



Business boosted by developments in Metropolitan France



The turnover* generated in Metropolitan France has increased 5.5-fold in one year thanks to the commissioning of a site in Saint-Jean-Lachalm (12 MW) in the Haute-Loire region at the end of 2008. Aérowatt is therefore continuing to rebalance its business, 18% of its turnover* now being achieved in Metropolitan France (4% in the first quarter of 2008) and 82% overseas. This trend is going to continue with an increase in the load of its Saint-Jean-Lachalm site and plans for new facilities.



Overseas turnover* is up 12%. Business at its New Caledonia power stations has developed considerably after exceptional low wind conditions in 2008.



In addition to these figures, Jérôme Billerey, Chairman of the Board, states: “the growth in our turnover is the result of our increased capacity. We are continuing to develop in accordance with our route plan and our short and medium-term objectives.”

Aérowatt a réalisé un chiffre d’affaires consolidé de 4,9 M€ au 1er semestre 2009, en hausse de 34%, dont
4,7 M€ de vente d’énergie et 0,2 M€ de prestations de services. La croissance provient essentiellement de l’élargissement du parc installé. Au 30 juin 2009, le Groupe exploitait un parc d’une puissance totale de 69 MW bruts en éolien (57 MW un an plus tôt), soit 63 MW en propre, et de 2,8 MWc bruts en solaire (1,5 MWc un an plus tôt), soit 1 MWc en propre. La production stockée et immobilisée, reflet des développements en cours d’Aérowatt, a crû de 26% pour atteindre 2,4 M€.

Cette forte hausse de la production totale, associée à une bonne maîtrise des charges opérationnelles, a permis de dégager un Ebitda (1) de 2,8 M€, en hausse de 66%, soit une marge d’Ebitda de 57,5% du chiffre d’affaires. Le résultat net, part du groupe, s’établit à -0,2 M€ à fin juin. Aérowatt a ainsi réduit sa perte nette de 73%.

A fin juin 2009, l’endettement financier net du Groupe Aérowatt atteint 58,2 M€, dont 23,5 M€ de dettes nettes sur les projets sans recours sur la société mère, pour des fonds propres de 25,9 M€ et des aides définitivement acquises (2) de 60,1 M€. La hausse de l’endettement au 1er semestre 2009 est liée à l’accélération du rythme d’investissement (20,8 M€ contre 12,7 M€ au 1er semestre 2008) et à l’absence de nouvelle levée de fonds. Le ratio dette nette avec recours sur la maison mère / fonds propres et aides définitivement acquises ressort à 40%.



Principales avancées industrielles…

Aérowatt poursuit son programme de développement sur l’exercice 2009 et ambitionne de franchir la barre des 100 MW de puissance totale installée d’ici à la fin de l’année.

…dans l’éolien

* 2 nouveaux parcs sont en cours de construction à Mont-Dore (Nouvelle-Calédonie) et La Renardière (Loire-Atlantique) pour des puissances totales de, respectivement, 5 MW et 12 MW. Les livraisons de ces centrales sont prévues avant la fin de l’année ;
* 2 programmes de « repowering » ont été lancés sur les parcs de Désirade (Guadeloupe) et Portel des Corbières (Aude). Le premier va passer d’une puissance totale de 0,5 MW à 1,4 MW et le second de 1,4 MW à 11,5 MW. Les travaux devraient prendre fin durant l’hiver 2009 pour une mise en service début 2010 ;
* 2 importants chantiers du programme de développement 2010 ont démarré à Balazé (Ille-et-Vilaine) et Sorbon (Ardennes). Chaque parc aura une puissance totale de 6 MW. Les travaux devraient prendre fin d’ici à la fin du 1er semestre 2010.

…dans le solaire

* Vinipolis : Aérowatt a livré une toiture photovoltaïque de 0,3 MWc intégrée à la cave coopérative de Florensac (Hérault).
* Solar Energies : le programme de déploiement, démarré en 2007 en Outre-Mer, se poursuit et permettra d’atteindre, en fin d’année, une puissance cumulée totale de 5,2 MWc.
* Orange Porte Sud : le Groupe a démarré, sur le futur parc commercial d’Orange (Vaucluse), les travaux d’installation de la plus grande toiture photovoltaïque (2,2 MWc) en Europe intégrée à un bâtiment recevant du public. La livraison est prévue durant l’hiver 2009.
* Groupe de transport : Aérowatt va réaliser, en Métropole, 3 toitures photovoltaïques intégrées à des quais de messagerie. La puissance cumulée totale des projets atteindra 2,2 MWc.

A l’heure actuelle, la mise en production des centrales solaires reste retardée par les délais de raccordement au réseau électrique.



Stratégie et perspectives

Comme indiqué en début d’exercice, compte tenu du contexte actuel de financement sur les marchés actions, Aérowatt travaille sur des solutions alternatives de renforcement en fonds propres dont certaines sont actuellement en cours de finalisation.

Compte tenu de ces différents projets, Aérowatt anticipe un Ebitda de l’ordre de 7 M€ au titre de l’exercice 2009 contre 4,2 M€ en 2008.

Pour Jérôme Billerey, Président du Directoire d’Aérowatt, « le Groupe poursuit sur un bon rythme son développement. (CercleFinance.com) - Aérowatt, producteur d'électricité verte en France, annonce sa participation à la construction de bâtiments logistiques intégrant des toitures photovoltaïques pour le compte d'un groupe mondial de transport et logistique.

Initialement prévu pour la construction d'un bâtiment à Andrézieux-Bouthéon (Loire), le contrat a été étendu à deux nouvelles installations en cours de construction à Bourges (Cher) et Chaponnay (Rhône).

Au total, 17.800 m2 de toitures photovoltaïques vont être progressivement installés et mis en service au cours du premier semestre 2010 pour une puissance cumulée totale de 2,2 Mégawatts-crêtes.

La centrale sera détenue par Aérowatt Energies, filiale d'Aérowatt (65%) et de la Caisse des Dépôts (35%) .

Saran, le 24 mars 2010 – Aérowatt, producteur d’électricité verte en France, annonce ses résultats de l’exercice 2009. L’année écoulée est caractérisée par :



* Un fort développement industriel, permettant au Groupe de franchir le cap des 100 MW de puissance totale installée ;
* Des résultats en nette progression, un Ebitda de plus de 7 M€ et un résultat net positif ;
* Une évolution du modèle économique, illustrée par le partenariat stratégique noué avec la Caisse des Dépôts, qui donne à Aérowatt les moyens de poursuivre son ambitieux programme de développement.



Principaux développements



Au cours de l’année 2009, Aérowatt a mis en service 6 nouvelles centrales pour une puissance cumulée totale de 31 MW. A fin décembre, la capacité totale installée atteint 103 MW (dont 78 MW en propre), soit une progression du parc installé de 43% en un an.



En solaire, Aérowatt a multiplié les projets en intégré au bâti avec la mise en service de la cave de Florensac (Hérault), d’une puissance de 0,3 MWc, et la poursuite du programme Solar Energies en Outre-Mer avec l’installation de 2,7 MWc supplémentaires, principalement sur des lycées. A fin 2009, la puissance totale installée en solaire atteint 5,8 MWc, dont 2,1 MWc détenus en propre, répartis sur 21 sites.



Dans le domaine de l’éolien, Aérowatt a mis en service 2 nouveaux parcs, à Mont Dore (5 MW) en Nouvelle Calédonie et La Renardière (12 MW) en Loire-Atlantique. En parallèle, le Groupe a réalisé 2 importants programmes de repowering permettant de faire passer la puissance de la centrale de Désirade (Guadeloupe) de 0,5 MW à 1,4 MW et celle de Portel des Corbières (Aude) de 1,4 MW à 11,5 MW. Aérowatt dispose, à fin 2009, de 24 centrales éoliennes représentant une capacité installée de 97 MW, dont 76 MW en propre.



Aérowatt a également mis en œuvre un plan de valorisation de son expertise, notamment en matière d’interface avec les réseaux électriques finis et de contraintes cycloniques. Le Groupe a poursuivi ses efforts de recherche et développement (prédiction et stockage d’énergie), avec le soutien d’OSEO innovation (avance remboursable et renouvellement du label « Entreprise Innovante »), et sécurisé des projets de développement hors de France, notamment à l’Île Maurice.



Enfin, Aérowatt a noué un partenariat stratégique de long terme avec la Caisse des Dépôts. Les deux sociétés ont créé une co-entreprise, Aérowatt Energies, contrôlée à 65% par Aérowatt et à 35% par la Caisse des Dépôts. Cette dernière s’est engagée à investir 9,2 M€ au fur et à mesure de l’avancement des projets. Le portefeuille de projets identifiés, en éolien et en solaire, représente une puissance cumulée de 60 MW. Dans un premier temps, 5 centrales, représentant une puissance totale de 11 MW, ont été transférées à Aérowatt Energies en contrepartie d’un apport en fonds propres de 2,7 M€ de la part de la Caisse des Dépôts.



Résultats financiers du Groupe Aérowatt

Les comptes consolidés d’Aérowatt ont été arrêtés par le Directoire au cours de sa réunion du 15 mars 2010 et contrôlés par le Conseil de Surveillance le 16 mars 2010. Les procédures d’audit sur les comptes consolidés ont été effectuées. Le rapport des commissaires aux comptes sur les comptes consolidés sera émis après finalisation des procédures requises pour la publication du rapport financier annuel.

Aérowatt a généré, en 2009, un chiffre d’affaires consolidé de 11,0 M€, en hausse de 43%, grâce à de meilleures conditions d’exploitation et la production des centrales installées fin 2008. Les installations réalisées en 2009, livrées en fin d’année, auront un impact à compter de 2010.



La production immobilisée atteint 5,9 M€, confirmant le niveau élevé des développements en cours. Les outils mis en place pour assurer le suivi des coûts ayant montré leur pertinence, Aérowatt se réfère désormais aux pratiques de comptabilisation de la production immobilisée en vigueur dans le secteur.



Aérowatt a dégagé un Ebitda (1) de 7,1 M€, en hausse de 69%.



Au final, Aérowatt a réalisé un bénéfice net, part du groupe, de 81 k€. Il intègre, notamment, un résultat financier de -2,0 M€.



Pour la troisième année consécutive, Aérowatt a généré un flux de trésorerie d’exploitation, après variation du Besoin en Fonds de Roulement, positif (1,3 M€). Le complément de financement est venu de l’apport en comptes courants réalisé par les principaux actionnaires et l’entrée de partenaires minoritaires (7,1 M€), des subventions reçues (9,2 M€) et d’un recours à l’endettement (40,1 M€). Ces capitaux ont permis de couvrir les importants investissements réalisés sur l’exercice (63,7 M€, soit un quasi doublement en un an).



Aérowatt dispose, à fin décembre 2009, de 27,3 M€ de fonds propres2 et de 95,1 M€ de fonds propres et quasi fonds propres3. L’endettement financier net atteint 83,3 M€, dont seulement 34,1 M€ de dette avec recours sur la société mère (le solde étant des dettes directement rattachées aux projets).



Stratégie et perspectives



Au-delà des aléas réglementaires de court terme, la tendance de fond demeure structurellement très porteuse pour les énergies renouvelables. La volonté politique de développer les technologies propres, la place croissante accordée par l’opinion publique à la dimension environnementale et l’amélioration constante des performances techniques et des prix de revient sont autant de moteurs pour la croissance du secteur au cours des prochaines années.



Dans ce contexte, Aérowatt doit se donner les moyens de poursuivre son programme de développement alors que l’accès aux marchés financiers est aujourd’hui impossible dans de bonnes conditions. Le Groupe va donc capitaliser sur ses atouts (actifs de qualité, positions uniques, structure financière et juridique des sociétés de projet adaptée) pour céder, de façon plus systématique, des parts dans ses filiales. A l’image de l’accord conclu en 2009 avec la Caisse des Dépôts, ce modèle a ainsi l’avantage de limiter le besoin en fonds propres. Il permet également de dégager des ressources immédiatement affectées au financement du développement de l’entreprise.



Aérowatt confirme ainsi son ambition d’atteindre une capacité installée, d’ici à fin 2013, de 350 MW en éolien et 50 MWc en solaire. Compte tenu du nouveau modèle de financement mis en place, une part de ces centrales pourra être cédée à des tiers.



Pour l’exercice 2010, Aérowatt se fixe pour objectif de dégager un Ebitda (1) de 10 M€, en forte croissance par rapport à l’exercice 2009.

Le chiffre d’affaires* généré en France métropolitaine a progressé de 53% et représente
désormais 22% du total des ventes d’énergie. Aérowatt bénéficie encore de la montée en
régime de la centrale de Saint-Jean-Lachalm (12 MW dont les premiers kwh avaient été livrés
au cours du 1er trimestre 2009), du repowering de la centrale de Portel des Corbières (dont la
puissance est passée de 1,4 MW à 11,5 MW), et des premières ventes issues des installations
solaires de Florensac (0,3 MWc, mise en service en février 2010) et Chaponnay (0,8 MWc,
mars 2010).
Le chiffre d’affaires réalisé en Outre-Mer a augmenté de 23%. Le retour à des conditions de
vent normales en Nouvelle-Calédonie a été partiellement compensé par un hiver peu venté
aux Caraïbes. Aérowatt bénéficie par ailleurs de la mise en service de la centrale de Mont Dore
(5 MW, Nouvelle-Calédonie) et de la montée en puissance des centrales solaires de Solar
Energies raccordées en 2009 et 2010.

Saran, le 16 juin 2010 – Aérowatt, producteur d’électricité verte en France, annonce une
accélération de son plan de développement dans le photovoltaïque visant à faire passer la
puissance totale installée de 6,5 MWc à près de 23 MWc au cours des 18 prochains mois.
Après l’inauguration récente de la centrale d’Orange (Vaucluse), d’une puissance de 2,2 MWc,
Aérowatt poursuit son ambitieux programme d’installation de centrales photovoltaïques, en
privilégiant l’intégration au bâti. Toutes ces centrales ont vocation à être détenues
majoritairement par Aérowatt.
En France Métropolitaine, les centrales installées sur des quais de messagerie à Andrézieux-
Bouthéon (Loire), Bourges (Cher) et Chaponnay (Rhône), d’une puissance cumulée de
2,2 MWc, viennent d’être mises en service conformément au calendrier prévu.
Plusieurs autres projets d’envergure sont en conception très avancée pour des constructions
programmées à partir du second semestre 2010 et des mises en service en 2011. La
puissance cumulée de ces centrales, principalement situées autour du bassin méditerranéen
(Languedoc-Roussillon, Provence-Alpes-Côte d’Azur et Corse), atteindra 5,6 MWc.
En Outre-Mer, où Aérowatt dispose déjà de 5,8 MWc en exploitation, le parc installé devrait
plus que doubler au cours des prochains mois. Outre 3,3 MWc en construction dans le cadre
du programme Solar Energies (principalement en Guyane, Guadeloupe et à La Réunion),
Aérowatt prépare actuellement l’installation d’une centrale photovoltaïque au sol de 3 MWc au
sein de son parc éolien de La Perrière (La Réunion).
Une nouvelle centrale solaire au sol de 12 MWc en 2012
Par ailleurs, Aérowatt a remporté un très important appel à candidature pour la construction
d’une centrale au sol d’environ 12 MWc sur la commune de Dio et Valquières (Hérault).
Aérowatt a été retenu au terme d’une sélection qui a duré plusieurs mois et réunie les
principaux acteurs de la filière. Conformément à sa stratégie, le Groupe a attaché une

Saran, France: Aérowatt Selected for 1.4 MW PV Project

Aérowatt, a producer of green electricity in France, is participating in the refurbishment of factories for O-I Béziers in l'Hérault (Group Owens-Illinois), while also integrating photovoltaic systems.

Situated in the heart of Languedoc-Roussillon, the factory O-I Béziers is committed to a program of sustainable developments. The factory produces glass bottles, and by nearly 90% utilizes recycled glass to produce new bottles.

O-I is continuously seeking new solutions to improve the protection of the environment. The warehouse roofs of the factory in Béziers are to be equipped with solar panels.

As result of a tender bringing together the principal actors of the branch, Aérowatt was chosen for the integration project of 10,085 m² of photovoltaic modules distributed on 4 buildings. The selected systems, manufactured by Schüco, will have a peak power of 1.4 MW with expected electricity production of 1.7 GWh per year.

The solar power station is envisaged to start operation by the end of the year.

The systems will be owned by Aérowatt Energies (a company controlled by 65% by Aérowatt and owned by 35% by Caisse des Dépots). They will benefit from a feed-in tariff of €0.6017/kWh. Aérowatt and O-I, the world's largest producer of glass package, with 36 factories in Europe, are studying the possibilities of an extention of their collaboration.

Aerowatt Surges on Acquisition Talks With Swiss Utility

Aerowatt (ALWAT), a developer of wind and solar power projects, surged to its highest value in more than three years in Paris trading after reporting it may be acquired by the Swiss regional utility Kleinkraftwerk Birseck AG. (KKBN)

The French company, which operates 123 megawatts in renewable energy capacity, is in exclusive talks with the Swiss group over a deal that would value it at about 38.9 million euros ($49.7 million), it said today in an e-mailed statement. This would amount to 19.77 euros per share or a 54.5 percent premium to its previous closing price of 12.80 euros, it said.

Aerowatt shares surged as much as 54 percent in Paris trading today and were up 50 percent, the most intraday since November 2006, to 19.14 euros at 2:06 p.m. local time.

The company’s main shareholders include Credit Agricole SA (ACA), Demeter Partners and Viveris Management. Those shareholders would support the transaction, which they aim to complete in the first half of 2012, Aerowatt said.

“The numerous and profound changes in the French regulation for renewable energies has forced us to review our development plans and seek an alliance with an industrial partner,” said Jerome Billerey, Aerowatt’s board chairman.

The combined group would operate more than 158 megawatts in renewable energy. Through the group, Kleinkraftwerk Birseck said it would seek to accelerate the development of mini-hydro, wind and solar plants in Germany, France, Italy and Spain.

KKB, based in Muenchenstein, Switzerland, is majority-owned by Genossenschaft Elektra Birseck, a regional utility based in the same town. The company owns about 35 megawatts in mini- hydraulic and solar capacity.
