3Com sets dates for Palm share distribution
SANTA CLARA, Calif., May 8 (Reuters) - 3Com Corp <COMS.O> on Monday said it will distribute all its shares in the recently spun off company, Palm Inc <PALM.O>, as
a tax-free stock dividend on July 27 to shareholders of record on July 11.
3Com currently owns 532 million shares, or about 94.3 percent, of Palm`s outstanding common stock. Palm was spun-off in an initial public offering of stock in March this
year.
"Today`s announcement follows through on our commitment to spin-off our handheld business and increase shareholder value, as communicated last fall," Eric Benhamou,
chief executive officer, said in a statement.
3Com said it received a ruling today from the U.S. Internal Revenue Service that the Palm distribution would be tax-free to shareholders.
The number of Palm common shares each 3Com shareholder will receive will be based on the number of outstanding 3Com shares on July 11. Based on roughly 351 million
3Com common shares outstanding as of April 24, 2000, the distribution ratio would be about 1.5 shares of Palm for every share of 3Com.
