Global Telephone Communication, Inc. Selects Sun Microsystems as Hardware Vendor for E-Commerce Platform

CHICAGO--(BUSINESS WIRE)--July 11, 2000--Global Telephone Communication, Inc. (OTCBB:GTCI) is pleased to announce that it has selected Sun Microsystems to provide the hardware platform for its E-commerce joint venture with Szonline (pronounced "S-Z-online", formerly Shenzhen Newsnet), a significant China based ISP (www.szonline.net).

GTCI and Szonline are partnering to create an Internet portal that will provide online business services and value added Network capabilities.

Anthony Sousa, GTCI`s Vice President of Operations stated, "We are extremely pleased to be working in conjunction with Sun to build the technical infrastructure for our E-commerce platform. Sun`s hardware is known for its scalability, reliability and performance. According to the China Internet Network Information Center, there were approximately 2 million people in China online at the end of 1998 and nearly 9 million by the end of 1999 (http://www.cnnic.net.cn/e-index.shtml). This market penetration is representative of less than 1% of the population leaving great potential for further expansion in the Asian arena. As the existing infrastructure continues to develop, Asia and China in particular are projected to become the largest market in the world for Internet commerce.

nur GTCI im Depot zu haben, wäre wohl ziemlich grössenwahnsinnig, der Anteil ist aber im Nachhinein zu hoch gewesen

Ich habe mal mit Dwayne Yaretz gesprochen, das ist dabei herausgekommenaus dem Suntrade-OTC-Board kopiert, zuviel Stress, sorry)

der Grund für die dürftigen Newsreleases ist nach Aussagen von Dwayne Yaretz das Problem mit dem Relisting:

GTCI schliesst in China Deals ab, die Verträge werden in chinesischer Sprache nach chinesischem Bilanzierungsrecht verfasst.
GTCI ist aber ein US-Unternehmen, das nach US-Recht und -Praxis SEC-Filings veröffentlichen muss. Das Problem dabei sind die völlig unterschiedlichen Systeme der beiden Länder, wenn in China ein Deal geschlossen wird, muss im SEC-Filing das Ganze den Anforderungen der US-Börsenaufsicht entsprechen.

Das Relisting wird durch die zusätzlichen Fragen, die sich u.a. aufgrund der unterschiedlichen rechtlichen Verhältnisse ergeben, verhindert.

Vor drei Monaten wurden die damaligen, anscheinend unfähigen Anwälte gegen "Top-Anwälte aus New York" (IR) ausgetauscht, beim Filing zu Beginn des Jahres hatte es massenhaft Fragen von der US-Börsenaufsicht gegeben, zu den letzten Filings hatte es weniger Fragen gegeben.
Vor zwei Wochen wurde eine Liste mit Antworten auf Fragen zum SEC-Filing abgeschickt, theoretisch(!) könnte das laut Dwayne Yaretz der letzte Satz Fragen gewesen sein, man kann aber nicht sagen, ob dem Revisor vom SEC zwischenzeitlich nicht noch zusätzliche Fragen eingefallen sind, die zu weiteren Verzögerungen führen könnten (ist wohl schon so passiert, die Fragen werden beantwortet, dem Revisor fällt doch noch was ein, die neuen Antworten vergammeln erstmal zwei Wochen auf dem Tisch des Revisors...).

Die Newsreleases, die in letzter Zeit herausgegeben wurden, sollen nur kleine Appetithäppchen sein, die keine Auswirkungen auf die SEC-Filings haben. Wenn GTCI jetzt bedeutende Nachrichten veröffentlichen würde, die dem Unternehmen ein neues Gesicht geben würden, wäre das Relisting zurückgeworfen, man will einfach so schnell wie möglich aufs OTC-Board zurück und nimmt die Neuerungen dann im nächsten Filing mit auf.

Ich persönlich glaube Dwayne Yaretz erstmal, Firmen wie XNET haben auch ihre Probleme mit dem Relisting, dass die Rechtssysteme etc. total verschieden sind, ist keine Frage...

Hi,

man wollte mir zwar keine definitive Zusage zu einem Relisting geben, nach Ansicht von Larry Kristof (IR) bestehe aber die "starke Erwartung"("strong sentiment"), dass GTCI in eine bis zwei Wochen das Appoval (Bestätigung) zu einem Relisting bekommen sollte. Nach dem Approval würde es noch einmal ein bis zwei Wochen dauern, bis GTCI von den MarketMakern wieder am OTC-BB gehandelt würde.

Die News von gestern beziehen sich auf die Einstellung eines neuen Mitarbeiters, Daniel Zapton soll Teil des Board of Directors werden, ausserdem ist er für die Bilanzen, Filings etc. zuständig.

Das heute veröffentlichte "Notification of late filing" hat nach Aussage von Larry Kristof nicht vile zu bedeuten, die Filings werden wie geplant eingereicht.
