HONG KONG (AFX-ASIA) - Hikari Tsushin International Ltd said it issued
one bonus warrant for every five shares held and 932,748,404 warrants were
accordingly created on April 26.

In a statement, the company said each warrant gives the holder the right
to subscribe to one ordinary share in the company worth 0.025 hkd each at an
initial subscription price of 0.375 hkd per share.

As of end-September, 43,604 warrants have been exercised to subscribe to
the company`s shares and 932,704,800 warrants remained unexercised, the
company said.

1. EARNINGS/(LOSS) PER SHARE

The calculation of basic earnings/(loss) per share is based on the net
profit attributable to shareholders for the six months ended 30 September
2000 of HK$6,350,000 (1999: net loss attributable to shareholders of
HK$15,098,000) and on the weighted average during the current period of
4,663,772,458 (1999: 963,047,488) ordinary shares in issue, adjusted to
reflect the sub-division of shares during the current period.

The calculation of diluted earnings per share for the six months ended 30
September 2000 is based on the net profit attributable to shareholders of
HK$6,350,000 and the weighted average of 5,248,047,746 shares, being the
weighted average number of shares for the purposes of basic earnings per
share, adjusted by the effects of all dilutive potential ordinary shares
during the current period.

2. SUB-DIVISION OF SHARES

On 10 April 2000, the issued and unissued shares of HK$0.10 each of the
Company were sub-divided on the basis that every share was sub-divided
into four shares of HK$0.025 each. The calculation of basic earnings per
share for the six months ended 30 September 1999 has been adjusted
accordingly.

3. ISSUE OF BONUS WARRANTS

On 26 April 2000, the Company issued to its shareholders one bonus warrant
for every five shares held and 932,748,404 warrants were accordingly
created. Each warrant confers the holder upon the right to subscribe in
cash for one ordinary share of HK$0.025 each in the Company at an initial
subscription price of HK$0.375 per share, subject to adjustment, at any
time between 28 April 2000 and 27 April 2002. As at 30 September 2000,
43,604 warrants have been exercised to subscribe for the Company`s shares
and 932,704,800 warrants remained unexercised.

4. CHANGE OF FINANCIAL YEAR-END DATE

In order to comply with the accounting requirement of its ultimate holding
company, Hikari Tsushin, Inc, the Company changed its financial year-end
date from 31 March to 31 July commencing in the financial year 2001.
Accordingly, the Company will release another interim result announcement
for the six months ending 31 March 2001 on or before 30 June 2001.
Furthermore, the publication of the final result announcement for the
sixteen months from 1 April 2000 to 31 July 2001 will be made and the
respective annual report will be distributed on or before 30 November
2001.

5. NEWLY ADOPTED SSAP

In accordance with newly adopted SSAP No.1 "Presentation of Financial
Statements" and No.2 "Net Profit or Loss for the Period, Fundamental
Errors and Changes in Accounting Policies", certain comparative figures
have been reclassified and separately disclosed.

In early-2000, Japan`s tech giant Hikari Tsushin came to Hong Kong for a backdoor listing. Eventually, the counter chose Golden Power International Holdings Limited as its shell for listing.

As such, the share price of Golden Power surged to the $20 level from $0.40 in a very short time. Later, every share of the company was split into four shares.

The parent company in Japan suffered an over-90 pct slide in share price. Its Hong Kong arm, renamed as Hikari Tsushin International, started on a downward spiral to a low of $0.145, 97.5 pct below its peak.

Today, the share, like waking up from a dream, closed at $0.208.

weiß nicht, ob hier irgendwo schon über das Thema gepostet wurde. Meine Frage: wie beurteilst Du den immensen Vertrauensverlust, den die Muttergesellschaft Hikari Japan in den vergangenen Monaten erlitten hat? Meiner Ansicht nach sind steigende Kurse bei allem, wo Hikari Tsushin draufsteht bis auf absehbare Zeit nicht mehr zu erwarten. Die Fondsmanager werden sich den Titel nicht so schnell ein zweites Mal ins Depot legen.

@ brezlbua - den vertrauensverlust gibt´s sicher, aber an der börse sollten mittelfristig doch die zahlen sprechen. und wie schnell es gehen kann, hat man ja die letzten tage bei hikari japan gesehen. da geht´s schon mal in wenigen handelstagen um über 100% rauf. daher bleibt meine einschätzung: wer investiert ist (sowohl in japan als auch in hk) - natürlich halten.

für risikofreudige anleger: an schwachen tagen tradingposition aufbauen.

wie gesagt: um den vertrauensverlust bei den anlegern mache ich mir keine zu grossen sorgen - die (wir) vergessen schnell. fraglich ist nur, ob das image von hikari auch bei den potentiellen partnern angeschlagen ist. das kann aber hier im board wohl keiner beantworten...

SUPPLEMENTAL AGREEMENT RELATING TO
DISCLOSEABLE AND CONNECTED TRANSACTION
AND
EXTENSION OF TIME FOR DESPATCH OF CIRCULAR

On 6 February 2001, the Company entered into a supplemental agreement with HT to amend certain terms set out in the original sale and purchase agreement dated 16 January 2001.

As additional time was required by the Company and HT to discuss and finalise the terms of such supplemental agreement, an application has been made to the Stock Exchange by the Company for an extension of time for the despatch of the Circular to a date not later than 10 February 2001.

Reference is made to the announcement made by the board of directors of Hikari Tsushin International Limited (the “Company”) dated 16 January 2001 in relation to the proposed acquisition by the Company of interests in several companies engaging in Internet or Internet-related activities (the “Announcement”). Unless otherwise stated, terms defined in the Announcement shall have the same meanings when used herein.

The board of directors of the Company announces that a supplemental agreement was entered into on 6 February 2001 by the Company and Hikari Tsushin, Inc. (“HT”) (the “Supplemental Agreement”) to amend certain terms set out in the original sale and purchase agreement dated 16 January 2001 between the Company and HT (the “Original Sale and Purchase Agreement”).

TERMS OF THE ORIGINAL SALE AND PURCHASE AGREEMENT

Under the Original Sale and Purchase Agreement, it was provided that:- (1) the Company will purchase or procure its wholly-owned subsidiary to purchase, among others, 149,400,000 ordinary shares of HK$0.10 each in STAREASTnet.com Corporation (“Stareast”) representing approximately 14.57% of the entire issued share capital of Stareast; and (2) completion in respect of 63,000,000 shares in Stareast will take place later than that of the other Sale Shares on the third business day after the earlier of (i) all requisite consents and approvals by the Stock Exchange and other relevant parties have been obtained or (ii) 31 May 2001.

THE SUPPLEMENTAL AGREEMENT

Provisions in the Original Sale and Purchase Agreement relating to completion and the number of shares in Stareast to be purchased by the Company or its wholly-owned subsidiary have been amended after negotiations between the Company and HT.

Under the Supplemental Agreement, the number of shares in Stareast to be purchased by the Company or its wholly-owned subsidiary has been reduced from 149,400,000 to 84,793,500 representing approximately 8.27% of the entire issued share capital of Stareast. As a consequence, the aggregate consideration for all the Sale Shares and the consideration for the shares in Stareast have been reduced to not more than US$25,000,000 and US$7,620,631 which may be adjusted upwards or downwards based on 75% of the Independent Valuation on such shares respectively. Further, completion in respect of the shares in Stareast shall take place together with all the other Sale Shares within 3 business days after all the conditions precedent have been fulfilled or waived on or before 16 March 2001 or such later date as may be agreed by the parties. The Directors consider that such changes will have no material adverse financial effect on the Company.

REASONS FOR THE AMENDMENTS

As a result of the exercise of an over-allotment option in full in respect of 25,500,000 shares in Stareast by BNP Prime Peregrine Securities Limited on behalf of the underwriters of the listing of the shares in Stareast on the Growth Enterprise Market of the Stock Exchange (“GEM”), the number of shares in Stareast held by HT and subject to the second six-month moratorium period has been increased. As such, the number of shares in Stareast held by HT and released from the first six-month moratorium period has been reduced from 86,400,000 to 84,793,500.

Besides, in light of the GEM having indicated that no consent will be granted in respect of the disposal of the 64,606,500 shares in Stareast prior to 31 May 2001 and the continuing discussions between the GEM and HT in connection with HT’s right to dispose of the Stareast Shares during the second six-month moratorium period, the Company has entered into the Supplemental Agreement with HT to make the changes mentioned above.

GENERAL

The Supplemental Agreement is subject to the approval of the Independent Shareholders at the SGM.

An independent board committee has been appointed by the board of directors of the Company for the purpose of considering the Original Sale and Purchase Agreement and the Supplemental Agreement. An independent financial adviser has been appointed to advise the independent board committee in this regard.

EXTENSION OF TIME FOR DESPATCH OF CIRCULAR

Pursuant to Rules 14.13(2) and 14.29(2) of the Listing Rules, the Company is required to issue a circular (the “Circular”) giving details of the Original Sale and Purchase Agreement and the Supplemental Agreement to its Shareholders within 21 days after the publication of the Announcement, i.e. 7 February 2001. As additional time is required by the Company and HT to discuss and finalise the terms of the Supplemental Agreement, an application has been made to the Stock Exchange by the Company for a waiver from the strict compliance with Rules 14.13(2) and 14.29(2) of the Listing Rules and an extension of time for the despatch of the Circular to a date not later than 10 February 2001.

Das Hongkonger Unternehmen Hikari Tsushin International, Tochter des japanischen Internetinvestors Hikari Tsushin, konnte das letzte Geschäftsjahr mit einem Plus abschliessen. Hikari wiess für das am 31. März abgelaufene Geschäftsjahr einen Gewinn von 13,9 Mill HK-$ aus. Der Gewinn pro Aktie lag bei 0,30 HK-Cent. Im Vorjahr musste man einen Verlust von 114,4 Mill HK-$ bekannt geben.

Der Umsatz stieg von 493 auf 595 Mill HK-$ an. Dividende wird das Unternehmen keine zahlen.

Habe noch 10 000 Stück Hikari, die ich damals zu ca. 5 Cent erworben hatte.
Der Aufwärtstrend in Verbindung mit den schwarzen Zahlen ist schon erfreulich.
Würde gerne das Investment aufstocken, sehe aber folgendes Problem:
Bei der Comdirect kann ich nur Bid/Asks in der 2. Nachkommastelle entdecken, was kein Zufall sein kann.
Im Chart werden aber Kurse mit 3. Nachkommastelle angeführt.
Da ich noch nie mit diesem Problem konfrontiert war, frage ich mich:
Kann die Comdi nur aus technischen Gründen dies nicht anzeigen?
Oder kassiert etwa der DS die Differenz?
Falls jemand mir das beantworten kann, Dank im Vorraus, dann könnte ich endlich Hikari auf ein angemessenes Niviau wichten.

Angeblich bei Brokern technisch noch nicht möglich,
das zu integrieren
( bei Consors genauso )

Das der tatsächliche Wert bei Order ohne Limit
gebucht wird, davon gehe ich eigentlich aus,
nur macht ordern ohne Limit
bei den hier gehandelten Mengen keinen Sinn.


Das nächste Problem sind die lästigen Teilausführungen

ich bin leider schon sehr lange in Hikari Tshushin Intl. investiert, sitze daher auf ziemlich hohen Buchverlusten. Wie sich der Chart mittelfristig entwickelt kann ich nicht vorhersagen, da dies sicher vom Börsentrend vor Ort abhängt. Ich denke aber, daß die alten Höchststände so schnell nicht wieder erreicht werden. Bis 0,05 Euro könnte der Kurs mittelfristig steigen, da besteht ein starker Widerstand, bei 0,10 Euro wäre mein Verlust erst wieder ausgeglichen.

die Angabe von drei Nachkommastellen funktioniert bei den meisten Banken, z.B. Deutsche Bank und comdirect. Zwar siehst du in der Bildschirmmaske meist nur zwei Stellen, aber deine Schranke wird richtig gesetzt.

Wenn du den Kurs wissen willst, schau in die Echtzeitkurse, und wenn das auch nicht klappt, bei www.onvista.com. Dort kannst du den wirklichen Kurs graphisch sehen.

Das Absinken des Kurses in den letzten Tagen wundert mich auch. Gab es überhaupt Umsätze? Zuweilen stehen da nur Geldkurse, ohne daß gehandelt wird.

Seit Ende letzten Jahres schreiben sie schwarze Zahlen, und wenn die Technikflaute vorüber ist, dürften sich weiter bessernde Ergebnisse auch von der Börse anerkannt werden.

Hikari Tsushin International (915538), Hong Kong, hat im Ende März abgelaufenen Geschäftsjahr einen Gewinn von 13,9 Mio. HK-$ erzielt. Je Aktie bedeutet das einen Gewinn von 0,3 HK-Cents. Im letzten Jahr hatte das Unternehmen noch einen Verlust von 114,4 Mio. HK-$ hinnehmen müssen (9,02 HK-$ je Aktie). Der Umsatz legte von 493,1 Mio. HK-$ um 20,7 Prozent auf 595 Mio. HK-$ zu.

Die Aktien von Hikari Tsushin International (915538) verloren am Freitag in Hong Kong 1,97 Prozent auf 0,149 HK-$, nachdem sie sich am Donnerstag um 4,83 Prozent verteuert hatten.
