Au au. Wenn man das so rangeht, dann sehe ich da schwarz.
Auf welcher Seite werden denn Aktien in cent ausgewiesen?
Aber ich glaube bis zu deinem Wert können wir durchaus auch noch kommen. Bei dem Tempo wie es hier nach unten geht, dürfte das auch gar nicht so lange dauern.

Die nächsten Quartalszahlen (4.Quartal 2007) werden frühestens ab 15.März veröffentlicht.

Vielleicht erleben wie bis dahin noch eine kleine Kurssteigerung.

Kann mir nicht vorstellen, dass ivit angewiesen ist auf eine Dilution, bei der ca. 4000 bis 5000 Dollar pro Million neuausgebener shares eingenommen werden können.

In diesem Fall könnten wir uns aber auf eine massive Dilution gefasst machen.

Ich glaube lange wird das mit Ivit nicht mehr gehen, so viele Leute wie am Anfang fallen nicht mehr darauf rein, und die Aktie ist ziemlich ausgelutscht.
Nehme an das die bald dicht machen, und sich der Bill ein neues Spielzeug zulegt.
Also demnächst wenn ich einen OTCBB-Wert handel werde ich erstmal nachgucken ob da nicht irgendwo der kleine William G. Forhan seine Finger im Spiel hat.

In Deutschland findet ja zumindest schon mal kaum mehr ein Handel statt. Dazu sind die Umsätze in den USA auch noch sehr verhalten.
Also sind die Aktien auch noch so billig, diluten kann man nur wenn es auch noch jemanden gibt, der einem die Stücke abkauft. Danach sieht es zumindest zur Zeit nicht mehr aus.

Trotz der momentan depressiven Stimmung kann man nicht absolut ausschließen, dass IVIT im laufe des Jahres nicht vielleicht doch die Kurve bekommt und Gewinne macht, so dass weitere Dilutionen nicht mehr zu befürchten sind.

Seit dem letzten resplit hat sich die Menge der os-shares möglicherweise verfünffacht und wird sich möglicherweise auch noch verzehnfachen.

Der Kurswert hingegen hat sich verkleinert um wenigstens ein hundertstel, je nachdem, von welchem Ausgangskurs man rechnet.

Betrachtet man den heutigen Kurs der Aktie als Einstiegskurs und legt zugrunde, dass IVIT im Laufe von 2008 die Kurve bekommt, ist ein Invest zwar immer noch sehr risikobehaftet aber auch nicht ganz ohne Reiz.

Meinst du es hat noch niemand gemerkt, dass du ein bezahlter Pusher bist??
Nach zwei R/S in so kurzer Zeit stehen doch viele bei 99,..% Minus. Von dir hört man aber die ganze Zeit nur positive Postings. Das ist überhaupt nicht mehr nachvollziehbar, da wir wahrscheinlich bald schon wieder einen R/S erleben werden und du auch einen riesen Verlust haben müsstest.

Also bezahlter Pusher halte ich für übertrieben: Sollte er 100.000 Stück kaufen, müßte er sage und schreibe 400 Euro auf den Tisch legen. Sind ja nun keine unglaublichen Summen. Für wen soll man denn hier pushen? Für die 3-5 Anleger, die mal ab und an hier noch mitlesen? Dafür würde ich niemandem Geld bezahlen. Wenn schon pushen, dann richtig: Jeden Tag ein paar Tausend Dollar in die Hand nehmen und dann hier streuen, Insider, da kommt was usw. Darauf springen sicherlich einige an. Die anderen warten, dass so was passiert, dass man hier noch mit einem blauen Auge davon kommt.

Über Aktienverkauf können die jetzt nur noch an genügend Kaptal kommen, wenn die monatlich mindestens 10 Mio. raushauen und das vermutlich mit dem Effekt, dass der Kurs sich endgültig auf Null zubewegt.

Ein weiterer Resplit wurde jetzt auch nicht viel bringen, da danach der Kurs auch schnell wieder total abstürzen würde.

Was IVIT jetzt braucht, ist ein Investor mit Geld, der wird aber nicht zu finden sein.

Bleibt nur zu hoffen, dass der Laden jetzt mit dem neuen Server so läuft, dass er sich von selbst trägt.

hi lisa,

wenn wir jetzt mal davon ausgehen, dass nicht alle so dumm waren und bei 0,10 oder höher rein sind, dann hat allbraecht schon recht, dass hier viel reiz drin liegt. du hast recht, als prof. pusher ist das volumen hier zu gering, aber die schwankungen der letzten wochen( monaten) von manchma bis zu 50 %, im extremfall sogar bis 300% ist schon verlockend.
Meine theorie....:
Du setzt 100€ und der kurs verdoppelt und verkaufst hast du 200 abzgl. vom Gewinn 30%( incl. Spesen), das heißt 70 € und das geht 20 Handelstage im monat, so hast du 1400€ abzgl. ek/st sagen wir 400€ bleiben 1000 übrig, nun das mach ich so nebenher und ich hab 12000 im Jahr. und wenn du zeit hast, schaffst du bei ivit täglich 100%, denn oft war opening bei 0,0003, mittags dann bei 0,0008 abends dann wieder bei 0,0003.
Nur meine meinung, ansonsten denke ich sollten wir uns nicht allzu sehr mit ivit befassen, sondern jeder sein augenmerk auf aktien richten, die ihm gewinne einfahren können. bin bei ivit jetzt bei 99,18% leider nicht plus:O:O:O
bin jedoch mit anderen aktien wie agro astra lestari oder satcon mächtig im plus, so dass unter dem strich es immer noch passabel aussieht und nachdem ich ja von meiner gartenbaufirma lebe immer noch nicht am verhungern bin

Löle, theoretisch stimmt das, aber: Der Kurs schwankt zwar oft zwischen 50 /80 / 100 %. Das Problem ist nur, dass man die Aktien nicht dafür verkaufen kann bzw. verkaufen kann. Schau Dir mal zwischendurch das Orderbuch an, da wird fleißig hin und her getaxt. Na ja, mal abwarten. Bezahlter Pusher ist trotzdem übertrieben. Wer hockt denn schon für ein paar Hundert Euro stundenlang vor dem PC, wenn es nicht mal sicher ist, dass man überhaupt verdient. Und dieses wäre dieser Schlafwagenaktie seit Monaten der Fall.

Hier kann keiner mehr was beeinflussen. Die Aktie ist nach dem zweitem rs so gut wie unten durch ........

Wunder gibt es zwar immer wieder, aber das wäre wirklich nur möglich mit einem neuen Investor (ggi ist von Anfang an Untergang)
oder durch eine Übernahme (da wird wohl keiner Interesse haben)

Schmuddelwetter im Steuerparadies. [PLUSMINUS recherchiert in Zug, in der Schweiz. Wir suchen ausnahmsweise mal nicht nach Steuersündern. Wir suchen den Deutschen Investment Report, ein Börsenbrief im Internet, dessen Macher mit billigen Versprechen Millionen absahnen. Mit in die Irre führenden Sprüchen werden Aktien gepusht. Wir treffen ein Opfer, jemand, der mit den Empfehlungen des Deutschen Investment Reports 30.000 Euro versenkt hat. Er erzählt: „Die Homepage des Investment Report machte auf mich einen seriösen Eindruck. Daraufhin kaufte ich Aktien einer amerikanischen Pharmafirma, die hat vermutlich nie eine Geschäftstätigkeit aufgenommen. Heute ist die Aktie noch drei Cent wert.“

[PLUSMINUS geht auf Spurensuche. Hier soll der Deutsche Investment Report seinen Sitz haben: Sumpfstrasse 32 in Zug. Wir fragen den Hausmeister. Er hat von diesem Mieter noch nie etwas gehört. Eine Adresse - aber kein Mieter. Nach Anzeigen und Hinweisen von geschädigten Anlegern untersucht jetzt auch die Bundesanstalt für Finanzdienstleistungsaufsicht (Bafin) den Fall Deutscher Investment Report. Der Verdacht lautet: Marktmanipulation.

Wie funktioniert Marktmanipulation? In der Redaktion von boerse.ARD.de beobachten sie solche Fälle. Das Muster ist immer das gleiche. Burghard Schnödewind von boerse.ARD.de schildert seine Erfahrungen: "Wir haben eine Aktie mit einem sehr geringen Wert, diese Aktie wird dann durch einen Aktiennewsletter sehr laut und marktschreierisch angepriesen, neue Erfindungen, beste Aussichten etc.. Das bedingt, dass eine Aktie die eigentlich gar nichts wert ist, plötzlich einen sehr, sehr hohen Börsenwert hat."

80 Millionen Euro - diesen Börsenwert hatte zum Beispiel die Voltavis AG. Ein Liebling des "Deutschen Investment Reports". Laut Eigenauskunft ist die Voltavis AG ein Unternehmen der boomenden Solarbranche. Firmensitz der Aktiengesellschaft: Ebenfalls die Sumpfstrasse 32 in Zug. In der Sumpfstrasse - von Voltavis keine Spur. Nur eine Kirchhofer Treuhand. Laut Handelsregister arbeitet Frau Kirchhofer für Voltavis. Fragen nach ihr - nicht erwünscht. [PLUSMINUS wird aufgefordert das Gebäude zu verlassen.

Bislang existiert die Voltavis AG nur auf dem Papier
Was macht Voltavis? Wir treffen Eva Maria Moebius, die Bürgermeisterin von Oelsnitz im Voigtland. Auf diesem 30 Hektar großen Areal möchte Voltavis bauen. Gefördert und genehmigt vom Land Sachsen. Versprochen sind 100 Arbeitsplätze. Baubeginn sollte Anfang Dezember sein. Auf unsere Frage, ob bisher ersichtlich geworden sei, dass Voltavis mehr ist als eine Firma auf dem Papier, antwortet Moebius: "Nee, das wird dann wahrscheinlich erst ersichtlich wenn ein Spatenstich erfolgt, wenn ich sehe, dass hier ein Fundament gegraben wird."

Bislang existiert die Voltavis AG nur auf dem Papier. Die Produktion wird frühestens 2009 beginnen. Das scheint den "Deutschen Investment Report" wenig zu kümmern, denn schon seit Monaten treibt er den Voltavis-Kurs gezielt nach oben.

In einem Schreiben teilt Voltavis mit: Dass man eine Unterlassungsklage gegen den Deutschen Investment Report juristisch geprüft habe. Und weiter, die Verantwortlichen der Voltavis AG verschwenden ihre Energie und Zeit nicht darauf, sich mit jedweder Äußerung im Deutschen Investment Report, auseinander zusetzen, sondern den Aufbau der geplanten Produktionsstätte in Ölsnitz voranzutreiben.

Burghard Schnödewind von Börse.ARD.de erklärt: "Man geht davon aus, dass fünf bis zehn Prozent der Aktien über den Push von solchen Newslettern abgesetzt werden. Und da bewegen wir uns dann schon in den Millionen-Euro-Bereichen."

Wir kehren zurück nach Zug: Neben Voltavis sitzen in der Schweiz rund ein Dutzend weiterer Firmen, die vom Deutsche Investment Report immer wieder genannt werden. Der, so erfahren wir, ist umgezogen. In einer Entfernung von Luftlinie 1000 Metern finden wir tatsächlich eine Vielzahl von Firmen, darunter auch die der aktuellen Herausgeber des Reports - die Equity Research AG. Und wir finden Herrn Dr. Peter Ruf, der für Equity Research und die anderen Firmen den Briefkasten öffnet. Er sagt: "Ich bin nur Domicilgeber. Ich kenne die Firma nicht. Ein Bekannter von mir, ein Treuhänder hat mich gebeten dieser Firma das Domicil zu geben.
Und der Kanton Zug ist beliebt, weil er ist ein steuerfreundlicher und firmenfreundlicher Standort."

Zug – nicht nur beliebte Steueroase, sondern Firmensitz dubioser Finanzmanipulatoren. Sie ziehen ihre Masche durch - solange deutsche Anleger an große Gewinne mit kleinen Aktien glauben.

jetzt sind wir wieder da, wo viele von uns schon mal reingefallen sind. Jetzt wird der Kurs nochmals etwas angeheitzt und dann werden die vielen Kleinaktionäre verheitzt.(Noch einen RS??)
Also Vorsicht ist geboten. Mein Geld ist weg , dank eines sehr misteriösen RS

So, jetzt schreibe ich auch mal wieder was hier. Auch wenn das für einen „alten“ Invicta-Aktionär eigentlich blödsinnig ist.
Denn nicht nur, daß ich mein Geld nicht mehr wiedersehe. Mittlerweile lohnt sich nicht mal der VK wegen der Kosten. Die könnten bereits die EINNAHME (!!!) durch einen VK übersteigen.

Das ist echt eine Leistung was Bill & Co. da hinbekommen haben und weiterhin hinbekommen. Meines Wissen waren wir nach dem letzten RS bei 1,50. Und jetzt ?
Ich würde ja gerne mal vorrechnen, wo der Kurs stehen würde, hätte es keinen RS gegeben. Aber weder mein Hirn, noch das Hirn meines PC´s kann sich so dermaßen viele Nullen merken und wiedergeben.
IVIT ist echt nur noch was für Day....... nein lieber Minutentrader.

Das Kapitel OTCBB kann ich wohl als Lehrgeld abstempeln. 3 Aktien (davon zwei sehr kurz gehalten) gekauft und mit allen Verluste gemacht. Da suche ich mir lieber, wenn schon Zockerwerte, dann welche in Deutschland.

Ich nenne einfach mal meinen aktuellen Zockerwert. Da hier ja bereits mehrfach für anderen Aktien Werbung gemacht wurde und Postings zu IVIT selbst auch nicht wirklich viel bringen. (was soll man schließlich noch groß sagen ?)

Hatten über 20 Mio. Schulden und standen kurz vor der Insolvenz. Konnten durch Verhandlungen und Zahlungen diese auf 5 Mio. schrumpfen lassen. Dazu soll jetzt eine (börsennotierte) Mehrheitsbeteiligung verkauft werden. nach Anfangs 18 sind 4 Interessierte in die engere Wahl gekommen. Erlös 3 Mio. oder mehr möglich. Übrig bleibt dann ein saniertes sehr kleines Unternehmen, welches nach dem VK nach Partnern sucht. (Fusion, Übernahme oder auch KE möglich)
Vorsicht: Ist ein Zockerwert, bei dem eine Insolvenz möglich ist, dazu fehlt Vertrauen der Anleger wegen Betrügereien des Ex-Vorstandes.

P.S. Ich werde diese Woche noch gelegentlich hier reinschauen, falls andere es mir gleichmachen und spekulative deutsche Zockerwerte nennen.

Meiner Meinung nach, die auch falsch sein kann, wurde der Kurs hier künstlich mit short selling runtergedrückt möglicherweise von GGI, mit der Folge, dass IVIT über Aktienverkauf nur noch dann an Kapital kommt, wenn massiv dilutet wird.

Der Zeitpunkt ist gekommen , diese Aktie vom Markt zu nehmen. aber höchstwahrscheinlich erzeugt das wiederum Kosten , die von dieser maroden Abzockerfirma nicht geleistet werden können, es sei denn, es gibt für dieses Teil noch Käufer. Diese sollten sich überlegen ihr Geld lieber zu verbrennen, das erzeugt wenigstens noch etwas Wärme . bei dem Chart von gestern waren die blauen Balken aber eindeutig in der Mehrzahl.
Das mit der News wird wohl stimmen. Ich gehe auch davon aus, dass wir heute etwas hören werden.
Es steht ja der Bericht an.
Na um ein bisschen zu zocken reicht der Wert doch allemal noch und aktuell bekommt man die Stücke in Frankfurt auch nur noch für 4 und nicht mehr für 3 wie gestern.

Die Käufe waren in der Mehrzahl, wobei es zwei großes Verkaufsbalken gab. Da stimme ich dir auch zu.

Die Kunst bei den Pennystocks ist m.E.n., eine AG zu finden, die nicht vom Aktienverkauf lebt.
Ich gehe davon aus, dass dies bei über 90 % aller pennystocks der Fall ist.
Damit ist praktisch fast immer vorprogrammiert, dass man Verluste macht.

wie Recht du hast.
es schaffen nur sehr wenige den Sprung in die Gewinnzone. Meist aber auf dieses erst nach einem rs und mühsamen Kampf.
Ivit gehört wohl eher zu denen, die nur von Aktienausgabe leben......
Aber trotzdem gibt es die wenigen die gut sind zu finden.
ich denke da an MMIO. Die hatten auch einen rs, sind aber jetzt (auch nach langer Durststrecke) auf dem besten Weg was aus ihrer Firma zu machen.

ITEM 2. MANAGEMENT'S DISCUSSION AND ANALYSIS OF FINANCIAL CONDITION AND RESULTS OF OPERATIONS.
Results of Operations for the Three Months Ended March 31, 2008 Compared to the Three Months Ended March 31, 2007.

Revenues for the three months ended March 31, 2008 were $10,399 compared with $13,124 for the three months ended March 31, 2007. This represents a decrease of $2,725 from 2007. The decrease is due to fewer customers contracting for advertising campaigns for the three months ended March 31, 2008 compared to the three months ended March 31, 2007.

Operating expenses for the three months ended March 31, 2008 were $166,977 compared with $257,071 for the three months ended March 31, 2007. This represents an decrease of $90,094 from 2007. The decrease is due to the write off of a bad debt during the three months ended March 31, 2007 of amounts advanced to Maupintour LLC during the period of $73,000. For the three months ended March 31, 2008 the major expenses were as follows: Payroll $84,640; Professional fees $33,785. The three months ended March 31, 2007 major expenses were: Payroll $60,000; Professional fees $30,198; Write of loan to Maupintour $73,000.

Net other income/expense was an expense of $21,382 for the three months ended March 31, 2008 which is attributed to interest expense, compared with net other expense of $49,078 for the three months ended March 31, 2007, a decrease of $27,696. The decrease is attributable to the decrease in beneficial interest expense on the Company's convertible debentures.

The net loss for the three months ended March 31, 2008 was $177,960, compared with a net loss of $293,025 for the three months ended March 31, 2008, representing a decrease of $115,065.

Liquidity and Capital Resources

The Company had a working capital deficit of $2,188,942 at March 31, 2008.

Net cash used in operating activities was $65,958 for the three months ended March 31, 2008, as compared to $143,486 for the three months ended March 31, 2007. The primary use of cash from operations in 2008 was to fund operations.

Net cash provided by financing activities was $59,750 for the three months ended March 31, 2008, as compared to $138,752 for the three months ended March 31, 2007. The Company issued $59,750 of convertible notes in 2008.

The Company's present intentions are to continue selling debt or equity securities to cover its operating expenses, however, the Company may not be able to obtain additional funds needed for working capital and operations.

PLAN OF OPERATION

The Company's primary strategy is to establish and grow its core business. The Company has no plans for capital expenditures for the next twelve months. Invicta will need a minimum of $300,000 cash during the next twelve months to assure survival. The Company may consider a business acquisition. A business combination may involve the acquisition of, or merger with, a company which does not need substantial additional capital, but which desires to establish a public trading market for its shares, while avoiding, among other things, the time delays, significant expense, and loss of voting control which may occur in a public offering.

Going Concern Concerns

The Company's financial statements are prepared using the generally accepted accounting principles applicable to a going concern, which contemplates the realization of assets and liquidation of liabilities in the normal course of business.

The Company has incurred losses of approximately $8,152,846 since inception and the Company had negative working capital of $2,172,787 at March 31, 2008. These factors raise substantial doubt about the Company's ability to continue as a going concern.

Inflation

Inflation rates in the United States have not had a significant impact on operating results for the periods presented.

Off-Balance Sheet Transactions

At no time during the three months ended March 31, 2008 did the Company have any relationships with unconsolidated entities or financial partnerships, including as entities often referred to as structured finance or special purpose entities, which would have been established for the purpose of facilitating off-balance sheet arrangements or other contractually narrow or limited purposes.

Critical Accounting Policies

The preparation of financial statements in conformity with accounting principles generally accepted in the United States requires management to make estimates and assumptions about future events that affect the amounts reported in the financial statements and accompanying notes. Future events and their effects cannot be determined with absolute certainty. Therefore, the determination of estimates requires the exercise of judgment. Actual results inevitably will differ from those estimates, and such difference may be material to the Company's financial statements. The Company believes that the following discussion addresses its Critical Accounting Policies.

Impairment of Long-Lived Assets and Intangible Assets - The Company makes reviews for the impairment of long-lived assets and certain identifiable intangibles whenever events or changes in circumstances indicate that the carrying amount of an asset may not be recoverable under SFAS No. 144. An impairment loss would be recognized when estimated future cash flows expected to result from the use of the asset and its eventual disposition is less than its carrying amount.

Accounting for Contingencies - The Company accrues for contingencies in accordance with Statement of Accounting Standards ("SFAS") No. 5, "Accounting for Contingencies," when it is probable that a liability or loss has been incurred and the amount can be reasonably estimated. Contingencies by their nature relate to uncertainties that require the company's exercise of judgment both in assessing whether or not a liability or loss has been incurred and estimating the amount of probable loss.

The Company accounts for income taxes in accordance with SFAS No.109. The Company has provided a full valuation allowance against the assets.

The Company accounts for option issues according to FASB Statement No. 123R, "Share-Based Payment, an Amendment of FASB Statement No. 123" ("FAS No. 123R"). FAS No. 123R requires companies to recognize in the statement of operations the grant-date fair value of stock options and other equity-based compensation issued to employees beginning January 1, 2006.

Internal Control Issues

The Company evaluated, under the supervision and with the participation of the Company's management (including its chief executive officer and with its chief financial officer), the effectiveness of the design and operation of its disclosure controls and procedures as defined in Exchange Act Rule 13a-15(e). Based upon their evaluation of such disclosure controls and procedures, the Company's chief executive officer and chief financial officer have concluded as of March 31, 2008 that such controls did operate as designed and would alert them on a timely basis to any material information relating to the Company required to be included in the Company's periodic SEC filings.

ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

On June 27, 2008 we closed (the "Closing") on the acquisition of
certain assets from Image Worldwide, Inc., a Colorado corporation (the
"Seller") in accordance with the Asset Purchase Agreement (dated June 23,
2008) (the "Agreement").

While the Agreement involved the purchase of certain assets from the
Seller, the Agreement also included other transactional understandings and
commitments as summarized below.

In connection with the purchase of assets from the Seller, we acquired
the following assets (the "Assets") in accordance with the Agreement:

(a) City Book Savings Website www.CityBooksavings.com;

(b) Domain name - www.CityBooksavings.com;

(c) Database of clients; and

(d) Future business.

The Assets were acquired from the Seller in exchange for our issuance
of 5,000,000 shares of our newly-designated Series G Preferred Stock (the
"Series G Stock"). Each share of the Series G Preferred Stock has 1,000
votes per share (and is entitled to vote with our Common Stock on all matters
submitted to our common stockholders), is convertible into 1,000 shares of
our common stock, and has a liquidation right to 1,000 shares of our Common
Stock. We did not assume any liabilities of the Seller in purchasing the
Assets.

Entry into a Material Definitive Agreement, Regulation FD Disclosure



ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
On June 26, 2008 and in connection with the Asset Purchase Agreement (dated June 23, 2008) we also entered into an additional agreement styled as the Addendum to Convertible Debenture and Warrant to Purchase Common Stock (the Addendum Agreement").

We entered into the Addendum Agreement with the following parties: Image Worldwide, Inc., Golden Gate Investors, Inc. ("Golden Gate"), Paul Sorkin, Richard David Scott, and William G. Forhan.
As previously disclosed, on June 26, 2008 we acquired certain Assets from Image Worldwide, Inc., a Colorado corporation ("Image Worldwide") and among other provisions of that transaction (as more fully disclosed on the Form 8-K filed on July 3, 2008), our existing directors and officers, namely, Richard David Scott, William G. Forhan, and Mercedes Henze each resigned as officers and directors and elected Paul Sorkin as our President, Chief Executive Officer and Chair of the Board of Directors. Mr. Sorkin was and is at all times hereunder also the President and Chairman of Image Worldwide.

Under the terms of the Addendum Agreement, the parties to the Addendum Agreement agreed to the following with respect to that certain 7 3/4% Convertible Debenture (dated April 27, 2004) (the "Convertible Debenture") and that certain Warrant to Purchase Common Stock (dated April 27, 2007) (the "Warrant") previously issued to Golden Gate:

(A) extend the maturity date of Convertible Debenture to July 1, 2010;

(B) extend the expiration date of the Warrant to July 1, 2010.

In addition, the parties to the Addendum Agreement acknowledged that:

(1) Golden Gate has advanced the sum of $208,034 (the "Prior Advance") to us as a prepayment towards the exercise of the Warrant Shares (as defined in the Warrant) under the Warrant; and

(2) the outstanding principal balance of the Convertible Debenture at the time of the Addendum Agreement was $151,295.

The parties also agreed that upon closing of the Addendum Agreement, Golden Gate agreed deliver an aggregate of $75,000 in cash to us ("First GGI Prepayment") and thirty calendar days thereafter, Golden Gate shall pay us the sum of $37,000 in cash (the "Second GGI Prepayment," collectively with the Prior Advance and the First GGI Prepayment, to the extent any such payments are actually delivered by Golden Gate to us the "GGI Prepayments").
The parties acknowledged and agreed that (i) the amount of the Prior Advance previously advanced by Golden Gate to us as a prepayment towards the exercise of the Warrant Shares under the Warrant and currently outstanding is equal to $208,034, and (ii) the Outstanding Principal Balance of the Debenture is equal to $151,295, and that accrued and unpaid interest thereon to date equals $36,800, with the aggregate amount currently owed under the Debenture to Golden Gate equal to $188,095.

The parties further agreed that the GGI Prepayments shall represent a prepayment towards the future exercise of Warrant Shares under the Warrant. The timing of the application of the prepaid funds represented by the Golden Gate Prepayments to any exercise of Warrant Shares under the Warrant are to be at Golden Gate's discretion. Moreover, the application of any portion of the GGI Prepayments to the exercise of Warrant Shares under the Warrant shall be applied in the order that the GGI Prepayments were paid by GGI to us, such that the first exercises of the Warrant Shares shall be applied against the Prior Advance until all of the Prior Advance is so accounted for, thereafter, exercises of the Warrant Shares shall be applied against the First GGI Prepayment until all of the First GGI Prepayment is so accounted for, and thereafter exercises of the Warrant Shares shall be applied against the Second GGI Prepayment until all of the Second GGI Prepayment is so accounted for. Notwithstanding the foregoing, the parties agreed that no more than 75% of the aggregate exercise price of any exercise effected by Golden Gate under the Warrant after the date hereof shall be paid for by the application of the GGI Prepayments to such exercise (the exact amount of the GGI Prepayments, up to such 75% amount, shall be determined in the sole and absolute discretion of Golden Gate); the remainder of the exercise price of any exercise under the Warrant so effected by Golden Gate after the date hereof shall be paid for by the payment therefore in cash or other readily available funds by Golden Gate.
Further, the Addendum Agreement provides that: in the event that any portion of the GGI Prepayments remain outstanding and not applied to the exercise of Warrant Shares by Golden Gate under the Warrant (including any portion of the GGI Prepayments for which Warrant Shares have not been delivered to Golden Gate upon an exercise by Golden Gate under the Warrant) upon or after the date that is six months from the date of this Addendum, we shall, upon written request from Golden Gate, refund all such outstanding amounts of the GGI Prepayments to Golden Gate via wire transfer within three days from the date of Golden Gate's delivery to us of the written request of such refund and for so long as any portion of the GGI Prepayments remains outstanding and not otherwise applied to the purchase of Warrant Shares by Golden Gate, we shall not prepay or otherwise redeem or cancel the Debenture without the prior written consent of Golden Gate.

As a condition precedent to Golden Gate's obligation to deliver the GGI Prepayments to us, our President, Chief Executive Officer, and Chair of the Board of our Board of Directors, Paul Sorkin, was required to give Golden Gate a personal guarantee. A copy of the "Continuing Personal Guaranty" given by Mr. Sorkin is attached.

The parties also agreed to amend the Warrant so that, as amended,
Section 2.5 of the Warrant was added to read as follows:

Except as set forth in the preceding sentence, for purposes of this Section 2.5, beneficial ownership shall be calculated in accordance with Section 13(d) of the Securities Exchange Act of 1934, as amended, and the rules and regulations promulgated thereunder (the "Exchange Act"). To the extent that the limitation contained in this Section 2.5 applies, the determination of whether this Warrant is exercisable (in relation to other securities owned by such Holder together with any Affiliates) and of which amount of this Warrant is exercisable shall be in the sole discretion of such Holder, and the submission of a Warrant Notice of Exercise shall be deemed to be such Holder's determination of whether this Warrant may be exercised (in relation to other securities owned by such Holder together with any Affiliates) and which amount of this Warrant is exercisable, in each case subject to such aggregate percentage limitations. To ensure compliance with this restriction, Holder will be deemed to represent to the Company each time it delivers a Warrant Notice of Exercise that such Warrant Notice of Exercise has not violated the restrictions set forth in this paragraph and the Company shall have no obligation to verify or confirm the accuracy of such determination. In addition, a determination as to any group status as contemplated above shall be determined in accordance with Section 13(d) of the Exchange Act and the rules and regulations promulgated thereunder. For purposes of this Section 2.5, in determining the number of outstanding shares of Common Stock, a Holder may rely on the number of outstanding shares of Common Stock provided to the Holder in writing by the Company after Holder makes such request or in the event that the Company files, any of the following with the United States Securities and Exchange Commission, the most recent of the following: (A) the Company's most recent Form 10-QSB or Form 10-KSB, as the case may be, or such successor filings of the Company (B) a more recent public announcement by the Company; or (C) a more recent notice by the Company or the Company's transfer agent setting forth the number of shares of Common

Stock outstanding. Upon the written or oral request of a Holder, the Company shall within two Trading Days (as defined below) confirm orally and in writing to such Holder the number of shares of Common Stock then outstanding on the records of the Company as of the date of the request. In any case, the number of outstanding shares of Common Stock shall be determined after giving effect to the conversion or exercise of securities of the Company, including this Warrant, by such Holder or its Affiliates since the date as of which such number of outstanding shares of Common Stock was reported. The "Beneficial Ownership Limitation" shall be 4.99% of the number of shares of the Common Stock outstanding immediately after giving effect to the issuance of shares of Common Stock issuable upon exercise of this Warrant held by the Holder. The Beneficial Ownership Limitation provisions of this Section 2.5 may be waived by such Holder, at the election of such Holder, upon not less than 61 days' prior notice to the Company, to, at the sole discretion of the Holder, either change the Beneficial Ownership Limitation to (i) 9.99% of the number of shares of the Common Stock outstanding immediately after giving effect to the issuance of shares of Common Stock upon exercise of the Warrant held by the Holder and the provisions of this Section 2.5 shall continue to apply, or (ii) remove any Beneficial Ownership Limitation under this Warrant. The provisions of this paragraph shall be construed and implemented in a manner otherwise than in strict conformity with the terms of this Section 2.5 to correct this paragraph (or any portion hereof) which may be defective or inconsistent with the intended Beneficial Ownership Limitation herein contained or to make changes or supplements necessary or desirable to properly give effect to such limitation. If any court of competent jurisdiction shall determine that the foregoing limitation is ineffective to prevent a Holder from being deemed the beneficial owner of more than 9.99% of the then outstanding shares of Common Stock, then the Holder shall not have the right to exercise such portion of this Warrant as shall cause such Holder not to be deemed the beneficial owner of more than 9.99% of the then outstanding shares of Common Stock. Upon such determination by a court of competent jurisdiction, the Holder shall have no interest in or rights under such portion of the Warrant. The limitations contained in this paragraph shall apply to a successor holder of this Warrant. For purposes of this Section, "Affiliate" means any individual or corporation, partnership, trust, incorporated or unincorporated association, joint venture, limited liability company, joint stock company, government (or an agency or subdivision thereof) or other entity of any kind (a "Person") that, directly or indirectly through one or more intermediaries, controls or is controlled by or is under common control with a Person, as such terms are used in and construed under Rule 144 under the Securities Act of 1933, as amended. For purposes of this Section, "Trading Day" means any day on which (i) purchases and sales of securities on the principal national security exchange or quotation system on which the Common Stock are traded are reported thereon, or, if not quoted or listed or admitted to trading on any national securities exchange or quotation system, as reported by Bloomberg LP or a similar generally accepted reporting service, as the case may be, (ii) at least one bid for the trading of Common Stock is reported and (iii) no event that results in a material suspension or

limitation of trading of the Common Stock occurs."
The Addendum Agreement also contained other customary provisions relating to the procedures to be followed relative to the Convertible Debenture, the Warrant, and general terms.





ITEM 7.01 REGULATION FD DISCLOSURE
As stated above and on June 26, 2008 (and in connection with the Asset Purchase Agreement (dated June 23, 2008)) we also entered into an additional agreement styled as the Addendum to Convertible Debenture and Warrant to Purchase Common Stock (the Addendum Agreement") with the following parties:
Image Worldwide, Inc., Golden Gate Investors, Inc. ("Golden Gate"), Paul Sorkin, Richard David Scott, and William G. Forhan.

The Addendum Agreement amended certain provisions of the Convertible Debenture and the Warrant that we previously issued to Golden Gate, among other provisions. A copy of the Addendum Agreement is attached to this Form 8-K.

As a part of the Addendum Agreement, our President, Chief Executive Officer, and Chair of the Board of Directors, Paul Sorkin, gave Golden Gate a personal guaranty with respect to certain obligations we have to Golden Gate. A copy of the Continuing Personal Guaranty, given to Golden Gate by Mr. Sorkin, is attached to this Form 8-K.

Overall, purchasers of our Common Stock should know that we are a small company and we face all of the uncertainties and risks associated with a small business together with the burdens and obligations of a publicly-traded company. We have limited financial and managerial resources and while we believe that our current business and our plans that we have for the assets we acquired from Image Worldwide may allow us to achieve our objectives, we cannot assure you that we will do so.

As a result of the Agreement, on June 27, 2008, control over our Company passed to Image Worldwide, Inc., a Colorado corporation. The Chief Executive Officer of Image Worldwide, Inc. is Mr. Paul Sorkin who is also currently our President, Chief Executive Officer and Chairman of the Board. Since Image Worldwide, Inc. owns 5,000,000 shares of our newly-designated Series G Preferred Stock and each share has the right to 1,000 voting rights and to vote and on all matters submitted to the holders of our Common Stock, they effectively hold 95.71% of the outstanding voting rights. Because of the resignation of our existing officers and directors, the management of our company is now in the hands of one person, Mr. Sorkin. Thus, we have limited management and we cannot assure you that we will attract and retain additional experienced managerial talent in the near future. On this basis, persons who acquire our common stock have no real ability to have any influence or control over the Company, its affairs, or its future direction.

5) Outstanding Debt, Convertible Debt, Options and Warrants

We have a significant amount of debt owed to our creditors and as a result of the acquisition of the Assets from Image Worldwide, Inc. we anticipate that holders of our convertible debt and holders of certain common stock purchase options and warrants will likely exercise their right to acquire shares of our Common Stock.

In the case of the holders of our debt and convertible debt, we anticipate that these holders will likely exercise their rights and seek to avail themselves of their right to claim the exemption provided by Rule 144 of the Securities Act of 1933 ("Rule 144"). In that event, it is likely that there may be significant re-sales of our Common Stock and this may limit or depress the price of our Common Stock.

Further, a large portion of our outstanding Common Stock are "restricted securities" and may be sold only in compliance with Rule 144 adopted under the Securities Act of 1933 or other

(iii) transactions that are not recommended by the broker/dealer. In addition, transactions in a NASDAQ security directly with the NASDAQ market- maker for such securities, are subject only to the sole market-maker disclosure, and the disclosure with regard to commissions to be paid to the broker/dealer and the registered representatives.
Finally, all NASDAQ securities are exempt if NASDAQ raised its requirements for continued listing so that any issuer with less then $2,000,000 in net tangible assets or stockholder's equity would be subject to delisting. These criteria are more stringent than the proposed increased in NASDAQ's maintenance requirements.

The Company's securities are subject to the above rules on penny stocks and the market liquidity for the Company's securities could be severely affected by limiting the ability of broker/dealers to sell the Company's securities.

Sagenhaft ist nur, daß sie wohl die Dinger immer noch los werden. Möchte ja nicht wissen, wieviele in diesen beiden Tagen wieder rausgeschmissen wurden.

Blindgaenger2, bei 0,25 bist du im Plus. Du hast doch schon mind. 2 R/S mitgemacht. Wieviel hast du denn nachgekauft. Oder meinst du mit 0,25 deinen letzten Kauf ?

Ich bin zwar immer noch Aktionär von diesem Schrottverein, aber ich sehe mir ehrlich gesagt nur zum Spaß an, was hier so passiert.

Übernahmen, Fusion etc. hat man doch schon so oft gehört. Den ist regelmäßig was neues eingefallen, was Geld bringen sollte. Das Ergebnis kennen wir ja.

Nach meinen vielen tausend Euros die ich hier verloren habe, bin ich von OTCBB geheilt. Ich bevorzuge jetzt wieder deutsche Nebenwerte und Rohstoffwerte (insb. Junior-Explorer)
Und besonders ein Rohstoffwert wird meine fetten Invicta-Verluste endlich vergessen machen. Wenn das soweit ist, werde ich meine paar Invicta-Aktien verkaufen und dieses Kapitel endgültig abschliessen.

Ich habe ja mit IVIT so ziemlich abgeschlossen.

Doch habe ich vor einigen Tagen noch mal eine bitterböse mail an Paul Sorkin geschrieben.

Darauf bekam ich sogar eine Antwort von ihm.

Da bin ich mal gespannt, ob er Ivit wirklich wieder auf Vordermann bringen kann.......

Ich erwarte mir trotzdem nicht mehr viel.....
Schön wäre es, wenn wir noch 3 bis 4 Cent erreichen würden. Dann wäre ich einigermassen zufrieden. Meinen Verlust hätte ich dann auf 1/3 geschmälert...

Werde mir überlegen, ob ich mit Paul in Verbindung bleiben soll. Bei Bill hat es nicht viel gebracht.. ausser Verlust

Die revenues des dritten Quartals sollen doch bei 100,000 Dollar
liegen.

Falls dies bestätigt wird bei der nächsten Meldung möglicherweise im November, könnte der Kurs doch auf 0,001 zumindest für einen begrenzten Zeitraum steigen.

Wenn man jetzt eingestiegen ist für 0,0002 wäre das eine Verfünffachung.

Invicta Group Inc. Increases Third Quarter Revenue in 2008 by Over 6000% From Third Quarter in 2007
Invicta Group Decreases Expenses by 41% and Decreases Losses by over 50%

CHICAGO, IL -- (Marketwire) -- 11/24/08 -- Invicta Group Inc. (OTCBB: IVIT) is pleased to announce the results of Operations for the Three Months Ended September 30, 2008 Compared to the Three Months Ended September 30, 2007.

Revenues for the three months ended September 30, 2008 ("Third Quarter 2008") were $211,735 compared with $3,460 for the three months ended September 30, 2007 ("Third Quarter 2007").

This represents an increase of $208,275 or an increase of about 6,019.51% from the revenues recorded in the Third Quarter 2007. The increase is due primarily to our efforts in bringing in new management, hiring IMAGE Worldwide, Inc. (PINKSHEETS: IMGW) to help with marketing, and by adding on additional products and services which helped increase our overall revenue.

Operating expenses for the Third Quarter 2008 were $195,481 compared with $331,611 for the Third Quarter 2007. This represents a decrease of $136,130 or a decrease of about 41.05% from the operating expenses we recorded in the Third Quarter 2007. The decrease in operating expenses from Third Quarter 2007 to Third Quarter 2008 resulted primarily from the reduced expenses that we realized as a result of closing one office (our office in Florida) and the resulting reduction in staff and other associated expenses.

The net loss for the Third Quarter 2008 was $230,624 compared with a net loss of $467,423 for the Third Quarter 2007, which represents a decrease of $236,799 or a decline of about 50.66%. The decline was principally the result of management efforts to evaluate and adjust our existing product lines, marketing channels, and cost structures.

Revenues for the nine months ended September 30, 2008 (the "First Nine Months 2008") were $238,459 compared with $57,473 for the nine months ended September 30, 2007 (the "First Nine Months 2007"). This represents an increase of $180,986 or approximately 314.91% from the First Nine Months 2007.

Operating expenses for the First Nine Months 2008 were $476,710 compared with $783,173 for the First Nine Months 2007. This represents a decrease of $306,463 from the $783,173 or a 39.13% decline from that recorded during the First Nine Months 2007.

Gross Profits for the three months ended June 30, 2010 ("Second Quarter 2010") were $815,026 compared with ($5,447) for the three months ended June 30, 2009 ("Second Quarter 2009"). That is an increase of $820,473 for the quarter.

Die Papiere sind schon eingebucht. Der Split war.
Der Kurs ist ja heute in der Spitze schon auf 0,25 gestiegen.
Lässt sich ja garnicht so schlecht an. Immerhin schreibt die Firma Gewinne. Das findet man ja auch nicht immer an der OTC.

ja wen Du 25$ cent nicht so schlecht findest rechne dir mal deinen Verlust aus.Sind annähernd 95% minus vom eigentlichen Wert bei einem Splitt von 2000:1.Ich weiß ja nicht was daran gut sein soll.Die Aktie hätte um 2,80$ aufmachen müssen und nicht mit 25$ cent.
Ist wie jede OTC Bude alles abzocke.

das 10-fache gilt für den Kurs in Deutschland, da wir hier ja keine trip zeros kennen

Also, bei 2,80 Dollar oder Euro (egal *lol*) würde ich dich glatt zum Essen einladen. Aber net in nee Pommelbude :-)
Also, 0,20 passen schon. Und wir waren gestern bei 0,25.
Ich finde das nicht toll. Aber, wenn ich die Beiträge vorher gelesen habe, hätte man ja vermuten können wir starten bei 0,03 oder so.
Von daher garnicht schlecht. Und ich bleibe dabei: Die Bude schreibt Gewinne und das müssen die anderen erst mal machen :-)
Von 2009 auf 2010 ist ein enormer Aufschwung gewesen; zumindest, was ich so lese. Mehr kann ich auch nicht beurteilen. Warten wirs einfach mal ab.
