Spike Networks Limited ("Spike") today announced that the formal
agreements relating to the formation of a joint venture to be called
Spike CyberWorks were signed with Hong Kong-listed broadband Internet
company Pacific Century CyberWorks ("PCCW" Bloomberg 1186; Reuters
1186 HK) on 28 March 2000 and the approval of Spike shareholders is
now being sought in connection with that transaction.

Spike, an Internet professional services company with operations in
Australia, Japan and Hong Kong, will hold a 70% interest in the joint
venture, and PCCW, through an indirectly wholly-owned subsidiary,
will acquire the remaining 30%. In addition, PCCW has been granted a
two-year option to increase its equity in the joint venture to 50%.

PCCW will also acquire a 5% interest in Spike and has an option to
acquire an additional 10% of the share capital of Spike on a fully
diluted basis. That option is exercisable at any time within 12
months of the above allotment.

Spike CyberWorks will provide a comprehensive range of Internet
professional services throughout the pan-Asian region with an
emphasis on digital strategy and development of e-business
applications.

Spike CyberWorks opened an office last month in Hong Kong. In
addition Spike`s existing offices in Australia and Tokyo will also
become part of the Spike CyberWorks venture.

"The Spike CyberWorks joint venture is an exciting opportunity for
Spike to further expand into the pan-Asian region by combining
Spike`s existing Internet services activities with the resources and
positioning of PCCW," said John McGuigan, Executive Chairman of
Spike. "Our partnership with PCCW will create additional long-term
value for Spike Networks shareholders."

"We are always looking for strong partnerships and Spike is a company
that has both Internet expertise, a solid business plan and a desire
to both grow and promote Internet in the region," said Mr Alex
Arena, Group Managing Director of Pacific Century CyberWorks. "Spike
and PCCW make a strong team and I am confident that together we will
achieve the goal of becoming the foremost provider of e-business
services in the pan-Asian region."

The agreement also contemplates PCCW and Spike working together in
relation to various strategic alliances including the promotion
and/or distribution of SpikeRadio over PCCW`s broadband network NOW
(Network of the World).

The formal agreements signed on 28 March are subject to certain
conditions, including Spike obtaining the approval of its
shareholders. An extraordinary general meeting of Spike shareholder
will be held on 8 June 2000, with explanatory materials (including
the report by the independent expert) expected to be distributed to
shareholders on 8 May. The independent expert has concluded that the
transaction involving the formation of the Spike CyberWorks joint
venture and the issue of shares and granting of an option to acquire
further shares in Spike to PCCW is fair and reasonable to the
non-associated shareholders of Spike.

im Moment verpuffen die Nachrichten leider, aber Spike ist
momentan ein klarer Kauf.

es ist ja schön, dass pccw soviele beteiligungen eingeht.
kann mir aber mal jemand sagen, woher li das geld nimmt?
wenn er mit aktien bezahlt, müsste er doch entweder die eigenen
aktien dafür hergeben, was er sicher nicht tut, oder er hat eine menge
genehmigtes kapital für kapitalerhöhungen, was ich nicht weiss,
oder er müsste normale kapitalerhöhungen machen, aber ich habe als
aktionär noch keine bezugsrechte oder ähnliches gesehen.
